1.0 BACKGROUND:

1.1 The primary mission of Pearl Harbor Naval Shipyard & Intermediate Maintenance Facility

(PHNSY&IMF) is to deliver regional maintenance, at the depot and intermediate levels, to keep the surface ships and submarines of our nation's Navy "Fit to Fight." As Hawaii’s regional maintenance center, capabilities include excellence in overhauling, repairing, converting, alteration, refurbishing, and decommissioning of Navy vessels.

2.0 REFERENCES:

3.0 LOCATION:

The work will occur on Ford Island on the Island of Oahu at the following locations:

3.1 Troop Berthing – 01 level (compartment number: 01-41-0-L)

3.2 Deck Edge Elevator Machine Room – second deck (compartment number: 2-99-4-E)

3.3 Aft Diesel – first deck (compartment number: 1-125-2-E)

3.4 AFF Station – first deck (Compartment number: 1-106-2-Q)

4.0 OBJECTIVE:

PHNSY&IMF requires a contractor to provide forklifts, lighting, compressed air, exhaust/ventilation, electrical, rolling staging, storage units, eye wash stations, and portable restroom installation and maintenance to support government inspection aboard a damaged, decommissioned ship for an exercise named SALVEX.

5.0 REQUIREMENTS:

PHNSY&IMF requires a contractor to provide the following services:

5.1 Provide one 17 ton and one 10 ton forklift with an operator for each forklift to provide loading and unloading material, supplies and equipment to and from the ship, conveyance and/or laydown area when directed by the Technical Point of Contact (TPOC).

5.2 Install and maintain clean, dry, oil and water free compressed air at 100 PSI. Locate an air manifold at location listed in 3.1 through 3.4.

5.2.1 Each manifold must be fitted with a minimum of 6 each Navy- type outlet adapter with a control valve for each.

5.2.2 Each compressed air hose requirement must be in accordance with MIL-DTL-24135/10B.

5.3 Install and maintain temporary exhaust ventilation in accordance with Section 21 of 2.2 and Section

1915.12 of 2.3, using 2.4 for guidance at each location listed in 3.1 through 3.4.

5.4 Install temporary lighting at each location listed and leading to locations in 3.1 through 3.4.

5.4.1 Temporary lighting must be equipped with industrial-type, shatterproof bulb conforming to MIL-F-

16377/23A.

5.4.2 The lighting must be a minimum illumination of 28 foot- candles.

5.5 Install and maintain temporary electrical power, 115 Volts AC, 60 Hertz, 20 Amp service, consisting of 2 duplex outlet at each location listed in 3.1 through 3.4.

5.6 Install two temporary electrical generators providing 250KW total power, with outputs (3 each) for

110V – 220V – 480V, 3 phase equipment in location designated by the TPOC.

5.7 Provide two portable electrical generators with 220V outlet and minimum of 25A.

5.8 Install rolling staging, for use by the TPOC, in location 3.1. The stage-working platform must be a minimum of 6 feet by 6 feet and must be a sufficient height to safely accomplish maintenance on overhead. The TPOC will designate the exact location.

5.8.1 Install each safety rail around the perimeter of the work platform, each wheel equipped with a lock and a ladder securely fastened to the staging for access. Ensure each service consists of the following:

5.8.2 Provided until completion. Earlier removal, if required, will be as designated by the TPOC.

5.8.3 Each quick disconnect and connection to allow the TPOC to deenergize/disconnect them on a daily basis.

5.9 Provide 2 each lockable, weatherproof storage units each conforming to the requirements of 2.4 through 2.6, as directed by the TPOC.

5.9.1 Provide 5 sets of keys for each storage unit to the TPOC.

5.9.2 One each unit for flammable liquids storage (paint, flammable, and corrosive liquids).

5.9.3 One each unit for hazardous materials storage.

5.9.4 Post weather-resistant signs for the CAA as follows:

5.9.4.1 “NO SMOKING WITHIN 50 FEET” must be posted on all exterior sides, clearly visible from a distance of 50 feet.

5.9.4.2 “DANGER: UNAUTHORIZED PERSONNEL KEEP OUT” must be posted on each entrance, clearly visible from a distance of 25 feet.

5.9.4.3 "CENTRAL ACCUMULATION AREA” must be posted on each entrance, clearly visible from a distance of 25 feet.

5.9.5 In addition to the requirements of 2.4 through 2.6, each storage unit must conform to the following:

5.9.5.1 The exterior must be painted white.

5.9.5.2 Install a removable aluminum sign, 18 inches by 24 inches, painted white with red letters on each access door showing user's name, points of contact (Hazardous Waste Coordinator and Alternate), and phone numbers.

5.9.5.3 Provide 2 each fully charged 15 pound CO2 fire extinguishers, mounted outside the storage units within 4 feet of each access.

5.9.5.4 Provide a minimum of 320 square feet of floor space, with a 7 foot minimum ceiling.

5.9.5.4.1 Floor load limit must be a minimum of 100 pounds per square foot with raised grating for the storage area floor.

5.9.5.4.2 Floor space must be liquid tight, including where the walls join the floor.

5.9.5.5 Accesses must be contained through the use of noncombustible, liquid-tight raised coaming or ramps of at least 4 inches in height, or otherwise designed to prevent the flow of liquids to adjoining areas.

5.9.5.6 Provide secondary containment designed to prevent the flow of liquids outside the containment area.

5.9.5.7 Aisles must be maintained at a minimum of 3 feet wide.

5.9.5.8 Provide a minimum of 200 square feet of 24-inch wide shelving.

5.9.5.9 Provide a minimum of 10 foot candles of lighting throughout provided by explosive proof fixtures.

5.9.5.10 Provide a minimum of one explosion proof, grounded, 115 volts, 15 amps, single phase, AC duplex receptacle.

5.9.5.11 Provide ventilation for each storage unit by non-sparking electric exhaust vent fan(s) or a mechanical exhaust ventilation system(s). The location of the ventilation system(s) must be arranged to provide air movement across all areas of the floor to prevent accumulation of flammable vapors. Exhaust from each storage unit must be directed to the atmosphere, and not recirculated into compartment air.

5.9.5.11.1 Each ventilation system(s) must provide, at a minimum, one cubic foot per minute (CFM) of exhaust per square foot of floor area, but not less than 150 CFM each if multiple ventilation systems are used.

5.9.5.12 Maintain temperature within 35 to 90 degrees Fahrenheit.

5.9.5.13 Separate each storage unit from other structures by a minimum of 25 feet.

5.9.5.14 Each storage unit must be located within close proximity to the ship, as approved by local codes and regulations

5.9.5.14.1 Locate each storage unit within 500 feet of the ship when permitted.

5.9.5.15 Lock each storage unit and provide 5 keys for each unit to the TPOC.

5.9.5.16 Provide Portable power to support HAZMAT lockers.

5.9.5.17 Provide two each, portable eye wash station with a minimum of 15 gallons of flushing water capacity located adjacent to the storage units.

5.9.5.17.1 The eyewash station must be within 100 unobstructed feet and no more than 10 seconds fast walk from the hazard.

5.9.5.17.2 Provide a spill kit for the storage units containing the following: Nitrile gloves (2 pair), splash goggles

(2 pair), absorbent pads (polypropylene) general purpose (15 each); 3 inches X 4 feet absorbent socks

(8 each) absorbent floor dry (25 pounds), disposable bags (one package).

5.10 Provide Ten (10) portable restrooms with hand wash/sanitizing. Clean twice per week on Tuesdays and

Fridays from 14-May-2024 to 11-June-2024 on location designated by TPOC

7.0 WORKING HOURS:

Regular working hours shall consist of a 12-hour period, between 6:30 AM to 6:30 PM Monday through Friday, excluding Federal holidays and weekends. The shipyard is also closed between

December 25 through January 2.

8.0 QUALITY CONTROL PLAN:

The contractor is responsible for implementing and maintaining a Quality Control Program (QCP) to ensure that the work performed meets or exceeds contract requirements and results in the correction of potential and actual problems. The QCP shall be implemented on the first day of contract performance and shall be provided to the Contracting Officer (KO), COR, and/or TPOC upon request.

9.0 SECURITY REQUIREMENTS:

9.1 The contractor shall pass a background check to gain access onto the base. Only those individuals with favorable investigations shall be utilized on this contract. Prior to the start of work, the contractor shall provide the Contracting Officer’s Representative (COR) a completed form DD 5512-1 for each contractor employee performing work on this contract. This may require, at a minimum, the following information: full name, Social Security number, date of birth, place of birth, citizenship, and criminal background information. The contractor shall state that the information has been verified and shall have supporting records on file, if required for examination. In accordance with current DoD and

Homeland Security requirements, performance of all work under this contract is restricted to U.S.

Citizens and U.S. nationals only with the contractor’s employees registered with the Defense

Biometric Identification System (DBIDS).

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--

Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-

Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph

(d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision-

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause

52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or

Equipment.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM)

(https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(1) It [ ___ ] will, [ ___ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The

Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as

OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered

(include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

ADDENDUM TO 52.212-1

1. INSTRUCTIONS TO OFFERORS

(a) In order to be eligible for award, the Offeror must be determined to be responsible per IAW FAR

9.1.

(b) This is a 100% small business set-aside solicitation to provide forklifts, lighting, compressed air, exhaust/ventilation, electrical, rolling staging, storage units, eye wash stations, and portable restroom installation and maintenance to support government inspection aboard a damaged, decommissioned ship for an exercise named SALVEX in accordance with (IAW) the Performance Work Statement SALVEX-24 and

Federal Acquisition Regulation (FAR) Part 13.5, Simplified Procedures for Certain Commercial Items, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Navy Marine

Corps Acquisition Regulation Supplement (NMCARS). Contracts awarded under FAR 13.5 are not subject to FAR 15.3 procedures. Accordingly, award of a contract under this simplified acquisition solicitation, should an award be made, shall follow the procedures outlined in FAR 13.5, as supplemented.

(c) The offer submitted in response to this solicitation must be in compliance with the requirements as stated in the solicitation, PWS, and attachments. Offerors are required to meet all solicitation requirements, terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors. All claimed capabilities to meet the requirements shall be realistic and are subject to verification by the Government.

(d) Offerors shall provide all information requested in this solicitation, N32253-24-Q-0055. Failure to adhere to solicitation instructions will cause the Offeror’s proposal(s) to be deemed ineligible for award. Once a proposal is deemed ineligible for award, no further evaluation of proposal(s) will commence.

(e) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the

Government's requirements but, rather, shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the Offeror's proposal.

(f) Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable. Failure to comply with the terms and conditions of the solicitation may result in in rejection of the proposal, an unfavorable proposal evaluation, or being deemed ineligible for award.

2. PROPOSAL SUBMISSION

(a) The Government intends to evaluate proposals and award a Firm Fixed-Price award without discussions.

The Government reserves the right to conduct discussions if the Contracting Officer later determines the process to be necessary.

(b) Each Offeror shall submit proposals electronically via email in a format readable by Microsoft and Adobe applications. The Contractor shall submit proposals for consideration no later than the due date and time listed in Block 8 of the SF 1449. Only one (1) proposal shall be submitted, per Offeror, in response to this requirement.

(c) Each Offeror shall submit, at minimum, three (3) documents containing:

(1) SF 1449 Solicitation Document - Offerors are required to fill out blocks 30a-30c and a price for the

CLIN listed.

Note: Offeror shall complete FAR provisions 52.204-24 and 52.204-26.

(2) Price - Offerors’ Pricing Proposal shall be submitted using the Pricing Breakdown Worksheet

(Attachment 2) and shall contain all detailed information as requested, which includes a breakdown of each required service listed in the PWS for all labor, material, and subcontractor information along with Other Direct Costs (ODCs) in order to be considered eligible. If quoting a Rough Order of

Magnitude (ROM) for material purchases, or otherwise, the Offeror shall identify and provide supporting documentation to substantiate the estimated price. A ROM estimate submitted as part of the

Offeror’s proposal will be considered an Offeror’s firm fixed price offer and will not be subsequently adjusted.

(3) Technical Statement - Offerors are required to provide a detailed statement regarding their technical approach and capability to complete the work package requirements in the solicitation/PWS. The technical statement should not simply rephrase or restate the Government's requirements but, rather, shall provide convincing rationale to address how the Offeror intends to meet these requirements.

Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the Offeror’s proposal . The technical statement shall not exceed 20 pages.

(d) Proposals received after the date/time specified may not be evaluated. Offerors shall provide the above

3 documents in order for a submission to be considered complete.

ADDENDUM TO FAR 52.212-2

1. BASIS FOR CONTRACT AWARD

A contract may be awarded to the Offeror whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Addendum to FAR

52.212-1 of this solicitation) and is judged, based on the evaluation factors, to represent the best value to the

Government. Additionally, the Offeror must be deemed a responsible prospective contractor IAW FAR 9.1.

2. EVALUATION FOR AWARD

The Government will award a Firm Fixed Price Contract from this solicitation to the responsible Offeror whose offer conforming to the solicitation is the Lowest Price Technically Acceptable (LPTA).

3. EVALUATION FACTORS

(a) The evaluation factors represent key areas of importance to be considered in the LPTA selection decision and include:

Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factor of Technical Approach.

Factor 1 – Technical Approach

Technical Approach Factor will either receive an acceptable or unacceptable rating defined below based on an overall evaluation of whether the Offeror’s submitted technical statement meets the requirements of the solicitation, indicates an adequate approach to and capability to complete the technical requirements set forth from PWS, and an assessment of risk of unsuccessful contract performance. An “UNACCEPTABLE” rating makes a proposal ineligible for award and no further evaluation will be conducted.

“Risk” is defined as the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor may involve increased risk of disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight and the likelihood of unsuccessful contract performance.

Factor 2 – Price

For Offerors with a technical approach rating of “Acceptable,” the total price listed in the Pricing Breakout

Worksheet will be evaluated for reasonableness in accordance with various analysis methods listed in FAR 13.106-

2.

(b) Solicitation Requirements, Terms and Conditions

Contractors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors. The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern--

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart

19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary

Identification and Records Locator Subsystem, or successor system that is maintained by the Department of

Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small

Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to

SBA on or before December 31, 2023.

"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the

SDVOSB Program.

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
