52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

The significant evaluation factors are:

Price Factor 1: Price - Most Important

Non-Price Factor 1 (including subfactors): Technical Approach/Management - Second Most Important

Non-Price Factor 2: Past Performance - Third Most Important

Technical and past performance, when combined, are significantly less important than cost or price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2

1.0 BASIS OF AWARD

1.1- Source Selection Procedures: The evaluation of quotes submitted in response to the solicitation will be conducted utilizing Best Value Tradeoff Source Selection Procedures. To be eligible for award, offerors shall meet the following criteria:

1) Obtain a Technical Approach/Management quote rating of Acceptable or higher (see Table 2 below)

2) Obtain a Past Performance Rating of Neutral or higher (see Table 4 below)

Note that unknown or “neutral” past performance material will not be rated for relevancy; a lack of a relevancy rating for unknown or neutral past performance material will not be detrimental to an offeror’s past performance acceptance.

3) Obtain an Overall Combined Non-Price Rating / Risk Rating of Acceptable or higher (see Table 5 below)

4) Offer a price that is determined fair and reasonable by the Contracting Officer, and

5) Be determined responsible under FAR Part 9.104

1.2- Award without Discussions: The Government intends to award without discussions with offerors, but reserves the right to conduct discussions if they are determined to be in the best interest of the Government. Thus, offerors are encouraged to submit their most competitive quotes by the initial due date.

1.3- Award Structure: The Government intends to award a single Firm Fixed Price contract.

2.0 EVALUATION FACTORS

2.1- Purpose: The purpose of quote evaluation is to ensure impartial and comprehensive examination of competitive quotes. Statements and representations made in the offeror’s quote may be subject to verification.

The evaluation factors are set forth below:

Description Adjectival Rating

Price Factor 1 Price N/A See FAR 15.404

Non-Price Factor 1 Technical Approach/Management See Table 2 below

Non-Price Subfactor 1.A Personnel Subfactors do not receive separate adjectival ratings. A single adjectival rating will be assigned to Non-Price Factor 1, which includes the subfactors.

Non-Price Subfactor 1.B Equipment

Non-Price Subfactor 1.C Qualification Experience

Non-Price Factor 2 Past Performance See Tables 3 and 4 below

2.2- Relative Importance of Evaluation Factors: The relative importance of the evaluation factors, from most important to least important, are as follows:

Price Factor 1: Price - Most Important

Non-Price Factor 1 (including subfactors): Technical Approach/Management - Second Most Important

Non-Price Factor 2: Past Performance - Third Most Important

Technical and past performance, when combined, are significantly less important than cost or price.

2.3- Adjectival Ratings: All quotes will be evaluated in accordance with the criteria set forth below:

2.3.1 Adjectival Ratings for Non-Price Factor 1.

Non-Price Factor 1 and Non-Price Subfactors 1.A, 1.B, and 1.C will be evaluated for strengths, weaknesses, significant weaknesses, and deficiencies, as defined in Table 1 below:

TABLE 1: Technical Approach Evaluation

Term Definition

Strength An aspect of an offeror's quote that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness A flaw in the quote that increases the risk of unsuccessful contract performance.

Significant Weakness A flaw that appreciably increases the risk of unsuccessful contract performance.

Deficiency A material failure of a quote to meet a Government requirement or a combination of significant weaknesses in a quote that increases the risk of unsuccessful contract performance to an unacceptable level.

Once the strengths, weaknesses, significant weaknesses, and deficiencies have been compiled, each quote will be assessed using the adjectival rating definitions in Table 2 below.

Note that the strengths, weaknesses, significant weaknesses, and deficiencies for Non-Price Subfactors 1.A, 1.B, and

1.C will be combined for a single Non-Price Factor 1 rating – the subfactors will not have individual Combined

Technical/Risk Ratings.

TABLE 2: Combined Technical/Risk Ratings

Rating Definition

Outstanding Quote meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Good Quote meets requirements and indicates a thorough approach and understanding of the requirements. Quote contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable Quote meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal Quote does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The quote has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high. Quote is unawardable.

Unacceptable Quote does not meet requirements and contains one or more deficiencies. Quote is unawardable.

2.3.2 Adjectival Ratings for Non-Price Factor 2

The past performance evaluation assesses the offeror’s probability of meeting the solicitation requirements by considering each offeror's demonstrated recent and relevant record of performance in supplying products and services that meet the contract’s requirements. There are two aspects to the past performance evaluation – relevance and performance. More relevant past performance will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance. The rating levels of relevancy are shown in Table 3 below.

NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance.

Table 3: Past Performance Relevancy Ratings

Rating Description

Very Relevant

Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant

Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat

Relevant

Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant

Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The second aspect of the past performance evaluation is to determine how well the contractor performed on past contracts. The Government will review past performance information and determine the quality and usefulness as it applies to performance confidence assessment.

The Government may obtain past performance information from established systems such as the Supplier

Performance Risk System (SPRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases.

Performance Confidence Assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings in Table 4.

Table 4: Performance Confidence Assessments

Substantial Confidence

Based on the Offeror’s recent and relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the Offeror’s recent and relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort.

Neutral Confidence

No recent and relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

Limited Confidence

Based on the Offeror’s recent and relevant performance record, the Government has a low expectation that the Offeror will successfully perform the required effort. Quote is unawardable.

No Confidence

Based on the Offeror’s recent and relevant performance record, the Government has no expectation that the Offeror will be able to successfully perform the required effort.

Quote is unawardable.

2.3.3 Adjectival Ratings for Overall Combined Non-Price Rating / Risk Rating

Adjectival Ratings for all Non-Price Factors will be combined for an Overall Combined Non-Price Rating. Each quote will be assigned a rating based on the table below:

Table 5: Overall Combined Non-Price Rating / Risk Rating Method

Outstanding Proposed approach fully meets all solicitation requirements and demonstrates an exceptional understanding of the requirements and offers the Government many superior features that exceed the requirements and are of significant benefit to the Government. An outstanding quote contains no Significant Weaknesses or Deficiencies, and any Weakness is negligible and is offset by the

Strengths of the quote. The Government may have Substantial Confidence to Neutral Confidence that the offeror will successfully perform the required effort. Overall, the quote represents a low risk of unsuccessful contract performance.

Good Proposed approach fully meets all solicitation requirements and demonstrates a thorough understanding of the requirements and offers the Government some superior features that are of particular benefit to the Government. A good quote contains no Significant Weaknesses or

Deficiencies, and any Weakness is offset by Strengths of the quote. The Government may have

Substantial Confidence to Neutral Confidence that the offeror will successfully perform the required effort. Overall, the quote represents a low to moderate risk of unsuccessful contract performance.

Acceptable Proposed approach meets all solicitation requirements and demonstrates an adequate understanding of the requirements but offers only minimal advantages to the Government over basic contract requirements. An acceptable quote contains no Significant Weaknesses or

Deficiencies, and Weaknesses are counter-balanced by Strengths. The Government may have

Satisfactory Confidence to Neutral Confidence that the offeror will successfully perform the required effort. Overall, the quote represents a no worse than moderate risk of unsuccessful contract performance.

Marginal Proposed approach does not demonstrate an adequate understanding of the solicitation requirements. A marginal quote contains Significant Weaknesses, but no Deficiencies, and any

Notable Strength is offset by Significant Weaknesses. The Government may have Limited

Confidence that the offeror will successfully perform the required effort. Overall, the quote represents a high risk of unsuccessful contract performance. Quote is unawardable.

Unacceptable Proposed approach fails to demonstrate that it meets solicitation requirements, and contains one or more Deficiencies. The Government may have Limited Confidence to No Confidence that the offeror will successfully perform the required effort. Overall, the quote represents an unacceptable risk of unsuccessful contract performance. Quote is unawardable.

2.4 Quote Evaluation:

2.4.1 VOLUME I – Price Quote

Price Factor 1 – Price: The Government will not evaluate price adjectivally or assign strengths or weaknesses to the price quote. The Government will analyze the quoted prices in accordance with FAR 15.404 Proposal Analysis to determine fair and reasonable pricing.

The Government will evaluate price quotes by using price analysis in accordance with FAR 15.305(a)(1) and FAR

15.404-1(b).

In the case that a single offer is received and comparison of proposed prices is not possible, the Government reserves the right to enter into discussions to require additional information from the offeror to determine price reasonableness.

Offerors are reminded that prices quoted must be found fair and reasonable IAW FAR 15.404 in order for an award to be made.

2.4.2 VOLUME II – Non-Price Quote

In order for a non-price quote to be found eligible, the offeror must submit all of the required documents in

Provision 52.212-1 and its Addendum and must obtain an Overall Combined Non-Price Rating / Risk Rating of

Acceptable or higher meet as set forth in Table 5 above to be able to determine Best Value.

Note: An assigned rating of Marginal or Unacceptable in Non-Price Factor 1…
