Part 1
General Information
1. GENERAL: This is a non-personal services contract to provide advertising, recruiting, and various administrative support for MSC’s afloat and ashore CIVMAR personnel. The Government shall not exercise any supervision or control over the contract service providers performing the services herein.
1.1 Description of Services: The subject requirement is for contractor support services to provide all personnel, equipment, supplies, transportation, tools, materials, supervision, and other items and non-personal services necessary to provide services for the advertising, marketing, recruiting of and call center support for MSC Civilian
Mariners (CIVMAR), plus the associated support functions to include: contract management, coordination of recruitment/hiring events, employment data analysis, website management services, CIVMAR instructional activities, onboarding and screening support, and related administrative tasks for the hiring, promotion, and retention of current, future, and prospective CIVMARs.
1.2 Background: MSC is the owner and operator of more than one hundred ten (110)
Government Owned/Government Operated (GOGO) and Government
Owned/Contractor Operated (GOCO) Civilian Mariner (CIVMAR) and Contracted
Mariner (CONMAR) operated ships and is responsible for ensuring the operational readiness of its ships throughout their active service period. Each onboard CIVMAR plays an important role in the overall operation of MSC ships operating worldwide in support of MSC’s mission. To a great degree, MSC’s ability to successfully execute its mission is dependent on the hiring of highly rated and qualified CIVMARs to maintain
MSC’s total force and readiness with an afloat and ashore workforce capable of meeting all customer requirements. Afloat recruiting, hiring, promotion, and retention support of our CIVMARs is critical to ship crewing, fleet operational readiness, Quality of Life (QOL) requirements, and U.S. Coast Guard (USCG) certification/licensing for CIVMARs.
MSC’s TFM Directorate, N1, is responsible for developing, enabling, and reinforcing command policies and procedures to maintain and prepare MSC’s total workforce both ashore and afloat. Specifically, N1 is responsible for staffing, crewing, training, equipping, and maintaining MSC’s worldwide GOGO ships and executes this mission through its CIVMAR Marine Employment Division (N11B2). N11B2 is responsible for the cradle-to-grave support of MSC’s CIVMARs.
1.3 Objectives: The contract will provide the above described requirements through the Contractor’s support and services for MSC’s CIVMARs during the advertising, hiring and recruitment process as well as provide all necessary functions in support thereof as defined in this PWS. The Contractor is not responsible for those items specified as Government Furnished in Section 3.
1.3.1 Scope: The Contractor shall provide an effective, accessible, responsive, and high-quality CIVMAR advertising/recruitment program to crew and maintain the afloat workforce and assist N1 with its cradle-to-grave operation in serving all
CIVMAR hiring, employment, retention, and career progression needs.
1.3.2 Non-personal Services: Per Federal Acquisition Regulation (FAR) Part 37, this contract may not be used to provide personal services. Government personnel may not perform any supervisory functions for Contractor personnel. All individual Contractor employee assignments and daily work direction shall be given by the applicable
Contractor employee supervisor. Government personnel cannot supervise Contractor employees, stipulate Contractor duty hours (except for that directed in the contract), require Contractor employees to report to Government personnel, maintain Contractor personnel records/time cards, approve leave for Contractor personnel, approve bonuses for Contractor personnel, or develop duty rosters including the name of Contractor personnel. Notwithstanding any other provision of this contract, the Contractor shall at all times be responsible for the supervision of its employees in the performance of the services required. If the Contractor believes any Government action or communication has been given that would create personal services relationship between the
Government and any Contractor employee, the Contractor shall promptly notify the
Contracting Officer (KO). All Contractor employees hired in support of MSC shall be required to sign a Non-Disclosure Agreement (NDA), Attachment 2 applies.

1.5 General Information:
1.5.1 Quality Assurance: The Government shall monitor and evaluate the Contractor’s performance under this contract using the Performance Requirements Summary (PRS) developed by the Government (Technical Exhibit 3). The PRS is primarily focused on what the Government must do to ensure that the Contractor has performed IAW the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.5.1.1 This is a performance based contract IAW FAR Part 37.6. The PWS requires submission of deliverables, Technical Exhibit 4 applies. The COR will review the deliverables to ensure contractual compliance. The Contractor shall be responsible for correcting any errors or omissions, without a change in price.
1.5.1.2 Contractor Performance Assessment Reports System (CPARS): The COR will complete a CPARS evaluation and submit a CPARS report into the CPARS system upon completion of the requirements of this contract. The results of the
CPARS evaluation will be kept on file at MSC and will be used as a performance metric for future, related MSC requirements.
1.5.2 Recognized Holidays: The Contractor is not required to work on federally recognized holidays, as defined on the Office of Personnel
Management (OPM) website; unless dictated by the KO or otherwise, as expressly defined, in the contract. The contractor is required to operate and provide 24/7 Call Center support on holidays.
1.5.3 Hours of Operation: MSC offices generally operate eight hours per day Monday through Friday, and are closed on weekends and holidays. Normal working hours are typically 08:00 to 16:30 Monday to Friday, but may vary depending upon location.
However, the Contractor may have to work outside these hours due to the nature of advertising, hiring and recruitment events. The Call Center will be operated 24 hours a day, including weekends and holidays. During normal working hours, the Call Center will be manned and operated from the CIVMAR Support Center (CSC). At the discretion of the KO, the Call Center support operations may shift from the CSC to an alternate location after normal working hours as long as the same level of service is provided from the alternate location. The CSC may close at the Government’s discretion, but the Contractor must, at all times, maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential and that world events may impact stability and continuity.
1.5.4 Places of Performance:
1.5.4.1 The place of performance may be at various locations to include: at
Government facilities, Contractor facilities, Job/recruitment fairs/Outreach Partner facilities, trade schools, and/or Maritime Academy locations throughout the
Continental United States (CONUS) and its territories. Some activities may be performed remotely (telework) along with virtually or interactively. Attachments 43, 47 and 49 apply. The following locations are currently in use and are subject to change:

1.5.5 Type of Contract: The Government will award a Firm-Fixed-Price (FFP) single-award contract.
1.5.6 Security Requirements:
1.5.6.1 Personnel Security Requirements: The Contractor personnel handling classified or Health Insurance Portability and Accountability (HIPA)/Personally
Identifiable Information (PII) information necessary to carry out their duties and responsibilities must have, at a minimum, interim-SECRET security clearances. Each individual must possess and must maintain the clearance throughout the duration of contract performance.
1.5.6.2 Ship & Base Access: Contractor personnel may require access to ships and bases, and are responsible for correctly submitting forms/applications. Contractor is encouraged to monitor email using “Request a Read Receipt” function and confirm receipt of facsimile transmissions. MSC POC for assistance with visit notification requirements and procedures is MSC_NRFK_N0211@navy.mil (N021).
1.5.6.3 Due to enhanced security measures, the following permissions and/or documents are required to be completed/reviewed:
1. SECNAV 5512/1 form
2. Base/Repair Facility Access Request
3. Vehicle Access Request
4. Ship Access List (vendor-provided)

Base Facility Access: Permit is required to access Navy Base Facilities. Base Facility
Access Requests are generally required seven (7) days prior to base access. The
Contractor should submit all necessary forms to the COR.
Defense Biometric Identification System (DBIDS) is being implemented for access to
DoD facilities in CONUS, Hawaii, Guam and Puerto Rico (replaces RapidGate).
Vendor is responsible to acquire DBIDS credentials prior to performance start date.
Delays that may result from inadequate planning are Contractor responsibility. Vendor instructions and program information is available at https://www.cnic.navy.mil/om/dbids.html. DBIDS credentials require (in succession)
(1) Present a letter or official document from the Government sponsoring organization that provides the purpose for your access, (2) Present valid identification, such as a passport or Real ID Act-compliant state driver's license,
(3) Present a completed copy of the SECNAV 5512/1 form to obtain your background check, (4) Upon completion of the background check, the Visitor
Control Center representative will complete the DBIDS enrollment process, which includes your photo, finger prints, base restrictions, and several other assessments, and (5) After all of this is done, the Contractor will be provided with the DBIDS credential. For vendors with existing Navy Commercial Access Control System
(NCACS) cards, see https://www.cnic.navy.mil/om/dbids.html for instructions to obtain DBIDS credentials. Vendor is responsible to confirm that each employee held
DBIDS credentials are active for the specific facility and performance period IAW
DBIDS.

Additional or different access permissions may be required in the future.
Vehicle Access: Required for vehicle access to Navy facilities. Follow supplemental instructions on Base Access forms or base-specific vehicle access forms.
Ship Access List (Vendor-Provided): On company letterhead attachment via email, the vendor is required to provide the ship master (courtesy copy the Port Engineer) with an accurate, current list of performing personnel prior to being admitted onboard the vessel. Under no circumstances will a hand-delivered list be accepted.

1.5.6.4 Physical security: The Contractor shall safeguard all Government equipment, information and property provided for Contractor use. At the close of each work period, the Contractor shall secure all Government facilities, equipment, and materials provided to the Contractor.
1.5.6.5 Key/Access Control: The Contractor may be issued access codes by the
Government. The Contractor shall establish and implement methods to ensure the access codes are not written down, misplaced or duplicated or used by any personnel other than those authorized by the Contractor for this contract. The
Contractor’s procedures shall include a method to notify the Government when the access codes are no longer needed. The Contractor shall immediately report any occurrences of comprised access codes to the COR.
1. In the event access codes are lost or duplicated, the Contractor shall, upon direction of the KO, request re-keying of the affected access codes. When replacement of locks or re-keying is performed by the
Government, the cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the Contractor.
2. The Contractor shall prohibit the use of Government issued access codes by any persons other than the Contractor’s employees. The
Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas or personnel authorized entrance by the COR.
1.5.7 Common Access Cards (CACs) processing: To support access to the
Government computers and systems, authorized personnel shall obtain a CAC. CACs are to be issued only through the auspices of the Trusted Agent (TA) to U.S. Citizens, U.S. Permanent Resident Aliens or such other individuals as may be authorized by
Commander MSC (COMSC). To be eligible for a CAC, Contractor personnel shall comply with Homeland Security Presidential Directive 12 (HSPD-12) requiring the completion of a Federal Bureau of Investigation (FBI) fingerprint check with favorable results and the initiation of a National Agency Check with Written Inquiries (NACI).
An individual who maintains a current equivalent or higher investigation shall not require an additional NACI. As required for access to the Government computers and systems, the National Agency Check with Law and Credit (NACLC) suffices. Contractor shall ensure all personnel needing access to worldwide naval bases, ships, and buildings to perform the tasks in this contract shall obtain a CAC. The CAC shall not be used for any unauthorized entrance access or purpose. All CAC requests and
CACs returns to the TA when personnel are no longer performing on this contract will be accomplished using Attachments 10, 11 and CDRL 3 apply.
1.5.7.1 Tracking and Disposition: The Contractor shall immediately inform the KO, in writing, if a Contractor employee is given an adjudication of "Access Suspended", "Interim Declination", "Loss of Jurisdiction", "No Determination Made", or has their clearance eligibility otherwise withdrawn, denied, or revoked by the Department of the
Navy Central Adjudication Facility (DONCAF). The Contractor shall be responsible for the control of CACs issued to its personnel under this contract. In order to ensure appropriate control of CACs, the Contractor shall surrender, to the TA, all CACs issued in the performance of this contract upon: 1) Termination of the contract or 2) as directed by the issuing authority, the TA, or the KO. Attachments 10, 11 and
CDRL 3 apply.
1.5.8 CAC Reporting: The Contractor shall make a report to the KO, within
24 hours of discovery, any lost, stolen or destroyed CAC. The Government will then generate a report to: 1) the TA for cancellation of the card, 2) to the local U.S. Military Security Office, and 3) to the appropriate MSC Area
Commander. Attachments 10, 11 and CDRL 3 apply.
1.5.9 Post Award Conference/Periodic Progress Meetings: The Contractor shall attend the post award conference convened by the contracting activity or contract administration office IAW FAR Subpart 42.5. The first meeting will be in person.
Subsequent meetings may be conducted in person or via TEAMs or another virtual meeting platform. The KO, COR, and other Government personnel, as appropriate, may meet periodically with the Contractor to review the Contractor's performance.
At these meetings, the Government will apprise the Contractor of how the
Government views the Contractor's performance and the Contractor shall apprise the
Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. See also Phase In/Phase Out plan POA&M
Section 1.5.17.
1.5.10 Contracting Officer’s Representative (COR): The COR will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions:
ensure the Contractor performs the technical requirements of the contract; perform inspections necessary in connection with contract performance; maintain written and oral communications with the Contractor concerning technical aspects of the contract;
issue written interpretations of technical requirements, including Government drawings, designs, specifications; monitor Contractor's performance and notifies both the KO and Contractor of any deficiencies; coordinates availability of Government
Furnished Property (GFP), and provides site entry for Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates, or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting contract.
1.5.11 Key Personnel: The following personnel are considered key personnel by the
Government: Single POC for Contractor and alternate, and 24/7 CSC Call Center POC.
Resumes shall be provided for these key personnel. Qualifications for key personnel are listed below:
1.5.11.1 Single Point of Contact (SPOC) for Contractor and alternate: The Contractor shall provide a SPOC for the Contractor who shall be responsible for the performance of all work in this PWS. This SPOC, and an alternate, who shall act for the Contractor when the SPOC is absent, shall be designated in writing to the KO. This SPOC, or alternate, shall have full authority to act for the Contractor on all contract matters relating to daily operation of this contract. This SPOC, or alternate, will be available between 08:00 to 16:30, Monday thru Friday except Federal holidays or when the
Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. Additionally, the SPOC shall be available, as needed, in support of COOP (Section 6.4 applies). Minimum qualifications: A bachelor’s degree in project management or related fields and 3 years’ experience in program management with documented commercial or military management experience supervising project planning to completion and personnel management. Familiar with standard Human Resource (HR) programs/issues and use of automated information systems/programs.
1.5.11.2 24/7 CSC Call Center POC: The Contractor shall provide a 24/7 CSC Call
Center POC. Additionally, CSC personnel shall be available, as needed, in support of
MSC’s Continuity of Operations Program (COOP) (Section 6.4 applies). Minimum qualifications: A bachelor’s degree in one of the following – marketing, business, or communications and three (3) years’ experience managing an inbound/outbound call center or industry similar center.
1.5.12 Key Personnel Substitution: The Contractor shall assign the persons identified whose resumes were submitted with its proposal and who are necessary to fulfill the requirements of this contract.
1.5.12.1 Guidance on Substitutions: The Contractor shall, during the first 180 calendar days of the contract performance period, not substitute personnel unless the substitutions are necessitated by sudden illness, death, or termination of employment.
In any of these events, the Contractor shall notify the COR and provide the information required by Paragraph 1.5.12.2 below.
1.5.12.2 Requests for Substitutions: All requests for substitutions must provide a detailed explanation of circumstance necessitating the proposed substitution, a resume of the proposed substitute, and any other information requested by the COR.
Request for substitutions must be provided to the COR within 15 business days of position vacancy. All proposed substitutions must have qualifications equal to or higher than the minimum requirements in Paragraph 1.5.12.1 above. Additionally, the
Contractor shall provide weekly status updates to the COR for substitutions which are anticipated to take longer than 30 business days.
1.5.13 Identification of Contractor Employees: All Contractor personnel attending meetings, answering Government telephones, and working in other situations, where their Contractor status is not obvious to third parties, are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. The Contractor must also ensure that all documents or reports produced by Contractors are suitably marked as Contractor products or that Contractor participation was involved is appropriately disclosed.
Contractor personnel will be required to obtain and wear badges in the performance of this service.
1.5.13.1 The Contractor shall work with MSC business-sensitive information in the performance of this Contract. No MSC sensitive or proprietary information of, or in the possession of, MSC or any of its operating units, will be disclosed to the Contractor without the written consent of the KO. Additionally, Contractor personnel may have access to information that may be subject to the Privacy Act of 1974. The Contractor is required to ensure the proper safeguarding of such information to prevent unauthorized release. The Contractor is required to have a signed Non-Disclosure Agreement (NDA), Attachment 2, on file with MSC throughout the life of the contract.
1.5.13.2 The Contractor shall comply with all applicable public laws, Government regulations, and MSC procedures regarding privacy.
1.5.13.3 The Contractor shall require its employees to complete all MSC directed privacy, ethics and document protection annual and refresher training. Such training may consists of, but is not exhaustive of: Department of the Navy Annual Privacy Act
Training, Ethics, Records Management, Mission Continuity Plan (MCP), DoD
Mandatory Controlled Unclassified Information (CUI) Training, Combating
Trafficking in Persons, Information Assurance (IA). The required training is subject to change throughout the life of this contract, but the Contractor should assume at least a total of eight (8) hours for all required training courses annually per
Contractor/Subcontract employee. The Contractor shall provide documentation to the
COR as evidence that its employees have completed the required training IAW the
PRS, Technical Exhibit 3.
1.5.13.4 Guidance on Vacancies: If, based on the Contractor’s staffing plan, vacancies reach 20% or more, the contract SPOC will meet with the COR to reach an agreed upon plan to hire personnel and attain 100% manning within 30 business days of the meeting.
1.5.14 Contractor Travel: The Contractor shall travel to the places of performance as identified in Paragraph 1.5.4 above. Travel may also be required to locations outside of those identified based on Advertising and Marketing requirements. The Contractor may be required to travel to off-site locations and to ship miscellaneous documents/items to these locations in support of this PWS. Estimated workload data and historical travel data are included in Technical Exhibit 7 and miscellaneous attachments (as shown in
Part 7). Data is only provided for estimating purposes as locations and number may vary. All travel within this contract shall be invoiced as a Firm-Fixed Price (FRP) and included within the price of the packaged service.
1.5.15 Data Rights:
1.5.15.1 The Government has unlimited rights to all data compiled and documents/material produced under this contract. Data shall be available/provided in a format consistent with input into government systems. The contractor will work with
Government POCs to coordinate incorporation of data. All documents and materials, to include the source codes of any software, produced under this contract shall be
Government owned and are the property of the Government with all rights and privileges of ownership/copyright belonging exclusively to the Government. These documents and materials may not be used or sold by the Contractor without written permission from the KO. The Contractor shall ensure that data on government or non-
DoD assets are safeguarded from unauthorized access and use. All materials supplied to the Government shall be the sole property of the Government and may not be used for any other purpose. This right does not abrogate any other Government rights. MSC
Data Exploitation document, Attachment 8 applies.
1.5.15.2 File Retention: The Contractor shall maintain copies of all documents utilized and submitted to N11B2 in the hiring and merit promotion process for the current year plus the two previous years. This information should be available and provided when requested within two business days of notification. The Contractor shall maintain a historical file of personnel who have attended New Employee Orientation (NEO).
1.5.16 Organizational Conflict of Interest (OCI): Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analysis, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent OCI as defined in FAR Subpart 9.5. The Contractor shall notify the KO immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall submit a plan to the KO to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the KO and in the event the KO unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the KO may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.
1.5.17 Phase In/Phase Out: To facilitate efficient contract turnover, a Phase In/Phase
Out plan is required. The Contractors shall have all key personnel onboard, during the
30 calendar day Phase In/Phase Out period. During the Phase In period, the
Awardee/Incoming Contractor shall learn current processes, procedures, and become familiar with performance requirements in order to commence full uninterrupted performance of services on the last day of the Incumbent/Outgoing Contractor’s POP.
The Incumbent/Outgoing and Awardee/Incoming Contractors’ transition POP will run concurrently. The purpose of the transition period is to allow sufficient time for the
Incumbent/Outgoing and Awardee/Incoming Contractors to complete all actions necessary for turnover and required to facilitate continuity of services. CDRL 2 applies
1.5.17.1 Phase In: The Phase In period allows the Awardee/Incoming Contractor to assume accountability and transfer of functions from the Incumbent/Outgoing
Contractor. The Contractor Phase In period is 30 calendar days. The Phase In date starts on the Awardee/Incoming Contractor’s POP start date and ends on the expiration of the Incumbent/Outgoing Contractor’s contract.
1.5.17.2 Phase Out: The Phase Out period allows the Incumbent/Outgoing Contractor time to close out their responsibilities and transfer/turnover contract functions to the
Awardee/Incoming Contractor. The phase out period shall commence 30 calendar days before contract expiration and last through the last day of the contract as specified in the Phase out Option Period Contract Line Item Number (CLIN).
1.5.17.3 Incumbent/Outgoing Contractor: The Incumbent/Outgoing Contractor shall initiate turnover activities so that Awardee/Incoming Contractor can assume full responsibility to manage and perform the tasks of this PWS and provide deliverables, Technical Exhibit 4, as required. The Incumbent/Outgoing Contractor shall negotiate in good faith a plan with the Awardee/Incoming Contractor to determine the nature and extent of Phase In/Phase Out services required. THE INCUMBENT/OUTGOING IS
SOLELY RESPONSIBLE FOR OPERATIONS UNTIL CONTRACT EXPIRATION.
The Incumbent/Outgoing and Awardee/Incoming Contractors’ transition POP will run concurrently. The Awardee/Incoming Contractor assumes responsibility at the end of the Phase In period (at Incumbent/Outgoing Contractor’s contract expiration). The
Incumbent/Outgoing Contractor is also required to produce and submit the final invoice.
1.5.17.4 Phase In/Phase Out Plan/Plan of Action & Milestones (POA&M): A Phase
In/Phase Out Plan is required to be submitted to the KO and the COR by the
Incumbent/Outgoing Contractor at least 45 calendar days prior to the end of the POP or as directed by the KO. The Phase In/Phase Out plan should include all items necessary for Awardee/Incoming Contractor to successfully execute all aspects of this PWS.
Phase In/Phase Out plan will be evaluated in CPARS. Incumbent/Outgoing Contractor will coordinate with Awardee/Incoming Contractor on the plan and a Phase In/Phase
Out plan/POA&M shall be briefed to the Government weekly, in a coordinated meeting between Government and Awardee/Incoming and Incumbent/Outgoing Contractors.
The Phase In/Phase Out plan ends at Incumbent/Outgoing Contractor’s contract termination or expiration. The Incumbent/Outgoing Contractor shall participate in the
Awardee/Incoming Contractor’s post award meeting with the Government to discuss the transition plan. The list below, while not all inclusive, is an example of items necessary to facilitate turnover from the Incumbent/Outgoing Contractor to the
Awardee/Incoming Contractor and should be included in the weekly brief; CDRL 2 applies:
Key turnover events and milestones
Highlight Contractor and Government support requirements, for an efficient Phase In of each functional area of the contract and associated milestones.
Scheduled events/tasks for the reporting period (week) that were completed/not completed
Risks associated with task non-completion, Risk mitigation actions, and
Scheduled recovery actions to regain schedule.
Status of transitions by location.
Post Award conference.
Staffing issues:
When/if transfer of employee access identification from the
Incumbent/Outgoing Contractor to the Awardee/Incoming
Contractor [e.g., Incumbent/Outgoing Contractor personnel
Common Access Cards (CACs), base access]. Attachments 10, 11 and CDRL 3 apply.
Note: The transfer of identification such as CACs, ship’s access to Awardee/Incoming Contractor does NOT determine responsibility of employee to Contractor. This is a tool offered to the Awardee/Incoming Contractor to assist in continuity of support to the Warfighter.
Set up IT accounts [e.g., system of record, Human Resources
Management System (HRMS), Navy/Marine Corps Intranet
(NMCI), etc.]
Status of transfer of all data and metadata (should happen prior to contract expiration of the Incumbent/Outgoing
Contractor’s contract).
Occupancy Turnover Plan: Plan showing turnover of occupancy of the Government- furnished facilities and assist work in partnership with the Military/Civilian employees of each respective base, camp, or station.
100% inventory of all Government Furnished Property (GFP), Attachment 12 and CDRL 4 apply. The Government will take control of this inventory from the Incumbent/Outgoing
Contractor and then provide it to the new Contractor on Day 1
Ready (Start of Work). Phase Out plan should include occupancy plan for turnover of Government-furnished facilities and assist Awardee/Incoming to work in partnership with the
Military/Civilian employees of each respective base, camp, or station.
Status of Facilities’ control (classrooms, office spaces, files, etc.)
Training plan:
Specify a training program and plan for transferring responsibilities for each division of work described in the plan; subject to the
COR’s approval.
Provide sufficient experienced personnel during the Phase In/Phase
Out period to ensure that the services called for by this contract are maintained at the required level of proficiency.
Maintain operations, control, and responsibility IAW its contract requirements until the contract ends.
Make all records relating to operations available for the
Awardee/Incoming Contractor’s review in order to permit sustainment of operations (except proprietary information).
Contractor Owned Equipment: The Incumbent/Outgoing Contractor shall remove its Contractor owned equipment by completion of the contract performance period. The Incumbent/Outgoing Contractor may transfer its owned equipment to the Awardee/Incoming Contractor to ensure successful turnover. The Government will not reimburse the Contractor for the removal of their equipment.
1.5.17.5 Government Requirements:
Host post award meeting (Incoming/Awardee Contractor).
Invite both Incumbent/Outgoing and Incoming/Awardee Contractors to the post award meeting.
Provide Government authorizations to computer systems and software (NMCI, HRMS) when necessary.
Permit access for Awardee/Incoming Contractor to facilities to support turnover.
Conduct joint inventory during the transfer of equipment.
Rate the Phase In/Phase Out periods in CPARS.

Definitions & Acronyms
2. DEFINITIONS AND ACRONYMS:
2.1 DEFINITION:
2.1.1 CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the Government. The term used in this contract refers to the prime.
2.1.2 CONTRACTING OFFICER (KO). A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the Government. Note: The only individual who can legally bind the Government.
2.1.3 CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S.
Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.4 DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.
2.1.5 DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.
2.1.6 KEY PERSONNEL. Contractor personnel who are evaluated in a source selection process and may be required to be used in the performance of a contract by the Key
Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.7 PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.8 QUALITY ASSURANCE (QA). The Government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.
2.1.9 QUALITY ASSURANCE SURVEILLANCE PLAN (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of
Contractor performance.
2.1.10 QUALITY CONTROL (QC). All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.
2.1.11 SUBCONTRACTOR. One that enters into a contract with a prime Contractor. The
Government does not have any control of contract with the subcontractor.
2.1.12 TRUSTED AGENT (TA). A TA is a Government sponsor to Trusted Associate
Sponsor System (TASS) applicants who establishes the service or agency affiliation for registration of a Government credential.

3. GOVERNMENT FURNISHED PROPERTY, EQUIPMENT AND SERVICES:
3.1 Common Access Cards (CACs) : To support access to the Government facilities, computers and systems, authorized personnel shall obtain a CAC. CACs are to be issued only through the auspices of the
Trusted Agent (TA) to U.S. Citizens, U.S. Permanent Resident Aliens or such other individuals as may be authorized by Commander MSC (COMSC). To be eligible for a CAC, Contractor personnel shall comply with Homeland Security Presidential Directive 12 (HSPD-12) requiring the completion of a Federal Bureau of Investigation (FBI) fingerprint check with favorable results and the initiation of a National Agency
Check with Written Inquiries (NACI). An individual who maintains a current equivalent or higher investigation shall not require an additional NACI. As required for access to the Government computers and systems, the National Agency Check with Law and Credit (NACLC) suffices. The Contractor shall ensure all personnel needing access to worldwide Naval bases, ships, and buildings to perform the tasks in this contract shall obtain a CAC. The CAC shall not be used for any unauthorized entrance access or purpose. All CAC requests and CACs shall be returned to the TA when personnel are no longer performing on this contract. Attachments 10, 11 and CDRL 3 apply.
3.2 Facilities: The Government will provide facilities for collocation of Contractor SPOC, or alternate, and Contractor CSC personnel (up to 25 personnel) in MSC facilities. The spaces will have desk space, telephones, NMCI capable computers, and all other items necessary for the Contractor personnel to maintain and/or operate in an office environment.
3.3 Utilities: The Government will provide utilities within the Government facilities. All utilities will be available for the Contractor’s use in performance of the PWS tasks. The Contractor shall instruct employees in utilities conservation practices. The Contractor shall be responsible for operating under conditions that preclude the waste of utilities.
3.4 Equipment: The Government will provide and maintain office equipment to include NMCI capable laptop or desktop computers, phones, scanners, facsimile resources, printers, overhead projectors, VCR/DVD players, power box…
