B-1

B-1 PRICING NOTES

All orders shall share a single common Cost/Fee ceiling to be allocated at the individual order level as either Non-Performance Based Level of Effort Services TOs or Performance Based Completion DOs.

The Contractor shall utilize the same fee rate established at the Basic IDIQ contract award for each Completion based order. The cost and fee shall be allocated against the CLIN 0001 contract ceiling during execution.

Hourly Burdened Composite Labor Rates (excluding fee)

(1) The Hourly Burdened Composite Labor rates (provided within Attachment P1) applicable to CLINS 0002 and 0003 only:

i. Hourly Burdened Composite Labor Rates shall include direct labor rates plus all applicable burdens, to include indirect rates, applicable escalation, subcontractor fee on subcontractor labor, and subcontractor pass-through costs (exclusive of prime fee on subcontractor’s labor).

ii. Hourly Burdened Composite Labor Rates shall not include prime fee on prime labor, prime fee on subcontractor labor, Other Direct Costs (ODCs) such as Travel and Material, and Cost of Money costs (if proposed).

iii. The Hourly Burdened Composite Labor Rate would be the sum of both the prime and all subcontractor labor costs, as described above, for that labor category divided by the total number of labor hours for that labor category.

(2) The Hourly Burdened Composite Labor Rates in Attachment P2 are estimates, and invoicing will be based on actual costs incurred.

B-2 LEVEL OF EFFORT TASK ORDER STREAMLINED ORDERING PROCEDURES FOR CLINS AND/OR

ORDERS

TOs that include CPFF Labor Term CLIN 0002 will be issued under this contract using the following streamlined ordering procedures:

(1) For each proposed order that includes CPFF Labor Term CLINs, the contracting officer will provide the contractor a TO (DD 1155) and an Independent Government Cost Estimate (IGCE). The IGCE is an estimate of labor hours by labor category utilizing Attachment 1 Composite Labor rates to calculate the total estimated cost for the proposed CLINs and/or TO.

i. The TO fixed fee is calculated using HTXT.232-9510 PAYMENT OF FIXED FEE (NAVAIR). The fixed fee will be calculated and invoiced based on a fee per hour basis. The fee per hour is the total fee proposed for the labor CLINs for all periods of the performance of the order divided by the total number of LOE hours for all periods of the performance of the order. The non-performance based fee per hour will be completed at the order level.

ii. Ceiling for ODCs will be priced in accordance with the Government estimate.

iii. TOs crossing multiple years will be estimated by the Government using the Hourly Burdened Composite Labor Rates for each year in proportion to the Period of Performance (PoP) of the TO.

iv. Each proposed order will be bounded by BTXT.211-9503 LEVEL OF EFFORT (COST REIMBURSEMENT)

(NAVAIR) (DEC 2012).

v. Annual Period of Performance not to exceed one (1) year without option periods.

vi. If there is a need for additional LOE to perform the tasking, then a constructive modification to add hours and resultant cost and fee ceiling with appropriate funds will be needed.

(2) Within three (3) working days of receipt of the TO and IGCE, the contractor shall respond:

i. If the contractor agrees that it can perform the TO within the parameters of the IGCE, they will sign and return the DD 1155 to the contracting officer. If the requirement remains valid, a priced order will be issued to the contractor;

Or

ii. If the contractor does not agree with the TO and/or IGCE, the contractor shall acknowledge its disagreement within three (3) working days. Additionally, a proposal shall be submitted to the contracting officer within five (5) working days of receipt of the TO and IGCE, addressing only the specific areas of difference in labor categories and/or hours in the IGCE. Once the differences are resolved between the contracting officer and the contractor, and the requirement remains valid, a priced order will be issued to the contractor.

B-3 COMPLETION BASED ORDERING

DOs will be issued under this contract using the following streamlined ordering procedures:

The following procedure will be followed for all Completion DOs issued under CLIN 0003 pursuant to FAR 16.306(d)(1) Cost-plus-fixed-fee contracts.

For each proposed DO, the contracting officer will send a Request for Proposal (RFP) to the contractor for the specific effort. The RFP will include a letter detailing all the required submission documentation as well as the Performance Work Statement (PWS) for the specific effort. Each Task Order will be negotiated. Negotiations may include but are not limited to the following: labor mix, labor hours, proposed performance approach, proposed materials, proposed travel, period of performance, payment structure and cost. During negotiations, the Government will utilize Attachment 1 Composite Labor Rates and the proposed ODC burdens to determine cost reasonableness.

(For proposal purposes utilized Attachment P2 to populate Table 1).

B-4 ESTIMATED AND NEGOTIATED LABOR RATES

For purposes of estimating hours and establishing an estimated cost and fixed fee for each Cost-Plus Fixed Fee (CPFF) task order; the following composite rates will be used. These composite rates are estimates, and invoicing will be based on actual costs incurred. Ceiling for Other Direct Costs will be priced in accordance with the Government Estimate. Orders crossing multiple years will be estimated by the Government using the composite rates for each year in proportion to the period of performance of the order.

Negotiated Composite Labor Rates are displayed within Attachment 1, which breaks out each composite rate by Government/Contractor Site.
