SUMMARY
(1) This acquisition is a full and open competition which will result in the placement of a Single Award Indefinite
Delivery/Indefinite Quantity (IDIQ) contract. This IDIQ contract vehicle will permit specific task orders to be issued, based on the general tasking outlined in the Non-Performance Based Statement of Work (NPBSOW).
Under this tasking, the Contractor shall provide engineering and technical support for reliability, maintainability, testability, quality assurance, diagnostic and system safety analyses during the design, development, production and in-service cycles of all Naval aircraft and their systems. Performance will take place in the CONUS only.
(2) NAVAIR clause 5252.211-9503 LEVEL OF EFFORT (COST REIMBURSEMENT) (NAVAIR)(DEC 2012) will be included in all LOE Task Orders.
(3) The NAICS for this procurement is 541330, and the small business size standard is $38,500,000 ($38.5M).
(4) The Product/Service Code (PSC) for this procurement is R425.
(5) The resulting Single Award IDIQ contract will have an ordering period of five (5) years.
(6) This contract will have cost-plus-fixed-fee (CPFF) and cost reimbursement (non-fee bearing) line items.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
L - (1) CONTENT OF PROPOSALS
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
This solicitation effort utilizes NAICS code 541330. This Single Award Indefinite Delivery/Indefinite
Quantity (IDIQ) solicitation is being issued on an unrestricted basis.
The offeror is required to submit sufficient information concerning the following areas to enable
Government personnel to fully ascertain capabilities of the offeror to perform the requirements. The proposal must be sufficient in detail and scope to permit evaluation and provide the evaluators a clear understanding of the offeror’s capability to meet or exceed the defined elements as required by the solicitation. All proposals must clearly and convincingly demonstrate that the offeror has a thorough understanding of the requirements and associated risks; is able, willing and competent to devote the resources necessary to meet the requirements; and has valid and practical solutions for all requirements and potential risk areas. The offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The offeror is advised that the
Government may incorporate any portions of the offeror’s proposal deemed beneficial to the Government. With the exception of the Price/Cost volume, no cost or pricing information should appear in any volume.
In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. The
Offeror is responsible to present enough information to allow the Government to evaluate the proposed work effort, support, and approach, as well as the price/cost proposal without opening discussions. Statements that the prospective Offeror understands, or can and/or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may render a rating of unacceptable. For the purpose of this solicitation, “relevancy” as it pertains to past performance is defined in Section M. Aspects of relevance include the type of effort (e.g., development, production, repair), the type of requirements (e.g., weapon systems, information systems, engineering services, scheduled depot maintenance), service similarity, service complexity, contract type, contract dollar value, the division of the company that will perform the work, and degree of participation by principal subcontractors, team members, or critical team members. Recency as it pertains to past performance is defined in Section M for this solicitation.
Performance is considered “recent” if it has been accomplished within 5 years of the RFP release.
The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency.
There is no need to repeat information in more than one volume if an overlap exists; the detailed information must be included in the most logical place and summarized and referenced in other areas. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
The Offeror is expected to comply with all requirements of the RFP. The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may make an offer unacceptable, and the proposal unawardable, unless the RFP expressly authorizes such an exception or deviation with regard to that specific term or condition. The Government may consider any exception or deviation to any term or condition of the RFP that is not expressly authorized by the RFP to be a deficiency.
Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 10% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract. “Team member” is defined as those entities that make up a joint venture or any other partnership or teaming arrangement formed for the purpose of responding to this solicitation. “Critical team member” is defined as those entities of the Offeror that perform a critical function in the performance of the resulting contract, whether it is technical or financial, and/or that have important roles in any high or medium risk areas identified in the Offeror’s proposal. For purposes of this solicitation, a “critical function” is any task that will be performed by key personnel in the performance of the resulting contract.
Questions. Offerors may submit questions requesting clarification of the solicitation requirements by emailing the Contract Specialist at joe.merritt@navy.mil and the Contracting Officer at melinda.stann@navy.mil. It is requested that all questions be received no later than 10 calendar days after the date this solicitation is issued.
Questions after this time may not be accepted. No phone calls will be accepted. All Government responses to questions will be posted on FedBizOps.gov.
2.0 PROPOSAL FORMAT
Written proposals must be formatted using a Times New Roman 12 pt normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph to the same accuracy that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented.
The Offeror shall provide one complete copy of the written proposal to the Procuring Contracting Officer
PCO as electronic files. Files shall be fully compatible with Microsoft Office 2010 or, for information not supported by MS Office products, with the latest Adobe Acrobat reader on a CD-ROM. The Offeror will ensure that the
Price/Cost Volume is provided on a separate CD-ROM. Each CD-ROM is to be labeled for content and the
Offeror’s name. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.
The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its paragraph number/letter is identical to the Proposal Instructions paragraph number to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers mailto:melinda.stann@navy.mil where first, second, third, and fourth parts correspond to the volume, book, section, and element, etc., in Offeror’s proposal.
3.0 PROPOSAL CONTENT AND VOLUMES
Each volume of the proposal shall be submitted as one original and additional copies as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. All volumes of the original proposal shall be delivered to the address provided in Section 4.0 prior to the closing date/time stated in this solicitation. Page limitations for each volume, if any, are also specified in the table below;
title and table of contents pages do not count towards the page limit. Proposal pages beyond the specified maximum limit will not be reviewed as part of the evaluation. 5.0 PROPOSAL PACKAGING
The Offeror shall package the proposal volumes in cartons or equivalent packaging containers in the most efficient manner possible grouping like volumes to the maximum extent possible. Each container shall be single person portable. One container shall include all Original Proposal volumes including the original/signed documents submitted as part of Volume 1 Executive Summary.
Each box should include a packing slip detailing the contents to include the volume number, title, and copy number. Also, each box should be stamped or marked “For Official Use Only” and “Source Selection Information –
See FAR-2.101 and 3.104”.

1.0 VOLUME 1: EXECUTIVE SUMMARY
Note: This volume shall not contain any reference to cost or price aspects of the offer.
1.1 The purpose of the Executive Summary is to provide the evaluators with an overview of the Offeror’s proposal and strategy. The Offeror shall include the following in this volume:
1.1.1 Offeror Summary Table: The Offeror shall complete the table below. The Offeror should include all subcontractors and team members who will be involved with the performance or management of the program work and should list all sites where the work will be performed. If a teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each Contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship. The Offeror shall provide a written explanation if multiple CAGE codes/DUNS for the same physical location are provided in the table below (Offeror Summary Table). The written explanation shall detail the distinct roles and responsibilities for entities with different CAGE codes/DUNs at the same physical location for where the work is being performed or from where the work is being directed. The description shall include all changes in the organization as a result of a corporate acquisition, reorganization, merger, or other administrative reason.

2.0 VOLUME 2: TECHNICAL
Note: This volume shall not contain any reference to cost or price aspects of the offer.
2.1 Workforce.
The offeror shall provide the following information:
2.1.1 Staffing Plan.
2.1.1.1 A staffing plan which addresses any proposed subcontractor or teaming arrangements. The offeror shall also state the availability of personnel proposed for this effort, specifically describing the number of personnel that are readily available, contingent hires, or subcontractors. For personnel who are not current or contingent hires, offerors shall describe their plan for hiring qualified personnel;
2.1.1.2 The plan shall also describe the Offeror’s ability to provide qualified personnel with secret clearances that are available at the issuance of each task order award; taking into consideration the following planned requirements:
The Offeror’s (entire LOE) workforce must be fully qualified and ready to operate upon issuance of each task order;

90% of the (entire LOE) Workforce - Task orders are anticipated to be issued approximately 30 days after contract award and are expected to encompass approximately 90% of the workforce (Key & non-Key personnel) identified in Section L-2, Paragraph 1.2; of which, all personnel will require a secret clearance;
10% of the (entire LOE) Workforce - Potential Surge or Emerging Requirements. The Government anticipates surge requirements for this contract which will require approximately 10% of the workforce
(Key & non-Key personnel) identified in Section L-2, Paragraph 1.2; of which, all personnel will require a secret clearance. Note: A surge requirement is defined as the potential need for additional support personnel that hold a secret clearance and who can support the surge for 3-6 months at a time. The specific length of time is not known, nor is it known exactly when these surges may be required. It is anticipated that the Independent Government Estimates (IGEs) under the issued task orders may include hours for the surge requirements, but the Offeror will not be required to staff these positions immediately (which will make up 10% of the workforce). The Government will provide at least a 60 day notice to the “awardee” in order to fill these temporary 3-6 month surge requirements.
2.1.1.3 The Offeror shall address a plan for the recruitment and hire of personnel for the above surge or emerging requirements that meet the qualifications of each labor category in the NPBSOW of Section C.
2.1.1.4 The Offeror shall provide an organizational chart (that includes the offeror and subcontractors proposed) for the effort to perform the tasking of the NPBSOW, detailing position titles and the number of full time equivalents
(FTEs) proposed for each labor category.
2.1.1.5 The Offeror shall demonstrate its ability to address a plan for obtaining TS Clearance(s) for personnel, as required, after contract award. Note: The Government anticipates that 1-3 Full Time Employees (FTEs) will eventually require a top secret clearance after contract award (The TS Clearance(s) may not be required until a year after award). Due to the uncertainty with the type of emerging requirement that will be needed, the particular labor categories requiring a TS have not been identified at this time; although, the Government will provide the awardee sufficient time to obtain these.
2.1.1.6 The following definitions apply:
- A “contingent hire” is an individual who has committed, under a signed letter of intent, to being employed by the offeror if the offeror is awarded the contract.
- A “prospective hire” is an individual that the offeror has committed to hiring if the offeror is awarded the contract whose identity may not be known until after contract award.
- A "current employee" is an individual who is currently employed by the identified company.
2.1.2 Key Personnel.
Note: See Government’s Response to Questions & Answers under Attachment P8 - Q&A: 4, 7 The offeror shall complete the Attachment P1 Workforce Qualifications spreadsheet for each “Key” employee proposed under this effort. Key personnel are those individuals who will be performing in Key Labor Categories, as designated by the Government in the Non-Performance Based Statement of Work (NPBSOW) in Section C of this solicitation. The information provided in Attachment P1 must demonstrate that the proposed Key personnel meet or exceed the labor category requirements outlined in the NPBSOW in Section C of this solicitation. Based on the
Government’s estimated level of effort (LOE) for the first year ordering period provided in Section L-2
Government-Furnished Information, Paragraph 1.2 Labor Categories/Labor Hour table, it is anticipated that fourteen (14) Key “on-site” personnel will be required each year (See sample Key Personnel breakout below -other non-key categories from Section L-2 are not included).

As illustrated in the above chart, fourteen (14) Key personnel (to include any overtime) are anticipated to start performance at the issuance of the first task order(s) after contract award. Offerors shall propose to these fourteen (14) Key personnel as current employees or contingent hires. If a “Key” employee is proposed as a contingent hire, the offeror shall submit a corresponding Letter of Intent (LOI) in Volume 4. The LOI is a separate written agreement signed by the potential employee(s) to work for the offeror effective at task order award.
Key personnel employed by subcontractors and team members shall have a LOIs provided either separately or included in the prime Contractor’s submission. All Key Personnel shall meet the minimum labor category qualifications in the NPBSOW in Section C of this solicitation.
2.1.2.1 All contingent key personnel hires shall have a letter of intent submitted under Volume 4. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the offeror effective at contract award. Subcontractors and team members either shall provide this information separately to the NAWCAD
Contract Specialist Joe Merritt at joe.merritt@navy.mil, or included in the prime Contractor’s submission of this proposal. All key personnel shall meet the minimum labor category qualifications in the NPBSOW in Section C, Paragraphs 5.0 through 5.5.10. No prospective hires may be proposed as key personnel.
2.1.3 Key Personnel Resumes.
For all proposed current or contingent Key Personnel, provide a resume of the work assignments, training, etc., that demonstrates the experience and specialized qualifications of each key person proposed. Resumes shall contain, at a minimum, the following information:
Employee name
Years of employment experience in chronological order including narrative description of duties and responsibilities
Current position, title and employer
Educational history
Institution name, degree or certification earned, and year for all degrees or certifications earned
Current level of security clearance and status (final, interim, or pending)
Note: “Key” Personnel who exceed the “experience” level requirements in the NPBSOW of Section C, may receive a strength if the additional experience is found to be advantageous to the Government during contract performance.
NOTE: The Government may check educational background to verify degrees or certifications received.
If the qualification (i.e. education, experience) does not readily or easily compare to the minimum qualification stated in the NPBSOW, the offeror shall provide an explanation as to the equality of the proposed qualification to meet the minimum qualification.
2.2 Understanding of the Work
The offeror shall provide a written narrative for each Sample Task describing the offeror’s understanding of the capability necessary to perform the requirements under the NPBSOW in Section C. The offeror’s response is in no way limited to the sample task items listed below.
2.2.1 Sample Tasks
The offeror shall provide written responses to the sample tasks provided below. Unique methods of resolving problems identified in the Sample Tasks are encouraged; however, the offeror shall be mindful of the need for timely accomplishment of task order objectives with minimal risk to program achievement, schedule and cost. In addition to the guidelines outlined below for each task, the written responses shall demonstrate and describe in full detail the offeror's understanding of the requirements and problems inherent in supporting the Government in managing the described efforts.
Sample Task 1
Given an new design system utilizing new technology with a CDD Mean Flight Hour Between Operational Mission
Failure (MFHBOMF) threshold of 40 hours, a MIL-STD-217F Mean Time Between Failure (MTBF) prediction of
400 hours and a flight test program of 100 hours, what steps would be taken to develop a reliability growth strategy including a growth curve for the given metric? What growth planning model would you use and how would you develop the input parameters including the initial reliability?
Sample Task 2
Your task is to prepare a Reliability, Maintainability, and Integrated Diagnostic Program Plan for a new developmental system whose CDD Mean Flight Hour Between Operational Mission Failure (MFHBOMF) definition includes hardware and software. What tools and processes would you recommend/implement in order to allocate a separate hardware and software MFHBOMF requirement in the developer specification? What elements/tasking would be included in the program plan?
Sample Task 3
Your task is to advise a Principle For Safety in the establishment of a new System Safety Program for which the government is the Lead System Integrator consisting of two or more sub-system development activities with both hardware and software functionality. What product, plans, and activities would you propose to establish an executable safety program throughout the life cycle? This task also includes determining the risk associated with an in-service hardware component once the system is fielded that begins experiencing an increased failure rate. What data would you need and what analysis would you perform to characterize the risk exposure for system containing this component?
Sample Task 4
You are supporting the Principle For Safety on a software intensive system. How would you determine the criticality of the system level software functions? How would you ensure the software associated with these safety significant functions received the correct level of hazard analysis and software assurance by the developer to comply with MIL-
STD-882E and the Joint Software System Safety Engineering Handbook?
For each of the Sample Tasks above, the offeror’s proposal shall address the questions put forth in the task as well as each of the following:
2.2.1.1 Demonstrate and describe in full detail the offeror’s understanding of the requirements and problems inherent in supporting the Government in managing the described effort.
2.2.1.2 Description of possible areas to be investigated in researching each task.
2.2.1.3 Detailed work plan for implementation.
2.3 Management Plan
Offerors shall address in sufficient detail the following:
2.3.1 Overall Management Approach.
2.3.1.1 proposed management roles of the offeror’s proposed workforce for this requirement;
2.3.1.2 proposed lines of responsibility, authority, and communication through which the tasks will be managed;
2.3.1.3 processes for managing the requirement from start to finish, including the role of manager in product/process quality and how these functions are accommodated in the acquisition and overhead structures.
2.3.1.4 Identification of potential performance risks and proposed risk mitigation strategies.
2.3.2 Usage of Teaming, Personnel, and Subcontractors. Offerors shall present in sufficient detail the following:
2.3.2.1 How and why selected subcontractor(s) were chosen, which knowledge and skills they will be acquiring through each subcontract, the level of subcontract effort expected; and
2.3.2.2 How the offeror will maintain control during the performance of work.
2.3.3 Qualification/Recruitment/Retention.
Offerors shall present in sufficient detail the following:
2.3.3.1 Qualification/recruitment/retention procedures that would provide workforce improvements and upgrade the skills of highly trained and motivated personnel;

2.3.4 Transition Plan: The services under this solicitation are vital to the Government and must be continued without interruption. The Government anticipates a thirty (30) day transition period. The offeror is required to submit a written narrative delineating a transition plan that ensures a smooth workplace changeover from an incumbent with no loss of service and minimal loss of corporate knowledge. The plan should take into consideration the following elements as well as any additional elements deemed necessary by the offeror:
2.3.4.1 Work Turnover. The offeror shall provide a plan of action to transfer effectively tasked work that is in process at the expiration of the current contract from the incumbent to the successful offeror.
2.3.4.2 Training. The offeror shall provide a plan of action to implement personnel training needed during the transition period to ensure continuity between the services provided by the incumbent and the successful offeror.
2.3.4.3 Risk Mitigation Strategies. The offeror shall provide a plan of action to mitigate contract performance risks encountered during the transition period.
2.3.4.4 Security Requirements. Security requirements include a facility clearance and base access. The offeror shall provide a plan to implement the physical access requirements of the contract during the transition period so that service is not interrupted. See Section C, paragraph 10.0 of the NPBSOW.
2.3.4.5 Data Transfer. The offeror shall provide a plan of action for the efficient inventory and transfer of program data from the incumbent to the successful offeror.
The Government will evaluate the Offeror’s proposed management plan based on the information above.
3.0 VOLUME 3: PAST PERFORMANCE
3.1 Past Performance Summaries. The offeror shall submit up to five (5) summaries of past performance similar in size, scope, and/or complexity, which are ongoing or were completed within, the last five (5) years for itself and its principal subcontractors and critical team members, if any. Commercial contracts may be included. When possible, at least three (3) of the five (5) summaries should reflect efforts that were performed by the offeror as the Prime Contractor. These summaries shall provide the following:
- Contract Number/Delivery Order Number
- Contract Type
- Procuring Agency
- Program Name
- Total Contract Cost
- Brief description of work performed
- Period of Performance
- Valid name, phone number, and email address of Contracting Officer and Contracting Officer’s
Representative
- Small Business Subcontracting Goals and actual accomplishment information (applicable only if offeror is a large business)
- For each contract, provide the date, point of contact (including name, phone number, and e-mail address) that confirmed receipt of the Past Performance Questionnaire Package for Services, and the method of transmittal. Merely a statement by the offeror that the Past Performance Questionnaire Package for Services was delivered to the customer on a specific date is not sufficient. If the contract is in the Contractor
Performance Assessment Reporting System (CPARS), and the assessment report is not more than 12 months old, annotate that the contract is in CPARS and the date of the most recent Contractor Performance
Assessment Report.
3.2 CPARS/Past Performance Questionnaire Package. For contracts that have Contractor Performance
Assessment Reports (CPARs) that are more than 12 months old, the offeror will complete items numbered 1 through
8 on page 1 of the Past Performance Questionnaire Package for Services (Attachment P4) and forward it to the contract customer’s Program Manager to address only the items numbered 9 to 15 on page 1. For all contracts identified which do not have CPARs, the offeror will complete items numbered 1 through 8 on page 1 of the Past
Performance Questionnaire Package for Services (Attachment P4) and forward the 2 pages to that contract customer’s Technical Point of Contact (TPOC) or Contracting Officer’s Representative (COR). All Attachment
P4 questionnaires shall be forwarded with enough lead-time so that responses can be received by the Government concurrent with the closing date of the solicitation. The offeror shall send past performance package submittal instructions to the customers. This submittal information is provided at the top of the questionnaires to facilitate the offeror’s effort in meeting these instructions. The offeror is not required to conduct follow-up actions with regard to this questionnaire. The Government will make its best effort to ensure that the customers have received and will respond to the questionnaires. The Government may send any other questionnaires as necessary. FOR
CONTRACTS THAT ARE CURRENTLY IN THE CONTRACTOR PERFORMANCE ASSESSMENT
REPORTING SYSTEM (CPARS), AND FOR WHICH ANNUAL REPORTING HAS BEEN PERFORMED, DO
NOT SEND THE PAST PERFORMANCE QUESTIONNAIRE FOR SERVICES TO THE CUSTOMER. FOR
CONTRACTS THAT HAVE BEEN COMPLETED AND FOR WHICH THE FINAL CPAR HAS BEEN
FINALIZED IN CPARS, DO NOT SEND THE PAST PERFORMANCE QUESTIONAIRE FOR SERVICES TO
THE CUSTOMER.
3.3 Past Performance Procedures. Offerors are advised that the Government may independently obtain and evaluate past performance data and/or verify small business subcontracting goals and actual accomplishment data, by way of the Past Performance Information Retrieval System (PPIRS); Past Performance Questionnaires (PPQs);
Federal Awardee Performance and Integrity Information System (FAPIIS); Electronic Subcontract Reporting
System (eSRS); other databases; interviews with Program Managers, Contracting Officers, Fee Determining
Officials, the Defense Contract Management Agency (DCMA), or other individuals; as well as, or in addition to, all recent and relevant past performance data provided by the Offeror. The Government reserves the right to contact, or elect not to contact, any or all of the sources provided by the offeror. Therefore, it is incumbent upon the Offeror to explain the relevance of any past performance data provided. Furthermore, the Government does not assume the duty to search for data to explain or remedy any inconsistencies it finds in the information provided by the offeror.
The burden of providing thorough and complete past performance information remains with the offeror.
3.4 Affirmative Statement. If the offeror does not have any past performance, it shall provide an affirmative statement stating it has no past performance. This statement shall be provided in the submittal under the Volume 3
Past Performance.
3.5 Written Consent from Subcontractors. Offerors shall provide written consent from their principal subcontractors and critical team members in Volume 1 that will allow the Government to coordinate their past performance issue(s) with the prime offeror. If offerors do not submit such written consent, then the Government will address any past performance issues directly with the subcontractor and the offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any subcontractors that do not provide such written consent, provide a point of contact (name, address, phone number, and email address) with whom the Government may coordinate these issues and obtain any responses as needed.
4.0 VOLUME 4: COST/PRICE.
4.1 Volume Content:
(a) This Volume shall contain the information requested below and shall include a copy of Section B with the
Contract Line Item (CLIN) for evaluation purposes, the Total Prices filled in (Supplies and/or Services and Prices and/or Costs) using the estimated quantities value in the solicitation and the instructions below. The breakdown of cost/prices shall be provided separately in one digital data copy in MS Office 2010 Excel format on CD-ROM media. Offerors shall submit their cost/price proposal utilizing the CLIN Breakout Spreadsheet (Attachment P6).
The offeror shall submit a fully completed Attachment P6 which is formatted on letter size (8.5 X 11) paper. The proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations.
(b) All cost/price and cost/price supporting information shall be contained in section B of the cost/price proposal. No price or pricing information shall be included in any other technical volume, including cover letters.
Offerors are responsible for submitting sufficient information to enable the Government to evaluate fully their cost/price proposal.
4.2 Ground Rules and Assumptions:
(a) As this is a competitive acquisition with adequate price competition anticipated, any cost/price documentation requested shall not be certified cost or pricing data in accordance with FAR 15.406-2. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors and may conduct negotiations with the Offeror, pursuant to FAR Part 15.403-4, in order to ensure a reasonable and realistic cost/price.
Further, in accordance with DFARS 215.371-3(b)(2), if a single offer is received, at the Contracting Officer’s discretion, certified cost or pricing data may be required to be submitted subsequent to proposal receipt. The
Offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.
(b) The cost of general purpose items required to conduct normal business operations will not be considered allowable Other Direct Charges. The following types of general purpose costs required to conduct normal business operations are not directly reimbursable: the cost and associated costs for telephones and telephone charges (except for project-related telephone charges for performance of this contract which, per Contractor's DCAA-approved accounting system, may be directly reimbursed under communication expenses), modems, typewriters, reproduction machines, word processing equipment, personal computers, computer software, Internet access charges, facsimile machines, commercial carrier charges, pagers, and other general purpose office equipment and office supplies.
(c) The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates. Any apparent imbalances in the pricing, high or low proposed prices/costs as compared to historical data, or any other anomalies should be fully explained. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, location, make/buy decisions, prime/subcontractor relationships, and business base concerns), etc.
4.3 Cost/price Information:
4.3.1 Regardless of the type of CLINs (e.g., CPFF, CPIF, CPAF or FFP) under the solicitation, the offeror shall fully disclose the build-up of cost/price of each CLIN.
4.3.2 Prime Contractor. When completing the Attachment P6, the offeror (e.g., prime vendor) shall not utilize any fully burdened hourly rates when pricing the labor of its employees. Offerors shall submit their cost/price proposal utilizing the CLIN Breakout Spreadsheet, Attachment P6. Offerors shall review the instructions tab included in the P6 for detailed instructions and submit a fully completed CLIN Breakout Spreadsheet.
4.3.3 Subcontractors. If subcontractors are proposed, subcontractors and team members shall provide all of the same information and spreadsheets required of the prime Contractor in sealed envelopes to the prime.
Subcontractors shall submit their cost delineating the build-up of rates to the Government (e.g. direct and indirect rates, hours, fee, etc.) on the Attachment P7, CLIN Breakout Spreadsheet (Subcontractors). Subcontractors may submit the Attachment P7 spreadsheet directly to the Government if data is determined to be proprietary to the company. Subcontractors shall indicate who their prime Contractor is within the Attachment P7 or within the submittal of the P7.
4.3.4 Fully Burdened Labor Rates. (for CPFF CLINs Only) Complete the tab within the spreadsheet in
Attachment 8 (Fully Burdened Labor Rates), showing the proposed fully burdened labor rate for labor categories identified in Section M, paragraph 3.4, under NAVAIR tripwires. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass through costs where applicable. Offerors are strongly encouraged not to exceed the labor rate tripwires; however, if they do, the offeror shall identify the rate(s) in excess and provide rationale that justifies the higher rate(s) as reasonable.
4.3.5 Cost/Price Submittal. In preparing the cost/price proposal, the offeror shall ensure the submittal is easy to understand and includes the following:
4.3.5.1 Reasonableness and Consistency between the Technical and Cost/Price Volumes
4.3.5.2 The offeror shall demonstrate that the unit prices and the total proposed price/cost are reasonable, realistic, and commensurate with the work required by the solicitation and the technical and management approaches identified in the Technical Volume of the proposal.
4.3.5.3 Show traceability with the CLINS, the NPBSOW, proposed effort, proposed manning levels, and the costs/prices.
4.3.5.4 Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the
Cost/Price Volume and the Technical Volume.
4.3.5.5 The Offeror shall explain any inconsistency between promised performance and cost/price, as well as any appearance of unbalanced pricing, in the proposal.
4.3.6 Cost/Price Narrative. Offerors shall provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:
4.3.6.1 Direct labor rates by category. The offeror and proposed subcontractors are required to submit labor rates for proposed individuals. The offeror and proposed subcontractors shall provide certified payroll verification for currently employed proposed personnel and contingent offer letters outlining salary information for contingent hires.
