SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

L-1 CONTENT OF PROPOSALS (SUPPLIES OR SERVICES)

PART A: GENERAL INSTRUCTIONS

1.0 GENERAL

This contract will be awarded based upon full and open competition.

The Offeror is required to submit sufficient information concerning the following areas to enable Government personnel to fully ascertain capabilities of the Offeror to perform the requirements. The proposal must be sufficient in detail and scope to permit evaluation and provide the evaluators a clear understanding of the Offeror’s capability to meet or exceed the defined elements as required by the solicitation. All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of the requirements, associated risks and is able, willing, and competent to devote the resources necessary to meet the requirements, and that the Offeror has valid and practical solutions for all requirements and potential risk areas. Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror has the burden of proof to demonstrate compliance with all the evaluation factors and or subfactors identified in this solicitation. The Offeror is advised that the Government may incorporate into the final contract enhancing features included in the Offeror’s proposal deemed beneficial to the Government. With the exception of the Price/Cost volume, no cost or pricing information should appear in any volume. Alternate proposals are not acceptable.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. The Offeror is responsible to present enough information to allow the Government to evaluate the proposed work effort, support, and approach, as well as the price/cost proposal without opening discussions. Statements that the prospective Offeror understands, or can and/or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may render a rating of unacceptable. For the purpose of this solicitation, relevance is defined as something that has a logical connection with the matter under consideration. Such aspects of relevance include the type of effort (e.g., development, production, repair), the type of requirements (e.g., weapon systems, information systems, engineering services, scheduled depot maintenance), service similarity, service complexity, contract type, contract dollar value, the division of the company that will perform the work, and degree of participation by principal subcontractors, team members, and/or critical team members. Recency is defined as performance within three (3) years of the date of this proposal submission.

The Offeror shall include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency. There is no need to repeat information in more than one volume if an overlap exists; the detailed information must be included in the most logical place and summarized and referenced in other areas. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Offeror is required to comply with all requirements of the Request for Proposal (RFP). The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may make an offer unacceptable, and the proposal unawardable.

Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 10% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract. “Team member” is defined as those entities that make up a joint venture or any other partnership or teaming arrangement formed for the purpose of responding to this solicitation. “Critical team member” is defined as those entities of the Offeror that perform a critical function in the performance of the resulting contract, whether it is technical or financial, and/or that have important roles in any high or medium risk areas identified in the Offeror’s proposal.

QUESTIONS: Offerors may submit questions requesting clarification of solicitation requirements by emailing the contract specialist at jennifer.lundburg@navy.mil. All questions shall be received within ten (10) calendar days of the date this solicitation was issued.

2.0 PROPOSAL FORMAT

Written proposals must be formatted using a Times New Roman 12-pt normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Tables and graphs shall be presented in no smaller than a 10-pt font and should contain a grid, which allows values to be read directly from the table or graph to the same accuracy that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented.

The Offeror shall provide one complete copy of the written proposal to the Procuring Contracting Officer (PCO) as electronic files fully compatible with Microsoft Office 2010 and for information not supported by MS Office products; with the latest Adobe Acrobat reader on a CD-ROM. The Offeror shall submit each volume (i.e. Executive Summary, Technical, etc.) on a separate CD-ROM. Each CD-ROM is to be labeled for content and the Offeror’s name. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.

The Offeror shall present its proposal information in a manner that facilitates a one to one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its paragraph number/letter is identical to the Proposal Instructions paragraph number to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, book, section, and element, etc., in the Offeror’s proposal.

3.0 PROPOSAL CONTENT AND VOLUMES

Each proposal shall contain the following volumes and sections as specified in the table below.

3.0 VOLUME 3 - PRICE PROPOSAL (1 original/1 copy)

As this is a competitive acquisition with adequate competition anticipated, the cost/price documentation requested is not considered cost or pricing data and shall not be certified in accordance with FAR 15.406-2. Should adequate competition not exist after receipt of proposals, the PCO reserves the right to obtain cost or pricing data from the potential Offeror and may conduct negotiations with the Offeror, pursuant to FAR 15.403-4, in order to ensure a fair and reasonable price. By submitting a proposal, the Offeror grants the PCO, or an authorized representative, the right to examine records that form the basis of the pricing proposal should adequate price competition not exist. This examination and review can take place at any time before the award.

The burden of proof for the proposed cost/price rests with the Offeror. The Offeror shall provide an explanation of all ground rules and assumptions that affect the proposed cost/price. Any apparent imbalances in the cost/price, high or low proposed cost/price as compared to historical data, or any other anomalies should be fully explained. Topics to be addressed include, but are not limited to, investments, programmatic variables (e.g., inflation/escalation, location, make/buy decisions, prime/subcontractor relationships, and business base concerns).

Numerical data presented in MS Office format must not be pictorial (i.e. pasted as a picture out of a MS Excel file) and must show formulas when presented in MS Excel as applicable. The proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations. All data entries in the spreadsheet shall reference information within the workbooks present in the spreadsheet; under no circumstances may any data presented in the spreadsheet be linked to other files. Offerors shall carefully follow the instructions provided within the Cost Summary Spreadsheet.

Cost/Price Proposal Instructions:

3.1 Offeror’s total proposed price will be determined by the rates/costs inserted in Attachment P6, CLIN Breakout Spreadsheet. Offerors shall not complete Section B of the solicitation as allocation of proposed costs (and fee if applicable) across funding-based CLINs (e.g. RDTE CPFF Labor, NWCF CPFF Labor, etc) will be determined at contract award by the Government. The Government will populate Section B of the awarded contract based on the proposed costs in Attachment P6 and on the projected funding profile at that time and the accumulated totals in Section B for all Labor, Travel and Material CLINs will be consistent with the overall proposed amounts in the Offeror’s Attachment P6, CLIN Breakout Spreadsheet. Likewise, the Government reserves the right to reallocate CLIN ceilings during execution based on actual funding received without impact to the total value of the contract. Should offerors populate Section B or have pricing information in their Volume 3 Price/Cost Proposal resulting in a discrepancy with Attachment P6, the Attachment P6 will prevail. Furthermore, such discrepancies may impact the realism and reasonableness assessment of the offeror or its eligibility for award.

3.2 All cost and/or pricing information shall be contained in Volume 3 only. Offerors shall submit their cost/price proposal utilizing the CLIN Breakout Spreadsheet (Attachment P6). The Offeror shall submit a fully completed CLIN Breakout Spreadsheet (Attachment P6). Offerors shall review the instructions tab with the P6 for detailed instructions for completing the P6.

3.3 Offerors shall fully disclose the buildup (e.g. direct and indirect rates, fee, etc.) of their proposed cost/price of Labor, Travel and Material.

3.4 When completing Attachment P6, the Offeror (e.g., prime vendor) shall not utilize any fully burdened hourly rates when pricing the labor of its employees.

3.5 If subcontractors are proposed, subcontractors shall provide all of the same information and spreadsheets required of the prime contractor. Subcontractors shall submit their cost breakdown data (e.g.direct and indirect rates, hours, fee, etc.) on Attachment P7 CLIN Breakout Spreadsheet (Subcontractors). Subcontractors may submit the P7 spreadsheet directly to the Government if data is determined to be proprietary to the company. Subcontractors shall indicate who their prime contractor is within the P7 or within the submittal of the P7.

3.6 Fully Burdened Labor Rates: for CPFF CLINs Only, complete the tab within the spreadsheet in Attachment P-6 (Fully Burdened Labor Rates), showing the proposed fully burdened labor rate for labor categories identified in Section M under NAVAIR tripwires. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass through costs where applicable. Offerors are strongly encouraged not to exceed the labor rate tripwires, however if they do, the offeror shall identify the rate(s) in excess and provide rationale that justifies the higher rate(s) as reasonable.

3.7 Labor Hour Verification Matrix: Offerors shall complete the spreadsheet in Attachment P-8 showing the labor categories and number of hours per category being proposed by the prime offeror and all proposed subcontractors by year. Labor categories and hours being proposed for subcontractors should be broken out by subcontractor. The proposed categories and hours for each Offeror team in the required spreadsheet will be compared to the Government provided labor categories and associated labor hours in Section L of the solicitation to ensure that all categories and hours are included in the Offeror’s proposal.

3.8 In preparing the cost/price proposal, the Offeror shall ensure the submittal is easy to understand and includes the following:

If necessary, provide a narrative to describe derivation of labor rates from the employee’s current certified payroll rate. For contingent hires, the Offeror shall provide a signed contingent letter that contains a direct labor rate or salary mutually agreed to by the contingent employee and the company. For prospective hires, the Offeror shall provide a breakdown of how the rate was developed.

(c) Escalation on labor by year and how the escalation rate was derived (e.g. industry index).

Small Business subcontracting plans which reflect a SDB goal of less than five (5) percent shall also provide, as a part of the subcontracting plan submission, those extenuating circumstances that do not allow the Offeror to propose this percentage goal.

Note:

(1) The subcontracting plan of the successful Offeror(s) will be reviewed and approved by the Procuring Contracting Officer (PCO) prior to contract award.
