PART I THE SCHEDULE

SECTION A - SOLICITATION/CONTRACT FORM

A01 - TYPE OF CONTRACT -- REQUIREMENTS CONTRACT

1. It is anticipated that this solicitation will ultimately result in award of a five-year REQUIREMENTS (Five-year base no option years) contract.

2. Prices will be for the establishment and operation of a Performance Based Logistics (PBL) program applicable to and in support of the MH-60R and MH-60S Navy H-60 Type/Model/Series (T/M/S). The contract will also provide support for US Coast Guard and Navy Foreign Military Sales (FMS) customers: Australia, Greece, Israel, Brazil, Spain, Taiwan, Thailand, Denmark, Saudi Arabia, Turkey, India, Korea, Norway, Sweden, New Zealand, and Singapore. The PBL program provides for supply support for various Navy managed Weapons Replaceable Assemblies (WRAs); Shop Replaceable Assemblies (SRAs); and SubSRAs (SSRAs) specified in Attachment A - Equipment Listing. All orders placed for PBL Supply Support during this time period shall be issued as fixed priced orders, based upon the latest projected flying hours on Attachment D – Flight Hour Price. Therefore, offerors should insert a fixed price per flying hour for each Type/Model/Series for each year of the contract on Attachment D – Flight Hour Price.

3. Unless otherwise specified, all parts necessary to effect repairs shall be furnished by the contractor and shall be considered to have been included in the contract price.

REQUIREMENTS FAR 52.216-21 (OCT 1995)

(a) This is a Requirements contract for the supplies and services specified, and effective for the period stated in the schedule. The quantities of supplies or services specified in the schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities cited in the schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering Clause. Subject to any limitations in the Delivery Order Limitations Clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the schedule and called for by the Ordering Clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the schedule that are required to be purchased by the Government activity or activities as specified in the schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

https://www.acq.osd.mil/dpap/dars/class_deviations.html

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and the Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period.

ORDERING

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the contract schedule.

Such orders may be issued by the PCO from date of contract award through five years from date of award.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c)(1) If issued electronically, the order is considered “issued” when a copy has been posted to the Electronic Document Access system, and notice has been sent to the Contractor.

(c)(2) If mailed or transmitted by facsimile, a delivery order or task order is considered “issued” when the Government deposits the order in the mail or transmits by facsimile. Mailing includes transmittal by U.S. mail or private delivery services.

(c)(3) Orders may be issued orally only if authorized in the schedule.

ORDERING LIMITATIONS FAR 52.216-19 (OCT 1995)

(a) MINIMUM ORDER: When the Government requires supplies or services covered by this contract in an amount that is less than 1 Month as specified in Section B, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) MAXIMUM ORDER: The contractor is not obligated to honor:

(1) Any order PBL performance order in excess of 12 months.

(c) If this is a Requirements Contract (i.e., includes FAR 52.216-21 Requirements), the Government is not required to order a part of any one requirement from the contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order(s) is returned to the ordering office with 15 days after issuance, with the written notice stating the contractor’s intent not to ship the item(s) called for and the reason(s). Upon receiving this notice, the Government may acquire the supplies or services from another source.

(d) Form and Content of Orders: Orders issued under this Contract shall be prepared on DD Form 1155; however, if exigency so demands, order may be issued via electronic transmission (e.g. FAX) and will be confirmed by DD Form 1155 as soon as practicable and will bear the notation "CONFIRMING ORDER". In addition, each DD Form 1155 order shall include the following:

(i) The order number, date, and appropriate reference to this contract;

(ii) Description of work to be performed and identification of specific articles to be serviced including part number and stock number, serial number if available, and quantities thereof;

(iii) Where appropriate, special instructions regarding shipping, place of inspection and delivery, and DoD priority designation;

(iv) Applicable appropriation and accounting data and special invoicing instructions, if applicable;

(v) Applicable DO Rating certified under DMS Regulation No. 1.

(e) Procedures and Processing of Priced Orders: Where definitized prices have been agreed to, the Contracting Officer may unilaterally issue a priced order in accordance with the terms of this contract.

(f) Procedures and Processing of Ceiling Priced Orders

(1) Upon determination that a ceiling priced/undefinitized order will be issued, the contracting officer will request the contractor to provide a proposed ceiling price, if not already proposed by the Contractor. The contractor will provide the proposed ceiling price for the items to be repaired under the order within 7 days of the Contracting Officer’s request. The Contractor agrees to submit such information substantiating the proposed ceiling price as the PCO may reasonably require.

(2) When the ceiling price has been agreed upon, the Contracting Officer may unilaterally issue a ceiling priced/undefinitized order. If the Contractor has not already done so, within 30 days of the issuance of the order, or within such additional time as may be authorized by the Contracting Officer, the Contractor shall submit a firm, fixed price proposal, a firm delivery schedule (if necessary), and substantiating pricing information, including cost or pricing data, where required.

(3) No more than 50 percent of the not-to-exceed ceiling price will be obligated on any order prior to definitization. However, if the Contractor submits a qualifying proposal before more than 50 percent of the not-to-exceed ceiling price has been obligated by the Government, the limitation on obligation may be no more than 75 percent of the not-to-exceed ceiling price, at the Government’s discretion. A qualifying proposal is defined in DFARS 217. 7401.

(4) For any order, the Government’s liability is only to the extent provided for in FAR

52.216-24, Limitation of Government Liability.

B03 - DFARS 252.217-7027 CONTRACT DEFINITIZATION (MAY 2023)

(a) A firm fixed price contract is contemplated. The Contractor agrees to begin promptly negotiating with the Contracting Officer the terms of a definitive contract that will include (1) all clauses required by the Federal Acquisition Regulation (FAR) on the date of execution of the undefinitized contract action, (2) all clauses required by law on the date of execution of the definitive contract action, and (3) any other mutually agreeable clauses, terms, and conditions.

(b) The Contractor agrees to submit a firm fixed price proposal and cost or pricing data supporting its proposal. Notwithstanding FAR 52.216-26, Payments of Allowable Costs Before Definitization, failure to meet the qualifying proposal date in the contract definitization schedule could result in the Contracting Officer withholding an amount up to 5 percent of all subsequent requests for financing until the Contracting Officer determines that a proposal is qualifying.

(c) The schedule for definitizing this contract action is as set forth below and in the individual orders.

DEFINITIZATION SCHEDULE

Event Start Estimated Completion Date Days to Complete

Negotiations Certifications Definitization

*Mutually agreed certification cut-off date

(d) If agreement on a definitive contract action to supersede this undefinitized contract action is not reached by the target date in paragraph (c) of this clause, or within any extension of it granted by the Contracting Officer, the Contracting Officer may, with the approval of the head of the contracting activity, determine a reasonable price or fee in accordance with FAR Subpart

15.4 and Part 31, subject to Contractor appeal as provided in the Disputes clause. In any event, the Contractor shall proceed with completion of the contract, subject only to the Limitation of Government Liability clause.

(1) After the Contracting Officer's determination of price or fee, the contract shall be governed by-

(i) All clauses required by the FAR on the date of execution of this undefinitized contract action for either fixed-price or cost-reimbursement contracts, as determined by the Contracting Officer under this paragraph (d);

(ii) All clauses required by law as of the date of the Contracting Officer's determination; and

(iii) Any other clauses, terms, and conditions mutually agreed upon.

(2) To the extent consistent with paragraph (d)(1) of this clause, all clauses, terms, and conditions included in this undefinitized contract action shall continue in effect, except those that by their nature apply only to an undefinitized contract action.

(e) The definitive contract resulting from this undefinitized contract action will include a negotiated firm fixed price in no event to exceed the not-to-exceed amount stated in the order.

SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK

This Statement of Work (SOW) encompasses the Contractor’s responsibilities for the establishment and operation of a Performance Based Logistics (PBL) Program in support of the H-60 Seahawk weapon systems.

INTRODUCTION AND SCOPE

The Statement of Work (SOW) applies to all items listed on Attachment A - Equipment Listing, for the MH-60R and MH-60S T/M/S Helicopters. The program also includes support of the United States Coast Guard (USCG) and Navy Foreign Military (FMS) customers of Australia, Greece, Israel, Brazil, Spain, Taiwan, Thailand, Denmark, Saudi Arabia, Turkey, India, Korea, Norway, Sweden, New Zealand, and Singapore. The Contractor is authorized to comingle assets to fill either USN, FMS, or USCG requisitions. The Contractor’s performance should stress speed and responsiveness rather than infrastructure and inventory in order to provide a more flexible, timely and cost effective support of the aircraft, while maintaining quality product and process standards. Contractor responsibilities include: repair, replacement, overhaul and/or modification of Navy H-60 spares and repair parts, packaging, handling, storage, configuration management, obsolescence management, and reliability improvements throughout the contract’s period of performance. The Contractor’s responsibility is to establish logistics performance requirements that will mitigate obsolescence, improve reliability and ultimately reduce Total Ownership Cost (TOC) of the H-60 helicopter.

The Contractor will be responsible for the performance of all of its subcontractors whether they are aircraft manufacturer(s), major mission avionics system equipment supplier(s), or any other subcontractor(s).

The PBL Program for new PBL candidates (as identified on Attachment A - Equipment Listing) shall be performed in two distinct phases; Phase I - Transition, and Phase II -Full PBL Performance. The PBL Program for current PBL candidates (as identified on Attachment A - Equipment Listing) shall be performed in a single phase: Phase II, Full PBL Performance only.

This SOW also contains procedures and corresponding timeframes necessary to ensure continuation of support at the conclusion of the contract.

Data Disclaimer

For items covered by this contract, any historical data or other information (except the projected flight hours on Attachment D, inventory quantities on Attachment F, and demand rates on Attachment C), provided to or available to the contractor, is for informational purposes only. Such historical data and/or contractor reliance on that data in preparing its proposal shall not be the basis for any equitable adjustment under this contract.

C01-STATEMENT OF WORK FOR PHASE I, TRANSITION

C01 - 1.0 INTRODUCTION

1.1 Items on Attachment A – Equipment Listing are identified as either “Renewal” (currently on PBL) or “New”. Phase I, or “the transition period,” for “New” items shall begin on the effective start date of the contract. The end of Phase I for those items is 30 September 2027. Items identified on Attachment A as “Renewal” will have no transition period and shall instead fall under the requirements identified in section C02 on the effective start date of the contract.

1.1.1 During Phase I, the Contractor shall put in place the infrastructure, material, and systems necessary to enable the Contractor to meet the Government’s performance requirements for Phase II.

C01 - 2.0 PHASE I ACTIVITIES

2.1 In preparation for Phase II, Performance Based Support:

2.1.1 On hand Ready for Issue (RFI) and Non-RFI wholesale inventory assets for the items on Attachment A - Equipment Listing will be transferred to the Contractor’s custody within eight

(8) months of contract start date. The Government will retain ownership of these assets. The Government will retain sufficient RFI inventory assets to meet demand requirements during the custody transfer period. Thereafter, the Contractor will be responsible for filling all requisitions, including backordered requisitions transferred to the Contractor by the Government. Uniform Material Movement and Issue Priority System (UMMIPS) requirements apply to all requisitions in accordance with section C02-16.2. Any backordered requisition transferred to the Contractor by the Government shall have its age reset to 0 (zero) days (for the purposes of Supply Response Time (SRT) calculation, as defined in C02-19.0) as of the day it is received by the Contractor.

Delivery requirements established in section F03 Time of Delivery shall then apply.

2.1.2 Spares quantities on order by the Government will be re-consigned to the contractor’s storage facility. These assets shall be receipted via CAV RP as “receipts from procurement.”

2.1.3. The Master Repairable Item List (MRIL) will be changed to reflect the appropriate contractor’s repair/storage facility for retrograde shipments.

2.2 The Contractor shall:

2.2.1 Confirm receipt of each asset transferred per section C01-2.1.1 in accordance with procedures established in Attachment E - Commercial Asset Visibility (CAV) Statement of Work.

2.2.2 For items listed on Attachment A – Equipment Listing as “New”, annotate Attachment F - Wholesale Inventory Quantities/ Inventory Reconciliation with inventory quantities actually received. Both redistribution and procurement (to include contract number and CLIN) document number records shall be retained by the Contractor and provided to the Government together with the annotated Attachment F at the conclusion of the first performance period. The annotated

Attachment F will provide data for the inventory reconciliation described in Section C01-3.0 Inventory Reconciliation.

2.2.3 Order the material required to repair/overhaul equipment in accordance with section C02-

3.0 Supply Chain Management.

2.2.4 Repair any non-RFI wholesale inventory assets to RFI condition and store them in the Contractor’s warehouse, as necessary to both fill requisitions during the transition period, and to be prepared to meet the performance requirements identified under C02 Phase II, Performance Based Logistics Support.

2.2.5 Deliver program data and reports in accordance with section C02-23.0 Reports and PBL Program Information.

2.2.6 Process requisitions in accordance with Electronic Data Interchange (EDI) procedures detailed in section C02-16.1 EDI and Attachment G – EDI Requirements.

2.2.7 Participate in periodic program reviews in accordance with section C02-15.0 Program Management.

2.2.8 Maintain a Public-Private Partnership with applicable Fleet Readiness Centers; and maintain a partnership with Naval Undersea Warfare Center (NUWC) Keyport in accordance with Section C02-4.0.

2.2.9 Support monthly teleconferences with NAVSUP WSS to provide status on the following:

piece parts identification/order status, equipment receipt, retrograde receipt, data collection requirements, Equipment repairs (in process and scheduled) and backorders.

C01 - 3.0 INVENTORY RECONCILIATION

3.1 Attachment F- Wholesale Inventory Quantities/ Inventory Reconciliation contains the projected inventory position and the repairs/spares projected by the Contractor included in the proposed contract price, for the items identified on Attachment A – Equipment Listing as “New”.

At the end of each performance period/fiscal year, “New” items will be reviewed to determine if all wholesale inventory assets (both on-hand and on order) have been received by the Contractor.

3.1.1 For those items where all assets have been received, the Attachment F will be updated with the actual quantities received and requisitions filled by the Government during transition, in accordance with section C01 – 2.2.2. The number of projected repairs/spares will be recalculated, and the difference in the number of repairs and spares projected for each item, both positive and negative, will be multiplied by the repair or spare price for that item for that fiscal year, as identified on Attachment B – Annual Repair & Spare Prices. The dollar values will be summed to provide the inventory reconciliation dollar value. This financial adjustment for inventory reconciliation will be executed via contract modification at the conclusion of each performance period, until all “New” items have been reconciled. It is anticipated that this Inventory Reconciliation will occur concurrent with the Flying Hour Reconciliation described in section C02-22.1.

3.1.2 In the event that items are not received, a final inventory reconciliation will be completed in concert with the final reconciliation of the contract.

C02 - STATEMENT OF WORK PHASE II, PERFORMANCE BASED LOGISTICS

SUPPORT

C02 - 1.0 INTRODUCTION

1.1 For “Renewal” equipment items, Phase II shall begin on the effective start date of the contract. For “New” items, Phase II shall begin on 1 October 2027.

C02-2.0 PHASE II ACTIVITIES

2.1 The Contractor shall:

2.1.1 Provide all support and management effort as required to perform during Phase II.

2.1.2 Participate in program reviews in accordance with section C02-15.0 Program Management.

2.1.3 Stock, warehouse, manage, and deliver inventory to support demand requirements.

2.1.4 Provide RFI material to the Government in accordance with the following:

a. At the end of this contract, and at no additional cost to the Government, a quantity of each line item (or family group, as applicable) on Attachment I – Ready for Issue (RFI) Inventory Return Data will be in a Ready for Issue (RFI) condition or in work at the time of transfer (see Notes 1 and 2 below). These quantities are part of the Government inventory returned and are not in addition to the total inventory.

2.1.5 This RFI quantity shall be provided to the Government, within the contract price, regardless of whether the Government decides to continue with a follow-on PBL contract, return to traditional contract support or cease support. In the case of a follow-on PBL contract, this RFI quantity will become the initial follow-on contract inventory position. The Contractor may request relief from this requirement for items with insufficient carcasses (see Note 3 below) to produce the required RFI quantity, when the lack of carcasses is due to circumstances beyond the Contractor’s control. This may result in a downward price adjustment to the contract.

2.1.6 At the Government’s request and at the conclusion of PoP 3, the Contractor shall submit to the Government for review a recommended wholesale pipeline level for each line item/family group. Included with this recommendation should be the latest Demand Rates, Repair Turn-around Times (RTATs), Procurement Lead-Times (PLTs) and wear-out rates from contract performance. At that time, the parties shall discuss current and future demand trends, and changes to Demand Rates, RTATS, PLTS, and wear-out rates to determine if adjustments to the required RFI quantities should be made within the contract price. Attachment I - Ready for Issue (RFI) Inventory Return Data will be updated to reflect agreed-to changes to Demand Rates, RTATs, PLTs or wear-out rates.

Notes:

1. Any RFI inventory due to the Government at the completion of the reconciliation of fixed requirements, per section C02-18.0, shall be additive to the RFI quantity specified in section C02-2.1 above or reconciled as deemed appropriate by the Government.

2. The required RFI quantity may include assets in the repair process or spares on order by the Contractor at the end of the contract. The Contractor shall complete those repairs and/or provide those spares on order even if performance of those activities extends beyond the end of the contract period. The RTATs and PLTs on Attachment A – Equipment Listing shall serve to establish delivery requirements for repairs to be completed and spares to be delivered. RTAT shall be measured from date of induction for repair.

3. A carcass is a repairable component or item that is Depot-Level Repairable (DLR) but Not Ready-For-Issue (NRFI).

2.1.7 The Contractor will monitor wholesale inventory levels throughout performance of the contract. In the event that inventory levels have diminished because of carcass loss or unforeseeable circumstances outside of the Contractor’s control, the Contractor may submit metric relief and/or inventory augmentation requests for the affected items which the Government team will evaluate on a case-by-case basis. Carcass loss is defined as a reduction in wholesale inventory not resulting from Contractor’s scrap decisions on carcass returned for repair.

2.1.8 Meet the performance requirements in accordance with section C02-19.0 Performance Metrics.

2.1.9 Upon receipt of a Government requisition, place RFI equipment at the ATAC pickup point (i.e., the Contractor’s loading dock) and arrange for outbound shipment of RFI equipment in accordance with section C02-16.0 Requisition Procedures and Attachment E - Commercial Asset Visibility Statement of Work within the time frames established in C02-19.0 Performance Metrics.

2.1.10 Perform repair, overhaul or replacement of the equipment in accordance with section C02-

2.1.13 Provide obsolescence management in accordance with section C02-12.0 and Attachment N Consolidated H-60 Seahawk Obsolescence Management Plan.

2.1.14 Provide technical support, as required, to meet the performance requirements of the contract.

2.1.15 Deliver program data and reports in accordance with section C02-23.0 Reports and PBL

Program Information.

2.1.16 Support all FMS customer requirements in accordance with section C02-18.0 Fixed Requirements.

2.1.17 Maintain/establish a Public-Private Partnership with applicable FRCs, and NUWC Keyport, in accordance with section C02-4.0.

2.1.18 Comply with the inventory reporting requirements specified in Attachment E - Commercial Asset Visibility Statement of Work.

2.1.19 Support teleconferences as needed with NAVSUP-WSS to provide status on the PBL program.

C02-3.0 SUPPLY CHAIN MANAGEMENT
