JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

REQUISITION NUMBER: N00383-15-Y-3264 BUYER’S CODE:

NAME: TEL:

Justification and Approval (J&A): #14292

1. CONTRACTING ACTIVITY: NAVSUP Weapon Systems Support (NAVSUP WSS), Philadelphia.

2. DESCRIPTION OF ACTION BEING APPROVED:

The use of other than full and open competition to negotiate and award a five (5) year PerforMance Based Logistics (PBL) requirements contract to support the AN-AAQ-27 and AN/AAQ-29 Forward-Looking Infrared Radar (FUR) Systems used on the V-22 Series aircraft and the CH-53 Series helicopters, respectively. The period of performance for the proposed action will be five years from the date of award with no option periods. This contract will replace Basic Ordering Agreement (BOA) N00383-1 1-G-003D, which provides repair support for both FUR systems and expires on 08 February 2016. A new BOA is currently in work to provide repair coverage until the PBL is awarded.

The PBL é6ntract will be an Indefinite Delivery Requirements type contract with firm fixed price provisions and demand bands, which will be reconciled annually to reflect actual demands received within the individual periods of performance. The PBU will also include Supply Responsetime metrics which require the Contractor to fill all customer requisitions received.

The proposed PBL contract will be awarded to Raytheon Company (CAGE Code 96214).

Raytheon is the designer of both FLIRs and is the Original Equipment Manufacturer (OEM).

Raytheon has partnered with the Navy’s Fleet Readiness Center Southeast (FRC-SE) to deliver depot level support in compliance with 10 U.S.C. §2464, 2466, 2469 and 2474.

3. DESCRIPTION OF SUPPLIES/SERVICES:

This J&A covers the acquisition of PBL support for eleven Weapons Replaceable Assemblies (WRAs) of ihe V-22 and CH-53 FUIR as identified in Attachment A. The FLIR is a mission essential ~thtem that provides navigational and surveillance capabilities. It allows pilots to safely navigate in adS’erse conditions as well as identi& targets in potentially hostile environthents.

Raytheon Will be responsible for filling all Navy requisitions for these WRAs within the availability metric defined in the contract. Due to the Primary Inventory Control Activity/S~condary Inventory Control Activity (PICA/SICA) relationship between the Navy and Air Forãe for theV-22 aircraft, the PBL contractor will also be responsible for filling Air Force requisitions for these components; the USAF requirements have been included in the V-22 demand forecast and will be funded through the Navy Working Capital Fund (NWCF).

Raytheon will provide supply support to include: depot maintenance in partnership with the

FRC-SE, procurement of piece parts for repair, attrition spares necessary to satisfy demand, material management, configuration management, obsolescence management, engineering support and sustainment elements, packaging, and storage.

Raytheon is required to comply with core logistics capability and depot level maintenance requirements under 10 USC § 2464, § 2466, § 2469, and §2474.

The estimated amount of this contract is $73,608,945 and will be funded by Navy Working Capital Fund (NWCF), appropriation(s):

4. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION:

This J&A is based upon the authority of 10 U.S.C. 2304(c)(l), only one responsible source, as implemented by Federal Acquisition Regulation 6.302-1.

5. RATIONALE JUSTIFYING USE OF CITED STATUTORY AUTHORITY:

As the ,designerand OEM of the V-22 and CH-53 FLIRs, Raytheon is the only responsible source which has the full range of technical data, engineering expertise, and in-depth technical understanding bf the FLIR systems and components necessary to perform the requirements covered by this dontract. The technical data for the V-22 and CR-S 3 FLIR components, which includes top and lower level drawings as well as repair manuals, was developed at private expense áñd is proprietary to Raytheon. NAVSUP WSS has limited rights to this data. The repair manuals, which define the tear down, inspection and reassembly of the FLIRs, are provided to the FRC-SE artisans by Raytheon through its Maintenance Management Information System (MMIS). Additionally, Raytheon provides on-the-job training and engineering support to the artisans through its partnership agreement with the FRC-SE. The items listed in Attachment A are either critical application items (CAT) or are awaiting a designation by NAVAIR. As such, only Raytheon is able to ensure that the 11 WRAs conform to the proper form, fit, and function, thus keeping these complex weapon systems operational, reliable and safe.

6. DESCRIPTION OF EFFORTS MADE TO SOLICIT OFFERS FROM AS MANY

OFFERORS AS PRACTICABLE:

The propàsed contract was originally synopsized in the FedBizOpps website for government wide point of entry on 23 January 2015. A Sources Sought Notice was released in the FedBizOpps website for government wide point on 21 May 2015. No other sources have indicated~ an interest in this V-22 and CH-53 FLIR requirement.

A review was conducted to identify all potential sources. The V-22 and CH-53 Program Offices, the NAVSUP WSS Integrated Weapon Support Teams (IWST) and the Contracting Officer have reviewed the capabilities necessary to perform the V-22/CH-5 3 FLIRs PBL and have concluded it is not possible to compete the requirement based upon limited capabilities in the industrial base and lack ~f Government owned technical data. Market Research conducted in accordance with FAR Part 10 indicates that repair of the equipment listed on Attachment A requires unique protocols and procedures based upon technical data that is proprietary to Raytheon. Raytheon Company:is the V-22 & CH-53 FLIRs designer and Prime Manufacturer. Raytheon is the owner of the technical data required to perform the contract. No other public or private entity has the requisite kchnical data needed to meet the requirements of the contract. The V-22 & CH-5 3 FLIR inte1~ectual property was developed at Raytheon’s expense and of which Raytheon has provided less than unlimited rights to the US Government. In an effort to acquire the complete Technical Data Package with the necessary rights needed for competitive procurement, NAVSUPIWSS sent Raytheon a request for a current price of the V-22 and CH-53 FLIR Technical DataPackage on 24 February 2015. To date, Raytheon has not responded to the request. For this reason, the option of pursuing competition for this requirement is not available.

7. DETERMINATION OF FAIR AND REASONABLE COST:

The Contracting Officer will determine that the anticipated cost to the Government will be fair and reasonable.

8. ACTIONS TO REMOVE BARRIERS TO FUTURE COMPETITION:

For reasods set forth in Paragraphs (5) & (6), NAVSUP WSS has no plans at this time to compete Thture contracts for the weapons support covered by this contract. If another potential source emerges, NAVSUP WSS will assess whether competition for fitture requirements is feasible. Future requirements will continue to be advertised in the FedBizOpps website (www.fedbizopps.gov). Furthermore, Raytheon will continue its current partnering arrangement with FRC~SE, with workload plans to ensure DoD’s compliance with core logistics capability and depot levelmaintenance requirements under 10 U.S.C. §2464, §2466, §2469 and §2474.

9. REFERENCE TO THE APPROVED ACQUISITION PLAN

A formal acquisition plan is required for this acquisition.
