A02 - FAR 52.216-21 REQUIREMENTS (OCT 1995)

This is a Requirements contract for the supplies specified, and effective for the period stated in the schedule. The quantities of supplies specified in the schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities cited in the schedule, that fact shall not constitute the basis for an equitable price adjustment.

Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering Clause. Subject to any limitations in the Delivery Order Limitations Clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies specified in the schedule and called for by the Ordering Clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods from another source.

Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and the Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period.

A03- FAR 52.216-18 ORDERING (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 1/1/2025 through 12/31/2029.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

A04 - FAR 52.216-19 ORDER LIMITATIONS (OCT 1995)

(c) If this is a Requirements Contract (i.e., includes FAR 52.216-21 Requirements), the Government is not required to order a part of any one requirement from the contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order(s) is returned to the ordering office with 15 days after issuance, with the written notice stating the contractor’s intent not to ship the item(s) called for and the reason(s). If Government approval is not received in 30 business days, the Contractor shall be relieved from any impacts to SRT metrics. Any repairs performed using unapproved changes to manuals, drawings, or specifications are not permitted and any such changes are done entirely at the Contractor’s own risk. Such notification shall include any substantiating information, including the NSNs, and time period involved. The Government shall review any claimed delays and advise the Contractor of the results of the review within 5 working days of the Contractor’s notification.

The Contractor shall notify NAVSUP WSS within 60 calendar days of when the level of retrograde assets is expected to fall to a level that jeopardizes meeting the SRT performance metric identified in Section C02 17.0 and Section F. If the Contractor demonstrates that retrograde/carcass returns have been insufficient to support the program, temporary relief to the SRT performance metric for the NSN may be granted.

C02 – 6.0 PROCEDURES FOR CURRENT AND PLANNED RETAIL QUANTITIES

AND CORRESPONDING REQUISITIONS

Initial Outfitting requisitions, (referred to as “QZ requisitions”) will have no corresponding carcass returns and will contain fund code "QZ" or “QU”, The Contractor shall store and issue material to support initial outfitting requisitions. The Total Initial Retail Outfitting Requirement is defined as the total GFP Due-In QTY plus the Contractor Procurement QTY.

This quantity represents the known and planned retail requirements as of the date of contract award.

The GFP Due-In Quantity, of which the Government has procured, represents those requirements due in during the Period of Performance of the PBL. All redistribution documents and contract numbers that coincide with GFP Due-In will be provided for tracking purposes on Attachment I

– GFP Retail Transition Documents. Identified in this attachment will be the redistribution document numbers, contract numbers, and due in qty. All retail assets provided by the Government to the Contractor for current and planned retail requisitions shall be physically and/or virtually segregated from all other inventory allowing Government representatives to identify retail from wholesale assets. Documentation of the status of retail assets by the Contractor will be provided in Contractor format and reported at the PRB in accordance with SOW Section C02 8.0.

Attachment B also identifies the Contractor Procurement Quantity, of which the Contractor is responsible for pricing and making assets available for fulfilling the balance of Total Initial Retail Outfitting Requirements. This quantity is not accounted for by a GFP asset. These requirements are expected due in during the Period of Performance of the PBL. All material segregated for retail remaining at the conclusion of the contract shall be returned to the Government at no additional cost.

Any requisition for planned retail allowancing shall be coordinated between the Contractor and the PCO in advance of issuing the requisition.

Any quantities for each NSN shown on Attachment B – Wholesale Inventory Transfer, including Current and Planned Retail Quantities provided to the Contractor, but not utilized to fulfill a current and/or planned retail requisition during the period of performance will be returned to the Government and will be in addition to the wholesale inventory provided to the Government in accordance with SOW Section C02 7.0, Contractor Return of Inventory.

6.1 UNPLANNED RETAIL REQUIREMENTS AND USE OF EXCESS WHOLESALE

INVENTORY

The Government anticipates there may be unplanned retail requisitions during the course of the period of performance, above and beyond those identified on Attachment B – Wholesale Inventory Transfer, including Current and Planned Retail Quantities.

For Navy/Marine Corps unplanned initial outfitting requirements, the contractor shall proceed as follows:

(a) If, during the course of this contract, the Contractor receives an initial outfitting requisition in excess of the individual NSN/LCN current or planned quantity identified in Attachment B and there is a surplus of initial outfitting GFP inventory, the Contractor will be required to fill the requisition.

(b) If there was not a surplus of initial outfitting GFP inventory, but the Contractor has an RFI asset available and can fill the requisition without a negative impact to other performance, they will be required to do so. Contractor shall be entitled to price adjustment in accordance with the negotiated variable price of the part as indicated on Attachment J, Negotiated Variable Unit Price by Part by Year.

(c) If the Contractor does not have an available RFI asset, but has available F condition NRFI Wholesale assets that can be inducted for repair with no negative impact to performance, upon instruction of the PCO, they will be required to do so and fill the unplanned outfitting when the requisition is passed after repair of the asset is completed and placed into “A” condition, in accordance with the Repair Turn Around Time (RTAT). The Contractor shall be entitled to price adjustment in accordance with the negotiated variable price of the part as indicated on Attachment J, Negotiated Variable Unit Price by Part by Year.

(d) If there is no surplus initial outfitting inventory and the Contractor does not have an available asset, the Government may augment the initial outfitting GFP inventory separately from this contract. In that event, the inventory will deliver to the contractor site and be used to fill the unplanned initial outfitting requirement. As a result, any requisition issued for an initial outfitting under scenario (d), where an “A” condition asset is not available and scenarios (a) through (c) above do not apply shall be cancelled.

Scenarios (a) through (c) shall be coordinated between the Contractor and the PCO in advance of issuing the requisition.

Any fulfillment of an unplanned retail requisition will not be included in the SRT Metric.

C02 – 7.0 CONTRACTOR RETURN OF INVENTORY

The number of RFI assets shall be calculated prior to contract award using the formula below based on baseline demand in PoPs 4 and 5 The calculated results are included in the negotiated contract value. At the end of this contract, the quantity of each line item on Attachment G – Contractor Return of Inventory is a deliverable under this contract and included within the contract price. These quantities are part of the government inventory returned and are not in addition to the total inventory.

This RFI quantity shall be provided to the Government, within the contract price, regardless of whether the Government decides to continue with a follow-on PBL, return to traditional contract support, or cease support. The Contractor may request relief from this requirement for items with insufficient carcasses to produce the required RFI quantity when the lack of carcasses is due to circumstances beyond the Contractor’s control.

The portion of the formula (Projected Retail Quantities - Actual Retail Quantities) only applies if the number calculated is 0 or a positive number; otherwise, retail that is excess to what is forecasted under Attachment B is subject to the terms and conditions under C02 6.1 Unplanned Retail Requirements and Use of Excess Wholesale Inventory.

Notes:

1. Any inventory that is segregated for initial outfitting requirements (per Section C2 – 3.3) that remains at the end of the contract shall be returned to the Government. These assets shall be considered separate and distinct from the RFI inventory to be returned in accordance with the above formula.

2. If “A” condition Government furnished inventory exists at completion of the contract that exceeds the quantity driven by the formula, this additional RFI inventory is provided to the Government at no additional cost.

3. The required RFI quantity due to the Government at the end of the contract, as calculated by the formula above, may include assets in the repair process or on order by the Contractor at the end of the contract. The Contractor shall complete those repairs and/or provide the spares that are on order even if performance of those activities extends beyond the end of the contract period. At the end of this contract, the quantity identified for each NSN on Attachment L will be in Ready for Issue (RFI) condition and delivered to the Government within 60 days of the contract ending, with the exception of assets in the repair cycle. Those assets in the repair cycle will be delivered in accordance with the RTAT of the NSN.
