PERFORMANCE WORK STATEMENT

GENERAL REQUIREMENTS: The effort required hereunder shall be performed in accordance with this Performance Work Statement and with all other terms and conditions set forth herein.

SCOPE: The contractor shall provide all services, labor, parts, materials and equipment necessary for the service, preventative maintenance (PM), and calibration for the 3 government owned Microscopes (identified in Appendix A). Contractor will service and maintain the equipment within the original equipment manufacturers (OEM) specifications, in accordance with the US, State, and Local laws and regulations, US Navy regulations, and Joint Commission requirements.

"Service and maintenance" means (a) any modification, adjustment, minor repair, or replacement of the equipment that corrects a malfunction and. effectively brings the equipment into material conformity with the technical specification for that equipment as designated by the original equipment manufacturer (OEM), (b) a procedure or routine that, when observed in the regular, proper operation of the equipment, avoids the material adverse effect of the applicable nonconformity, (c) any measures performed that assure the continued operation of the equipment or returns the equipment to its designed efficiency and capacity, ( d) replacement of a piece of equipment on a one-forgone basis in order to provide a substitute of equal or greater value in lieu of a damaged or defective device for compensation, return, or refund of equipment.

LOCATION: Biomedical Repair Division, Building 1, Ground Floor, Naval Medical Center San Diego, 34800 BOB Wilson Dr., San Diego, CA. 92134-5000.

NMCSD PREVENTATIVE MAINTENANCE (PM) REQUIREMENTS:

a. Perform PM's in accordance with OEM specifications.

b. Ensure that only FULLY QUALIFIED FIELD ENGINEERS and TECHNICIANS who has gone through original equipment manufacturer (OEM) or comparable third party service schools for the above-mentioned equipment, shall be employed in the performance of any and all work performed under this contract. Upon request, the contractor shall provide training certificates ( or notarized copies) to the Material Management Department BIOMED division for verification.

The highest standard of professional capability and electrical/mechanical workmanship is to be maintained throughout the life of this contract.

c. Equipment improvements/modifications will be conducted only after acquiring the approval from BIOMED.

d. Ensure that original design and functional capabilities will not be changed, modified, or altered unless the medical repair branch authorizes such changes.

e. Provide suitable modem recommended equipment/tools required for the satisfactory execution of all tests required.

f. Perform services, as determined by inspection, tests, or disassembly, to ensure a functional system that will efficiently serve its intended purpose and the technical specification for that equipment as designated by the original equipment manufacturer.

g. Installation of system update changes to resolve specific product reliability problems.

Hardware and software upgrades, defined as those changes that enhance or add product features, are not included.

NMCSD CORRECTIVE MAINTENANCE REQUIREMENTS:

a. Immediately upon contract award, the contractor will provide Material Management

Biomedical Division (BIOMED) and emergency telephone number. Contractor will respond no later than two (2) hours after telephone notification from BIOMED, Monday Friday, between the hours of 0800-1600.

b. Equipment improvements/modifications shall be made only upon BIOMED written approval and direction.

c. Notify BIO MED immediately upon receipt of OEM safety recall notices or upon receipt of recall notices pertaining to any parts or materials utilized by contractor on the equipment.

d. Ensure that the original design and :functional capabilities will not be changed, modified, or altered without express written authorization from BIOMED.

e. Provide suitable OEM recommended equipment/tools required for the satisfactory execution of all services performed.

f. · Furnish OEM approved· lubricants or protective compounds and apply these to the equipment in accordance with OEM guidelines.

g. Replacement parts shall be covered by the contractor for the duration of the contract.

Extend to the government all commercial warranties on replacement parts. All replacement parts or units shall be new parts.

RESPONSE TIME: Contractor shall use commercially reasonable efforts to:

· a. Complete all on-site PM/Calibrations by the 15th of the month service is due.

b. Provide on-site support within (1) business day of notification by NMCSD personnel.

c. Respond by telephone to any report of a malfunction requiring repair within (2) hours of notification by NMCSD Monday - Friday, 0800-1600.

d. All Field Service Reports must be sent within 3. business days once maintenance has been performed.

TRAVEL AND RELATED EXPENSES: Contractor will be responsible for its service related trip expenses, including round trip travel, mileage, and overnight living expenses.

TITLE TO EQUIPMENT: The government retains ownership to title of any equipment taken for manufacturer maintenance.

LIABILITY:

a. The Contractor shall not be liable for any loss, damage, or delay due to any cause beyond his reasonable control including but not limited to, acts of government, strikes, lockouts, fire, explosion, theft, floods, riot, civil commotion, war, malicious mischief or acts of God.

b. Contractor is responsible for any loss or damaged equipment upon leaving NMCSD to be calibrated.

UTILITIES: The Contractor may use Government utilities, (e.g., electrical power, compressed air, and water) that are available and required for any service performed under this contract. The building engineer, to ensure compatibility with the Naval Medical Center's electrical wiring and equipment, must approve contractor electrical equipment.

SHIPMENT: All shipment costs incurred by contractor to ensure satisfactory completion of PM/Calibration of all Microscopes shall be included in quote price prior to obtaining contract.

ACCESS TO EQUIPMENT: Contractor shall be provided reasonable access to all equipment that is to be serviced and utility outlets required to do the service. The contractor shall be free to start and stop all primary equipment incidentals to the operation of the maintained equipment after permission is received from on-duty personnel responsible for such equipment.

GOVERNMENT PERSONNEL: NMCSD employees will not perform repairs or maintenance to equipment while such equipment is under the purview of this contract unless agreed to in writing by the contractor.

CONTRACTOR CHECK-INiCHECK-OUT: Contractor is required to report to Material Management Department, Biomedical Repair Division, Building One (1), Ground Floor, Rooni GD-18Hl at NMCSD prior to and upon completion of any services or repair work performed.

PARTS AVAILABILITY: To ensure minimal equipment downtime, contractor shall ensure that all equipment needed to complete said services are available. If any microscope is to be taken by contractor to be serviced outside ofNMCSD facility, NMCSD Biomedical Repair Division reserves the right to request a loaner from contractor at no additional cost if deemed necessary.

LABOR: All compensation for labor from the hours of 0800-1600. Local PST Time is included in the contract price. Any labor performed outside of this timeframe is not included in the contract pricing. Of service becomes necessary to be performed between 1600-0800, NMCSD Biomedical Repair Division shall be notified prior to performance.

FIELD SERVICE REPORTS: Contractor shall furnish a written or electronic vendor supplied Field Service Report (FSR) to the Duty Staff at:

The contractor, or his/her representative, shall complete the vendor supplied Field Service Report to include the following:

Contractor Name Technician's Printed Name, Telephone Number and Signature Date and Time of Arrival

ECN (Equipment. Code Number) and Serial Number Time Expended Repairing/Service; Labor Hours, Rate and Materials Summary of Work Performed and Accepted by End-User (Government Representative's Printed Name and Signature)

Completed Field Service Reports are required prior to acceptance of any Invoice

PREVENTIVE MAINTENANCE AND REPAIR SERVICE SCHEDULES

Services SHALL be required based upon the following AGREED schedules:
