J"LJSTIFICATION

1. Contractincr Activity

The Naval Sea Systems Corrunand (NAVSEA), Naval Undersea Warfare Center (NUWC} Division Keyport, Contracts Department (Code 02).

2. Description of the Action Being Approved

Award of a contract modification to Applied Physical Sciences Corp. (APS), 475 Bridge· Street, Gorton, CT 06340 , DUNS 112716357, Cage Code 1Z~32, on a sole- source basis under contract N00253-15-C-1001 for the research and development of hybrid energy systems in support of the Defense Advanced Research Projects Agency's (DARPA) Blue Wolf program, Technical Area Three (TA3) . The use of other than full and open competition is under the authority of FAR 6.302-1 due to this company being the only qualified source.

Contract N00253-15-C-1001 is a Cost-Plus-Fixed-Fee, research and development type contract t hat supports DA...~PA's Blue Wolf progra.~, TA3, developing hybrid energ-y s ysteni.s technologies. DARPA is the primary program office .and the contract is administered through NtJWC Division, Keyport.

3. Description of Supplies/Services

The Blue Wolf TA3 contract provides the following supplies and services for DARPA:

1) Develop Battery Prototype Design

2) Fabricate prototypes

3) Develop prototype module test plans and test reports

4) Production of battery demonstration units

5) Spare Modules and Vehicle Integrat ion

The-Blue Wolf battery design has undergone some redesign efforts to acdress testing a...~d evaluation issues, which

The proposed contract modification to K00253- 1S-C-1001 incl~des approximately $1. 6M to allow for procurement of the protot~'Pe modules, demonstration units, and vehicle integr ation efforts. The Government's minimlli~ needs have been verified by the certifying technical and requ.ir<:;m~nl::> personnel. The contract period of perfor:rnance expires 31 July 2018 .

4. Statutory Authority PerIPitting Other Than Full and Open Competition

10 U.S.C. 2304 (c ) (1), as implemented in FAR 6.302- 1. Only one responsible source and no other supplies or services will satisfy agency requirements.

5 . Rationale Justifying Use of Cited Statutory Authority

. Applied Physical Sciences Corp. (APS ) is the incu.Tflbent contractor currently performing design and production efforts under the competitively awarded contract N00253-15- C-1001. AFS is the only responsible source that can effectively provide the s upplies and services needed and has the capability to meet the Blue Wolf program requirements within the specified schedule and cost constraints without significant risk to the Government. Award to any other source would result in unacceptable delays and cost growth in fulfilling. the agency's require..rnents .

The Blue Wolf battery is specifically designed to match the for the Blue Wol f vehicle. This

~ations ip e ween the -requires s pecific power,. voltage, and energy characteristics in order to meet performance specifications .

is a l s o part of designed to specifically address the ••••••••••••• associated with the Blue Wolf vehicle.

APS was selected via a competitive contract action as the company , which would provide the best value to the Government for this effort. The Blue Wolf battery design was researched and developed by APS utilizing its intellectual property res ulting in a highly customized, high per forrnance battery system.

the certification as part data package for a one-time of the Blue Wolf vehicle. Additionallv design has also gone through the ertification process specific to the Blue Wolf program. At this phase of the overall Blue Wolf program, re-competing the Blue Wolf battery procurement would entail s ignifican t t~~e, resources, and restart of the safety certification process to bring it to the level of maturity of the cur rent system.

A restart in the -certification process would cost the Government approximately year delay to the program.

APS is the only qualified source that can provide the suppl ies and services specific to the Blue Wol f program requirements t o the Government wi thin the specifi ed timeframe.

6. Description of Efforts Made t 6 Solicit Offers from as Many Offerers as Practicable

In accordance wi th F~-~ 5.201 (b ) (1 ) (ii ) , _ this a cLi on was synopsized in the Federal Business Opportunities website on 20 November 2017 for a duration of 7 days. Interested parties were provided an opportunity to demonstrate their capability to meet the requ irement s s tat ed in the s ynopsis.

Tnree (3) companies expressed interest to the synopsis.

However, none of the companies p r ovided any information or capabilities in accordance with t he instructions of the synopsis. The following i s the list of companies who

N8H 53.6-2 expressed interest to the synopsis via Federal Business Opportun~ties (?BO; webs ite .

One other company expressed interest via an email in accordance with the instructions in the synopsis. 11111 provided a brief overview of the company's capabilities in an e..~ail dated 27 Noverr~er 2017 .

In an email dated 13 December 2017, the Government asked -if any of its battery products can meet the certifications and standards f or the Blue Wolf program.

Based on - response, - battery products that have been certified or currently going under the certification process, are certified to the specific pl atforms it was designed for and could not readily take the place of APS' ....... battery. In addition, it is highly unlikely that any of - products are compatible wi th the Blue Wol f's battery requirements since lllllhas not worked on the Blue Wolf program and ~s unaware of the - certification requirements .

At the current stage and phase of the Blue Wolf battery design and production, and the Blue Wolf program as a whoie, the contracting officer has determined that i t is not in the best interest of the Government to re-compete the Blue Wolf battery procurement as it would cause significant delay and increased cost to the program.

7. Determination of Fair and Reasonable Costs

The Contracting Officer has determined that the anticipated cost to the Government for the supplies / services covered by the J&A will be fair and reasonable. The effort and materials being procured under this procurement is s i..~ilar to requirements that have been procured from APS under the current contract and the cost/pricing information was received and evaluated for the award . This information should be sufficient to support the fair and determination of t his contract modification.

t he contractor will be required to provide a current cost and pricing data to support the reasonable cost determination.

For the reasons set forth in Paragraph 5, NUWC Division, Keyport has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NUWC Division, Keyport will assess whether competition for f uture requirements is feasible.
