The following have been added by full text:

QUESTIONS

PART I

This amendment provides a list of questions and comments received in response to the solicitation. The questions and comments are provided for all potential offerors to review. Note that questions may have been edited for clarity and duplicative questions may have been combined or deleted. All available, necessary information and any necessary changes to the solicitation resulting from consideration of the below questions and comments have been incorporated into the solicitation in PART II of this Amendment. As a result of this amendment, the solicitation is considered to be clear.

QUESTIONS

1. Due to Section 7 requirements do offeror's prime contractors require Top Secret Facility Clearance?

A: Top Secret Facility Clearance is not required.

2. Section II. Requirements for Proposal Content states, "Identification of original signature copies". Does this apply to this proposal submission as it is done electronically and only one original proposal with no copies is required?

A: Reference has been removed from the solicitation.

3. Section I. General of the RFP states, "All electronic files and versions of offerors’ proposals shall be submitted in Adobe Acrobat (PDF) and Microsoft Office Suite (Excel) formats and be in a locked and searchable format. " Please define "locked format" for the Excel/PDF submission?

A: Reference to locked format has been removed.

4. RFP Section II. (5) states, "The exceptions to the font size requirement shown above are that the "Past Performance Information form," including any continuation sheets, and any tables or matrices, may be completed with a point size of 10 or greater." Are graphics also allowed at size 10?

A: Yes.

5. In reference to the RFP Section II. (5) margin requirement, please note the past performance information form provided is outside of the 1 inch margins. Are offerors allowed to use the template as is (i.e. outside of the 1 inch margin requirement) or are offeror's required to put the template within the one inch margin?

A: Offerors may leave the Government-supplied Corporate Experience and Past Performance Information Form margins as is.

6. Please confirm that the margin requirement does not apply to the cover referenced in RFP Section II (3)?

A: Confirmed.

7. For the Volume II - Cost Proposal, please confirm the DCAA requirements are only required for the prime contractor entities ?

A: See updates to paragraphs in Part II

8. For the Volume II - Cost Proposal, do all subcontractors need to submit a sealed cost proposal to the Government?

A: All subcontractors proposing need to submit sealed proposals to the Government.

9. For the Volume II - Cost Proposal, do subcontractors under 10% need to submit pricing to the Government?

A: See answer to question 8.

10. For the Volume II - Cost Proposal, do subcontractors that are on a T&M contract with the Prime do they need to submit a sealed cost or price proposal?

A: See answer to question 8.

11. Considering this contract is a task order-based contract, please confirm offeror's may submit a past performance reference for a multiple award IDIQ?

A: Confirmed.

12. The PWS states "A key requirement is to provide uniquely qualified personnel" and 28 Key Personnel in 10 Key LC's were identified in the solicitation LOE Table. Without a resume or staffing/qualification matrix requirement in Section L, what method will the Government use to evaluate the ability of an offeror to provide qualified personnel who can successfully accomplish the tasks required in PWS?

A: This is the purpose of the Performance Approach. In addition, the prospective contractor will be required to submit a staffing plan after award IAW the CDRLS.

13. Would the Government consider adding the requirement for Resumes or Staffing Matrix to Section L, and increase the page limit of the Non-Cost Proposal?

A: No.

14. Please confirm that the “Note on Task Order Pricing” section at the bottom of page 77 of 80 does not apply to CPFF task orders, only FFP task orders.

A: Confirmed.

15. Are subcontractors required to complete solicitation Attachment VI FFP Pricing Spreadsheet for those labor categories that they are proposing?

A: Yes.

16. Please confirm that the cover sheet and TOC do not count toward the page limit for each volume. IOW, the total is 2 pages: one Cover plus one TOC, and neither count toward page limit.

A: Confirmed.

17. Could the Government specify what types of substantiating documentation subcontractors are required to submit if the prime is proposing that subcontractor on an other than CPFF basis (ie T&M, FFP, LH)?

A: See answer to questions 8.

18. Are subcontractors that are being proposed on an other than CPFF basis required to submit a total compensation plan in accordance with Section L FAR clause 52.222-46 “Evaluation of Compensation for Professional Employees”.

A: The solicitation is clear on its face.

19. May offerors include technical qualifications, experience and clearance levels of candidates in the Cost Proposal, since these are not required in the Non-Cost?

A: No.

20. Statement: The RFP section 4 Labor Categories describes the Program Manager and its duties and responsibilities. This description differs from the industry standard of a typical Program Manager and the responsibilities to interface with the COR, managing the executable aspects of the contract and financial responsibilities.

Question: Will the government confirm whether or not the Program Manager described in section 4 is the same as a vendor-inherent Program Manager. Or, will the government confirm if this is a new requirement?

A: The solicitation is clear on its face.

21. Statement: The Pricing Spreadsheet contains a reference to FFP (Firm Fixed Price) in the file name. The solicitation states it is a Cost Plus Fixed Fee contract.

Question: Will the government confirm the CPFF status?

A: The solicitation is clear on its face.

22. Statement: In Section L, I. General Representations and Certifications; The government states “all of the reps and certs required by this solicitation in ORCA is accordance with FAR…..”

Question: Will the government confirm the reference to ORCA is actually the System for Award Management?

A: Confirmed.

23. Statement: In the RFP Level of Effort (a) Estimated Total Hours; It appears 1920 hrs is equivalent to 1 full time employment.

Question: Will the government confirm that through extrapolation of the hours and LCATS using 1920 hrs as a constant, vendors can accurately determine the amount for FTEs per LCAT? If this is not a correct assumption, will the government provide the current amount of FTEs being used to fulfill the contract? That knowledge is essential to any vendor outside of the current Prime contractor to ensure fair and reasonable competition for the opportunity.

A: 1920 hours is equivalent to 1 full time employee.

24. Section B identifies CLIN 0002 for War Game Support on an FFP basis states that the value is $0 at award and will be changed accordingly based on individual FFP task orders. Please provide a breakout of the services that will be provided under CLIN 0002 on an FFP basis and services provided under CLIN 0001 on a CPFF basis.

A: A breakout will not be provided. If a task order is capable of being FFP, it will be determined at the time the task order solicitation is issued.

25. Section 6 of the PWS provides information regarding travel to include # of trips, # of people, # of nights, etc. We assume this information is for informational purposes as the Government has provide an NTE for pricing purposes of $130,000 annually, plus burdens. Please confirm that Offeror’s are not required to price specific amounts related to the trips identified.

A: Confirmed.

26. Section L. II (5), specifies a requirement for 12-point font, with an exception for the Past Performance Information form. Will the Government also provide an exception to allow 10-point font for tables in Volume II – Cost, so that tables can be formatted and sized adequately.

A: Yes.

27. Section L. III (2), indicates the requirements for the Volume II response to include a complete and detailed breakdown of the offeror’s cost to include supporting documentation. In order to achieve this requirement, the following questions are submitted:

a) Offeror’s may be required to submit information in a variety of formats to include Microsoft Excel, Microsoft Word, PDF, etc. Please confirm there are no limitations to submitting files in these formats and that Offeror’s are permitted to submit multiple files comprising the Volume II response.

A: Confirmed.

b) Section L does not provide a specific format for submission other than the provided Attachment VI Pricing Spreadsheet. Please confirm that Offeror’s may provide all information required by Section L for Volume II in their own format.

A: Confirmed.

28. Will the Government please publish the total contract value for this effort, including a breakdown between labor costs and ODCs/Travel costs?

A: The provided ODCs/Travel costs are considered to be plug-ins. The Government will not publish the estimated labor cost.

29. In order to properly analyze answers to questions to modify our proposal as necessary, will the Government please consider an extension to the due date to allow offerors to react to potential significant changes in their approach?

A: An extension is not being considered at this time.

30. The RFP indicates the NAICS code is 611710, which has a size standard of $16.5M. It is unclear whether this acquisition is a small business set aside or full and open. Will the Government please confirm that this acquisition is a small business set aside under NAICS 611710? Will the Government also confirm this is further set aside for Service-Disabled Veteran Owned Small Business (SDVOSB) given that SDVOSBs have full capability to support this requirement?

A: This requirement is set aside for SDVOSB under NAICS 611710.

31. The RFP limits the cover sheet and table of contents to one page per volume. Please confirm the requirement is one page each for the cover sheet and table of contents.

A: Confirmed.

32. The PWS mentions “research” frequently, which seems to be characterized as systematic literature reviews. Does the research also include empirical research of student data collected before and during the war games? For example, how much data is extracted from the war game environments, whether from simulation systems, SME observer ratings, or team communication data? Are hypotheses formally tested related to which strategies or decision processes were more effective than others?

A: Question is not relevant for the purposes of submitting a proposal.

33. The PWS mentions data analysis. What type of data are currently analyzed? Qualitative? Quantitative? Time Series? Student self report? Observer rubric-based ratings? Participant interaction/communication data? Physiological data? The types of data will obviously drive the type of analyses required. If NWC does not currently collect some of these types of data, would they be open to the introduction of new types of measures to provide new insights about student performance during war games?

A: Question is not relevant for the purposes of submitting a proposal.

34. Can subcontractors be issued time and material subcontracts?

A: Yes.

35. Are subcontractors required to have CPFF-type subcontractors?

A: No.

36. Section M, page 78 of the Solicitation provides no objective criteria listed under "Performance Approach." The solicitation instructs the offeror to "provide in detail a performance approach that will successfully accomplish the requirements of the solicitation, including the PWS. The offeror’s approach shall include a detailed transition plan to ensure seamless transition between the incumbent contractor and the incoming contractor. The offeror’s approach shall also include a detailed plan for recruiting, hiring, and retaining qualified personnel to support the requirements of the solicitation, including the PWS. " This includes the offeror's assessment of risks, risk mitigation, and risk management. The solicitation then states that this Performance Approach is to be evaluated at a higher weight that Past Performance, yet only Past Performance has a detailed explanation of how it is to be evaluated. Without any specific detail or measurable criteria, the source selection methodology is highly subjective and is a flawed approach that overly favors the incumbent contractor.

A: The solicitation is clear on its face.

37. Will the government add specific and objective measures for how it will evaluate the Performance Approach such as measures for the offeror's preparation for transition, plan for transition business continuity, risk mitigation plan and specific evidence of an offeror's ability to do the above within a highly similar environment of graduate education, graduate research, and wargaming?

A: No.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SUBMISSION OF PROPOSALS

PART II:

SUBMISSION OF PROPOSALS (BEST VALUE/TRADE-OFF)

I. GENERAL

In addition to instructions to offerors contained elsewhere in this solicitation, the following instructions are provided.

Proposals shall be submitted electronically via email to stephanie.m.murphy@navy.mil and joseph.haviland1@navy.mil. Any other method of delivery (e.g., hard copy, CD, thumb drive, portal, etc.) will not be accepted. Proposals shall be received no later than DATE and TIME FOR RECEIPT OF PROPOSAL specified elsewhere in the solicitation. Offerors shall comply with the detailed instructions for the format and content of the proposals contained herein; proposals that do not comply may be considered unacceptable and may render the proposal ineligible for award. All electronic files and versions of offerors’ proposals shall be submitted in Adobe Acrobat (PDF) and Microsoft Office Suite (Excel) formats and be in searchable format. The offeror shall be responsible for ensuring that its submissions are virus free.

The Navy Electronic Commerce OnLine (NECO) website has a “submit bid” button next to the solicitation number. Offerors are cautioned NOT to use the “submit bid” button on the NECO website to transmit or submit its proposal in response to the solicitation. Faxes and/or responses through NECO, or any other method, are not acceptable.

Offerors shall submit their proposals in two separate volumes as follows:

Volume I Non-Cost Proposal

Volume II Cost Proposal

In addition, offers consist of and shall include the following items as part of Volume II:

Solicitation cover sheet with appropriate blocks completed by the offeror

Solicitation cost/pricing pages completed by the offeror

Acknowledgement of solicitation amendments pursuant to FAR 52.215-1 (if not previously acknowledged).

Representations and Certifications completed by the offeror in accordance with instructions contained elsewhere in this solicitation. If the offeror has completed all of the representations and certifications required by this solicitation in the System for Award Management (SAM) in accordance with FAR 52.204-8 and DFARS 252.204-7007 ALT A, then the offeror need not submit the hardcopy Representations and Certifications.

Volume I Non-Cost Proposal

This volume shall address Performance Approach and Past Performance and include all information required for proposal evaluation.

This volume of the proposal shall exclude any reference to the cost aspects of the proposal.

Each page should include the following legend:

This volume shall include the completed solicitation documents and a complete and detailed cost breakdown with all supporting information. Each page should include the following legend:

IMPORTANT NOTES:

(1) The completion and submission of the above items will constitute an offer (proposal) and will be considered the offeror’s unconditional assent to the terms and conditions of this solicitation and any attachments and/or exhibits hereto. Offerors shall respond to all requirements of the solicitation document. Offerors are cautioned not to alter the solicitation. Any affirmative exception to the material terms and conditions of the solicitation will render the offer ineligible for award. Alternate proposals are not authorized.

(2) Potential offerors are encouraged to carefully review all solicitation requirements and, if they have questions concerning the solicitation, should submit one consolidated list of questions concerning the solicitation via email to the solicitation points of contact, stephanie.m.murphy@navy.mil and joseph.haviland1@navy.mil, NO LATER THAN 12:00 pm, Philadelphia time, on 15 June 2020. Questions should be submitted as early as feasible prior to the above date and time; questions received later may be answered at the discretion of the Navy.

(3) In the event any person who is not a bona fide employee of the offeror participated in the creation, formulation, or writing of any portion of the proposal, a certificate to this effect shall be included in the proposal which shall be signed by an officer of the offeror. Such certificate shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the offeror, and the portion of the proposal in which the person participated.

II. REQUIREMENTS FOR PROPOSAL CONTENT

(1) Do not include CLASSIFIED data in your proposal.

(2) Introduction and Purpose - This section specifies the format that offerors should use in proposals submitted in response to this solicitation. The intent is not to restrict the offerors in the manner in which they will perform their work but rather to ensure a certain degree of uniformity in the format of the proposals for evaluation purposes.

(3) Each volume should contain the following items in addition to the other information required by this solicitation:

Cover:The cover should indicate the following:
Title of the proposal
Volume Number (I or II)
Solicitation number
Name and address of offeror
DUNS and CAGE Code
Facility clearance level
Contractor POC (name, email, and phone number)
Socio-Economic Status

Table of Contents: The table of contents should provide detail sufficient to allow the important elements to be easily located.

(4) Requirements for Style: Each offeror shall submit a proposal that clearly and concisely sets forth the contractor’s response to the requirements of the solicitation. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired and may be construed as an indication of the offeror’s lack of cost consciousness. Elaborate artwork, expensive visual or other presentation aids are neither necessary nor desired. The proposal shall contain all the pertinent information in sufficient detail in the one area of the proposal where it contributes most critically to the discussion. When necessary, the offeror shall refer to the initial discussion and identify its location within its proposal.

(5) Page Limitations

Volume I, “Non-Cost Proposal,” is limited to a maximum of 15 pages in length inclusive of any charts, diagrams, and/or other graphics. Each “page” is defined as one sheet, 8 ½ “ x 11”, with at least one inch margins on all sides (excluding the Past Performance Information Form), using a font with a point size of 12 or greater (e.g., "Times New Roman" style with 12 point font). Lines shall, at a minimum, be single-spaced. Pages shall be consecutively numbered. Multiple pages, double pages, two-sided pages, or foldouts will count as an equivalent number of 8 ½" x 11" pages. The cover sheet and table of contents (not to exceed one page per volume) will not count toward the page limit. The exceptions to the font size requirement shown above are that the "Past Performance Information form," including any continuation sheets, and any tables, graphics or matrices, may be completed with a point size of 10 or greater. Pages submitted in excess of the page limitations described above will not be evaluated. The Navy may exercise discretion in determining which specific pages are considered to be in excess of the page limitations.

Volume II, “Cost Proposal,” is not page limited.

III. PROPOSAL CONTENT

(1) Volume I – Non-Cost Proposal

The non-cost evaluation factors are listed below in descending order of importance with Performance Approach considered more important than Past Performance:

(a) Performance Approach

The offeror shall provide in detail a performance approach that will successfully accomplish the requirements of the solicitation, including the PWS. The offeror’s approach shall include a detailed transition plan to ensure seamless transition between the incumbent contractor and the incoming contractor. The offeror’s approach shall also include a detailed plan for recruiting, hiring, and retaining qualified personnel to support the requirements of the solicitation, including the PWS. The offeror should describe any risks associated with the solicitation and the implementation of the offeror’s performance approach, including transition and recruiting, hiring, and retaining qualified personnel with proper security clearances; describe any techniques and actions to mitigate such risks; and explain whether the techniques and actions identified for risk mitigation have been successfully used by the offeror. The offeror should provide any other information the offeror considers relevant to the solicitation.

(b) Past Performance

The offeror shall demonstrate relevant past performance or affirmatively state that it possesses no relevant past performance. Relevant past performance is performance under contracts or efforts within the past five years that is the same as, or similar to, the scope, magnitude, and complexity of the work described by this solicitation.

To demonstrate its past performance, the offeror shall identify up to three of its most relevant contracts or efforts within the past five years, and provide any other information the offeror considers relevant to the requirements of the solicitation. Offerors should provide a detailed explanation demonstrating the relevance of the contracts or efforts to the requirements of the solicitation.

If subcontractor past performance is provided as part of the offeror’s three most relevant contracts or efforts, the subcontractor past performance will be given weight relative to the scope, magnitude, and complexity of the aspects of the work under the solicitation that the subcontractor is proposed to perform. Therefore, the offeror’s proposal should detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform. Although not required, recent past performance with military professional education War Gaming and directed and independent research in a professional military research organization is considered valuable, therefore at least one of the three past performance references (either prime or subcontractor with prime being considered more relevant, all other information being equal) should cover these types of effort.

The references will be evaluated in the aggregate in order to allow offerors who may not have the entire scope, magnitude, and complexity of the requirement under one individual contract to still be considered acceptable if past performance with the full scope, magnitude, and complexity of the requirement can be demonstrated within the allotted number of references as described above.

The offeror should complete a “Past Performance Information Form” for each reference submitted. The form is an attachment to the solicitation. The forms will count toward the Volume I page limit described above. For additional information regarding a particular reference beyond that which will fit on the form, the offeror may continue onto another sheet of paper. Such continuation sheet(s) for submitted references will count toward the Volume I page limit.

The Past Performance evaluation will result in a past performance confidence assessment.

(2) Volume II –Cost Proposal

Volume II, “Cost Proposal,” is not page limited.

The Cost Proposal in Volume II shall include the pricing pages in Section B of the solicitation completed by the offeror and a complete and detailed breakdown of the offeror’s cost plus fixed fee (CPFF) with all supporting documentation. The offeror’s cost proposal shall not deviate from the level of effort set forth in Section B of the solicitation. The cost proposal shall support the non-cost proposal. The cost proposal shall include all elements of cost and such other cost information as considered appropriate to support the offeror’s proposal. The burden of proof for establishing the realism of all proposed costs rests with the offeror. The cost and pricing information shall be completed in accordance with the following:

(a) Separate cost and pricing information shall be submitted for each time period specified in the Solicitation Section B- Supplies or Services and Prices.

(b) Supporting data including labor rates and hours, burden rates, material lists and costs, travel charges, and “other direct costs” used in developing the cost breakdown shall be furnished. The supporting data for “other direct costs” shall include an itemization of those costs and an explanation and justification for each cost so itemized.

(c) Direct Labor Rates. In order to verify the realism of the offeror's proposed direct labor rates, all offerors should submit, as part of their Cost Proposal, documentation substantiating the realism of their proposed direct labor rates. To the extent that an Offeror is proposing a subcontractor on a cost-reimbursement basis, the documentation substantiating the accuracy of the subcontractor’s proposed direct labor rates is also requested. Acceptable documentation may include the following:

(1) Payroll data (if proposing current, named employees)

(2) Actual billing records showing direct labor rates (if proposing current, named employees).

(3) Copies of signed Letters of Intent that indicate agreed upon annual salary (if proposing named, new hires)

(4) Copies of current or prior fiscal year DCMA Forward Pricing Rate Agreement (FPRA), the offeror’s Forward Pricing Rate Proposal (FPRP), Provisional Billing Rate Approval or Provisional Billing Rate Submission, whichever is most recent.

(5) If labor category averages are used as consistent with the offeror's accounting practice and approved byDCAA, provide a detailed narrative and include the calculation used to establish the category average. Forexample, provide a list of the current salaries for all employees working in that labor category, divided by thenumber of current employees in that labor category.
(6) If proposing rates that do not fall within one of the above criteria, provide a detailed, comprehensivedescription of the methodology used to establish the proposed direct rate. The description shall include both thesource where the rate was obtained and a description of how the resulting rate was calculated. Merely statingthat a "salary survey" or "market survey" was used is generally not sufficient.

In addition to the foregoing, the offeror should explain why it believes its proposed direct labor rates are realistic for the requirements to be performed, considering the technical and experiential qualifications necessary to accomplish the taskings.

INCLUDE THE FOLLOWING PARAGRAPH WHEN FAR CLAUSE 52.222-46 IS INCLUDED IN THE SOLICITATION:

In accordance with FAR 52.222-46 “Evaluation of Compensation for Professional Employees,” Offerors shall submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the Contract, including first-tier subcontractor employees. Supporting information should include data such as recognized national and regional compensation surveys and studies of professional, public and private organizations used in establishing the total compensation structure. The compensation levels proposed should reflect a clear understanding of work to be performed and should indicate the capability of the proposed compensation structure to obtain and keep suitably qualified personnel to meet mission objectives. The salary rates or ranges must take into account differences in skills, the complexity of various disciplines, and professional job difficulties. Offerors are cautioned that lower compensation for essentially the same professional work may indicate lack of sound management judgment and lack of understanding of the requirement. Professional compensation that is unrealistically low or not in reasonable relationship to the various job categories may impair the Contractor’s ability to attract and retain professional service employees, and thus, may be viewed as evidence of failure to comprehend the complexities of the contract requirements. Failure to comply with these provisions may constitute sufficient cause to justify rejection of a proposal.

(d) Indirect Costs. In order to verify the realism of the Offeror’s proposed indirect rates, all Offerors should submit, as part of their Cost Proposal, documentation substantiating the accuracy of its proposed indirect rates. To the extent that an Offeror is proposing a subcontractor on a cost-reimbursement basis, the documentation substantiating the accuracy of the subcontractor’s proposed indirect rates is also required. Acceptable documentation may include the following:

(1) Copies of current or prior fiscal year DCMA Forward Pricing Rate Agreement (FPRA), the offeror’sForward Pricing Rate Proposal (FPRP), Provisional Billing Rate Approval or Provisional Billing RateSubmission, whichever is most recent.
(2) If none of the documentation identified in paragraph (1) above is available, historical indirect data, to include provisional rates, actual incurred rates, and annual incurred cost claims (if submitted), shall be provided for the three years prior to the Offeror's current fiscal year. This data should include the all of the Offeror's indirect rates as applicable to the Offeror's accounting system. If proposing indirect rates significantly different from recent incurred rates, Offerors shall include a detailed explanation and supporting cost data (including budget information).

If the offeror is proposing subcontracts on other than a CPFF basis, the offeror should submit information as to whether the rates for the subcontractors are fixed based on a firm bilateral agreement with the subcontractor or merely proposed. In addition, the offeror shall explain why it believes the subcontractor can perform at those rates.

(e) For proposal purposes, the following ratios of On-site (Contractor facility) and Off-site (Government facility) labor performance are established for all labor categories:

(f) The offeror shall use the following estimated cost for travel. This estimated amount will be used as a common evaluation amount in all offerors’ proposals; the amount specified below includes no associated indirect costs. The offeror shall include the estimate travel cost specified below in its cost proposal, and load the cost appropriately with indirect cost. The estimated amount below, plus indirect cost, as determined cost realistic by the Government, will be used in the evaluation of proposals, and will be included in resultant contracts as “not-to-exceed” amounts under which the offeror will be permitted to invoice its actual costs.

(i) Travel estimated above is for travel and subsistence associated with performance under any resultant contract which will be reimbursed in accordance with the clause entitled “Reimbursement of Travel Costs.”

(ii) Material estimated above is for incidental material and special materials as defined in the clause entitled, ”Allowability of Material and General Business Expenses” and elsewhere in the solicitation.

(iii) Any offeror having an accounting system which includes, within overhead or G&A, travel and/or material shall specifically state this fact within the price/cost proposal.

(g) Any and all subcontracts identified in the non-cost proposal shall be identified and priced in the cost proposal. Subcontracts (regardless of dollar value) shall be adequately documented. Subcontractor cost breakdowns, regardless of contract type, may be submitted in separate electronic submissions.

NOTE: The prime contractor shall provide a list of all its subcontractors, the type of contract it will hold with each subcontractor (i.e. CPFF, FFP, LH, etc.), the value of each subcontract and the cognizant Security Office (name, address, and identification code) for each subcontractor.

(h) If the offeror is currently being audited, or has been audited, by the Defense Contract Audit Agency (DCAA), the name and location of the assigned DCAA office should be furnished with the cost proposal. If applicable, all subcontractors who have been audited or are in the process of being audited, should also furnish the name and location of the assigned DCAA office with their sealed proposals.

(i) The offeror shall demonstrate that, as required by FAR 16.301-3(a)(3), its accounting system is adequate for determining costs applicable to the contract. If the offeror has an accounting system that had been determined by DCAA to be adequate for a cost reimbursement contract, the offeror should provide documentation of DCAA’s determination. If an offeror’s accounting system has not been determined, by DCAA, to be adequate for determining costs applicable to cost reimbursement contracts, the offeror will be considered ineligible for contract award. If the offeror’s accounting system has not been determined by DCAA to be adequate for determining costs applicable to cost reimbursement contracts, the offeror shall complete and submit an SF 1408 attached hereto as part of the Volume II, Cost Proposal.

(j) In addition to providing a total cost breakdown as part of the cost proposal, offerors shall complete Attachment VI, Pricing Spreadsheet, which provides maximum labor rates for each labor category anticipated for performance under FFP orders under the contract. Subcontractors may submitted in a separate electronic submission of Attachment VI to provide maximum labor rates for each labor category they are proposed to perform under the FFP orders under the contract The proposed fully burdened FFP labor rates shall be provided by the offeror and subcontractor in Attachment VI of the solicitation and will be incorporated into the resultant contract as the ceiling rates for each labor category. All proposed labor rates shall be expressed as a value and be rounded to two decimal places (no formulas). Failure to include a rate for all of the provided labor categories within Attachment VI may deem an offeror to be non-responsive. The offeror shall not deviate from the labor categories identified in Attachment VI of the Solicitation.

Note on Task Order Pricing for FFP Orders: The prices or labor rates that are in effect on the date any task order is issued by the Government shall apply for the full period of performance of the task order. If the task order also includes option periods, the rates that are in effect on the date the option period is exercisable shall apply for the full period of performance of the option period.
