C.1 INTRODUCTION
1.1 Naval Surface Warfare Center Dahlgren Division (NSWCDD), Engagement Systems Department has a requirement for the manufacture, assembly, inspection, and delivery of Gun Weapon System (GWS) components such as; Ammunition Handling System (AHS), Gun Mounts (GM), Trainable Gun Mounts (TGM), Gun Computer Cabinets (GCC), Gun Power Cabinets (GPC) assemblies, and all future redesigned and upgraded assemblies that derive from research, prototyping, and developmental stages of Battle Management Systems (BMS) programs. All of the mentioned assemblies are used for BMS airborne gunship applications. Similar GWS components have been produced for previous BMS programs with little to no consistency between manufacturers. This effort will concentrate on having International Organization for Standardization (ISO) 9001 and Aerospace Quality Standard AS9100C certified rapid machining and manufacturing companies manufacture future GWS components, which are designed by a highly qualified Government team of BMS engineers. This overall effort shall encompass the rapid manufacturing, assembling, inspection, and delivery of future GWS components built for BMS programs from a Government provided and qualified Technical Data Package (TDP).
C.2 SCOPE
The Contractor shall fabricate and deliver GWS components in accordance with (IAW) a Government qualified TDP. The Contractor shall package and deliver hardware kits IAW Government qualified packaging and parts lists requirements. The Contractor shall have the ability to manufacture directly from CAD models and Government owned drawings.
CAD models will be available from the Government. In the case of a conflict of specifications between the CAD model and Government drawing, the specifications of the Government drawing will supersede the specifications of the CAD model.
At the Government’s discretion, first article or individual prototype items will need to be “test fitted” before production runs. The Government will specify each “test fit” effort for that particular fabrication requirement in each individual delivery order. Government Furnished Property will be provided to the Contractor by the Government for these “fit tests”, and specified in each delivery order. During these events, the Government will travel to the Contractor’s facility.

Ddl-G21 TYPES OF ORDERS UNDER INDEFINITE DELIVERY TYPE CONTRACTS
(a) Each Request for Quotation sent to the Contractor shall be firm fixed price. A firm fixed price order provides for a price that is not subject to any adjustment on the basis of the contractor's cost experience in performing the delivery order.
Ddl-G22 TASK/DELIVERY ORDER PROPOSAL REQUIREMENTS
The Contracting Officer shall give every awardee a fair opportunity to be considered for a delivery order value exceeding $3,000 unless a statutory exception applies in accordance with FAR 16.505.
(a) The contractor shall submit proposals for orders in response to written requests issued by the Contracting Officer. Request for Proposals (RFP) will be sent to all of the Multiple Award Contract contractors.
Proposals shall be provided within ten (10) working days after receipt of the request. The request will identify the delivery schedule. Any proposal received after the exact date and time specified in the RFP for receipt of offerors is “late” and will not be considered.
(b) Proposals shall contain, as a minimum, the following information. This requirement applies equally to the level of detail required from the prime contractor and, if applicable, each proposed subcontractor. Additional information, unique to the order will be specified in the request. This may include a requirement for a brief statement of technical approach and schedule.
(1) Purchased/Subcontracted Materials and Services to include material quantities, the basis for pricing, price or cost analysis of subcontract proposals, basis for establishing the source and the basis of price reasonableness.
(2) Proposed direct labor to include contract and contractor labor category, proposed direct hours, proposed hourly rate, and extended direct labor dollars for each individual.
(3) Other direct costs – A description and associated dollars for each ODC item shall be provided.
In addition, provide the rationale for the amount proposed.
(4) Travel - Identify the point of origin and destination, length of trip (including transit time), number of travelers, and number of trips. Costs shall be broken down into transportation, per diem, rental car, personal mileage, etc., with a total provided for each trip.
(5) Indirects – Provide rates and associated dollars for each proposed indirect pool (i.e, fringe, overhead, G&A, material handling, etc.,)
(6) The Government desires a minimum of Government Purpose Rights for all items delivered under the resulting delivery orders. It is recognized that additional components may be identified during the term of the contract with specific requirements being identified in orders. As part of the order proposal process, the contractor must identify any component of the solution that will not be provided with at least Government Purpose Rights. The order proposal must identify the type of rights that will be provided with each component; an explanation of how the component(s) will be used in the solution, the impact of not using the component(s); and a price for obtaining a minimum of Government Purpose Rights.
(c) The contractor shall deliver to the Government all order proposals via electronic (Internet) transmission to the maximum extent practicable. Although not bearing original signatures, the Government will consider all such deliveries to carry the same force and effect as if submitted in hard copy and bearing original signatures of the contractor.
(d) The contractor shall provide a copy of each order’s proposal directly to the COR at the same time the proposal is submitted to the Contracting Officer.
(e) Award will be based on the evaluation criteria established in the delivery order RFP which shall always include, as a minimum, price and past performance in accordance with the information stated in Section C.8.
SUPPLEMENTAL INSTRUCTIONS REGARDING ELECTRONIC INVOICING (NAVSEA) (SEP 2012)
(a) The Contractor agrees to segregate costs incurred under this contract/task order (TO), as applicable, at the lowest level of performance, either at the technical instruction (TI), sub line item number (SLIN), or contract line item number (CLIN) level, rather than on a total contract/TO basis, and to submit invoices reflecting costs incurred at that level. Supporting documentation in Wide Area Workflow (WAWF) for invoices shall include summaries of work charged during the period covered as well as overall cumulative summaries by individual labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of other direct costs (ODCs), materials, and travel, by TI, SLIN, or CLIN level. For other than firm fixed price subcontractors, subcontractors are also required to provide labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of ODCs, materials, and travel invoiced. Supporting documentation may be encrypted before submission to the prime contractor for WAWF invoice submittal. Subcontractors may email encryption code information directly to the Contracting Officer (CO) and Contracting Officer Representative (COR). Should the subcontractor lack encryption capability, the subcontractor may also email detailed supporting cost information directly to the CO and COR; or other method as agreed to by the CO.
(b) Contractors submitting payment requests and receiving reports to WAWF using either Electronic Data Interchange (EDI) or Secure File Transfer Protocol (SFTP) shall separately send an email notification to the COR and CO on the same date they submit the invoice in WAWF. No payments shall be due if the contractor does not provide the COR and CO email notification as required herein.
Section H - Special Contract Requirements
Ddl-H10 EMPLOYMENT OF US GOVERNMENT PERSONNEL RESTRICTED
In performing this contract, the Contractor shall not use as a consultant or employ (on either a full or part time basis) any active duty U.S. Government personnel (civilian or military) without the prior written approval of the Contracting Officer. Such approval may be given only in circumstances where it is clear that no laws and no DoD or U.S. Government instructions, regulations, or policies might possibly be contravened and no appearance of a conflict of interest will result.
Ddl-H45 ENGINEERING CHANGES
(a) After contract award, the Government may solicit, and the Contractor is encouraged to propose independently, engineering changes to the equipment, software specifications, or other requirements of this contract.
These changes may be proposed to save money, to improve performance, to incorporate new technology, to save energy, or to satisfy increased data processing requirements. If the proposed changes are acceptable to both parties, the Contractor shall submit a priced change proposal to the Government for evaluation. Those proposed engineering changes that are acceptable to the Government will be processed as modifications to the contract.
(b) This ENGINEERING CHANGES clause applies only to those proposed changes identified by the Contractor, as a proposal submitted pursuant to the provisions of this clause. As a minimum, the following information shall be submitted by the Contractor with each proposal:
(1) A description of the difference between the existing contract requirement and the proposed change, and the comparative advantages and disadvantages of each;
(2) Itemized requirements of the contract which must be changed if the proposal is adopted, and the proposed revision to the contract for each such change;
(3) An estimate of the changes in performance and cost, if any, that will result from adoption of the proposal;
(4) An evaluation of the effects the proposed change would have on collateral costs to the
Government, such as Government-furnished property costs, costs of related items, and costs of maintenance and operation; and
(5) A statement of the time by which the change order adopting the proposal must be issued so as to obtain the maximum benefits of the change(s) during the remainder of this contract. Also, any effect on the contract completion time or delivery schedule shall be identified.
(c) Engineering change proposals submitted to the Contracting Officer shall be processed expeditiously.
The Government shall not be liable for proposal preparation costs or any delay in acting upon any proposal submitted pursuant to this clause. The Contractor has the right to withdraw, in whole or in part, any engineering change proposal not accepted by the Government within the period specified in the engineering change proposal.
The decision of the Contracting Officer as to the acceptance of any such proposal under this contract shall be final.
(d) The Contracting Officer may accept any engineering change proposal submitted pursuant to this clause by giving the Contractor written notice thereof. This written notice may be given by issuance of a modification to this contract. Unless and until a modification is executed to incorporate an engineering change proposal under this contract, the Contractor shall remain obligated to perform in accordance with the terms of the existing contract.
(e) If an engineering change proposal submitted pursuant to this clause is accepted and applied to this contract, an equitable adjustment in the contract price and in any other affected provisions of this contract shall be made in accordance with this clause and other applicable clauses of this contract. When the cost of performance of this contract is increased or decreased as a result of the change, the equitable adjustment increasing or decreasing the contract price shall be in accordance with the "CHANGES" clause rather than under this clause, but the resulting contract modification shall state that it is made pursuant to this clause.
(f) The Contractor is requested to identify specifically any information contained in the engineering change proposal which the Contractor considers confidential and/or proprietary and which the Contractor prefers not be disclosed to the public. The identification of information as confidential and/or proprietary is for informational purposes only and shall not be binding on the Government to prevent disclosure of such information. Offerors are advised that such information may be subject to release upon request pursuant to the Freedom of Information Act (5 U.S.C. 552)
Ddl-H50 NOTICE OF INCORPORATION OF SECTION K
