About this file
This is a Justification and Approval (J&A) document for the use of other than full and open competition issued by the Naval Surface Warfare Center, Crane Division (NSWC-CR), under Naval Sea Systems Command (NAVSEA).
The document justifies awarding a five-year firm-fixed-price Indefinite Delivery Indefinite Quantity (IDIQ) contract on a sole source basis to Northrop Grumman (NG), 21240 Burbank Blvd, Woodland Hills, CA 91367-6675, for the procurement and sustainment of Inertial Measurement Units (IMU). The total estimated contract value is $6,271,864 across fiscal years 2026-2030. The IMU component supports the Raytheon (RTX) family of Electro-Optic/Infrared (EO/IR) Systems, also known as Multi-Spectral Targeting Systems (MTS), which provide Intelligence Surveillance and Reconnaissance and Detection, Identification and Targeting capability for manned and unmanned platforms. The supplies and services include procurement of new IMUs, test/teardown/inspection and evaluation (TT&E), failure analysis and repairs, engineering services, technical data to support factory repair, and spare assemblies for specific IMU models (LN-200(40G), LN-200(2G), LN-200E, and LN-200HP). NG is identified as the original equipment manufacturer (OEM) of the IMU component.
The justification for sole source procurement cites statutory authority under 10 U.S.C. 3204(a)(1), stating that only one responsible source exists. The Government does not own adequate design specifications to permit competition, and NG possesses exclusive capability to provide required supplies and services within the required timeframe. The document notes that introducing alternate sources would require additional costs of approximately $2,017,500 and cause delays of 18-24 months. A Sources Sought notice was posted on SAM.gov from January 22 to February 5, 2025, with minimal interest; only Bloomberg requested market research information and Xikaku provided sensor data sheets that did not meet specific design requirements. A Synopsis was posted February 25, 2025, and will remain open until solicitation in June 2025. The Contracting Officer has determined anticipated costs to be fair and reasonable.

JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Sea Systems Command (NAVSEA) Naval Surface Warfare Center, Crane Division (NSWC-CR), Expeditionary Sensors Contracts Division (Code 0231)
2. Description of the Action Being Approved.
Award of a five (5) year firm-fixed-price, Indefinite Delivery Indefinite Quantity (IDIQ) contract for the procurement and sustainment of Inertial Measurement Units (IMU), on a sole source basis to Northrop Grumman (NG), 21240 Burbank Blvd, Woodland Hills, CA, 91367-6675.
3. Description of Supplies/Services.
The IMU component supports the Raytheon (RTX) family of Electro Optic/Infrared (EO/IR) Systems, also known as Multi-Spectral Targeting Systems (MTS). NG is the original equipment manufacturer (OEM) of the IMU. The supplies and services include the procurement of test, teardown/inspection and evaluation (TT&E), failure analysis and repairs; engineering services;
technical data to support factory repair; and spare assemblies in direct support of MTS, As MTS OEM, RTX, subcontracted design and production of the cited components to the respective developer/manufacturer NG. The anticipated supplies and services will be utilized in the repair and sustainment support of MTS, , hereafter referred to as EO/IR Systems. These systems provide Intelligence Surveillance and Reconnaissance, Detection, Identification and Targeting capability in day/night operations for both manned and unmanned platforms. These internal components are key elements of the MTS and have been integrated, tested and documented as part of the MTS approved configuration by RTX. The procurement of new IMUs to support upgrades and spares, as well as the TT&E and repairs of these components will facilitate a shortened overall repair turn-around time of the overarching MTS to increase availability.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Informal market research continues to be conducted by NSWC-CR. Market research includes contacting knowledgeable individuals in the Government and industry, reviewing previous procurements and in-house contracts, review of catalogs and other product literature, internet searches and attendance at Industry Trade shows. NSWC-CR representatives maintain a close working relationship with the Electro-Optics industries throughout the world. This working relationship with industry provides a base of knowledge as extensive as would normally be obtained through a formal market survey and facilitates continuous knowledge of the available technologies and manufacturing capabilities throughout the industry. Based upon the aforementioned background and working relationship with industry, it is the technical representatives' judgment that there are no known qualified sources other than cited contractors.
A Sources Sought notice was posted via the System of Award Management (SAM) website, SAM.gov, on 22 JAN 2025 and closed 5 FEB 2025, in accordance with (IAW) FAR 6.302-1. One vendor for Bloomberg responded requesting information for market research. The Government replied and no further inquiry was made. Another company, Xikaku, provided data sheets for their sensors. Technical reviewed the packet and verified that the information submitted does not meet the specific design requirements for this IMU. Xikaku was notified and acknowledged. The Government will not change the acquisition strategy from Sole Source. No other sources expressed interest. A Synopsis was posted via the SAM website, SAM.GOV, on 25 FEB 2025 and will remain open until solicitation in JUN 2025.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in Paragraph 5, NSWC-CR has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NSWC-CR will assess whether competition for future requirements is feasible.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review. Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
