The DO/TO Ombudsman is available to the Contractor to assist in the resolution of complaints arising under the issuance of any DO/TO under this contract. Utilization of the Ombudsman process is optional. In the case of DO/TO value in excess of $25 million the Contractor may file a protest with the Government Accountability Office (GAO).
Any contact with the Ombudsman does not extend any of the timelines for filing a protest with the GAO. In accordance with FAR 16.505(a)(10)(i)(B)(2), no protest under FAR Subpart 33.104 is authorized in connection with the issuance or proposed issuance of an order valued at $25 million or less under this contract, including DO/TO Contracting Officer decisions regarding fair opportunity, except for a protest on the grounds that a DO/TO increases the scope, or maximum value of this contract.
If a Contractor elects to utilize the Order Ombudsman process, the Contractor is instructed to first contact the local activity Contract Specialist and Contracting Officer for issue resolution. If the issue is not able to be resolved, the issue shall then be elevated to the cognizant Ombudsman

C.10 TEAMING AND SUBCONTRACTING
C.10.1. - Definitions
“Prime” Contractor means that the Contractor has privity-of-contract with the Government for all contractual obligations under a mutually binding legal relationship with the Government. In other words, when the Government awards a contract to a Contractor, the Contractor is considered the “Prime” contractor.
“Team member” is a term applied only at the IDIQ-MAC level. Team members are established for use in DO/TO electronic proposal submissions. Team members are not legally binding, their inclusion at the IDIQ-MAC level is to set up electronic relationships for use as potential subcontractors in DO/TO performance. Team members do not have to have a subcontract agreement with the Prime at time of team member requests.
The term “Subcontractor” is when a Prime Contractor awards a contract to another Contractor. The term is applied at the DO/TO.
Team members and subsequent subcontractors do not have to hold an IDIQ-MAC to perform tasking under USV FoS orders. They must, however, hold active registrations in SAM.
C.10.2. - Subcontracting Plan
For Large Business Offerors - Offeror shall submit as part of its proposal a written proposed subcontracting plan in accordance with the clause entitled "SMALL BUSINESS SUBCONTRACTING PLAN" (FAR 52.219-
9)(DEVIATION 2018-O0018).
C.11. AFFILIATES RULE
C.11.1 - Definitions
“Affiliates” are business concerns that are affiliates of each other if, directly or indirectly, either one controls or has the power to control the other, or another concern controls or has the power to control both.
“Division” is a separate business unit of a company representing a specific business function.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned directly by a parent corporation;
or through another subsidiary of a parent corporation.
C.11.2. - One Prime Contract per Company
“Company” includes affiliates and business units as defined in FAR 2.101. The term “Company” also includes Joint Ventures. This rule does not prevent the affiliated (including Joint Venture) company from being able to participate in USV FoS IDIQ-MAC even if one of the companies has their own IDIQ-MAC. Any proposal submitted in response to an order solicitation would need to be submitted via email through the Prime contract holder and the proposal should clearly identify the affiliate as the Prime. Contractors are cautioned that the Prime IDIQ-MAC is the authorized and binding authority in any DO/TO award. All payment information and Contractor Performance Assessment Reporting System (CPARS) ratings will flow through the Prime IDIQ-MAC holders and although the affiliate may hold a different size status/representation, the size and representations of the Prime IDIQ-MAC is what governs.
C.12. ROLLING ADMISSION
The Government reserves the right to solicit additional IDIQ-MAC holders. The purpose of this RFP is to receive proposals for award of the USV FoS IDIQ-MAC. The period of performance of the base period shall be approximately five (5) years from date of contract award (with the potential of a five (5) year ordering period option). The Government will assess the quality of performance by each IDIQ-MAC holder, the number, value and complexity of work assigned to each holder and amount of competition achieved and whether revisions are needed to the scope of the Statement of Work. Based on these criteria and if it is in the best interest of the Government, the PCO may solicit for additional IDIQ-MAC holders to this contract.
C.13 CONTRACTOR SIZE STATUS
Size status of the IDIQ-MACs shall reflect either Small Business or other than Small Business (Large Business) under NAICS 334511. Contractors would be required to recertify at the five (5) year Option renewal, if exercised.
Representations of WOSB, SDVOSB, 8(a) and HUBZone shall be monitored for award eligibility in set-asides at the DO/TO level. Business concerns within the Joint Ventures would be considered an affiliate in accordance with the Affiliates rule.
NOTE: Statement of Work, additional text and/ or clauses will be inserted in the DO/TO’s as appropriate.

After planned IDIQ-MAC award, all subsequent task and delivery orders will be competed among qualified contractors for the functional area (or areas) applicable to each requirement in accordance with FAR 16.505, unless one of the exceptions to fair opportunity at FAR 16.505(b)(2)(i) applies. For each DO/TO competition, a solicitation will be issued via email requesting a proposal under the respective functional area (or areas) it applies to.
1.3 ONLY US COMPANIES ARE ELIGIBLE FOR AWARD. United States companies are the only companies eligible for award on this IDIQ-MAC. This restriction does not prevent foreign participation at the subcontract level or as an affiliate (see Section C.11) provided it conforms with the Contract/ Order requirements of the IDIQ-MAC and adheres to US regulations and statutes.
1.4 ONE OFFER PER COMPANY. Only one offer per Company (see Section C.11.2) shall be submitted. If the Government receives more than one offer from a Company, the Government may reject any or all offers from that Company. This rule only applies at the Prime level.
1.5 SECURITY REQUIRMENT. The Offeror will need to have a Defense Security Service (DSS) issued SECRET facility clearance, providing for SECRET safeguarding capability at time of award for this contract. Future DO/TO’s under the IDIQ-MAC may require a Defense Security Service (DSS) issued SECRET facility clearance, providing for SECRET personnel clearances and SECRET safeguarding capability. 3.0 GENERAL INFORMATION REQUIRED TO PREPARE OFFERS
3.1 For Bidding/Proposal purposes the estimated date of contract award is 30 August 2019.
3.2 Offerors shall limit the amount of proprietary data in the proposal as identified in DFARs 252.227-7013.
3.3 The proposal shall be prepared and submitted in form and content in accordance with the instructions herein.
3.4 Offerors must respond to the specific requirements of the solicitation being proposed on with no additions or deletions. The Government will not entertain any proposed revisions to the terms and conditions contained in this solicitation submitted as part of the offeror’s proposal, including any attachment/exhibit referenced therein.
Therefore, any offer that includes “redlines,” condition(s) of offer, or any other deviation from the requirements of the solicitation may be rejected by the Government as non-compliant.
3.5 An Offeror’s proposal is presumed to represent their best efforts to respond to the solicitation. The Government intends to award multiple contracts without discussions, as permitted by FAR 52.215-1.
3.6 Clarity, completeness and conciseness are essential, and the proposal shall be evaluated in the context of being representative of the Offeror’s capabilities. Data previously submitted, or presumed to be known, i.e., previous projects performed for the Navy cannot be considered unless such information is provided. Responses must adequately address specific solicitation requirements, and be responsive to the terms and conditions of the solicitations. Statements such as “the Offeror understands,” “the Offeror has a long history of outstanding support,” along with responses that paraphrase the solicitation, are considered inadequate. Phrases such as “standard procedures shall be employed” or “well known techniques shall be used,” without a specific Government or industry reference, shall be considered inadequate and unsatisfactory.
3.7 Offerors shall not include CLASSIFIED material in the proposal.
3.8 Offerors must respond to the specific requirements of the solicitation. Offerors shall not alter the solicitation (other than completing the appropriate “fill-in” blocks and certifications). Offerors, who alter the solicitation (except for completing the appropriate “fill-in” blocks and certifications), may be considered non-responsive and may render the Offeror ineligible for award.
3.9 The Government also reserves the right to change any of the terms and conditions of this solicitation by amendment.
3.10 Offerors may submit only one proposal as a prime Contractor. Only one contract will be awarded per successful Offeror inclusive of all divisions, subsidiaries, and affiliates under common control.
3.11 Since there are firm fixed price CLINs included in this solicitation, a DCMA/DCAA approved accounting system is not required to be eligible for award of a USV FoS MAC. However, successful awardees would not be eligible to receive a cost type or flexibly priced DO/TO until a pre-award survey of the Offeror’s accounting system complies in all material respects with the criteria contained in Standard Form 1408 (SF1408). Upon request, the Government will initiate requests for accounting system review for any Successful Offeror that does not currently have an approved system after awards have been made from this solicitation. Documentation will be provided to the successful awardees that will need to submit and complete the preaward accounting system adequacy checklist and return it to the Government before the audit request can be initiated. Financial capability reviews are now being conducted by DCMA instead of DCAA. Documentation for this review will need to be provided to DCMA upon request. This will be required after award has been made, so no submission is required with the proposal being requested by the solicitation.
3.12 Offerors will propose to one or more functional areas. Offerors do not need to propose to all the functional areas to be eligible for award at the IDIQ-MAC level. Subsequently, Offerors will only be able to compete for solicited orders under the functional area (or areas) for which they are successfully evaluated.

The cover letter shall identify all enclosures being transmitted as part of the proposal. 5.3 TECHNICAL PROPOSAL
The solicitation contains a single SOW. There are six functional areas; Payloads, Non-Payload Sensors, Mission Support Systems, Autonomy and Vehicle Control Systems, Ashore and Host Platform Elements, and Logistics and Sustainment. Offerors are required to submit a description of experience in one or more of the functional areas as a Prime contractor in direct support of DOD or Coast Guard contracts. An Offeror’s description of recent and relevant experience shall reference one but not more than three contracts/ agreements (e.g., Other transaction agreements) for each proposed functional area or areas. Offerors shall propose to each functional area they intend to compete for at the DO/TO level. Offerors shall propose to at least one but may also submit to multiple functional areas. Offerors may include the same experience under multiple functional areas, as long as said experience is relevant to the proposed functional area.
The requirement for experience in direct support of the DOD or Coast Guard applies only to the Prime Contractor and is based on the unique nature of the missions of the DOD and Coast Guard and the support necessary to successfully execute those missions. DOD or Coast Guard experience, in areas such as shipbuilding, weapons system engineering/systems integration and IT support to those systems require a level of familiarity with the way the DOD and the Coast Guard execute missions to be successful. Support provided via contract with DOD agencies otherwise referred to as 4th estate agencies (DAU, DCAA, DCMA, etc.) and not directly in support of the DOD and Coast Guard in the areas listed in Section C will not be accepted. Holding a contract or agreement issued by a DOD or Coast Guard contracting activity does not, in and of itself, represent services in direct support to the DOD or Coast Guard. Holding a MAC or BPA without performance of any task orders under them does not represent services in direct support of the DOD or Coast Guard. Simply holding a MAC or BPA is not sufficient. The company has to have actually performed work under the MAC/BPA, i.e., been awarded a Task Order under the MAC or BPA.
The information submitted is intended to provide the Government with evidence of recent and relevant technical experience providing support to the DOD or Coast Guard, as a Prime contractor. The Government anticipates holding an on-ramp, or rolling admission, approximately five years after award of the initial IDIQ-MAC, potential Offerors/ current IDIQ-MAC holders who did not have experience at the time of the initial awards may then meet that criterion.
For the purposes of the technical proposal, recent is defined as performed within the last five years and relevant is defined as mapping relevant experience to the proposed functional area(s) descriptors in Section C, C.4.The following information shall be provided:
• Contract Number and/or agreement & Name of activity supported
• Description of tasking performed
• Period of Performance Dates
Offerors shall specify which Functional Area (SOW Paragraphs C.4.1 through C.4.6) that the Offeror’s experience correlates with. The Government will not consider the experience of individual employees or of team members as qualifying experience for a proposed Prime Contractor.
NOTE: Past performance references are not required or desired.
5.4 STANDARD FORM 33
Complete blocks 12 through 18. DO NOT CHANGE THE SF33 IN ANY WAY EXCEPT TO ADD THE OFFEROR’S INFORMATION THAT IS REQUIRED IN BLOCKS 12 THROUGH 18. The Offeror shall submit one copy of the signed SF33 cover page and transmit via email along with its proposal.
Section B: Offerors shall not complete or submit Section B. All IDIQ-MAC awards will be made at the same maximum value. No cost or pricing data shall be submitted with the IDIQ-MAC proposal.
5.5 ATTACHMENT L.1 CONTRACTOR INFORMATION SPREADSHEET
Offerors shall use Attachment L.1, Contractor Information Spreadsheet, to provide prime information with the proposal.
Prime Offeror information shall include:
1. Contractor Name & Address (provide a mailing address if different than physical address)
2. *Two (2) points of contacts (Primary and alternate) name, phone number, email address
3. Commercial and Government Entity (CAGE) Number
4. DUNs Number
5. Business Size for NAICS code 334511
*These point of contacts will receive all DO/TO information
5.6 ATTACHMENT L.2 FUNCTIONAL AREA ELIGIBILITY
Offerors shall submit Attachment L.2 Functional Area Eligibility. Offerors are the place a “X” next to the functional area(s) they are proposing for.
5.7 ATTACHMENT J.1 DD 254 SECURITY REQUIREMENTS
The Offeror will need to have a Defense Security Service (DSS) issued SECRET facility clearance, providing for SECRET safeguarding capability at time of award for this contract. Future DO/TO’s under the IDIQ-MAC will include security requirements and may involve access to, handling of, and generation of classified material. The Government will not provide sponsorship for new or upgraded personnel or facility clearances for the IDIQ-MAC or for DO/TO level.
NOTE: Security requirements of the DO/TO’s and any DDS verification will be based on the CAGE Number of the Prime Contractor.
5.8 SMALL BUSINESS SUBCONTRACTING PLAN
For Large Business Offerors - Offeror shall submit as part of its proposal a written proposed subcontracting plan entitled "Company_Name_SUBCONTRACTING_PLAN" in accordance with the clause (FAR 52.219-9) (DEVIATION 2018-O0018)) and (L-219-H001). The plan shall include the mandated goals (i.e.
