SECTION A - SOLICITATION/CONTRACT FORM

The required response date/time has changed from 02-May-2018 12:00 PM to 21-May-

2018 12:00 PM.

SECTION C - DESCRIPTIONS AND SPECIFICATIONS

The following have been modified:

SECTION C-1 CLIN DESCRIPTION

The requirements of the MK54 Array Kit provided in the Technical Data Package (Attachment 1) include both performance specifications in addition to detail specifications at various levels of assembly. Performance specifications take precedence over the design specifications. Compliance with only the detail specifications does not relieve the Contractor from meeting all performance specification requirements. In the event that the contractor's system engineering and design approach following the Performance Specifications necessitates updates to the detail specifications, the Contractor is required to submit necessary changes as described in paragraph

3.3.3.2.1 CHANGES TO & VARIANCES FROM THE CONTRACT BASELINE. Additionally, lower level technical drawings are provided as GFI in Attachment 2. All GFI is for informational purposes only. The

Government does not warrant the ability to build compliant acoustic arrays using the GFI provided. The contractor is fully responsible and provided the design space to develop new or revised element, ceramic ring, and associated drawings, processes, and procedures to make compliant Array Nose Assemblies (ANA) to the top level detail and performance specification requirements. The contractor should not assume that the Government will revise the performance specification to allow non-fully compliant Array Kits to be delivered to the Government.

Item(s) 0001 – MK54 MOD 0 Array Kit, Proof of Manufacture (POM) For the purposes of this CLIN each MK54 MOD 0 Array Kit is comprised of an Array Nose Assembly (ANA) P/N

8418283, a transmitter (TX) Assembly P/N 8418343, and TX mounting hardware (Exhibit E). The Contractor shall perform nonrecurring engineering (NRE) design and redesign, fabricate and/or procure, assemble, test and deliver the MK54 MOD 0 Array Kit Proof of Manufacture (POM) units in the quantities specified herein in accordance with the requirements of the Attachment 1 Technical Data Package (TDP) which includes both performance specifications in addition to detail specifications at various levels of assembly. In particular the CLIN

0001 POM units must comply with the Array Nose Assembly (ANA) performance specification (7109301) and the

Transmitter performance specification (WS22038) in addition to the detail specification requirements. In situations where the detail specification contradicts the performance specification, the Contractor is required to submit necessary changes as described in paragraph 3.3.3.2.1 CHANGES TO & VARIANCES FROM THE

CONTRACT BASELINE.

POM units shall be equivalent to MK54 MOD 0 Array Kit production units procured under CLIN 0002 (0102, 0202, 0302, 0402); however, the POM units will be used for Qualification and Validation Testing purposes only.

Item 0001 will comprise of nine (9) each TXs, nine (9) each ANAs, and nine (9) each TX mounting hardware kits listed in Exhibit E. Element, ceramic ring and associated drawings, omitted from the TDP, and the technical reports and models that can assist in developing new element, ceramic and associated drawings have been provided for informational purposes only as part of the Attachment 2, Government Furnished Information (GFI). The

Contractor is required to update the GFI drawings or provide new drawings for the element, ceramic ring and associated drawings included in Attachment 2 and submit updates to the GFI-provided drawings to reflect the as-built configuration.

For purposes of this contract, the MK54 Array Kit POMs are Government first article units.

Item(s) 0002 and (IF OPTION EXERCISED) 0102, 0202, 0302 and 0402– MK54 MOD 0

Array Kits The MK54 MOD 0 Array Kit shall consist of two Functional Item Replacements (FIRs), the MK54 MOD 0 ANA

(P/N 8418283) and the MK54 MOD 0 TX (8418343), as well as TX mounting hardware (Exhibit E). The

Contractor shall fabricate, and/or procure, assemble, test and deliver the MK54 MOD 0 Array Kits in accordance with the requirements of the Attachment 1 TDP which includes both performance specifications in addition to detail specifications at various levels of assembly. In particular, the CLIN 0001 POM units must comply with the

Array Nose Assembly (ANA) performance specification (7109301) and the Transmitter performance specification

(WS22038) in addition to the detail specification requirements. CLIN 0002 and (IF OPTION EXERCISED) 0102, 0202, 0302 and 0402 units shall be equivalent to MK54 MOD 0 Array Kit POM units procured under CLIN 0001.

Element, ceramic ring and associated drawings, omitted from the technical data package, and technical reports and models that can assist in developing new element, ceramic and associated drawing has been provided for informational purposes only as part of the Attachment 2 GFI.

Applicable to Foreign Military Sales (FMS) units: The Contractor may, in accordance with DFARS 225.7303-2, submit their negotiated offset agreement to the PCO at the time of Letter of Offer and Acceptance (LOA) approval after contract award. With concurrence from PMS 404, the Contracting Officer will review and may approve adjustments to Contract Line Item Number/Sub-Line Item Number (CLIN/SLIN) FMS pricing in accordance with

(d) Approval/Rejection Requirements.

The Contractor shall notify the Government in writing of OEM or other obsolescence notices within 15 days of receipt or gaining knowledge of an obsolete part, including the last order date. The Government will either approve or reject all DMSMS/Obsolescence proposals by providing written notice to the Contractor within forty-five (45) days after receipt of the notice required by section (c) above by the Contracting Officer. The Government will provide explanation for any rejection. Where the Contracting Officer provides notification of approval, the

Contractor’s obligations relating to such DMSMS/Obsolescence proposal shall be discharged to the extent that the deficiency is corrected. If in the judgment of the Government the incorporation of such approved

DMSMS/obsolescence change does not correct the deficiency, the Contractor shall remain responsible for resubmitting and obtaining acceptance of a proposal to resolve the DMSMS/Obsolescence issue.

(e) Schedule and Cost.

The identification of DMSMS/Obsolescence issues and the necessary correction thereof shall not automatically constitute a change as identified under the Changes clause identified herein or result in either schedule or cost relief to the Contractor.

(f) DMSMS/Obsolescence Disputes.

Failure of the parties to agree upon any determination of the necessity for, or the designation of, a change to be made under this provision within 90 days after the Government rejection determination cited above in paragraph

(b) shall be a dispute within the meaning of the “Disputes” clause of this contract.

(g) Rights and Remedies.

The rights and remedies of the Government provided in this provision are in addition to and do not limit any rights afforded to the Government by any other clause of this contract.

(h) Subcontracts.

The terms and conditions of this clause flow down to all subcontracts at all tiers.

(i) Resolution and Funding.

If any DMSMS/Obsolescence issues arise as a result of a Government issued change, the provisions of FAR 52.243-

1 CHANGES – FIXED-PRICE or 52.243-2 CHANGES – COST REIMBURSEMENT (as applicable) shall be followed.

(j) Production Methods and Processes.

Changes to the TDP deliverable, which are recommended solely to permit performance in accordance with the

Contractor’s or subcontractor’s production methods or processes shall not be submitted under this clause.

Engineering Change Proposals (ECP) shall not be submitted under this clause but shall be submitted in accordance with the ECP requirements of this contract.

(ii) a license for CCS shall not impose a Government distribution obligation on computer software linked to, or integrated with, or associated with the commercial computer software;

(iii) a license for CCS shall not impose a future Government distribution obligation that is foreseeable by the Contractor;

(iv) a license for CCS shall not be terminated by the Contractor’s use of the commercial computer software in performing under the contract; and

(v) the Contractor’s cost to comply with this requirement presents no additional cost to the Government.

(4) If, as a result of the Contractor’s evaluation, the Contractor is able to affirmatively make all of the determinations in paragraphs (a)(2) (i) through (a)(3)(v) above, then the Contractor may immediately begin using the CCS. Within thirty days, the Contractor shall notify the contracting officer in writing that the

Contractor has evaluated the CCS use and the CCS license and made each determination required in paragraphs (a)(3)(i) through (a)(3)(v) above. This notification shall also include all information regarding the identification and proposed use(s) of the CCS in the format required by Attachment 4.

(5) If the Contractor is unable to satisfy all of the requirements in paragraphs (a)(2)(i) through (a)(3)(v) above for a particular CCS license, then the Contractor may not use the CCS covered by the particular license without prior approval by the Contracting Officer. The Contractor shall request approval to use the otherwise prohibited subject CCS from the Contracting Officer by providing a written notification in the format provided in Attachment 4, addressing (i) the name and version number of the software; (ii) the name of the applicable license(s); (iii) a brief description of the technical use and implementing approach; (iv) a

“yes/no” indication of whether the Contractor has made, or will make, any modifications to the source code;

(v) the software website; and in addition (vi) an identification of the reason(s) that the Contractor was unable to make the determinations in paragraphs (a)(2)(i) through (a)(3)(v) above. The Contractor shall attach a copy of the subject CCS license to its request.

(b) The Contracting Officer will incorporate CCS for which the necessary determinations are made by the

Contractor, or which are otherwise approved by the Contracting Officer, into Attachment 4 by modification to the contract.

(c) Open source software meets the definition of “commercial computer software” in accordance with DFARS

252.227- 7014 and DoD CIO memorandum dated October 16, 2009.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

HQ L-2-0005 NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST

(NAVSEA) (JUN 1994)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides support to PMS 404, or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror's attention is directed to the

"Organizational Conflict of Interest" (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the

"support" contract(s). Notwithstanding the existence or non-existence of an Organizational Conflict of Interest

(OCI) clause or similar requirement in current or completed contract(s), the offeror shall comply with FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

(b) If a potential conflict of interest exists at any tier, each potential prime offeror is requested to notify the

Contracting Officer within 14 days of the date of this solicitation. The Offeror shall provide: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; and (5) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the offeror. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(c) The Government will notify an offeror of any conflict of interest within 14 days of receipt of all required information. Those offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk that the Government will not determine that an organizational conflict of interest exists.

(d) Any potential prime contractor which proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which offerors remain in the competitive range through the normal source selection process.

(e) If the offeror determines that a potential organizational conflict of interest does not exist at any tier, the offeror shall include a statement to that effect in its response to this solicitation.

SECTION M - EVALUATION FACTORS FOR AWARD

1. BASIS FOR AWARD

The contract will be awarded in accordance with Federal Acquisition Regulation (FAR) 52.215-1. The

Government intends to make one award under this solicitation which will be made to the responsible, responsive

Offeror who represents the best overall value to the Government, considering the factors identified below. In making its best value determination, the Government considers the non-price factors (Volume I of the proposal), to be significantly more important than price (Volume II of the proposal). However, the significance of price as an evaluation factor will increase with the degree of equality in the overall technical merit of proposals. The

Government reserves the right to award the contract to the Offeror with the higher total evaluated price; if a higher technical rating and/or past performance assessment would yield the best value to the Government.

The contract will be awarded to a responsible Offeror who has been granted a SECRET facility security clearance by a military department and whose offer, conforming to the solicitation, represents the best value to the

Government, price and other factors considered. “Other factors” shall include all of those evaluation factors that are described in this Section M.

The offers must be both realistic in technical approach and reasonable in the total evaluated price. Offers that are unrealistic in terms of technical approach or are unrealistically low in price for CPFF CLINs, may indicate a lack of understanding of the complexity and risk associated with the contract requirements. Unrealistic offers may not be considered for award. The ability of the Offeror to perform all aspects of the anticipated contract from inception to completion will be considered as part of the overall “cost realism” evaluation for Cost and CPFF items and “price reasonableness” for FFP and FPI items.

Pursuant to FAR 52.215-1(f), Instructions to Offerors-Competitive Acquisition (Jan 2017), the Government intends to evaluate proposals and award the contract without discussions. Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

The Government will review the information required by Section L to determine if the Offeror has met the minimum submission requirements. No award will be made to an Offeror that fails to submit required documents.

Offers submitted on a basis other than Free on Board (F.O.B.) Origin shall be rejected as non-responsive.

Proposals will be evaluated on how well the proposals meet or exceed the requirements of the solicitation based on the Factors set forth below. It is the Offeror’s responsibility to provide information that clearly demonstrates its ability to satisfactorily respond to the solicitation requirements and the factors listed below.

Each factor will be evaluated on a stand-alone basis; however, information contained in one factor of the proposal may be used to assist the Government in evaluating other factors of the proposal.

In accordance with FAR 52.217-5, except when it is determined in accordance with FAR 17.206(b) not to be in the

Government’s best interest, the evaluated price will include options; however, the evaluation of options does not in any way obligate the Government to exercise any option.

2. EXPLANATION OF RATINGS

2.1 Definitions

Strengths, weaknesses, and deficiencies may be identified for any portion of an Offeror’s proposal.

Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

Strength is an aspect of an Offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness means a flaw in the proposal that increases the risk of unsuccessful contract performance.

Risk, as it pertains to source selection, is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an Offeror’s proposed approach to achieving the technical factor may involve risk of disruption of schedule, increased cost or degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.

Performance Confidence Assessment is an evaluation of the likelihood (or Government’s confidence) that the offeror will successfully perform the solicitation’s requirements; the evaluation is based upon past performance information.

Recency, as it pertains to past performance information, is a measure of the time that has elapsed since the past performance reference occurred. Recency is generally expressed as a time period during which past performance references are considered relevant.

Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the service/support effort, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the solicitation requirements; and a measure of the likelihood that the past performance is an indicator of…
