About this file
This document is a Justification and Approval (J&A) for a sole-source contract awarded by the Naval Sea Systems Command (NAVSEA) to Lockheed Martin Rotary and Mission Systems (LM RMS). The contract is for Command, Control, Computers, Communications, Cyber and Intelligence (C5I) Systems Engineering and Integration (SEI) services supporting submarine new construction and in-service modernization, with an estimated total value of $424 million. The contract will span one base year and six option years, starting in August 2024, and includes approximately 2,100,000 hours of engineering services.
The J&A highlights LM RMS as the only responsible source capable of meeting the Navy's requirements due to its unique land-based test facility, extensive knowledge of submarine class designs, and existing government-furnished equipment. The services include sub-system interface design, C5I configuration management, System-of-Systems integration, performance verification testing, operator suitability verification, and cybersecurity evaluation. NAVSEA conducted a sources sought notice and synopsis on SAM.gov, receiving only one response from the incumbent contractor, and determined that awarding to any other source would risk unacceptable delays in submarine platform certification and fleet operational availability.

JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity
The Naval Sea Systems Command (NAVSEA),
2. Description of the Action Being Approved
Award of an engineering and technical services contract using other than full and open competition to Lockheed Martin Rotary and Mission Systems (LM RMS), for the performance of submarine new construction outfitting and in-service modernization, Command, Control, Computers, Communications, Cyber and
Intelligence (C5I) Systems Engineering and Integration (SEI)
Agent.
3. Description of Supplies/Services
The proposed contract includes approximately 2,100,000 hours of engineering services spread evenly across one (1) base year and six (6) one-year options, anticipated to start in August 2024.
This scope provides the C5I SEI services required to support submarine new construction at a rate up
SEI
services include sub-system interface design, C5I configuration management, System-of-Systems (SoS) integration and performance verification test, SoS level operator suitability verification, and cybersecurity effectiveness and vulnerability evaluation.
J&A No.: 61,549
LM RMS draws upon to engineer and test electronic interfaces.
Furthermore, LM RMS is uniquely positioned to test these interfaces at a C5I system-of-systems (SoS) level, utilizing its extensive suite of tactical hardware assembled in a land-based facility
A key purpose of the SEI services is to keep Navy-supplied C5I systems out of the critical path to new construction ship deliveries and the return-to-service of modernization hulls.
Cycle time in designing interfaces and performing find, fix, and repair prior to ship delivery is crucial to success. This process is applied prior to the installation of, Collectively, this demands an SEI staff of sufficient depth and capacity to support this cadence and meet delivery schedules.
The current LM RMS land-based test facility in is the result of cumulative and successive development and production contracts for
Each of these contracts included various government furnished material that is permanently embedded in the LM RMS facility and cannot be removed or transferred to another facility without jeopardizing LM RMS work on other Navy contracts. Under the LM RMS SEI contract, the Navy benefits from use of this facility as a land based C5I SoS test bed. In award of SEI services to any other source, this facility could not be relocated due to existing production contract dependency on it, nor easily replicated due to lead time to stand up another facility at the site of a new source and significant cost of duplicating the facilities. The Navy estimates that it would take approximately creating unacceptable schedule delays.
Moreover, the same contractor must perform the SEI services throughout the planned period of performance, which is intended to provide uninterrupted services through delivery, formal development testing (DT)/operational testing (OT), and first patrol readiness of the Such continuity is essential to maintain
The Navy has considered the possibility of conducting SoS testing in
The Navy also considered the potential to supply land based SoS services via access to a government facility that may house a
C5I suite, specifically the
However, this approach is not feasible because the facility serves as the a time share and additional manning arrangement, some degree of additional equipment, and considerable travel by the SEI staff to utilize it.
In summary, LM RMS is the only responsible source that can perform all of these highly specialized services without unacceptable delays in fulfilling the agency’s requirements. The threshold of acceptable risk for a submarine
C5I system responsible for
As such, award to any other source would also risk delay and disruption to submarine platform certification, which in turn would further degrade the operational availability of the in-service fleet.
6. Description of Efforts Made to Solicit Offers from as Many
Offerors as Practicable
In accordance with DFARS PGI 206.302-1, a sources sought notice was issued to SAM.gov on 03 March 2023. Interested firms were provided the opportunity and encouraged to demonstrate their capability to meet the requirements stated in the synopsis. One response was received, from the incumbent LM RMS, detailing its capabilities to meet the requirements described in the sources sought notice.
The proposed action was synopsized on SAM.gov on 26 October 2023 in accordance with FAR 5.2. The synopsis stated the intention of
SUB-S to award a contract on a sole source basis to LM RMS. No responses, questions or other inquiries have been received. If a potential source submits a capability statement prior to the date of award, it will be given full consideration.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated cost to the Government for the supplies and services covered by this
J&A will be fair and reasonable.
8. Actions to Remove Barriers to Competition
NAVSEA will continue to pursue and re-examine technology advancements that would reduce reliance on a land-based integration contractor facility that could remove barriers to future competition. Advancements in high-speed electronics transmission coupled with further development of virtualized test beds may provide higher fidelity replication of technical performance conditions of the tactical hardware and software.
Such advancements may come in the form of improvements to ultimately permitting distributed integration testing in the future. Absent the technology advancements cited above, the ability to compete future actions is limited for the reasons set for in paragraph 5. As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review.
Approval of this J&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
