About this file

This is a Class Justification and Approval (CJ&A) document authorizing limited source contract awards for Unmanned Aircraft Systems (UAS) Intelligence, Surveillance, and Reconnaissance (ISR) services.

The Naval Air Systems Command (NAVAIR) seeks to award task orders for land and sea-based UAS ISR services on a limited source basis to four vendors: AeroVironment (Simi Valley, CA), Insitu, Inc. (Bingen, WA), Shield AI (San Diego, CA), and Textron Systems (Hunt Valley, MD). Services will be provided under Basic Ordering Agreements (BOAs) to support domestic and coalition military operations based on Joint Urgent Operational Needs (JUONs), Fleet Top Level Requirements (TLR), and other operational requirements. The five-year ordering period covers individual orders with performance periods not exceeding four years and 364 days. The estimated aggregate order value is $819 million, with authority to act expiring March 31, 2031. Contractors will provide sensor data production, trained personnel, non-developmental UAS equipment, certifications, operations, maintenance, spare parts, and product support. Services will directly support ISR missions requiring around-the-clock imagery and sensor capability.

Limited competition is justified based on vendors' unique technical requirements including UAS maturity, Technology Readiness Level 8, cybersecurity Authority To Operate (ATO), Interim Flight Clearance (IFC), heavy fuel engine propulsion systems, and specialized core capabilities required for both land and sea-based ISR operations. A Sources Sought notice posted to SAM.gov on February 5, 2025 yielded 14 responses identifying only these four vendors as technically capable. Any responses received before task order awards will be evaluated for technical acceptability. A synopsis will be posted to SAM.gov for each order per FAR Subpart 5.2. This is a follow-on to prior CJ&A 21-0013 issued in March 2021 for Insitu and Textron.

responses). After completion of the technical evaluation of all vendor responses it was concluded that only four vendors (AV, Insitu, Shield, and Textron) are capable and possess the required ATO, IFC, heavy fuel propulsion system and other core capabilities required to perform the subject services. In accordance with FAR Subpart 5.2, a synopsis will be posted to SAM.gov for each order. Any responses received before task order award will be evaluated to determine whether the potential sources are technically acceptable and meet the Government's requirements.

7. Determination of Fair and Reasonable Cost

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition

For the reasons set forth in paragraphs (5) and (6), NA VAIR has no plans at this time to conduct full and open competitions for future contracts for the types of services covered by this document. If another potential source emerges, NA VAIR will assess whether competition for future requirements is feasible. Approval of this CJ&A signifies the approval authority has made the determination required by DF ARS PG! 206.304(a)(ii).

As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PG! 206.304(a)(S-70)(i), the prior CJ&A21-0013 for Insitu and Textron, dated 15 March 2021, was provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DF ARS PGI 206.304(a)(S-70)(ii).
