About this file

This is a Class Justification and Approval (CJ&A) document for a non-competitive sole source contract award. The Naval Air Systems Command (NAVAIR) authorizes contract actions under Indefinite Delivery Indefinite Quantity (IDIQ) Contract N0001922D0038 to be awarded to Insitu, Inc. of Bingen, Washington on a sole source basis. The contract covers RQ-21A Blackjack Unmanned Aircraft Systems (UAS) and ScanEagle UAS hardware and services in support of Foreign Military Sales (FMS) customers and Building Partner Capacity (BPC) initiatives.

The IDIQ contract was originally awarded July 1, 2022 through June 30, 2026, with modification P00007 awarded February 18, 2025 establishing pricing for Calendar Years 2025 and 2026. The current authorization extends the ordering period an additional six months through December 31, 2026, with all hardware deliveries required no later than December 31, 2027. The estimated contract value under this CJ&A is $10 million. The sole source justification is based on Insitu being the only designer, developer, and manufacturer of both platforms with exclusive technical data and logistics support expertise. System replacement costs are cited as approximately $13 million for RQ-21A and $12 million per ScanEagle system, plus additional training and support costs that would not be offset through competition. The contract was synopsized on SAM on May 28, 2026 with no competing offers received. Authority to act under this justification expires September 30, 2027.

(CLASS) JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved.

This Class Justification and Approval (CJ&A) authorizes and approves the award of contract actions under Contract N0001922D0038 on a sole source basis for RQ-21A Blackjack Unmanned Aircraft Systems (UAS) and ScanEagle UAS hardware and services in support of Foreign Military Sales (FMS) customers including Building Partner Capacity (BPC) to Insitu, Inc. (Insitu) of Bingen, WA.

NAVAIR awarded N0001922D0038 to Insitu on a sole source basis, via CJ&A 21-0191, for RQ- 21A Blackjack UAS and ScanEagle UAS hardware and services . This Indefinite Delivery Indefinite Quantity (IDIQ) Contract currently has an ordering period of 01 July 2022 through 30 June 2026. The IDIQ contains Federal Acquisition Regulation (FAR) 52.217-8 Option to Extend Services and FAR 52.217-9 Option to Extend the Term of the Contract. Modification N0001922D0038 P00007 was awarded on 18 February 2025 to establish pricing for Calendar Years (CY) 2025 and 2026. These actions will extend the IDIQ ordering period for an additional six months through 31 December 2026 and utilize pricing established in P00007, as well as allow for the procurement of additional hardware and service requirements in support of RQ-21 Blackjack and ScanEagle platforms.

Authority to act under this class justification expires on 30 September 2027.

3. Description of Supplies/Services.

The contractor shall provide support to the Portfolio Acquisition Executive for Robotic and Autonomous Systems (PAE RAS) Aircraft Program Management Office (AIR PMO) FMS Integrated Product Team (IPT) . This extension allows PAE RAS AIR PMO FMS IPT to fulfill the international community requests for UAS sustainment support, inclusive of spare components and support requirements associated with the RQ-21A Blackjack and ScanEagle platforms. Each order will have a defined period of performance for services or a delivery date which shall be no later than 31 December 2027 for hardware.

The estimated value under the authority of this CJ&A is $10M.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 3204(a)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

Full and open competition is not feasible for this procurement. In accordance with FAR § 6.103- 1(c)(2)(i), competing these follow-on actions for highly specialized services/hardware and awarding to a source other than Insitu would result in substantial duplication of cost, that the programs are largely comprised of existing Insitu UAS platforms. International partners request specific Insitu hardware and services by name and often request sole source to Insitu.

Insitu is the sole designer, developer, and manufacturer, and is the only available source known to possess the technical data, unique logistics support experience, sufficient knowledge and familiarity with the design and related specifications of the RQ-21A UAS and ScanEagle UAS.

Insitu has the requisite knowledge, experience and capabilities to perform the required technical efforts.

a. RQ-21A Blackjack: As the sole designer, developer, and manufacturer of the RQ-21A Blackjack UAS and its avionics integration, Insitu possesses unmatched expertise and technical data essential to fulfilling these requirements. Awarding to another source would require replacing existing systems with another UAS. System replacement cost is approximately $13 million, plus additional training and fleet support costs, which would not be offset through competition. System replacement cost is based on current competitor pricing for a similar type UAS.

b. ScanEagle: Insitu developed ScanEagle UAS entirely at private expense and remains the sole designer, developer, and manufacturer. Consequently, the Government holds limited data rights and lacks the necessary data to train and certify operators, as Insitu has declined to sell this data or additional data rights. No other source possesses the expertise or technical data to meet these requirements. Awarding to another source would necessitate replacing existing systems, incurring approximately $12 million per system, plus additional training and fleet support costs, which would not be offset through competition. System replacement cost is based on current competitor pricing for a similar type UAS.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

The proposed contract was synopsized on the SAM website on 28 May 2026; no other potential sources expressed interest in this requirement. No additional market research was conducted because it is not practicable, for the reasons discussed in paragraph 5 above, for any company other than Insitu to provide the required supplies and services. A waiver of Defense Federal Acquisition Regulation Supplement (DFARS) Procedures, Guidance, and Information (PGI) 206.302-1 was approved by V24 Director, Procurement Group, Naval Air Systems Command, Serial 243-21-046.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in paragraph 5, AIR PMO has no plans at this time to compete future contracts for the hardware and services covered by this document. If another potential source emerges, AIR PMO will assess whether competition for future requirements is feasible.

As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.104-71, the prior CJ&A was provided to the approval authority for review. Approval of this CJ&A signifies that the approval authority has made the determination required by DFARS PGI 206.104-72.
