About this file
This document is a Class Justification and Approval (CJ&A) for use of other than full and open competition issued by the Naval Air Systems Command (NAVAIR), Department of the Navy.
The CJ&A authorizes the issuance of multiple Fixed Price and Cost Reimbursable type orders against a Basic Ordering Agreement (BOA) with Lockheed Martin Missiles and Fire Control (LM), 5800 W Sand Lake Rd #MP-265, Orlando FL 32819-8907. Authority to act under this class justification expires on 30 September 2029. The supplies and services cover the Long Range Anti-Ship Missile (LRASM) Weapon System (AGM-158C-1 and AGM-158C-3), an offensive air-launched anti-surface warfare capability. Anticipated work includes Non-Recurring Engineering (NRE) for design, build, integration, test, and documentation; product improvements and upgrades; material obsolescence mitigation; software development and updates; follow-on support; capability improvement testing; Engineering Change Proposals; production support tasks; spares; training support and materials; trade studies and engineering analysis; sustainment; product support; and support equipment upgrades and special tooling. The estimated dollar value for FY25-29 is shown in a redacted table on page 2.
The statutory authority for sole source award is 10 U.S.C. § 3204(a)(1). The rationale cites FAR 6.302-1(a)(2)(ii)(A) and FAR 6.302-1(a)(2)(iii)(A), establishing that LM is the only responsible source capable of meeting government requirements due to its exclusive design, development, and manufacturing experience with the LRASM system since the original 2008 competitive BAA award. A comparative cost estimate for qualifying a second source was developed, showing substantial additional costs that would not be recovered through competition. A Sources Sought notice was posted to SAM.gov on 8 February 2024 with no responses received. The Contracting Officer has determined the anticipated costs to be fair and reasonable. NAVAIR has no current plan to compete future contracts for these supplies and services but will assess feasibility if other potential sources emerge.

IN REPLY REFER TO:
CJ&A-24-0118
CLASS JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
This Class Justification and Approval (CJ&A) authorizes and approves the issuance of multiple Fixed Price and Cost Reimbursable type orders against a Basic Ordering Agreement (BOA) issued to Lockheed Martin Missiles and Fire Control (LM) 5800 W Sand Lake Rd #MP-265, Orlando FL 32819-8907. Authority to act under this class justification expires on 30 September 2029.
3. Description of Supplies/Services.
The Long Range Anti-Ship Missile (LRASM) Weapon System (AGM-158C-1 and AGM-158C-
3) provides an Offensive Air-launched Anti-Surface Warfare (OASuW) capability to ensure freedom of maneuver and maintain open sea lines of communication in all environments. The supplies and services covered under this CJ&A will support ongoing efforts for the continued maturation and support of this major system to provide sufficient capability prior to the implementation of the OASuW Increment 2 program.
In order to address these critical requirements, anticipated supplies and services covered under this CJ&A include Non-Recurring Engineering (NRE) required to design, build, integrate, test and document the components and design that comprise the LRASM capability to include:
product improvement and upgrades; material obsolescence; software development/updates;
follow-on support; capability improvement testing; Engineering Change Proposals (ECPs) (LRASM AGM158C-1 and AGM-158C-3); production support tasks; spares; training support/materials; trade studies/engineering analysis; sustainment; product support; upgrades to support equipment, special tooling and test equipment; and other ancillary support/equipment.
estimated additional cost of at least . Based on the above information, award to any other source to develop a weapon system of comparable performance would result in duplication of cost of no less than to the Government that is not expected to be recovered through competition. As such, LM is the only responsible source capable of meeting the Government’s follow-on requirements.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
A Sources Sought required by DFARS 206.302-1(d) was posted to SAM.gov on 8 February 2024 and no responses have been received to date. No additional market research was conducted because it is not practicable for any company other than LM to provide the required supplies and services for the reasons discussed in paragraph five. The notice required by FAR 5.201(b) will be released to SAM.gov for each individual order to be placed under the subject BOA. Any inquiries received as a result of the notice will be given full consideration prior to award.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in paragraph five, NAVAIR has no plan at this time to compete future contracts for the types of supplies/services covered by this document. NAVAIR will assess the feasibility of a future competitive contract if other potential sources emerge.
As this is a follow-on for supplies and services previously awarded on a non-competitive basis, in accordance with DFARS PGI 206.304(a)(S-70)(i), the prior J&A was provided to the approval authority for review. Approval of this CJ&A signifies the approval authority has made the determination required by DFARS PGI 206.304(a)(S-70)(ii).
