JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved.

IN REPLY REFER TO:

J&A_l4_24103

This Justification and Approval (J&A) authorizes and approves the issuance of an Indefinite Delivery Indefinite Quantity (IDIQ) contract on a sole source basis to Sikorsky Aircraft Corporation (SAC) at 6900 Main St. Stratford, CT 06614, for the procurement of Special Progressive Aircraft Rework (SPAR) and the sustainment of the VH-3D and the VH-60N Presidential Helicopter platforms.

3. Description of Supplies/Services.

The acquisition covered by this J&A is for Special Progressive Aircraft Rework (SPAR) and sustainment of the VH-3D and VH-60N Presidential Helicopter Programs. This includes overhaul and rework of the aircraft and associated test support, on-site technical and logistics support including incorporation of technical directives, sustainment engineering support, material management including spares procurement and component repairs, associated training, and physical security services. 10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

J&A_14_24103

5. Rationale Justifying Use of Cited Statutory Authority.

Sikorsky Aircraft Corporation {SAC), Stratford, CT, is the sole designer, developer, and manufacturer of the VH-30 and VH-60N aircraft. Sikorsky is the only known source with the necessary technical data and drawings, knowledge and experience, skilled personnel, manufacturing tooling, test equipment, and expertise to complete the efforts called for hereunder and meet the Government's requirement to be able to immediately respond to logistics and mechanical problems encountered worldwide to support this mission. The VH-30 and VH-60N aircraft were originally procured from Sikorsky under contract N00019- 72-C-0121, and N00019-85-C-0185. Sikorsky has sustained the VH-30 aircraft since 1976 and VH-60N aircraft since 1990, has designed and installed all unique aircraft configuration changes since that time, and is the only source which possesses the technical data necessary to provide sustaining engineering and related product support. The Government does not possess the complete data package and Sikorsky is unwilling to sell data sufficient to support a competitive acquisition at this time. Furthermore, White House security regulations mandate unique security requirements on all aspects of the VH aircraft. All facilities containing aircraft, equipment, and uninstalled components require physical security and surveillance measures, access is limited to personnel with a Secret Clearance and Yankee White (YW) access, which is awarded directly by the White House Military Office (WHMO) on a case-by-case basis, the individual processing time for Yankee White averages more than 12 months. In addition, accountability requirements dictate a closed loop system for the procurement and/or repair of all aeronautic materials.

"Closed Loop" is a White House mandated security measure restricting management, procurement, and/or repair of aircraft and materials to sources that are (1) Certified by the aircraft T/M/S Basic Design Engineering (BOE) authority, and (2) either: (A) Meet the unique physical and personnel security requirements of the program, or (B) Are procured/repaired from unsecure sources under anonymity (meaning without their knowledge that those materials are designated for the Presidential Helicopter Program). Sikorsky is the only known source that currently meets these unique requirements for the VH- 3D and VH-60N aircraft and the only source capable of meeting these requirements in a timely fashion ~~~\~i~?:a~~~P1f.J;RJ~£1~.9elay~ ifl,JT}r.~P.~t%~ P~si~ential Helicopter mission requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerers as Practicable.

In accordance with FAR 15.402(a), the Contracting Officer must ensure that all supplies and support are purchased at a fair and reasonable price. An analysis of proposals will be performed by technical analysts and contract specialists, with the assistance of Defense Contract Management Agency {OCMA) analysts and Defense Contract Audit Agency (DCAA) auditors as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposals; as well as review the actual cost elements from previous procurements, if applicable. The Contracting Officer will use Government expertise, including DCMA, OCAA, the PMA, and other Government resources, to evaluate the proposals material, labor and

J&A_ 14_24103 subcontract positions. A detailed report developed as part of the Government evaluation will be utilized to establish a NAVAIR position . As discussed in this paragraph, the Contracting Officer will use cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies/support covered by this J&A.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph Five (5) , NA VAIR has no plans at this time to compete the remaining future work for the types of sustainment products and services covered by this document. If other potential sources emerge, NA VAIR will assess capabilities and determine feasibility for competition.
