DESC OF AMENDMENT 0002 CHANGES

The purpose of this amendment is to make the following changes noted below and notated further in Sections A through L of this Amendment:

-Extend the Proposal Reciept Date -Adjust CLIN Maximum quantities as identified in Section B (Note total AEPD Max quantity has been adjsuted from 107 to 108) -Identify the DPAS rating for this effort -Revise and clarify Special Requirements H-1 Clause for Fair Opportunity Ordering Procedures inclusive of Quantities.

-Add Special Requirements H-3 to identify Order Ombudsman Procedures -Delete, add, and revise other clauses and provisions as noted in sections D through L of this modification -Revise The Statement of Work (SOW) at Attachment 1 (Sections 4.3 and 8.18) -Revise and clarify Section J Attachment 19 “P-8A Aircraft Induction Schedule”

- Update attachments L-5, L-7, L-8, and L-9 to reflect new total AEPD quantity and CLIN distribution, and correct formulas and errors based on Questions asked to the Government through FBO.

SECTION D - PACKAGING AND MARKING

The following have been added by full text:

5252.247-9509PRESERVATION, PACKAGING, PACKING AND MARKING (NAVAIR)(JUL 1998)
(a) Preservation, packaging and packing shall conform to prevailing industry standards for the type of commodity purchased under this contract.
(b) All packages will be clearly marked with applicable contract number/delivery order number, and will contain appropriate packing slip. All deliveries will be marked for and/or consigned as follows:

(c) In the event of any discrepancy in material shipped (overage, technical rejection, damage), the contractor shall, immediately upon request of the Contracting Officer, furnish disposition instructions. Normally, such disposition instruction shall be a properly completed Commercial Bill of Lading, which includes, but is not limited to, the mode of shipment, routing, special handling, and so forth.
(d) If the contractor is required to install equipment upon delivery, then the contractor shall inform the Government of the date of shipment from the contractor's facilities and the anticipated date of arrival at the site. This report shall be made no later than the actual date that the shipment is made from the contractor’s facilities. The report may be made by facsimile or e-mail, to the point of contact listed in Section G. All transportation, rigging, drayage, packing, unpacking, and handling necessary to accomplish the installation shall be the responsibility of the contractor.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

SECTION H - SPECIAL CONTRACT R

H-1 AIRFRAME AND ENGINE IDIQ CONTRACT FAIR OPPORTUNITY ORDERING PROCEDURES

The Base Period will be competed and awarded as described in Sections L and M and below, establishing up to four* Multiple Award Task and Delivery Order Contract (MATOC) Holders of the Indefinite Delivery Indefinite Quantity contracts (IDIQ(s)) (2 for Airframe and 2 for Engine). Each IDIQ contract will establish the Firm-Fixed prices and T&M Rate for the Base Period, with NTEs thereafter for Option Years 1 through 6 (pending Option Period exercise). As described below, the Basic IDIQ contract holders will be given the opportunity to adjust their NTEs prior to option exercise,** at which point the NTEs (or adjusted prices) will be the Firm-Fixed prices and T&M Rate (for purposes of evaluation and award of the Primary and Secondary best value Awardee, and pricing of work during the Ordering Period).

Notes

* In the case of a combination award, there may be two Basic IDIQ contract holders.

** (a)The NTE prices cannot, absent circumstances such as delta pricing based on any changes in scope to the FFP CLINs as mentioned below, be adjusted upward.

(b) During the Base Period – award of CLIN 0001 (Airframe) one each to the two respective Basic IDIQ contract holders and CLIN 0080 (Engine) one each to the two respective Basic IDIQ contract holders are minimum guarantees.

(c) In Section III Unscheduled Maintenance/Field Maintenance and Modifications the NTEs are not converted into fixed T&M rates until each particular unscheduled event is competed between the two Awardees.

SECTION I – Depot Stand-Up and Airframe/Engine Induction

Upon award of Base Period/option exercise, the awardees will receive an award for the minimum quantity and/or up to the total quantities described below. In the event that the up to total quantity of Airframe/Engine Inductions for the Base Period/Option Period are not awarded at the time of the initial award, the additional induction(s) may be the subject of a subsequent task order within that same Ordering Period, both Primary and Secondary best value Awardees will have a fair opportunity to be considered for each subsequent task order (unless an exception to fair opportunity pursuant to FAR 16.505(b)(2) exists). Award of subsequent induction task orders will be a Best Value determination based on the evaluation of price and non –price factors such as: Quality from work previously performed in that same Base Period/Option Period (e.g., CARs, ADRs, Contractor Generated Damages), and the contractor's ability to meet agreed-upon Turnaround Time (TAT). In the event an Awardee has no relevant Quality or TAT experience from that same Base Period/Option Period (or in the event the Program determines that said Quality information is not reasonably available due to time constraints), a quality neutral ranking will be assessed. The price proposed shall not exceed the FFP/NTE rate originally bid at the evaluation of the initial IDIQ contract.

The total maximum number of aircraft AEPD inductions will not exceed 108. The Government reserves the right to shift aircraft from any current period to an adjacent period pursuant to clause 52.216-19 “Order Limitations”.

Section I (1) Fair Opportunity Procedures for Base Period Requirements (Base Period CLINs 0002, 0007, and 0060)

The anticipated Base Period requirement is as follows:

Section I (2) Fair Opportunity Procedures for Airframe AEPD Option Period 1 & 2 Requirements

Option Periods One & Two will have 12-month Ordering Periods, with the determination of the Primary and Secondary best value Awardees among the Basic IDIQ contract holders (i.e., while the evaluation will be between the original Airframe Basic IDIQ contract holders, the determination of which contractor is a Primary or Secondary Awardee may change based on the evaluation made prior to exercise of the Option Period).

Primary and Secondary best value Awardee will be a Best Value determination based on price and non-price factors such as the evaluation of Quality from the previous option period (e.g., CARs, ADRs, Contractor Generated Damages), and the contractor's ability to meet agreed-upon TAT. Each Basic IDIQ contract holder will be given the opportunity to adjust their original NTE prices downward prior to the exercise of the particular Option Period, establishing the Firm-Fixed prices and T&M Rates for the Option Period about to be exercised. The actual criteria will be provided to the Awardees at the time of the fair opportunity annual competition in the annual RFP. The total evaluated price will be based on the sum of CLINs for the Option Period being evaluated per the Task Order RFP.

The Basic IDIQ contract holders may choose to propose delta pricing based on any changes in scope to the FFP CLINs (e.g. new AEPD task cards) and/or lower T&M rates.

The anticipated Option Period 1 & 2 Requirements are as follows:

First Option Period (AEPD):

Primary best value Awardee Up to a total Quantity of 6 (inclusive of Min Guarantee) Min Guarantee Quantity of 2

Second Option Period (AEPD):

The Remainder of the Options under the IDIQ will be Semi-Annual Ordering Periods, with the determination of the Primary and Secondary best value Awardees among the Basic IDIQ contract holders (i.e., while the evaluation will be between the two original Airframe Basic IDIQ contract holders, the determination of which is a Primary or Secondary may change based on the evaluation made prior to exercise of the Semi-Annual Option Period).

Determination of Primary and Secondary best value Awardee will be a Best Value determination based on the evaluation of price and non-price factors such as Quality from previous option period (e.g., CARs, ADRs, Contractor Generated Damages), and the contractor's ability to meet agreed-upon TAT. MATOC holders will be given the opportunity to adjust their original NTE prices downward prior to the exercise of the particular Semi-Annual Option Period, establishing the Firm-Fixed prices and T&M Rates for the Option Period about to be exercised.

The actual criteria will be provided to the Awardees at the time of the Semi-Annual fair opportunity competition in each Semi-Annual RFP. The total evaluated price will be based on the sum of CLINs per the Task Order RFP. Basic IDIQ contract holders will be allowed to adjust the prices for these CLINs for purposes of evaluation/award for the next Option Period, but not to exceed the original NTEs provided during the initial evaluation of the Seven-Year IDIQ for those CLINs, except for AEPD workscope increases.

The Basic IDIQ contract holders may choose to propose delta pricing based on any changes in scope to the FFP CLINs (e.g. new AEPD task cards) and/or lower T&M rates.

The anticipated Semi-Annual Option Years 3 through 6 Requirements for Part A Airframe are as follows:

SECTION II – Aircraft On the Ground (AOG) Airframe and Engine field Assessment and Repair

Part A – Airframe

Airframe AOG for Base Period through Option Period Six

Section II (1) Airframe AOG for the Base Period: The initial T&M Rates proposed for CLINs 0018 and 0036 used to evaluate and award the IDIQ contract will establish the T&M Rates for the Base Period. Determination of the Designated Airframe AOG Awardee will be based on the evaluation of price only. The total evaluated price will be based on the application of contractor proposed T&M Rates, against the estimated hours for CLINs 0018 and 0036 being used to select the Designated AOG Contractor (between the two MATOC Airframe Awardees) for the Base Period. It is possible that the Primary Airframe Awardee will not be the Designated Airframe AOG Awardee.

There is no expectation of division of the Airframe AOG requirements during the awarded ordering periods, as the agency need for the supplies or services is so urgent that providing a fair opportunity competition would result in unacceptable delays (see exception to fair opportunity at FAR 16.505 (b)(2)(i)(A)). However, the Government may award AOG actions to the Non-Designated AOG Airframe MATOC holder in accordance with FAR 16.505 (b)(2)(i)(A)) if the volume of AOG requirements become too numerous for the Designated Airframe AOG Awardee.

Section II (2) Airframe AOG Option Periods 1 - 6 (12-month Ordering Periods):

The determination of the Designated Airframe AOG Awardee may change based on the evaluation made prior to exercise of the Option Period. Determination of the Designated Airframe AOG Awardee will be a Best Value determination based on the evaluation of price and non-price factors from the previous ordering period. In the event that one of the potential awardees has no AOG experience during the previous ordering period, the non-price factors could include experience from AEPD or other work performed during the previous ordering period. These evaluation factors will be identified in each option year’s competitive solicitation. Each Basic IDIQ contract holder will be given the opportunity to adjust their original NTE prices for CLINs X018 and X036 downward prior to the exercise of the particular Option Period, establishing the T&M Rates for the Option Period about to be exercised, per the Task Order RFP. The total evaluated price of CLINs X018 and X036 will be determined utilizing the estimated hours prior to award.

There is no expectation of division of the Airframe AOG requirements during the awarded ordering periods, as the agency need for the supplies or services is so urgent that providing a fair opportunity competition would result in unacceptable delays (see exception to fair opportunity at FAR 16.505 (b)(2)(i)(A)). However, the Government may award AOG actions to the Non-Designated AOG Airframe MATOC holder in accordance with FAR 16.505 (b)(2)(i)(A)) if the volume of AOG requirements become too numerous for the Designated Airframe AOG Awardee, or if there is a lack of acceptable performance.

The actual criteria will be provided to the Awardees at the time of the fair opportunity annual competition in each annual RFP. The total evaluated price will be based on the sum of CLINs per the Task Order RFP. Basic IDIQ contract holders will be allowed to adjust the prices for these CLINs for purposes of evaluation/award for the next Option Period, but not to exceed the original NTEs provided during the initial evaluation of the Seven-Year IDIQ for those CLINs.

Part B – Engine Fair Opportunity Procedures for Engine Field Assessment and Repair for Base Period through Option Period Six

Section II (3) Engine Field Assessment and Repair for the Base Period (12-month Ordering Period): The initial T&M Rates proposed for CLINs 0079 and 0102 used to evaluate and award the IDIQ contract will establish the T&M Rates for the Base Period. Determination of the Designated Engine Field Assessment and Repair Awardee will be based on the evaluation of price only. The total evaluated price will be based on the application of contractor proposed T&M rates against the estimated hours for CLINs 0079 and 0102 being used to select the Designated Field Assessment and Repair Awardee. It is possible that the Primary Engine Induction Awardee will not be the Designated Engine Field Assessment and Repair Awardee.

There is no expectation of division of the Engine Field Assessment and Repair requirements during the awarded ordering periods, as the agency need for the supplies or services is so urgent that providing a fair opportunity competition would result in unacceptable delays (see exception to fair opportunity at FAR 16.505 (b)(2)(i)(A)). However, the Government may award Engine Field Assessment and Repair actions to the Non-Designated Engine Field Assessment and Repair MATOC holder in accordance with FAR 16.505 (b)(2)(i)(A)) if the volume of Field assessment and Repair requirements become too numerous for the Designated Field assessment and Repair Awardee.

Section II (4) Engine Field Assessment and Repair Option Periods 1 - 6 (12-month Ordering Periods):

The determination of the Designated Engine Field Assessment and Repair Awardee may change based on the evaluation made prior to exercise of the Option Period. Determination of the Designated Engine Field Assessment and Repair Awardee will be a Best Value determination based on the evaluation of price and non-price factors from the previous ordering period. In the event that one of the potential awardees has no Engine field Assessment and Repair experience during the previous ordering period, the non-price factors could include experience from other work performed during the previous ordering period. These evaluation factors will be identified in each option year’s competitive solicitation. Each Basic IDIQ contract holder will be given the opportunity to adjust their original NTE prices for CLINs X079 and X102 downward prior to the exercise of the particular Option Period, establishing the T&M Rates for the Option Period about to be exercised, per the Task Order RFP. The total evaluated price of CLINs X079 and X102 will be determined utilizing the estimated hours prior to award.

There is no expectation of division of the Engine Field Assessment and Repair requirements during the awarded ordering periods, as the agency need for the supplies or services is so urgent that providing a fair opportunity competition would result in unacceptable delays (see exception to fair opportunity at FAR 16.505 (b)(2)(i)(A)). However, the Government may award Engine Field Assessment and Repair actions to the Non-Designated Engine Field Assessment and Repair MATOC holder in accordance with FAR 16.505 (b)(2)(i)(A)) if the volume of Field assessment and Repair requirements become too numerous for the Designated Field assessment and Repair Awardee.

The actual criteria will be provided to the Awardees at the time of the fair opportunity annual competition in each annual RFP. The total evaluated price will be based on the sum of CLINs per the Task Order RFP. Basic IDIQ contract holders will be allowed to adjust the prices for these CLINs for purposes of evaluation/award for the next Option Period, but not to exceed the original NTEs provided during the initial evaluation of the Seven-Year IDIQ for those CLINs.

SECTION III – Unscheduled Maintenance/Field Maintenance and Modifications

Part A – Airframe

Fair Opportunity Procedures for Airframe Unscheduled Maintenance and Field Modifications for Base Period and Six Option Periods

Airframe Unscheduled Maintenance (In Field or Depot Drop-in) and Field Modifications during all Option Periods will be competed individually as requirements arise. Individual task orders during the option periods will be conducted as a fair opportunity competition among the Basic IDIQ contract holders. When the government requires Airframe Unscheduled Maintenance and/or Field Modification performance each Awardee will be given sufficient information concerning the relevant factors and will be invited to propose a T&M rate and estimated hours necessary to complete the performance/result desired. During the Base Period the determining factor will be based on price only; following the completion of the Base Period Awards will be made on a Best Value determination based on the evaluation of price and non-price factors the non-price factors could include experience from AEPD or other work performed during the previous ordering period. The specific evaluation factors will be identified in each fair opportunity order solicitation. The price proposed by the Awardee for each Airframe Unscheduled Maintenance and/or Field Modification shall not exceed the NTE T&M rates originally bid at the evaluation of the initial IDIQ contract. Those NTEs will be used to obtain the original total evaluated price (based on the application of contractor proposed T&M Rates, against the estimated hours for CLINs X012, X014, X015, X016, X020, X021, X033, X042 and (Only for Option Period 5 and6) X034). The total evaluated price of CLINs X012, X014, X015, X016, X020, X021, X033, X042 and (Only for Option Period 5 and 6) X034 will be determined utilizing the estimated hours prior to award the initial IDIQ contract.

The actual criteria for Option Periods 1 through 6 will be provided to the Awardees at the time of the fair opportunity and at the time an unscheduled maintenance and field modification event occurs. The total evaluated price will be based on the sum of CLINs per the Task Order RFP. Basic IDIQ contract holders will be allowed to adjust the prices for these CLINs for purposes of evaluation/award for the next Option Period, but not to exceed the original NTEs provided during the initial evaluation of the Seven-Year IDIQ for those CLINs.

Part B – Engine

Fair Opportunity Procedures for Engine Maintenance and Field Modifications for Base Period and Six Option Periods

Engine Field Maintenance and Field Modifications during all Option Periods will be competed individually as requirements arise. Individual task orders during the option periods will be conducted as a fair opportunity competition among the Basic IDIQ contract holders. The price proposed by the Awardee for each Engine Maintenance and/or Field Modifications shall not use rates that exceed the NTE T&M rates originally bid at the evaluation of the initial IDIQ contract. Those NTEs will be used to obtain the original total evaluated price (based on the application of contractor proposed T&M Rates, against the estimated hours for CLINs X081 and X104). The total evaluated price of CLINs X081and X104 will be determined utilizing the estimated hours prior to award of the initial IDIQ contract.

The actual criteria for Option Periods 1 through 6 will be provided to the Awardees at the time of the fair opportunity and at the time an unscheduled engine maintenance and field modification event occurs. The total evaluated price will be based on the sum of CLINs per the Task Order RFP. Basic IDIQ contract holders will be allowed to adjust the prices for these CLINs for purposes of evaluation/award for the next Option Period, but not to exceed the original NTEs provided during the initial evaluation of the Seven-Year IDIQ for those CLINs.

H-2 USE AND NON-DISCLOSURE AGREEMENT FOR BOEING LICENSED DATA

The Government will provide Offerors access to technical data sufficient to understand the work requirement and construct and deliver a proposal in response to Request for Proposal N00019-15-R-2004; the Government will provide the eventual Awardees access to technical data sufficient for the purpose of maintenance or repair of the P-8A Aircraft. Some of this technical data will be either Government-generated technical data or technical data obtained as a contract deliverable; Offerors and Awardees will be bound by the terms of the markings on said technical data in terms of use, disclosure, and retention of said technical data. In addition, the Government will provide access to the Offerors and Awardees technical data that is neither Government-generated nor a contract deliverable, but instead will be proprietary information and trade secrets of The Boeing Company (“Boeing”) (“Licensed Data”). The Government’s authorization to disclose Licensed Data to the Offerors/Awardees, and the Offerors/Awardee’s ability to obtain and use Licensed Data, is pursuant to MYBOEINGFLEET (MBF) License Agreement, dated 29 May 2008 between the Government and Boeing, the terms of which are embodied in the conditions that follow.

(1) The Government shall not disclose the Licensed Data to any entity that has not provided to the Government a written agreement binding itself to use the Licensed Data only in connection with responding to RFP N00019-15-R-2004 (Attachment 14 Use and Non-Disclosure Agreement for Boeing Licensed Data – Proposal). The Government shall not disclose the Licensed Data to any eventual Awardee that has not provided to the Government a written agreement to use the Licensed Data only in connection for the purpose of maintenance or repair of the P-8A aircraft under the Contract awarded as a result of the RFP (Attachment 15 Use and Non-Disclosure Agreement for Boeing Licensed Data – Contract).

(2) Offerors/Awardees will obtain no rights, title, or interest in the Licensed Data except as expressly provided in the Use and Non-Disclosure Agreement.
(3) Boeing’s License Agreement with the Government constitutes sufficient efforts to prevent the unauthorized disclosure of the trade secret nature of the Licensed Data; any Offeror/Awardee abuse of authorization to use License Data or violation of any of the terms of the Use and Non-Disclosure Agreement may result in Boeing’s immediate termination of the Boeing-Government License Agreement, resulting in termination of Offeror/Awardee’s access to Licensed Data.

H-3 TASK AND DELIVERY ORDER OMBUDSMAN

The task order contract and delivery order contract ombudsman responsible for reviewing complaints from contractors on task order contracts and delivery order contracts is the Navy Competition Advocate General. Contractors should be encouraged to settle their complaints through the Competition Advocate chain of command, seeking review by the Command Competition Advocate at the cognizant HCA before taking their complaints to the Navy Competition Advocate General.

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than See H-1 , the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor--
(1) Any order for a single item in excess of See H-1 ;
(2) Any order for a combination of items in excess of See H-1 ; or
(3) A series of orders from the same ordering office within N/A days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(a) Definitions.
“Aviation critical safety item” means a part, an assembly, installation equipment, launch equipment, recovery equipment, or support equipment for an aircraft or aviation weapon system if the part, assembly, or equipment contains a characteristic any failure, malfunction, or absence of which could cause--
(i) A catastrophic or critical failure resulting in the loss of, or serious damage to, the aircraft or weapon system;
(ii) An unacceptable risk of personal injury or loss of life; or
(iii) An uncommanded engine shutdown that jeopardizes safety.
“Design control activity” means -
(i) With respect to an aviation critical safety item, the systems command of a military department that is specifically responsible for ensuring the airworthiness of an aviation system or equipment, in which an aviation critical safety item is to be used; and
(ii) With respect to a ship critical safety item, the systems command of a military department that is specifically responsible for ensuring the seaworthiness of a ship or ship equipment, in which a ship critical safety item is to be used.
“Ship critical safety item” means any ship part, assembly, or support equipment containing a characteristic, the failure, malfunction, or absence of which could cause--
(i) A catastrophic or critical failure resulting in loss of, or serious damage to, the ship; or
(ii) An unacceptable risk of personal injury or loss of life.
