JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
t1 REPLY REF!~ TO:
CJ&A_1 4_.<f4oos
This Class Justification and Approval (CJ&A) authorizes and approves the issuance of orders agains Basic Ordering Agreement (BOA) N00019-14-G-4000 on a sole sources basis with Thales Defense c
Security, Inc. (TDSI) for the procurement of supplies and services in support of the MH-60 Romeo AN/AQS-22 Airborne Low Frequency Sonar (ALFS) program. This CJ&A will permit the award of contractual actions with funding covering FY15-FY19. Authority to award contracts pursuant to this C J&A commences upon CJ&A approval and expires on 31 December 2019.
3. Description of Supplies/Services.
Supplies and services procured under this CJ&A include the procurement and installation of support equipment, training, repair procedures, publications, tools, parts, and documentation required to stand up Organizational, Intermediate, and Depot repair capabilities for ALFS Weapon Replaceable AssembliE s (WRAs). The efforts covered by this CJ&A include the supplies and services required to provide WR 6.
repair capability for Foreign Military Sales customers.
See Appendix A for Estimated Dollar Value
4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agercy requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
Thales Underwater Systems SAS (TUS) is the original designer, developer, and manufacturer of the AN/AQS-22 ALFS System WRAs for the Transducer Assembly (TA), Reeling Machine, Reeling Mach ne Interface Unit, Reeling Machine Control Unit and Reel and Cable and owns the proprietary data for th~se WRAs that is required to perform the efforts herein, including the applicable specifications, source c~ e, and drawings. TDSI is the U.S. based subsidiary of TUS and as such has access and rights to the proprietary drawings and data required to perform these efforts efficiently and effectively. TDSI is als) the current repair facility for TAs and the only source with the domestic facilities, data, and experience to

complete these efforts. TDSI's experience with current repairs and understanding of the Depot level repair will facilitate the refinement of 1-level and 0-level maintenance and repair procedures and tooling requirements needed for !-level support. Additionally, TDSI has the sole technical knowledge and th unique logistics support experience to provide the identified parts for fleet installation and sustain me t management. The Government does not possess the requisite technical data packages or associat data rights to conduct a competitive procurement to support these requirements.
Award to any other source would result in substantial duplication of costs to the Government that a~ expected to be recovered through competition or would otherwise result in unacceptable delays.
Development of a new dipping sonar including the time to develop a performance based specificatio , to conduct a competition, and the time to design, develop, integrate and test the new parts is estimat to take four to six years and would not eliminate the Government's requirement to repair existing ALFS systems.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
The intention to award the BOA was synopsized on 18 August 2014 and, in addition, as required by AR
5.201 a synopsis of each effort supported under this CJ&A will be published in FedBizOpps. Any responses will be evaluated by the Contracting Officer prior to award. For reasons noted in paragra hs 4 and 5 above, NAVAIR has not performed a formal market survey.
7. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402(a), the Contracting Officer shall ensure that all supplies and service ordered are procured at a fair and reasonable price. Analysis of the proposals will be performed by technical analysts and contract specialists, with the assistance of DCMA analysts and DCAA audita as needed. The Contracting Officer will analyze the various cost elements that are present in each prop sal, as well as review the actuals from previous procurements if applicable. The Contracting Officer will u e Government expertise, including DCMA, DCAA, PMA and other Government resources, to evaluate he proposal's material, labor and subcontract positions. A detailed report developed as part of the government evaluation will be utilized to establish a rate position to include escalation for negotiatio of the contract action. As discussed in this paragraph, the Contracting Officer will use cost and price an lysis as the basis for negotiating a fair and reasonable cost for the supplies/services covered by the CJ
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in paragraph 5, NAVAIR has no plans at this time to compete future contra s for the types of supplies /services covered by this document. If other potential sou~es emerge, NAVAIR will assess capabilities and determine the feasibility for competition.
