5. Rationale Justifying Use of Cited Statutory Authority. SAC, Stratford, CT, is the sole designer, developer, and manufacturer of the VH-92A aircraft. Sikorsky is the only known source with the necessary technical data, proprietary drawings, knowledge and experience, ' skilled personnel, manufacturing tooling, test equi~ent and expertise to complete the efforts called for hereunder and ensure future modifications are properly integrated into the VH-92A aircraft. The VH-92A E~ and production efforts were awarded as a result of a competitive procurement under contract NOOO 19-14-C-0050 and is in develO}>ment The con1ract appi:oach is for a commercial S-92; which is produced by SAC to be modified to meet the VH-92A requirements. The Government procured the rights to the data to allow for Government maintenance on the Aircraft; however, the Government does not have the rights to the necessary · data and/or detailed drawings to perfonn nor compete engineering changes.

· 6. Description ofEfforts·Made to Solicit Offers from as Many Offerors as Practicable.

NA VAIR did not perform a formal market survey because SAC is the designer, developer, and sole producer of the VH-92A. For this reason and thC reasons stated in paragraphs 4 and 5 above, SAC is the only source possessing the complete technical data package required to support this effort. In accordance with FAR 5.201 (b ), a synopsis for each order will be published on the FedBizOpps website, announcing the Government's intent to issue a delivery order to SAC. Any responses will be reviewed by the Contracting Officer.

7. J)et.mpjnation of Fair and Reasonable Cost. In accordance with FAR 15.402(a), the Contracting Officer must ensure that all suPJ>lies and support are procured at a fair and .

reasonable price. Analysis of the proposal will be performed by technical· analysts and contract specialists, with the assistance ofDCMA analysts and DCAA auditors as needed. The Contracting Officer will anal)'7.C the various cost elements that are presented in the j>roposal, as well as review the actual Costs from previous procuremen,ts. The Contracting Officer will use Government expertise, including DCMA, DCAA, the PMA and other Government resources, to evaluate the proposal's material, labor, and subcontract positions. A detailed report developed as part of the Government evaluation will be utiliz.ed to establish a NA VAIR position. Currently a rate agreement is' not in place between SAC and DCMA. The Contracting Officer will work with DC~ and DCAA to establish a rate position, to include escalation, for negotiation of contract actions. The Contracting Officer will utilize cost and price analysis as the b&sis for negotiating a fair and reasonable price.

· 8. Actions Taken to Remove Barriers to Competition. For the reasons set forth in paragraph 5 above, NA VAIR has no plans at this time to compete future contracts for the types of supplies and services covered under this CJ&A. If another potential source emerges, NA V Alll will · assess whether a competition for future requirerilents is feasible.
