JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
This class justification and approval (CJ&A) authorizes and approves the issuance of fixed price and cost plus fixed fee level of effort orders on a sole source basis under a Basic Ordering Agreement (BOA) with General Dynamics Advanced Information Systems (GDAIS) for the procurement of hardware material, engineering and technical support services for Mission Systems including, but not limited to the Advanced Mission Computer (AMC), Mission Systems Computer (MSC), Warfare Management Computer (WMC), and Mission Data Processor (MDP). This class J&A is effective for placing BOA delivery orders through FY 2015.
3. Description of Supplies/Services.
The AMC is installed on the F/A-18, the MSC and WMC are installed on the AV-8B, and the MDP is installed on the T-45. The contractor shall provide repair services for the AMC assets, effort for the MSC and WMC upgrade program and support for emergent requirements such as engineering investigations. The related services that may be required in addition to Mission Computer and MDP repairs are: (1) concept exploration, design and feasibility studies in support of new applications and obsolescence redesign for the Mission Computer and MDP; (2) Hardware design, development, integration, documentation and pre-production fabrication; (3) Reliability, maintainability, and logistics engineering; (4) Program management, systems integration, and oversight; (5) Logistics and repair support, and obsolescence management; and (6) General scientific and engineering investigations/studies through FY15. This BOA may include supplies and services required to plan, manage, and execute engineering, industrial, and logistics related tasks. All tasks will be in the general field of mission computer and display processing for Naval Aircraft and other select applications and will be based upon the standards defined in the applicable AMC performance specifications.
See Appendix A for Estimated Dollar Value
4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
GDAIS in partnership with McDonnell Douglas Aerospace (Boeing) developed the Mission Computer and MDP with the goal of reducing costs via integration of Commercial-Off-The-Shelf (COTS) technology and utilization of open systems architecture into military platforms. GDAIS is the original equipment designer and sole manufacturer of the Mission Computers and MDP. As the designer, developer, and sole manufacturer of the Mission Computers and MDP, only GDAIS has the unique requisite knowledge, expertise, and technical data necessary to successfully support fleet and program support requirements.
The Government requires data rights to effectively support the Mission Computers and MDP. The Government is unable to compete this requirement without the technical data and associated rights. GDAIS is the only known responsible source that possesses the requisite knowledge of the Mission Computers design, operation, and maintenance to satisfy the Government’s needs.
Although these systems are COTS based and are commercially available, they contain proprietary designs that make acquiring the technical data unreasonably expensive. Based on the development time of the existing Mission Computers and MDP, it is anticipated that a minimum of 4 years would be required to fully develop, qualify, integrate, test, and establish a new source of Mission Computer and MDP support from an alternate vendor that would meet the requirements of the F/A-18, AV-8B, and T-45 programs. Further, such a development effort would result in unacceptable delays to the F/A-18 production program. The Mission Computers and MDP are mission critical Weapons Replaceable Assemblies (WRA) and must be available to conduct missions by Naval aircraft currently in use throughout the fleet and by FMS customers.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Government research was conducted using the Internet, trade journals and magazines to determine if there were any other resources capable of meeting the Government’s needs. From the results of this research, it was determined that GDAIS was the only qualified responsible source with the ability to meet the Government’s requirement. A requirement synopsis was posted in the Government Point of Entry on 22 Feb 2011. Award will not be made until the synopsis time requirement in FAR 5.203 has passed and any responses to the synopsis have been reviewed. Any parties interested in subcontracting opportunities will be referred to the GDAIS Company’s Subcontracting manager.
7. Determination of Fair and Reasonable Cost.
The negotiation and establishment of a fair and reasonable price will be conducted in accordance with FAR 15.4. As stated in FAR 15.402, the Contracting Officer shall purchase all supplies and services at a fair and reasonable price. The Contractor will submit a formal price proposal with certified cost or pricing data and sufficient information to support the accuracy and reliability of the estimate. The Contractor's proposal will be reviewed by experienced technical analysts, cost analysts and contract specialists with the aid of necessary field pricing support. Based upon historical cost data from the Mission Computers and MDP efforts, the Contracting Officer, Defense Contract Management Agency, and Defense Contract Audit Agency auditors have adequate information and background to determine a fair and reasonable price.
8. Actions to Remove Barriers to Future Competition.
The technical community will continue to research the market place for alternative sources to provide support of the Mission Computers and MDP. If a source is found, the possibility of competing the requirement will be examined. For the reasons set forth in Paragraph 5, The Naval Air Systems Command has no plans at this time to compete future contacts for the types of supplies/services covered by this document. Since the Mission Computers and MDP are proprietary systems to which the Government does not have data rights.
