CJ&A_12_22178

CLASS JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Systems Command (NAVAIR) Headquarters

2. Description of the Action Being Approved.

This Class Justification and Approval (CJ&A) authorizes and approves on a sole source basis the issuance of orders under Basic Ordering Agreement (BOA) N00019-09-G-0005 to Lockheed Martin Mission Systems

& Sensors for the efforts necessary to support the MH-60 Software Support Activities (SSA). This CJ&A will permit the effort for a period of two years, covering FY12-FY13. Authority and approval of this CJ&A will expire on September 30, 2013. The anticipated contract type is Cost Plus Fixed Fee (CPFF).

3. Description of Supplies/Services.

This acquisition is for the procurement of software support for upcoming H-60 System Software

Configurations, including the technical, management, and process support necessary to update and maintain H-60 operational software, vendor software, maintenance-related software, laboratory support software, and software Fleet Readiness Activity support services for the H-60 Software Support Activities

(SSA) effort. This effort will include ongoing H-60 software support, white paper(s) for Technical/Trade studies, implementation of minor enhancements, corrections to specific fleet readiness related and other software problems, and new software enhancements or studies that have an end product of software delivery to the Navy or report to the Navy. The procurement may also require the support of the installation of software releases into the Maintenance Training Devices to include delivering updated

Government approved software release media, on-site support to the Navy In-Service Engineering Office

(ISEO) for installation of the software onto the Training Device, analyzing problem reports and providing software modifications. Modifications to aircraft software to accommodate trainer operations shall also be included in aircraft software releases and delivered.

See Appendix A for Estimated Dollar Value

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

Lockheed Martin Mission Systems & Sensors (LM MS2) developed the H-60 Mission Avionics and the MH-

60R/S Common Cockpit and was awarded the initial and subsequent production contracts. LM MS2 is the sole designer, developer, and manufacturer of the MH-60R/S Helicopter Avionics suite, Common Cockpit and all subsequent changes and improvements in production. The Avionics Operational Program (AOP) is the software operating in the MH-60 Mission Computer (MH-60R and MH-60S Armed Helicopter primary computer) and controls the operations, including the controls, displays and mission equipment interfaces, of the helicopter. The Flight Management Program (FMP) is the software operating in the MH-60 Flight

Management Computer (MH-60S primary computer and MH-60R/S backup computers) and controls the operations, including the controls and displays, of the helicopter. The Smart Multifunctional Display Unit

(SMFD) software operates the Pilot and Co-pilot Flight Displays. The Multi-Mode Radar (MMR) Land Mass

Rejection Functionality Feature Data and Software operates within the Radar suite. The Single Platform

Location Algorithms reside in the Electronic Support Measures (ESM) software. The AOP, FMP, SMFD, MMR and ESM are components of the MH-60R Mission Avionics Segment and the AOP, FMP, SMFD are also components of the Common Cockpit. LM MS2 developed at private expense portions of the AOP, FMP, MMR, and ESM software, and developed at private expense the SMFD software. In order to make required changes to and integrate functionality of the Mission Avionics and the Common Cockpit software, access to LM MS2 exclusive rights legacy data is required. LM MS2 proprietary data developed exclusively at private expense is not for sale and access thereto is integral to the proper and timely accomplishment of the required H-60 software support. As such, LM MS2 is the only source with the requisite skilled personnel, test equipment, laboratory facilities, and proprietary data to perform the required in-depth engineering and programmatic support to design, develop and incorporate avionics efforts into the H-60 efforts.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

For the individual BOA order anticipated to be awarded for the SSA support effort, a synopsis was released in FedBizOps on 21 July 2011, and no responses were received to date by the Contracting

Officer. Any responses prior to award will be evaluated by the Government.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402(a), the Contracting officer must ensure that all supplies and services ordered are procured at a fair and reasonable price. Analysis of the proposal will be performed by technical analysts and contract specialist, with assistance of DCMA. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actuals for previous procurements. The Procuring Contracting Officer (PCO) will use Government expertise, including DCMA, the PMA, and other Government resources, to evaluate the proposal's material, labor, and subcontract positions. A detailed report developed as part of the Government evaluation will be utilized to establish a

Navy position. There is not currently a rate agreement in place between LM MS2 and DCMA for the time period covered under this procurement. The PCO will work with DCMA and DCAA to establish a rate position including escalation. As discussed in this paragraph, the PCO will use cost and price analysis as the basis for negotiating a fair and reasonable cost for the supplies/services covered by this Class J&A.

8. Actions to Remove Barriers to Future Competition.

For the reason set forth in Paragraph 5, NAVAIR has no plans at this time to compete future contracts for types of supplies/services covered by the CJ&A. If another source emerges, NAVAIR will assess whether competition for future requirements is feasible.
