About this file

This is a Class Justification and Approval (CJ&A) document authorizing sole source contract modifications for the MQ-25 program.

The Naval Air Systems Command (NAVAIR) is approving modifications to the existing Engineering and Manufacturing Development (EMD) contract with Boeing (Contract N00019-18-C-1012) on a sole source basis. The modifications will fund additional development, fabrication, testing, verification, certification, and delivery of the MQ-25 aircraft to the Navy, including procurement of up to two additional System Demonstration Test Articles (SDTAs), producibility improvements, and provisions for future capability updates that cannot be accomplished through retrofitting. The contract modifications are authorized through September 30, 2028.

The justification for sole source award is based on 10 U.S.C. § 3204(a)(1), citing that only Boeing can satisfy agency requirements due to the specialized nature of the work. NAVAIR determined that awarding to any other source would result in unacceptable delays exceeding 5.5 years in fulfilling agency requirements and fielding the MQ-25 by 2026, as well as substantial cost duplication that cannot be recovered through competition. Boeing is identified as the sole designer, developer, and manufacturer of the MQ-25 aircraft. A presolicitation notice was posted on SAM.gov on October 24, 2023, with no responses received. The Contracting Officer has determined the anticipated cost to be fair and reasonable.
