JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

Upon the basis of the following justification, I hereby approve the issuance of the contractual action described below:

JUSTIFICATION

1. Identification of Agency and Contracting Activity.

Department of the Navy, Office of Naval Research (ONR).

2. Nature/Description of Action.

ONR intends to issue a sole source, bridge contract to continue the support services currently provided by Ke ‘Aki Technologies LLC for Program

Management support and Independent Validation and Verifications (IV&V) services for the Performance Improvement and Information Management (PIIM)

Department. The period of performance for this bridge contract will be 16 January

2019 to 15 April 2019. This bridge contract will also include FAR clause 52.217-

8 “Option to Extend Services”, to potentially extend services on a month to month basis for up to an additional six months.

3. Description of Supplies/Services.

The contractor shall continue to provide information technology (IT) program management, planning/programming, portfolio management, business and acquisition support services for the PIIM Division Chief Information Officer

(CIO) in the implementation, oversight and coordination of ONR Research and

Development program, business and financial processes and practices in accordance with the Department of Defense (DoD) Instruction 5000.2 and other applicable regulations, policies and guidelines through 15 April 2019. The level of effort for this contract covers 7 full-time-equivalent contractor support personnel. The estimated value of this bridge contract including all other direct costs is $ .

4. Identification of Statutory Authority.

The statutory authority permitting other than full and open competition is Title 10

U.S.C. 2304(c) (1), Only one responsible source, as implemented by the Federal

Acquisition Regulation (FAR) 6.302-1 -- Only One Responsible Source and No

Other Supplies or Services Will Satisfy Agency Requirements.

5. Demonstration of Contractor’s Unique Qualification.

The contractor has been successfully performing the support services required by

PIIM under contract N00014-14-F-4016 since 16 January 2014. PIIM requires continuation of these services pending completion of a follow-on award. Ke’Aki is the only source that can provide the continuing support services without disrupting the operational capability of PIIM, until the Government is able to complete the ongoing source selection for these requirements. The Government anticipates award of the follow on contract no later than 15 April 2019.

6. Description of Efforts to Ensure Other Potentials Sources Were Sought.

The Government is conducting a source selection under solicitation N00014-18-

R-0010 on National Institutes of Health Technology Acquisition and Assessment

Center (NITAAC) Electronic Government Ordering System (eGOS) for the PIIM support services required. The resulting award will be issued as a NITAAC task order. Proposals were due on 16 November 2018 at 2:00 PM EST and are currently being evaluated. A bridge contract allowing for continued performance of the incumbent through 15 April 2019 is necessary to ensure a successful competition is conducted and the best value is obtained for the Government for the next contract vehicle that has five potential years of service. The Government anticipates award of the follow on contract no later than 15 April 2019.

Pursuant to FAR 6.302-1(d)(2), a Notice of Intent to Award a Sole Source was posted to the Government Wide Point of Entry, www.fbo.gov, on 29 November

2018. No responses were received.

7. Determination of Fair and Reasonable Cost.

The Contract Specialist will perform a cost/price analysis to determine fair and reasonable costs prior to award utilizing proposal analysis techniques described in

FAR 15.404.

8. Description of Market Research.

Current market research was conducted as part of solicitation #N00014-18-R-

0010, which is currently in the technical evaluation phase of the procurement process. Based on the market research ONR is procuring this requirement in accordance with the memorandum dated 23 April 2012 Department of the Navy, Office of the Assistant Secretary (DASN) which emphases the mandatory use of the GSA Alliant/Alliant Small Business, DISA Encore II, Army ITES-2S, Air

Force NETCENTS, NIH GWAC and Seaport-E contract vehicles for acquisition of IT development and support service. With respect to the proposed bridge contract, a Notice of Intent to Award a Sole Source was posted to ww.fbo.gov on

29 November 2018 and no responses were received from any other interested parties.

9. Any Other Supporting Facts.

If a bridge contract was not established, there would be significant negative impacts to the overall operations of ONR PIIM Department. PIIM is responsible for several specific ONR functions, such as compliance with the Department of the Navy (DON) application and database management system (DADMS) and

DoD IT Portfolio DON (DITPR-DON) for ONR software, applications, and systems. Without these support services from Ke’Aki, ONR would be non-compliant with DON DADMS and DITPR-DON.

10. Listing of Interested Sources.

A Notice of Intent to Award a Sole Source was posted to www.fbo.gov on 29

November 2018. No interested sources responded.

11. Actions Taken to Remove Barriers to Competition.

On or before 15 April 2019, the Government will complete a competitive source selection for the PIIM support services associated with this sole source action.

12. Statement of Delivery Requirements.

The contractor shall provide monthly performance, progress and financial reports, meeting minutes and presentation material, point papers, command strategic business and operations plan, business case analysis, analysis of alternatives and plan of action milestones and customer survey analysis as described in the statement of work for the bridge contract.

13. Reference to the Approved Acquisition Plan (AP) or Equivalent Documentation.

A Management and Oversights Process for the Acquisition of Services-Streamlined

(MOPAS) has been approved for this requirement.

14. Explanation of all actions attempted to make the immediate acquisition competitive and the cost /benefit analysis reflecting costs associated with obtaining competition and anticipated benefits.

The bridge contract covers only the period of time believed to be required for to complete the award of a follow-on, competitive contract. Given the relatively short duration of the bridge contract, no benefit to the Government would be obtained by attempting to conduct a competition for the bridge effort in addition to the follow-on competition. The competitive solicitation for the follow-on action, which will cover a five-year period, is planned to be issued by 15 April

2019.
