About this file

This document is a Contract Justification and Approval (CJ&A) for the MQ-25 Boeing Basic Ordering Agreement (BOA) N00019-21-G-0006. It authorizes the issuance of orders against the BOA from FY23 through FY26 for MQ-25 Research, Development, Test, and Evaluation (RDT&E), Aircraft Procurement Navy (APN), and Operations and Maintenance, Navy (O&MN) requirements, with an estimated total value of orders not provided. The CJ&A cites the authority of 10 U.S.C. 2304(c)(1) for other than full and open competition, as Boeing is the sole designer, developer, and manufacturer of the MQ-25 unmanned aircraft and has the unique capabilities and data necessary to fulfill the Navy's requirements. No additional market research will be conducted, and a pre-award synopsis will be issued for individual contract actions.

n) Production planning.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

In accordance with FAR 6.302-1, Boeing is the only source that has the unique capabilities and complete data necessary to fulfill the Navy’s requirements. On 30 Aug 2018, NAVAIR awarded

Boeing the MQ-25 EMD contract under a limited sources competition. The design is still in development and final design documentation has not been delivered; the Government will not have a Technical Data Package (TDP) until May 2025. The data provided under the EMD contract is not sufficient to perform the work required during the timeframe and under the scope of this CJ&A. As such, the Government does not yet have the design-related deliverables necessary for another contractor to perform this work. Boeing is currently the only source with the experienced staff, necessary plants, equipment, suppliers, and technical understanding of what is required by the orders resulting in the unique capability to address the interrelated impacts of each order on each other and on the developmental efforts of the MQ-25 EMD program. For these reasons, Boeing is the only responsible source that has the unique capabilities and data to be able to fulfill the Navy’s requirements set forth in the orders.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

A sources sought waiver of DFARS PGI 206.302-1, Request for Information/Sources Sought, was approved for this BOA on 30 July 2021. A pre-award synopsis will be issued for individual contract actions in accordance with FAR 5.201. In the event a contractor other than Boeing expresses interest in a procurement, the Contracting Officer will review the contractor's qualifications and address accordingly. For reasons set forth in paragraph 5, no additional market research will be conducted because it is not practicable for any company other than Boeing to provide the required supplies and/or services.

CJ&A 23-0041

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost to the Government of the supplies/services covered by this CJ&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

The MQ-25 is being developed using a Modular Open Systems Approach (MOSA), where applicable, to enable competition for upgrades and competition at the subsystem levels. A TDP will be procured for the program to allow for future competitive procurement of MQ-25 system-related requirements and subsystems or system enhancements when practicable.
