The purpose of this Amendment is to: 1) extend the closing date for proposals to November 13, 2009 at 11:00A.M. EST; 2) revise the Sample Task Order Budget set forth in the Cost Evaluation Matrix; and 3) provide responses to questions received subsequent to the issuance of the RFP.

Except as provided herein, all terms and conditions of the document referenced in Item 9A or 10A, as heretofore changed, remains unchanged and in full force and effect.

Amendment #1

The RFP is modified as follows:

1. On the Cover Page and Section L.7(b), delete the stated closing date and time for proposals “October 23, 2009, 11:00am EDT” and insert in lieu thereof “November 13, 2009, 11:00am EST”.

2. In Section I.1, Notice Listing Contract Clauses Incorporated By Reference, add FAR Clause 52.230-5: Cost Accounting Standards—Educational Institution (OCT 2008)

3. Delete Section L.10(c) in its entirety and insert in lieu thereof the following:

“(c) Part 3 - Representations, Certifications, and Other Statements of Offerors

The offeror and each proposed subcontractor shall complete Section K, Representations, Certifications and Other Statements, and sign/date the last page in the space provided.

Offerors are advised to review FAR 52.204-7 and 52.204-8 for online submission of representations, certifications, and other statements of offerors through the Central Contract Registration (CCR) database.”

4. The Sample Task Order Budget in the Cost Evaluation Matrix (RFP Attachment J.7) has been revised to incorporate additional categories of labor. The revised Sample Task Order Budget is attached to this amendment as Attachment I.

Except as specifically amended herein, all other terms and conditions of RFP Number M/OAA/DCHA/DOFDA-09-618 remain unchanged and in full force and effect.

Questions & Answers

Q1: Section L.9.c.3(ii) indicates that 2 resumes are required for the Legislative/Parliamentary Specialist, and 1 resume for the remaining labor categories.

Section B.10 outlines Senior, Mid and Junior level labor categories. Does USAID require a total of 11 resumes and biodatas or are resumes and biodatas required for each of the three levels for each position?

A1: USAID requires a total of eleven resumes (one each for the two points of contact: the IQC Manager and Senior Legislative Advisor; and 2 Senior Legislative/Parliamentary Development Specialist, 1 Senior Public Administration/Strategic Management Specialist, 1 Senior Budget Analyst Specialist, 1 Senior Information Technology/Information Management Specialist, 1 Senior Media/Communications

Specialist, 1 Senior Public Advocacy Specialist, 1 Senior Training Specialist, and 1 Senior Administrative Support Specialist). Nine biographical data sheets are required -biographical data sheets are not required for the IQC Manager and Senior Legislative Advisor.

Q2: Please confirm that USAID does not require NICRA information for any subcontractors, even though some labor categories may be staffed or proposed to be filled by staff or consultants from subcontractor firms.

A2: The RFP does not require the submission of NICRA information for any subcontractors.

Q3: Will the proposed ceilings for indirect rates and fixed fees apply to subcontractors for purposes of bidding on task orders?

A3: The proposed ceiling indirect cost rates would only be applicable to the prime offeror as they are to be submitted in accordance with the prime offeror’s NICRA.

However, the proposed ceiling on fixed fee will apply to the prime offeror and any subcontractor.

Q4: Are small firms required to propose SDB utilization targets?

A4: Yes, all offerors must provide SDB participation targets information.

Q5: What percentage of the contract value will define a “major subcontractor”? Is the value of the contract based on labor services value, or will it include ODCs?

A5: Pursuant to the “Note” in Section L.9 of the RFP, a major subcontractor is defined not through dollar value, but as a proportion of the technical effort.

Q6: May non-US organizations submit proposals under this RFP?

A6: The Authorized Geographic Code for this RFP, 000 – United States, is set forth in Section H.7. Non-US organizations are not eligible to receive a prime award under the RFP. However, non-US organizations may be eligible to work as subcontractors under task orders.

Q7: Section B.9, Labor, indicates that contractors will not be authorized to bill USAID directly for IQC management costs under this IQC or under task orders and that contractors should propose a centralized management structure that allows for recovery of IQC management costs as part of its indirect costs.

(i) Our NICRA does not factor in costs for our home office labor. May we propose an alternative method for recovering this cost?

(ii) Does the term IQC Management refer only to the two points of contact, or is it intended to have a broader application to other home office labor and backstopping of task order implementation?

A7: IQC Management refers only to the IQC Manager and Senior Legislative Advisor.

The IQC Manager and Senior Legislative Advisor are not Key Personnel under this RFP.

As the IQC provides no means for direct recovery of the services that these individuals perform to manage the IQC, these costs must be charged as part of an indirect cost rate.

An alternative method may not be proposed. With respect to task order administration, these individuals may be proposed as a direct-charge under task orders in one of the labor categories in Section B.10.

Q8: Section L.7. requires that offerors submit one copy of the technical and cost proposal in Compact Disk (CD) Format. Please confirm if one disk should be submitted for each proposal.

A8: Offerors are required to submit a separate Compact Disk for the technical and cost/business proposal.

Q9: Section L.9.c.4.A states “The list shall be attached as an annex to the technical proposal.” Please clarify what specifically should be included in this list.

A9: This is referencing the Contractor Performance Reports providing the name, phone number and e-mail addresses.

Q10: Section B.10 requires the bidders to propose unburdened ceiling daily rates for each of the labor categories and levels. Will these “ceiling” rates be contractually binding on contractors?

A10: Yes, the unburdened ceiling daily rates that offerors propose as part of their Cost Evaluation Matrix will be incorporated into Section B.10 and will be contractually binding.

Q11: Regarding the Cost Evaluation Matrix (Attachment J.7), can you please advise what indirect rates should be applied to the Sample Task Order Budget if the proposed ceiling indirect rates are different for each year of the contract?

A11: Offerors may propose a single ceiling rate covering the term of award or a ceiling rate in each applicable contract year. If an annual ceiling rate is proposed, USAID will average the ceiling indirect rates and use that figure for evaluation purposes.

Q12: Regarding the Cost Evaluation Matrix (Attachment J.7), can you please confirm that only the prime offeror’s indirect rates are to be applied in the indirect costs sections (i.e., the offeror’s indirect rates as they relate to the offeror’s direct costs and subcontractor’s costs)?

A12: Yes, only the prime offeror’s indirect rates are to be utilized for evaluation purposes.

Q13: Section L.9.c.4.B(2) requires that offerors provide a copy of the most recent SF294 “Subcontracting Report for Individual Contracts” for each contract against which the offeror was required to report for the past three years. Because of the large volume of information, please confirm that offerors can submit one copy of the most recent SF294s for the past three years in an annex to the original cost proposal only, and does not need to submit copies to the additional copies of the cost proposal.

A13: Yes, offerors may submit one copy of the most recent SF294s for the past three years in an annex to the original cost proposal only.

Q14: Section L.10 of the RFP requests that subcontractors’ letters of commitment are to be included in the cost proposal. Please confirm whether offerors can also include letters of commitment from subcontractors and resource groups in the technical proposal.

A14: Subcontractor letters of commitment may only be submitted in the Cost Proposal as required by Section L.10(h). The Contracting Officer may provide these subcontractor letters of commitment to the technical evaluation panel at their request.

Q15: Section L.9.c.4.b(3) requests the names and addresses of three SB concerns that USAID may contact. The RFP requests a brief summary of the type of work each SB concern provided to the offeror’s organization, the name of a contact person, his/her phone number, and an e-mail address for each. Please confirm that this information may be provided in an allowed appendix to the technical proposal that will not count against the page limit.

A15: As noted in Section L.9(b), “Past Performance information in using small business concerns (per L.9.c.4.B)” is not included in the page limitation.
