About this file
This is a Mitigation Purchase Agreement template between a mitigation bank sponsor and the United States Army Corps of Engineers (USACE), New Orleans District. The agreement authorizes USACE to purchase mitigation bank credits to satisfy compensatory mitigation obligations resulting from three Mississippi River Levee (MRL) projects: Blackhawk Levee Slide Repair, Old River Seepage Berm, and Upper 5th LA Levee District Levee Enlargement (Solicitation W912P826RA035). The sponsor agrees to mitigate unavoidable habitat losses by creating, enhancing, rehabilitating, and/or restoring wetland functions in accordance with the Mitigation Banking Instrument (MBI), with the bank located in a Louisiana parish and encumbered by a perpetual conservation servitude.
Under the agreement terms, USACE pays the sponsor a non-refundable sum via electronic funds transfer to purchase a specified number of mitigation credits measured in acres and habitat type units (AAHUs). Upon receipt of payment, the sponsor assumes full responsibility for achieving mitigation success, monitoring performance, and reporting results according to MBI requirements. The agreement clarifies that USACE receives no ownership interest in the bank, its generated revenues, or the underlying property. The agreement constitutes the entire contract between the parties, is governed by United States law, and may only be amended in writing by both parties. The template requires completion of multiple bracketed fields including sponsor name and address, bank location, habitat type, acreage, AAHU quantities, and payment amount.
