TRANSFER AGREEMENT

[property acquired overseas from a contractor to a recipient]

THE UNDERSIGNED agree to a transfer of the property described in the procurement documents attached hereto as Annex ** (the “Property”), and agree to certain undertakings in connection with the transfer of the Property, as provided below:

1. Sanitization of computer equipment has taken place.

2. The Millennium Challenge Corporation (“MCC”), which holds title to the

Property, and [name of contractor], an MCC contractor with custody and control of the Property for use in carrying out its contract with MCC, agree that they will transfer right, title and interest in the Property, and physical possession thereof, in the items indicated to [name of recipient], a [describe recipient]. Local

Government agrees to accept such transfer of the Property.

3. The total cost of the Property as set forth on, and on the date of, the attached customs document(s) is USD $ [state amount]. The present value of the Property, agreed to by the Parties, is USD $ [state amount].

4. [Name of recipient] agrees to acknowledge the actual transfer of the Property by signing an Act of Acceptance, attached. [Name of recipient] agrees to continue to use the Property for purposes consistent with the project purposes. [Name of recipient] further agrees to take all necessary steps to register and record the

Property in compliance with local country law, including but not limited to the steps outlined below.

5. In consideration for the transfer of the Property, the undersigned agree to the following undertakings:

A. MCC shall notify local country property official (if applicable) by letter that the transfer of the Property has been effected;

B. [Name of recipient] shall obtain a certificate from local country property official certifying the transfer of the Property, and [name of contractor] shall provide [name of recipient] with a copy of invoices and shipping documents registered with customs upon original importation of the

Property for these purposes;

C. [Name of recipient] shall re-register the Property with the competent customs office in the name of [name of recipient], and shall provide [name of contractor] with a copy of customs documents; and

D. [Name of contractor] shall apply to local customs (if applicable) for a release of MCC [name of contractor] from customs control responsibility

Marginal M Performance does not meet some contractual requirements. The contractual performance of the element being assessed reflects a serious problem for which the contractor has not yet identified corrective actions or the contractor's proposed actions appear only marginally effective or were not fully implemented.

Unacceptable U Performance does not meet most contractual requirements and recovery is not likely in a timely manner. The contractual performance of the element being assessed contains serious problem(s) for which the contractor's corrective actions appear or were ineffective.

ASSESSMENT ELEMENTS:

(1) Cost/Price Control – Rate the contractor's ability to control cost and deliver at the agreed-to price. Describe the reasons for changes to contract value (e.g., scope changes, overrun/underrun, Government-imposed schedule changes, etc.).

(4) Quality – How well did the contractor adhere to the requirements of a Quality Assurance Plan or

Performance Based Contracting requirements? Did the services provided meet the required level of quality or results?

(5) Business Relations – Did the contractor exhibit reasonable/cooperative behavior in dealing with problems? Was turnover of personnel frequent? Rate the contractor's responsiveness to managing changes in providing replacement personnel.

(6) Personnel Qualifications – Rate the contractor’s ability to staff and retain a highly-qualified team with the knowledge and experience required to successfully complete the project.
