Summary of Justification for Other Than Full and Open Competition, Extension
This document is a Justification for Other Than Full and Open Competition (JOFOC) filed by the U.S. Forest Service for a lease extension at the Mount Baker–Snoqualmie National Forest in Sedro-Woolley, Washington.
The Forest Service seeks to extend its current office and warehouse lease (14,494 rentable square feet of office space, 4,032 square feet of warehouse space, and 160 parking spaces) under lease number 1204H109L0596 for an additional five years beyond the current August 16, 2026 expiration date. The justification for bypassing full and open competition is based on 41 U.S.C. 3304(a)(1), which permits single-source awards when the government experiences delays in acquiring replacement space. The Forest Service has cited documented organizational and financial uncertainties affecting the National Parks Service co-tenant's ability to plan for relocation to other federally controlled space, necessitating time to reassess long-term needs and develop a sustainable leasing strategy. Market research conducted in August 2025 using CoStar identified only one potentially acceptable alternative location outside the incumbent lessor in the Sedro-Woolley market, with no properties offering comparable combined office and warehouse space. The contracting officer determined that relocating to alternative space would impose unrecoverable move and duplication costs and that a fair and reasonable blended market rate has been established for the five-year extension term. The document is signed by Jessica Dilley, Lease Contracting Officer, and Ryon Morrison, Leasing Specialist, both dated in 2025.

Text version
The government encounters unexpected delays outside of its control in acquiring replacement space
The government is consolidating various agencies and the contracting officer needs to extend the terms of some leases to establish a common expiration date
The agency occupying the space has encountered delays in planning for a potential relocation to other federally controlled space due to documented organizational, financial, or other uncertainties
4. DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR
NATURE OF THE ACQUISITION REQUIRES THE USE OF THE AUTHORITY CITED.
It is in the best interest of the Government to remain at the current location during the extension period, due to issues selected in section 3 of this JOTFOC. Award to other than the current Lessor would require relocation of the entire requirement and would cause the Mt. Baker Ranger District to incur move and replication costs that would not be recovered through competition.
5. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED FROM AS
MANY POTENTIAL SOURCES AS IS PRACTICABLE.
In accordance with GSAM 570.106(d) and 570.405, an advertisement is not required for extensions.
6. DEMONSTRATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST TO THE
GOVERNMENT WILL BE FAIR AND REASONABLE.
A Market Survey was conducted by searching CoStar and local real estate information for comparable office/warehouse space and blended rates of office and warehouse space in the local and surrounding area. Only comps for Office and Warehouse are included as no dual-purpose properties were found. The Mt. Baker-Snoqualmie RD is requesting 14,494 rsf of office space and 4,032 rsf of warehouse to continue to meet mission needs in Sedro Woolley, WA for the next 5 yrs. Due to the lack of competition in the Sedro-Woolley market, the average blended market rate of for the 5-year extension term, is deemed fair and reasonable by the Lease Contracting Officer.
7. DESCRIPTION OF MARKET RESEARCH CONDUCTED AND THE RESULTS.
GSAR 570.402-5 allows for negotiation with the incumbent Lessor when a cost-benefit analysis shows that the Government cannot expect to recover relocation and duplication costs through competition.
In August of 2025, the Leasing Specialist conducted market research using CoStar and identified 1 potentially acceptable location (0 plus the incumbent) that may meet the agency’s needs within the delineated area. Other than the current Lessor, there are no other properties that would satisfy requirements in Sedro-Woolley, WA.
See Figure 1 below for the results of the market research including the incumbent.
