About this file
This is a Questions and Answers document for PAE-MC Ground Combat Vehicle Testing, Research, and Development (Contract M67854-26-I-0202), a Blanket Ordering Agreement (BOA) with the Marine Corps.
The document addresses organizational conflict of interest (OCI) concerns under FAR 9.5 and PWS Section C.6. Key clarifications include: vehicle, component, or subsystem manufacturers participating as subcontractors, teammates, or technology providers may be prohibited from later supplying vehicles or major components depending on their specific role and activities, particularly if they provide systems engineering advice or technical direction. The Government accepts teamed or partial-capability responses where respondents collectively address requirements through teaming arrangements rather than independently possessing all capabilities. Firms manufacturing unmanned ground-vehicle subsystems and autonomy technology cannot participate as teammates, subcontractors, or technology providers to the BOA contractor without creating an OCI, though the independent BOA contractor may provide testing and engineering services to manufacturers. Participation as a teammate or subcontractor does not impose enterprise-level OCI limitations; any restrictions are evaluated individually under Section C.6 and FAR 9.5 based on specific roles and activities, with resulting limitations scoped to affected acquisitions, programs, systems, or requirements rather than applied broadly across the enterprise.

Question # Paragraph/Ref Question Government Response
PWS Section C.6, Organizational Conflict of Interest
Would participation by a vehicle, vehicle-component or vehicle-subsystem manufacturer as a subcontractor, teammate or technology provider to an independent BOA contractor impair that manufacturer’s eligibility to later offer vehicles, components or subsystems for procurement under programs supported by this BOA?
It depends on the particular tasks undertaken by that manufacturer in the team. Such a teaming arrangement may impair that manufacturer’s ability to later provide vehicles, components, or subsystems to the program supported by this BOA depending on the specific activities undertaken by that manufacturer under this BOA. For example, where that manufacturer provides systems engineering advice (e.g., determining specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, or supervising design) or technical direction (e.g., developing work statements, determining parameters, directing other contractor’s operations, and resolving technical controversies) that manufacturer would likely be prohibited from being awarded a contract to supply a system or any major components or be a subcontractor on such an effort. See FAR 9.505-1.
2 General
Does the Government accept teamed or partial-capability responses to this RFI where the respondent does not independently possess every capability identified in the draft PWS but proposes a team that collectively addresses the requirement?
Yes. The Government will accept Responses to the RFI that demonstrate partial-capability or collective teamed approaches where the Respondent does not independently possess every capability identified in the draft PWS but proposes a team that collectively addresses the requirement.
PWS Section C.6, Organizational Conflict of Interest
May a firm that manufactures unmanned ground-vehicle subsystems and related autonomy technology participate as a teammate, subcontractor, or technology provider to the BOA contractor without creating an organizational conflict of interest under this instrument?
No, in accordance with FAR 9.5, and as implemented by Section C.6 of Attachment 1 to the RFI, a Firm that manufactures unmanned ground-vehicle subsystems and related autonomy technology would create an organizational conflict of interest under this BOA if they participated as a teammate, Subcontractor, or technology provider to the Prime Contractor or a Subcontractor under this BOA. Section C.6 does permit the independent BOA Contractor to provide testing and engineering services to vehicle manufacturers and components/subsystem providers, but that provision does not create an exception to the manufacturing restriction.
PWS Section C.6, Organizational Conflict of Interest
If such a firm does participate as a teammate, subcontractor, or technology provider to the BOA contractor, would it become subject to an organizational-conflict-of-interest limitation on its own eligibility to compete for, or supply hardware to, Marine Corps ground-vehicle programs supported under this BOA? If so, is that limitation scoped to the specific systems the firm supports testing on, or applied at the enterprise level?
No, participation as a teammate, subcontractor, or technology provider to the BOA Contractor does not, by itself, impose an enterprise-level OCI limitation on that firm's eligibility to compete for or supply hardware to Marine Corps ground-vehicle programs. Any OCI arising from the firm's participation would be evaluated under Section C.6 and FAR Subpart 9.5 based on the firm's specific role and activities, and any resulting restriction would be limited to the affected acquisition, program, system, or requirement, as applicable.
