The provision at 52.212-1, incorporated by reference, applies with the following changes/additions:

Submit signed and dated quotes to the office specified in this Request for Quotes (RFQ), or by email or fax using the specified contact information in section (m) below, at or before the exact time specified in block 8 of this RFQ.

Quotes may be submitted electronically (emailed) subject to the submission timelines required in FAR 52.212-

1(f)(2)(i)(A). Due to government computer firewall security and file size limitations, please be advised that it is the prospective contractor’s responsibility to ensure that the Contracting Office receives ALL required documents on time, including acknowledgment of receipt from the Government, and in strict accordance with

FAR 52.212-1(f).

Addendum to 52.212-2 Evaluation -- Commercial Items (Oct 2014)

(a) This is a commercial item requirement using Simplified Acquisition Procedures under FAR part 12 and 13, respectively. Evaluation will be conducted using simplified procedures in accordance with FAR 13.106.

(b) The Government will award to the responsible offeror whose quote, conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotes:

(c) For purposes of evaluation and determination of responsibility, and in accordance with FAR 13.106-2(b)(3), this assessment will primarily be conducted through Federal Awardee Performance and Integrity Information System

(FAPIIS) / Past Performance Information Retrieval System (PPIRS), but may include other authorized methods described. Past performance, for purposes of this evaluation, will be assessed as ‘satisfactory’ or ‘unsatisfactory’ at the discretion of the contracting officer based on the totality of information available. A past performance determination of ‘unsatisfactory’ will exclude the offer from consideration for award.

(f) A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party.

Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

PERFORMANCE WORK STATEMENT

1.0 BACKGROUND INFORMATION:

1.1 Marine Corps Installations Pacific-Marine Corps Base Camp Butler (MCIPAC-MCBB) is the base support command for United State Marine Corps (USMC) ground forces on Okinawa. As such, MCIPAC-MCBB provides religious worship opportunities (in accordance with the Free Exercise of Religion) for service members on the various Marine Corps Camps in Okinawa. Normally, Navy Chaplains would conduct these services, but due to a severe shortage of Roman Catholic Navy Chaplains, many bases (OCONUS and CONUS) must contract Roman

Catholic priests to conduct Roman Catholic worship services to provide an adequate level of religious support to their personnel.

2.0 OBJECTIVES

2.1 The key objective of this contract to provide minimum requirements for the pastoral care of Roman Catholic

Personnel (in lieu of Active Duty Roman Catholic Navy Chaplains) that is characterized by:

2.2 Conducting Sunday, Holy Day and daily Mass;

2.3 Directing Comprehensive Religious Education and Sacramental preparation, with an emphasis on youth character formation, individual moral development, and military family cohesion and readiness;

2.4 Providing the Roman Catholic Comprehensive Sacramental Ministry (to include sacraments of Baptism, First

Eucharist, Confirmation, Penance, Marriage, and the Sacrament of the Sick);

2.5 Supervising the Rite of Christian Initiation of Adults (RCIA);

2.6 Supervising Young Adult Catholic Ministries that focus on the spiritual readiness of (18-29 year old) Active

Duty Service Personnel;

2.7 Supervising Spiritual Enrichment programs for Catholic personnel and dependents;

2.8 Pastoral Counseling for Catholic personnel and dependents.

3.0 REQUIREMENTS:

3.1 Contractor employees must be able to obtain, or possess certification of current Priestly Faculties granted by the

Diocese of Naha and the Archdiocese for the Military Services, USA (AMS) - This organization serves as the endorser for all Roman Catholic military chaplains. It also serves the same basic function for Contractors serving in lieu of chaplains. The policies and statements of this organization will define the ministry and role of the Contract

Priest. The ministerial roles, authority, and governance defined by the AMS letter “Minimum Requirements for the

Pastoral Care of Catholic Personnel, Most Reverend Timothy P. Broglio, 01 August 2011” (available upon request) apply to the Contractor. Such faculties identify an individual as a validly ordained Roman Catholic Priest who is currently in good standing with the Roman Catholic Church officials, who has fulfilled the requirements of the

Dallas Charter and who is authorized to represent and celebrate the Sacraments of the Roman Catholic Church.

3.2 Obtain written verification from the Navy Chief of Chaplain’s office of ecclesiastical endorsement and current standing within the Roman Catholic Church.

3.3 Attend Religious Ministry Team staff meetings when requested.

3.4 Maintain liaison with the Command Chaplain of Marine Corps Base Camp Butler and the Marine Corps Base

Catholic Priests to keep them informed of any requirements or problems that may arise during the conduct of ministry.

3.5 Become familiar with the basic Navy/Marine Corps instructions which provide guidance for:

a Command Religious Program, to include but not limited to:

a. SECNAVINST 1730.7D Religious Ministry Support in the Department of the Navy

b. SECNAVINST 1730.8B Accommodation of Religious Practices

c. MCO 1730.6D Command Religious Programs in the Marine Corps

d. MCO 5351.11 Professional Naval Chaplaincy Standards and Procedures for Religious Ministry teams in the

United States Marine Corps

3.6 Be able to function comfortably in a religiously diverse environment where people of other denominations and religions share the use of military chapels and worship spaces.

3.7 Be able to speak conversational English, preach effectively and articulately, and conduct the Roman Catholic

Mass in the English language.

3.8 Be responsible and competent in completing and filing all required sacramental records and other ministry, as required. This includes quarterly reports and other such documentations as may be required by the Archdiocese for the Military Services, USA.

3.9 Be experienced with computers and software, to include Microsoft Word and e-mail.

3.10 Possess and maintain communication through a civilian, working e-mail account.

3.11 Contractor shall be responsible for providing all local transportation between and within camps and other locations at which performance is required under this contract. This includes saying Roman Catholic Masses at the MCB chapels and performing additional sacramental and emergency ministrations.

3.12 Contract employees shall possess or able to receive a valid vehicle driver’s license which authorizes driving on

Okinawa. Commuting among the various camps and military installations in Okinawa is required. This includes saying Roman Catholic Masses at the MCB chapels and performing additional sacramental and emergency ministrations.

3.13 Maintain a professional attitude and professional appearance at all times. During Roman Catholic Mass, the

Contractor shall wear the ecclesiastical clothing appropriate for the event. When working in office space, hospital, or around chapels, the Contractor shall wear clothing appropriate to the occasion. Required dress will never be less casual than “office casual.” Office casual Kariyushi shirts (an Okinawan aloha type shirt often worn by Okinawan government officials) are acceptable, if these contribute to a clean and professional appearance.

3.14 Properly handle all Government supplied materials in accordance with the direction provided by the Command

Chaplain and Coordinating Chaplains. Additionally, the Contractor shall be responsible for the safety and upkeep of all Government property provided under this contract.

3.15 Not seek reimbursement from the Government for any work performed for any occasion other than those described in this contract. The Contractor has no exclusive rights to perform at any religious services other than those stipulated below, such as weddings or other private ceremonies.

4.0 TASKS:

4.1 Provide weekend Catholic services at the chapels of Marine Corps Base Camp Butler, Okinawa, Japan in the delivery of ministry to Roman Catholics who are entitled to the pastoral care of the Archdiocese for the Military

Services, USA. Performance of weekend services includes the following:

Saturday / Sunday Mass Based on CRP(Command Religious Program) and determined by the CPL(Catholic Program Leader);

as few as 104 and as many as 156.

Rite of Baptism As needed and conforming to professional standards.

Rite of Reconciliation (Confession) As needed and conforming to professional standards.

Weddings / Funerals / Anointing / Hospital Visitation As needed and conforming to professional standards.

4.2 Provide weekday Catholic services at the chapels of Marine Corps Base Camp Butler, Okinawa, Japan in the delivery of ministry to Roman Catholics who are entitled to the pastoral care of the Archdiocese for the Military

Services, USA. Performance of weekday services includes the following:

Daily Mass Minimum of 192 daily masses a year (4 weekday masses per week).

Special Feast Day Masses / Holy Days of Obligation Established by the Roman Catholic Liturgical

Calendar for any given year; the CPL will determine the delivery schedule for the Contractor.

Rite of Baptism As needed and conforming to professional standards.

Rite of Reconciliation (Confession) As needed and conforming to professional standards.

Weddings / Funerals / Anointing / Hospital Visitation As needed and conforming to professional standards.

Admin/Meetings/CCD/Pastoral Counseling/Trainings/Retreats

The Contractor is expected to publicize office hours and be available for walk-ins for pastoral counseling. The Contractor shall also conduct appropriate administration, attend MCBB Chapel trainings, and attend MCBB Chapel meetings.

4.3 A Mass shall be defined as the celebration of the Sacrament of the Eucharist according to the Latin Rite of the

Roman Catholic Church. A “weekday” Mass usually lasts about 25-30 minutes. A Saturday or Sunday Mass normally lasts approximately 60 minutes but may extend as long as 90 minutes. The Contractor shall conduct the

Holy Sacrifice of the Mass using only the official rubric with no innovations. Masses conducted by the contractor shall be Roman Catholic Masses. The Contractor shall maintain accurate records of these events. The Contractor shall submit accurate invoices to the Supply Technician located at the Foster Chaplains Office. The Contractor shall submit ecclesiastical reports and MCIPAC chapel office reports as required.

4.4 Be present 20 minutes prior to the start of all services, remain in the Chapel for the duration of the service and inform the Chapel Duty personnel (Religious Program Specialist) prior to departure after the service has concluded.

4.5 Coordinate and conduct all necessary rehearsals and training of volunteer personnel in support of the conduct of the Masses such as Altar Servers, Lectors and Eucharistic Ministers.

4.6 Conduct and effectively oversee the training and certification of worship volunteers as required such as Lectors, Eucharistic Ministers, and Religious Education Volunteers.

4.7 In the absence of the active military duty Roman Catholic Priest assigned for MCB Camp Butler, the Contractor shall oversee the conduct of Roman Catholic Religious Education, and the Confraternity of Christian Doctrine

(CCD) programs in coordination with the Catholic Coordinators of Religious Education (CRE).

4.8 Coordinate the Confirmation Retreat and prepare the Confirmation Mass to be celebrated by AMS bishop.

4.9 Coordinate the Penance Services for Advent and Lenten Seasons.

4.10 Provide Anointing of the Sick (Last Rite) and Funeral Mass / Memorial Services as requested and authorized.

4.11 All contract employees must maintain ministerial faculties and liaison with Archdiocese for the Military

Services, USA (AMS). This includes advising AMS of any change in ecclesiastical status or contact information.

4.12 Daily input data into the Command Religious Program – Analytics Tool (CRP-AT) that accurately represents the ministry of the Contractor. Data should be entered on the same day it was performed. In some cases, it may be necessary to enter in the data on the following day. Any day that the CRP-AT is not working, record the data on to the provided hard copy worksheets, and then enter that data into CRP-AT when it is working again.

4.13 Compose Prayers of the Faithful for assigned Sunday and Holy Day liturgies with respect to liturgical guidelines on those days when celebrating Mass.

5.0 THE GOVERNMENT WILL:

5.1 Provide an office space and ensure that the Chapel space is appropriately set up for the conduct of a Roman

Catholic Mass.

5.2 Provide notification at least 24-hours in advance regarding any changes in the scheduling of Chapel facilities or of any Masses to be celebrated by the Contractor. However, Masses and other events may be cancelled within less than 24 hours due to unforeseen circumstances such as power outages, threat conditions and acts of God, i.e.

typhoons. The Government is not responsible for compensation under these circumstances.

5.3 Provide to the Contractor all necessary equipment and materials in good condition and in a timely manner in order to celebrate the Roman Catholic Mass. This may include, but is not limited to Roman Missal, Lectionary, Breaking Bread, sacramental wine and hosts, chalice, purificators, finger towels, palls, linens, set of chasubles, all vestments to include stole & robe, offering baskets, candles, and altar table.

5.4 Provide a Common Access Card (CAC) and a government computer with access to a government email account.

6.0 SUPPLIES/MATERIALS:

6.1 The Government will provide all necessary supplies and materials to the Contractor. Nevertheless, the

Contractor may submit requests for service-related material that may enhance the service. Such requests shall be submitted to the appropriate chaplain/Contracting Officer Representative, who will be solely responsible for approving/disapproving them. All requests are subject to availability of Government funds and thus may be disapproved. Failure on the part of the Government to approve any such request does not relieve the Contractor from performing duties under this contract.

6.2 The Government will provide the Contractor with a suitably equipped office space in order to conduct pastoral counseling, prepare admin paperwork, return phone calls, etc.

6.3 Reimbursement cannot be made for any items purchased personally by the contract employees, even if related to the performance of duties.

6.4 Items purchased with Government funds at the request of the Contractor remain the property of the Government.

6.5 Police and Fire Rescue Support: These services will be provided to the Contractor at no cost while aboard

USMC installations and working in an official capacity.

6.6 The following telephone numbers are provided to the Contractor in support of developing emergency response procedures aboard each camp:

7.0 LEAVE AND TEMPORARY ABSENCE:

7.1 The Contractor shall notify the Catholic Program Leader (CPL) and the MCB Camp Butler Command Chaplain at least ten (10) working days in advance if it is known that performance of services are not possible for a short (1-4 days) absence. For longer planned absences, the Contractor shall notify at least two (2) calendar months in advance.

In the event of illness/emergency leave, the Contractor shall inform the CPL and the MCB Camp Butler Command

Chaplain as soon as the situation becomes known.

7.2 Regardless of the reason for his absence, the Contractor shall remain solely responsible for ensuring the performance of all work required by this contract is accomplished. Therefore, the Contractor shall ensure that a qualified and suitable non-uniformed replacement is provided in a timely manner and compensate the replacement appropriately. The Government is not responsible for payment of a replacement priest when necessary in performance of this contract. Additionally, the Contractor shall be responsible for ensuring the replacement is knowledgeable of the requirements of this contract. The replacement must be a fully qualified Roman Catholic

Priest in good standing with the Church and possessing the Faculties of the Archdiocese for the Military Services, USA.

8.0 PAYMENT:

8.1 The Contractor shall submit an invoice on the first (1st) Monday of the next month following end of the month in which the services were rendered. If this day is a Federal holiday, the invoice shall be submitted on Tuesday. All invoices shall be submitted in accordance with clause 252.232-7006 Wide Area Workflow Payment Instructions.

8.2 It is the Contractor’s responsibility to ensure that all invoices are submitted in a timely manner.

9.0 SECURITY REQUIREMENTS:

9.1 Background Checks: Federally mandated background checks will be performed in accordance with Public Law

101-647, Section 231 (Crime Control Act of 1990) and Department of Defense Instruction 1402.5 (dtd 19 Jun 93), Criminal History Background Checks on all individuals working with this contract. The Contractor shall initiate all required forms and necessary information for the background check. These forms shall be submitted by the

Contractor to the required sources for completion. Background checks must be completed prior to personnel assigned duties under this contract.

9.2 The Contractor is responsible for obtaining a National Agency Check Plus Written Inquires and Credit Check

(NACI) or equivalent for all individuals performing under this contract. This background check will require the completion of the SF-85 or SF-85P forms. The Contractor is responsible for all costs associated with these background checks. The Contractor shall ensure that these backgrounds checks are completed prior to personnel performing assigned duties under this contract.

9.3 Identification and Base Passes. The Contractor shall obtain identification cards and base passes. Application shall be coordinated through the Contracting Officer or designated representative. At time of application, Security

Forces may conduct a background check on the Contractor. Upon termination of employment, the Contractor shall return identification cards and base passes to Security Forces within 24 hours.

9.4 The Contractor may make use of such worship and work spaces as are needed in the conduct of ministry.

Ordinarily such use should be scheduled in advance and exclude hours of the day and night when he would be alone in a building.

9.5 The Contractor shall establish and implement a method of ensuring that all keys issued to the Contractor by the Government are not lost or misplaced, and that they are not used by or loaned to any other person. The Contractor shall report immediately the loss of any keys. The Contractor shall not duplicate any keys.

9.6 The Government may, at its option, require the Contractor to replace lost keys or to reimburse the Government for the re-keying or replacement of locks as a result of keys having been lost by the Contractor. In the event that a master key is lost or duplicated, the Contractor shall be responsible for the total cost of replacing all locks and keys for that system.

10.0 QUALITY ASSURANCE AND SURVEILLANCE PLAN:

10.1 The Contractor shall coordinate with the CPL to develop and maintain a quality control program to ensure services are performed in accordance with Roman Catholic ecclesiastical standards. The Contractor shall develop and implement procedures to identify and prevent defective services from reoccurring. As a minimum, the

Contractor shall develop quality control procedures that address the areas identified in the Performance Requirement

Summary (PRS) below. The PRS is a living document and may change throughout the life of the contract to ensure contract standards are met.

10.2 Should the Contractor find a deficiency, it is to immediately notify the CPL and implement the procedures to correct it.

10.3 The COR will inspect that the services are rendered in accordance with Roman Catholic ecclesiastical standards by communicating with the CPL and the Contractor.

10.4 The COR shall evaluate the Contractor’s performance throughout the duration of this contract. Inspections shall be conducted with the intent of verifying compliance with contract requirements and performance.

10.5 The assessment/evaluation methods, in concert with the Contractor quality control procedures, will assure the government of satisfactory Contractor performance. The COR may use the Contractor’s PRS as the basis for their evaluations. When observations by the COR indicate a defective performance by the Contractor, the COR will inform the Contractor that they have 30 days to correct the deficiency. Disputes between the COR or CPL and the

Contractor over performance standards shall be referred to the Contracting Officer for final determination.

10.6 Acceptable Performance. Acceptable performance is achieved when performance meets or exceeds the minimum contract performance standard(s).

10.7 Unacceptable Performance. Unacceptable performance exists when the Contractor does not meet the minimum contract performance standard(s). Unacceptable performance will be discussed by the chaplain with the COR regarding corrective actions for the Contractor.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision --

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term

“successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the

United States.
