STATEMENT OF WORK

1. Contractor to provide solid shelve decking removal and shelve replacement work in Marine Corps Air Station Iwakuni (MCASI), Japan, Bldg. 447, which is located inside the main base.

a. Definition

i. Storage Shelving Unit

1. These are the items that are referred to as “Shelf” in Enclosure #1. There are two types of storage shelving units, Type 47d and Type 47e. Type 47d units have (4) shelves while Type 47e have (5) shelves.

ii. Shelf/Shelves

1. The individual horizontal platforms located inside the storage shelving unit that allow items to be placed on top. Enclosure #2 shows the shelves.

b. Installation Site Location

d. Materials requirements for this work are as follows:

i. Contractor must submit a copy of the product data sheet(s) of the shelves for review to the

Contracting Officer or his/her duly authorized representative(s). The submittal shall be approved by the Facilities Department, NAVFAC Far East Fire Protection Engineer, and the Contracting Officer or his/her duly authorized representative(s) prior to purchase or installation.

ii. Contractor to furnish all materials, equipment, and labor required for the installation of the new shelves and disposal of the existing shelves.

iii. Contractor shall also provide all temporary material that protects floors, walls, and edges of entrance doors of the building from any scratches, grazes, damages, and stains.

iv. The government does not wish to participate in the acceptance of arriving furniture and related accessories or containers to avoid any delay at no fault of the Contractor.

e. Installation coordination will be provided as follows:

i. Installation is to be coordinated with the Contracting Officer or his/her duly authorized representative(s) in advance no later than 15 calendar days prior to installation starting date.

ii. Government, Contracting Officer or his/her duly authorized representative(s), will provide Contractor directions to the site prior to the site visit and installation.

f. Installation Requirements are as follows:

i. Installation of new shelves shall begin no later than 120 days after contract award.

ii. Required shelve installation dates will be negotiated and provided to the Contractor no more than 45 days after contract award.

iii. Installation shall be completed within 60 working days after installation starting date.

Contractor shall immediately notify the Contracting Officer or his/her duly authorized representative(s) of any potential delays.

g. Contractor to remove existing solid shelf decking for all highlighted installed storage shelving units as shown in Enclosure #1.

i. Total number of type 47d storage shelves to be removed is 1352

1. Total number of type 47d storage shelving units to be affected is 338 per Enclosure

#1

a. Each type 47d storage shelving unit has 4 shelves per Enclosure #2

b. Type 47d storage shelving units covered in this SOW come in two different lengths:

i. (336) type 47d storage shelving units are 180 cm in length per

Enclosure #1

ii. (2) type 47d storage shelving units located in Rm 216 are 130 cm in length per Enclosure #1

ii. Total number of type 47e storage shelves to be removed is 300

1. Total number of type 47e storage shelving units to be affected is 60 per enclosure #1

a. Each type 47e storage shelving units has 5 shelves per Enclosure #2

b. There are two types of supports for type 47e shelves

i. Bottom, third from bottom, and top shelves use one type of support as shown in Enclosure #2

ii. Shelves second from bottom and fourth from bottom use another type of support as shown in Enclosure #2

h. Contractor to provide and install new wire mesh shelves that meet the NFPA 13 standard definition for an “open rack”, meet current solid shelving load limits, and current color shelving pattern.

i. New wire mesh shelving for type 47d storage shelving units shall:

1. Mount to the existing storage shelving unit providing the existing vertical allowance and without modifying the shelving unit vertical uprights.

2. Be made of corrosion resistant steel such as stainless steel, powder coated, or galvanized steel. Powder coated steel wire decking shall be uniform in color for all type 47d shelves.

3. Cover at least a total area of 163 cm by 60 cm (length and width) with the exception of the shelves for the (2) alternate shelving units located in Rm 216, which shall cover at least a total area of 113 cm by 60 cm (length and width).

4. Be of similar overhang style as the example shelving in Enclosure #2.

5. Keep total horizontal spacing between the wire mesh decking overhang and front and rear shelf support beams no greater than 2 cm.

6. Be removable without requiring tools.

7. Have steel cross support beams that will mount on top of the front and rear support beams for wire mesh support.

a. Steel cross support beams shall be made of corrosion resistant steel such as stainless steel or be coated steel such as powder coated or galvanized steel

i. Powder coated steel shall match the current green color of the shelving unit frame as shown in Enclosure #2 unless otherwise approved by Contracting Officer or his/her duly authorized representative(s)

b. The top of the cross support beams shall be flush or up to .5 cm lower with the top of the front and rear support beams.

c. Cross support beams shall be no longer than 49.5 cm in length and no thicker than 3.2 cm in depth

d. Cross support beams shall not be allowed to rotate more than 10 degrees along the width direction of the shelf

8. Have a minimum of 50% of the shelve area open per NFPA 13 definition of an

“open rack”.

9. Meet at least the current maximum solid shelf load capacity of 700 kg.

ii. New wire mesh shelving for type 47e storage shelving units shall:

1. Mount to the existing type 47e storage shelving units providing the existing vertical shelf spacing capability and without modifying the racking vertical uprights.

2. Be made of corrosion resistant steel such as stainless steel, powder coated, or galvanized steel. Powder coated steel wire decking shall be uniform in color for all type 47e shelves.

3. Cover at least a total area of 167 cm by 56 cm (length and width).

4. Be of similar overhang style as the example in Enclosure #2.

5. Keep total horizontal spacing between the wire mesh decking overhang and front and rear shelf support beams no greater than 2 cm.

6. Be removable without requiring tools.

7. Have steel support structure(s) for the wire mesh.

a. Support structure(s) shall be powder coated to match the current white color of the shelving unit frame as shown in Enclosure #2 unless otherwise approved by Contracting Officer or his/her duly authorized representative(s)

b. The support structures shall not be thicker than 3.8 cm in depth.

c. The support structure(s) shall not have a total area larger than 168 cm by

55.8 cm (Length x Width)

d. The support structure(s) shall not have a total area less than 166 cm by 54.5 cm (Length x Width)

8. Have a minimum of 50% of the shelve area open per NFPA 13 definition of an

“open rack”.

9. Meet the existing minimum shelf load capacity of 200 kg.

a. A label showing the load capacity shall be attached to each shelf.

i. New labels shall be of similar style to current labels

i. Post-installation work shall include the following:

i. The Contracting Officer or his/her duly authorized representative(s) will need to perform a final inspection and acceptance along with the Facilities Department, Fire Department and Fire Protection Engineer. The Fire Protection Engineer may participate virtually.

ii. Contractor shall be responsible for the disposal of the removed solid shelf decking, all materials, and all other refuse generated from this work from the Marine Corps Air Station in accordance with Japanese and local prefectural laws unless approved in writing by Contracting Officer or his/her duly authorized representative(s) to be kept for other approved uses.

GENERAL INFORMATION

1. PROCEDURES FOR INSTALLATION SERVICES

a. PRE-AWARD SITE VISIT: The Government requires a pre award site visit in order to be an eligible bidder for this solicitation and coordinated by the Contracting Officer or his/her duly authorized representative(s). Site visit shall be scheduled between 7 to 21 days after solicitation.

b. PRE-INSTALLATION MEETING: Upon receipt of order, the Contractor’s Point of Contact (POC) and the installation foreman shall be available, in person for a pre-installation meeting no less than 48 hours prior to projected installation date. During the meeting, the installation dates, schedule and process shall be discussed, rules of conduct on Base shall be reiterated, and the installation responsibility listed in this Statement of Work shall be reviewed.

c. POST INSTALLATION INSPECTION: At the end of installation, the On Site Foreman and the Contracting Officer or his/her duly authorized representative, MCCS representative and Facilities representative shall conduct a joint inspection and confirm related shelving have been installed.

Discrepancies shall be corrected before the Government accepts the new equipment. The installation process is considered incomplete until a post installation inspection is completed by the Contracting Officer or his/her duly authorized representative and found to be acceptable.

d. PHYSICAL SECURITY: Contractor shall ensure that all Government Furnishings shall be secured in the building areas and shall be protected from damage caused during handling to include but not limited to dirt, contaminants, damage caused by tears, rubbing and outside elements such as moisture and rain.

e. TRANSPORTATION PROCEDURES: Transportation of furniture is intended for overseas shipment. The Contractor shall exercise reasonable care in packing, packaging, preservation, handling, consolidating, loading, unloading, set-up and installation of all items. The contractor shall notify the Contracting Officer, the contract specialist and the Contracting Officer or his/her duly representatives when shipment has been made by the contractor to help ensure the completion of shipment of all equipment and clearance through Japanese customs clearance. The contractor shall also provide all insurance and customs documentation related to the shipment.

f. CLEAN UP: The Contractor shall remove all materials and other debris, accumulated from the installation site spaces as a result of disassembling, loading, unloading and installing the items

g. DISPOSAL OF PACKAGING AND OTHER REFUSE: All refuse materials shall be disposed of off the installation IAW Japanese and local prefectural laws.

h. DELAYS: Any delay to the schedule agreed upon at the Initial Coordination Meeting shall require agreement between the Contractor and Contracting Officer or his/her duly authorized representative.

The Contractor shall take every step to avoid delays. The Contractor shall notify the Government as soon as a delay to the schedule is anticipated. The Government will also notify the contractor as soon as a delay to the schedule is anticipated.

i. QUALITY CONTROL: The Contractor is responsible for controlling the quality of services that conform to the contract specifications. The Contractor shall establish procedures and processes to include, but not limited to inspection to ensure all contract requirements are met to fulfill the movement of the items in accordance with this performance work statement.

j. QUALITY ASSURANCE: The Government Quality Assurance Surveillance Program is not a substitute for Quality Control by the Contractor. All findings of incomplete or defective performance will be subject to re-performance. All costs associated with rework are the responsibility of the Contractor. When the Contractor’s overall performance is unsatisfactory, a Discrepancy Report will be issued by the Contracting Officer and the Contractor shall reply in writing, giving the reason(s) for unsatisfactory performance, and identify the corrective actions(s) to be taken to prevent future problems. The Contracting Officer or his/her duly authorized representative will perform all inspections expeditiously to minimize delays in Contractor’s performance.

2. CONTRACTOR PERSONNEL

a. CONTRACT MANAGER: The Contractor shall provide a Contract Manager as the Primary Point of Contact (POC) who shall be responsible for the performance of work under this order. This person shall be reachable by both telephone and electronic message, through which all communication shall flow between Contracting Officer or his/her duly authorized representative and the Contractor. The POC must be able to answer questions pertaining to all aspects of the project order quickly and accurately.

b. ON-SITE FOREMAN: The Contractor shall designate an on-site foreman that shall be present during the entire installation for each requirement. The on-site foreman shall be responsible for the conduct of the entire installation crew, and compliance of this Statement of Work.

c. CONTRACTOR EMPLOYEES: The Contractor’s employees shall present a neat appearance and be easily recognized as Contractor employees. This may be accomplished by wearing distinctive clothing bearing the company name and the employee’s name. Contractor personnel shall have the necessary experience to perform work successfully.

d. CONTRACTOR ACCESS TO GOVERNMENT INSTALLATIONS: All access to Government installations shall be coordinated with the Contracting Officer or his/her duly authorized representative. The identity of the Contracting Officer or his/her duly authorized representative will be available to the Contractor during the initial coordination meeting. Upon agreement and coordination, keys to the facility may be charged out daily by the Contracting Officer or his/her duly authorized representative to the Contractor. The Government may, at any time, bar any employee who violates Federal regulations pertaining to security, safety, health, or law while aboard a military installation. The removal of any employee from a military installation shall not relieve the Contractor of the requirement to continue performance of this contract.

Note: The Contractor, as a stipulation of this contract, acknowledges that Designated Third Country National (DTCN) Contractor employees are not permitted aboard any Marine Corps Bases Japan (MCBJ) Camp, Air Station, or facility in Japan. Signature of the award document constitutes acknowledgement, and binds the Contractor to all terms specified in the contract. A listing of Designated Third Countries can be in USFJ Instruction 31-204 (Designated Third Country Nationals).

3. GOVERNMENT FURNISHED PROPERTY

a. UTILITIES: The Government will provide via the Contracting Officer or his/her duly authorized representative(s) for the use of utilities (i.e. water and electricity) when needed to perform installation work. The contractor shall conserve utilities as practical. Lights shall be used only in areas where work is to be performed. Water faucets or valves shall be turned off when not in use.

The contractor shall be authorized to recharge batteries for tools used in the performance of requirements. Use of the Government telephones is not authorized except for emergency call.

4. OPERATING WORK HOURS

a. The Contractor shall commence set-up and installation during normal duty hours of 0730 – 1630, Monday through Friday. In cases where installation is needed outside normal working hours, coordination shall be made with the Contracting Officer or his/her duly authorized representative.

5. PERFORMANCES OF INSTALLATION SERVICES

a. Unless specified differently in the SOW, services will not be accepted on Saturdays, Sundays, or

Federal holidays. Government representatives shall sign for inspection and acceptance of all services between 0800 and 1630, Monday through Friday.

7. SPECIAL CONTRACT REQUIREMENTS

a. DAMAGE TO GOVERNMENT PROPERTY AND FACILITIES: In instances where Government

Property or Facilities have been damaged by the Contractor, a full report of the facts and extent of damages shall be submitted to the Contracting Officer or his/her duly authorized representative within 24 hours following the incident. The Contracting Officer or his/her duly authorized representative shall forward the report to the Contracting Officer within 24 hours of receipt. If the Contractor is found to be negligent, the Contractor shall be held responsible for all expenses related to reimburse of all damages to the Government.

8. SECURITY/SAFETY

a. COMPLIANCE WITH BASE RULES: All personnel directly employed by the Contractor must obey all applicable base rules to include but not limited to, parking, motor vehicle operation, cell phone use while driving, and conduct on the installation. All vehicles, hand carried items, and persons are subject to searches upon entering/exiting the installation and at any time while on MCAS Iwakuni. Random searches are conducted at all gates, during increased security of FPCONs.

b. INCLEMENT WEATHER PLAN: The Contractor should develop an inclement weather plan.

Routine, non-catastrophic inclement weather should not delay the installation. Routine, non-catastrophic inclement weather is classified as light to moderate rain, extreme heat, and wind gust of no more than 35 miles an hour. The Contractor shall protect all equipment from damage caused by routine, non-catastrophic inclement weather and by severe inclement weather experienced during installation.

c. SAFETY: It is the Contractor’s responsibility to ensure the safety of its personnel along with any other personnel who should enter the worksite. Requirements for safety will be strictly adhered to as they pertain to Contractor operations. The following documents are directive in nature – the Contractor shall comply with these standards during performance of any services under this agreement:

Which manufacturer is the original of the existing shelves?

A: I found a small label on the bottom of the white shelves in the back room (see attached).

[Q.2] Ref.SOW Section 1-d-i

The SOW says “Contractor must submit a copy of the product data sheet(s) of shelves for review to the Contracting Officer”. What exactly do you need?

We will submit a strength statement for new mesh shelves and detailed drawings for replacement shelves, what else do you need?

A: The strength statement (load capacity) for the new mesh shelves, drawings (include all details, cut sheets), and possible calculations that prove how much weigh it can handle.

[Q.3] Ref.SOW Section 1-h-i-9 & Section 1-h-ii-9

The stanchion structure of the existing storage shelving's body units are designed for flat shelves, not for mesh shelves, but only the load capacity per shelf is described in SOW, and the strength of the stanchions are not mentioned.

Do I need to submit a calculation sheet to see if the stanchions are strong enough to withstand the load, even under maximum load on all shelves? Also, if the strength is insufficient, should we remodel the main body as well?

A: To protect both parties it would be best if they submit a calculation sheet that shows the upright new load capacity. The current statement of work is for the shelves to hold equal to or greater than the current max load. Therefore, the contractor will need to prove to us how much weight can put on those shelves and also re-label them to state the new max load on the shelves. We are willing to compromise if the new load is shy of the existing so that they don’t have to replace them. But we all need to agree with the amount.

And there is Couple of issues from one vendor as follows, Wire mesh waterfall type decking is a safety decking. It is rated at either 2200lbs per level or 2700lbs per level in the HD form. It is used primarily for pallet racking applications where the only use if for safety. Example. If someone miss places a pallet and missed the back beam. The waterfall decking would catch the load and prevent it from falling to the lower area. It is in no way used to "support" a constant load.

Yes it also meets fire codes because water can fall through levels in a situation where the fire sprinklers go off.

Your exsisting bulk racking has beams. Think of it as mini pallet rack. Those beams are what establishes the capacity of each shelving level, not the solid insert decking you have in now, nor the wire mesh decking panels you are requesting.

Therefore your statement of having a decking panel that establishes the loading is not accurate in the solicitation.

Wire decking usually comes in a hot dipped galvanized finish. Having it color matched is very expensive and really not the here in the US because it is primary used in a very competitive type commoditization market with pallet racking where price is kept very low.

So with that said what I am going to try and accomplish is get you what you want, but be advised that these wire decking panels will have to be custom in size and also painted finish.

The below is answer for the above (Couple of Issues) There is no painting requirement for the wire decking, so if the contractor wants to used hot dipped galvanized steel unless you or the KO wants it to be painted.

Per the SOW Section 1.h.i, New wire mesh shelving for type 47d storage shelving units shall:

The only painting requirement is for support beams in Type 47e racks and even then it can be can be changed as long as it’s agreed by either you or the KO that either galvanized or stainless steel supports can be used.

Per SOW Section 1.h.ii.7.a, Support structure(s) shall be powder coated to match the current white color of the shelving unit frame as shown in Enclosure #2 unless otherwise approved by Contracting Officer or his/her duly authorized representative(s)

I don’t believe there is a specific requirement anywhere for wire mesh per se, just that there are evenly distributed openings that exceed 50% of the surface area.

I don’t see any necessity to have the decking painted or otherwise “color coordinated” and galvanized or stainless is probably best in my opinion. Any supports can also be galvanized or stainless or painted appropriately.

I don’t agree with Marvin’s assessment that these shelves are “mini pallet racks” and that the load is supported by the cross beams, not the decking. Unlike pallet racks which are designed for standard sized pallets that always straddle cross beams for support, these shelves are meant to accommodate a wide variety of different sized boxes that would seldom (if ever) be supported by two beams. The shelf has to support the weight of the boxes with the load transferred to the pillars via the cross beams.

Q: What’s the smallest size box that would ever be stored on the shelves? I think this needs to be defined before we get wire meshes that are super spaced out.

A: The narrowest dimension (width and/or depth) would probably be about 20 cm. If we had anything smaller it would be put into a larger box or tray.

52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (AUG 2020)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(1) Federal taxes are considered delinquent if both of the following criteria apply:

In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: The Government will award a contract resulting from this request for quote to the responsible offeror whose offer conforming to the solicitation is determined to be Lowest Price Technically Acceptable offer with acceptable past performance and the performance schedule. The government intends to evaluate multiple award opportunities with the possibility of awarding a single contract or to award multiple contracts under this solicitation.

Technical and past performance, when combined, are . (Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.)

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB

2021)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.
