DEPARTMENT OF DEFENSE

WASHINGTON HEADQUARTERS SERVICES

1155 DEFENSE PENTAGON

WASHINGTON, DC 20301-1155

LIMITED SOURCE JUSTIFICATION

This acquisition is conducted under the authority of the

Multiple Award Schedule Program

I. Identification of Agency and Contracting Activity [FAR 8.405-6(c)(2)(i)]

The contracting activity responsible for this Limited Source Justification (LSJ) is the Washington Headquarters Services, Acquisition Directorate (WHS/AD), 1155 Defense Pentagon, Washington, DC 20301-1155.

The requiring activity for this LSJ is the Office of the Under Secretary of Defense for Intelligence (OUSD(I)), Director for Defense Intelligence (Warfighter Support) (DDI (WS)), Intelligence, Surveillance, and Reconnaissance (ISR) Operations Division, 5000 Defense Pentagon, Room 3A666, Washington, DC 20301-5000.

II. Description of the Action Being Approved [FAR 8.405-6(c)(2)(ii)]

The purpose of this action is to execute a modification to exercise the six month extension of services in accordance with (IAW) FAR 52.217-8 for HQ0034-10-A-0011-0001. This task order was awarded to Scitor Corporation after a competition among five BPA holders for the following performance period:

Base Period: 07 JUN 2010 – 31 MAR 2011 Option Period One: 01 APR 2011 – 31 MAR 2012 Option Period Two: 01 APR 2012 – 31 MAR 2013 Option Period Three: 01 APR 2013 – 31 MAR 2014 Option Period Four: 01 APR 2014 – 31 MAR 2015

Implementation of FAR 52.217-8, Option to Extend Services for a period of six months is necessary to bridge the gap between the current task order expiration and the performance start of the new task order award. Although FAR 52.217-8 was included in the base BPA, the option was not negotiated as part of the task order award decision. As stated in GAO decision, B- 401472 and FAR 6.001, exercising an extension under FAR 52.217-8 requires evaluation at the time of award, or a Limited Sources Justification, in order to meet the requirements of FAR Part 6 and the Competition in Contracting Act.

III. Description of Services Required to Meet the Agency's Needs [FAR 8.405-6(c)(2)(iii)]

The OUSD(I) ISR Operations Division requires continued support services in the areas of ISR capabilities, joint operations, theater requirements, and budget processes to supplement the analytical efforts required to support Secretary of Defense objectives. The contractor assists in the coordination of Department-wide efforts that result in the rapid production of ISR capabilities; which includes supporting requirements formation, concept initiation, specialized modification, and deployment into the operational theater under the direct guidance of the Under Secretary of Defense for Intelligence and the Vice Chairman of the Joint Chiefs of Staff. The contractor also provides administrative support for office operations management and budget analysis support services.

IV. Authority and Supporting Rationale [FAR 8.405-6(c)(2)(iv)]

The authority for permitting other than full and open competition for this acquisition is FAR 8.405-6(a)(1)(i)(B), “Only one source is capable of providing the services required at the level of quality required because the services are unique or highly specialized.”

Scitor Corporation, the incumbent contractor, is the only capable source that can provide the highly-specialized services at the level of quality required in the short amount of time available for two reasons:

(1) Scitor Corporation is uniquely qualified because all personnel supporting the task order require a Top Secret/SCI security clearance adjudicated by the DoD. All of the current personnel on contract have gone through the adjudication process and hold the requisite clearance.

(2) Scitor Corporation is uniquely qualified because all personnel supporting the task order require specialized institutional knowledge that is unique to the OUSD(I) ISR Operations Division. For example, this effort requires the contractor to utilize several OUSD(I) databases to track, update, and monitor Combatant Command (COCOM) and theater ISR requirements as well as Combat Support Agencies (NSA, NRO, DIA, NGA) and Service ISR proposals in support of special activities.

If there is a break in service, OUSD(I) would be unable to complete mission-critical tasks, such as:

Identifying and developing ISR communications and network architecture requirements associated with existing, new, or emerging ISR capabilities.

Researching available technology required and developing capabilities designed to meet ISR requirements.

Supporting the deployment, planning, and operational integration of over 280 ISR collections; processing, exploitation, and dissemination (PED); and communications initiatives into the COCOM’s operational framework.

Supporting office management operations for over 75 ISR personnel in multiple Sensitive Compartmented Information Facilities (SCIFs).

Providing correspondence staffing to organization action officers for all required correspondence actions.

Tracking and monitoring external taskers where OUSD(I) ISR Ops has primary or coordination responsibility.

Supporting the preparation and execution of the internal OUSD(I) budget for ISR Ops.

Mission failure in any of these areas is unacceptable as it would have a detrimental impact on OUSD(I)’s ability to provide the analytical efforts required to support Secretary of Defense objectives.

V. Representation of the Best Value [FAR 8.405-6(c)(2)(v)]

A determination of price fair and reasonableness will be made prior to execution of the modification to extend the services. Actions anticipated to ensure reasonableness of the price will be accomplished with the procedures contained under FAR 8.404(d). The Contracting Officer will also conduct price analysis IAW FAR 15.404-1 using historical prices paid to perform these efforts.

VI. Description of Market Research [FAR 8.405-6(c)(2)(vi)]

In accordance with WHS/AD’s local procedure titled “Improving Competition”, a Sources Sought notice was posted on GSA e-BUY. WHS/AD received one capability statement in response to the Sources Sought from Deloitte Consulting LLP. The response addressed the specific demonstrated experience areas (A – F), but did not adequately address areas G and H regarding successfully staffing highly qualified Top Secret/SCI personnel with minimal to no transition time.

VII. Any Other Facts Supporting Facts [FAR 8.405-6(c)(2)(vii)]

VIII. Actions Taken to Remove or Overcome Barriers to Competition [FAR 8.405- 6(c)(2)(viii)]

The follow-on task order will be competed during the extension period among five Service Disabled Veteran Owned Small Businesses under the OUSD(I) Technical, Analytical, Administrative, and Security (TAAS) BPA. The estimated milestones for the follow-on competition are as follows:

Conduct Market Research: MAR 2015 Draft RFQ/Industry Day: APR 2015 Issue RFQ: MAY 2015 Evaluations: JUNE 2015 Award: JULY 2015 Transition Period: AUG – SEP 2015 Performance Start: SEP 2015
