About this file
This document is a Sole Source Justification under Federal Acquisition Regulation (FAR) 13.5 for a three-month bridge contract extension for Irregular Warfare Center (IWC) Support Services. The Department of Defense Washington Headquarters Services (WHS) is seeking to extend the current contract with Morgan 6, LLC from 01 May 2025 to 31 July 2025 using Fiscal Year 2025 Operations & Maintenance funding, while preparing for a competitive recompete.
The extension is critical to maintain continuity of IWC support services, preserve specialized knowledge, and ensure a smooth transition. The contractor will provide personnel, equipment, and services to support the Irregular Warfare Center's mission, including coordinating DoD education curricula, facilitating interagency activities, engaging with federal departments and international partners, and serving as a central repository for irregular warfare resources. The justification emphasizes the need to avoid disruption, protect institutional expertise, mitigate security risks, and allow time for a strategic vendor selection process for the replacement contract.

FOR CERTAIN COMMERCIAL ITEMS UNDER
FEDERAL ACQUISITION REGULATION (FAR) 13.5
1. AGENCY AND CONTRACTING ACTIVITY: The Contracting Activity is the Department of Defense
(DoD), Washington Headquarters Services (WHS), Acquisition Directorate (AD), Enterprise Security Services Division (ESSD). The Requiring Agency is the Defense Security Cooperation Agency (DSCA).
2. DESCRIPTION OF ACTION: This action seeks approval to issue a three (3) month follow-on bridge contract extension for Irregular Warfare Center (IWC) Support Services under contract HQ003424C0053.
This action will be a firm-fixed price modification utilizing Fiscal Year (FY) 2025 Operations & Maintenance (O&M) funding. The period of performance will be for three (3) months, from 01 May 2025
– 31 July 2025.
3. DESCRIPTION OF SUPPLIES/SERVICES: The DSCA requires a contract extension for IWC
Support Services to maintain continuity of support services under contract HQ003424C0053, while the Government works to award a competitive acquisition no later than 31 July 2025. IWC Support Services are currently being performed by incumbent contractor Morgan 6, LLC.
For these services, the current contract is set to expire on 30 April 2025. The Government intends to extend the period of performance by a period of three (3) months for these services since the Irregular Warfare Center depends on the support for mission critical activity. The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform the IWC Support Services for coordination and aligning DoD education curricula, standards, and objectives related to irregular warfare (IW); facilitating in the role of the DoD in supporting Interagency activities related to IW; engaging and coordinating with Federal departments and agencies and with academia, non- Governmental organizations, civil society, and international partners to discuss and coordinate efforts on security challenges in IW; and serving as a coordinating body and central repository for IW resources, including educational activities, programs, and lessons learned across components of DoD.

4. AUTHORITY CITED: This action is under the procedures of Federal Acquisition Regulation (FAR) 13.5 under the authority of:
☒41 U.S.C. 1901, Simplified Acquisition Procedures ☐ 41 U.S.C. 1903, Special Emergency Procurement Authority
5. REASON FOR AUTHORITY CITED: The Government intends to award a sole source award to Morgan
6 to provide Irregular Warfare Support Services IAW FAR 13.106-1(b) because “the circumstances of the contract action deem only one source reasonably available.” DSCA is currently receiving IW support from Morgan 6 and services will expire on April 30, 2025. The Government is working on a competitive follow-on effort that is expected to be awarded during the 3rd quarter of FY25.
Given the criticality of maintaining continuity, momentum and expertise for the Irregular Warfare Center support service contract, DSCA has requested extending the contract with Morgan 6 LLC for the next three months. This short-term extension is vital due to the following factors:
• Minimizing Disruption and Ensuring Smooth Transition: Onboarding a new vendor within a tight, 30 day timeframe, presents significant risks to program continuity. A rushed transition could lead to knowledge gaps, delays in implementation, and potential setbacks in achieving program objectives. Extending the current vendor allows for a more structured and seamless handover process once the new award is in place.
• Preserving Critical Knowledge and Expertise: The current vendor possesses deep, specialized knowledge of the Irregular Warfare program, particularly in the nuanced area of irregular warfare strategic training program. This expertise has been cultivated over time and is not easily replicated. An abrupt transition would result in a significant loss of institutional knowledge, potentially impacting the program's strategic direction and effectiveness.
• Mitigating Security Risks and Delays: The current vendor already possesses the necessary clearances and access, ensuring operational security and preventing delays associated with security protocols.
• Facilitating a Strategic and Informed Selection Process for the Replacement Contract: Extending the current vendor provides the necessary time to identify and evaluate qualified vendors with the specialized expertise required, ensuring a more strategic and informed decision for the long term, and will also allow for a full thirty (30) day transition period to ensure smooth continuation of service.
6. EFFORTS TO OBTAIN COMPETITION: On 2 April 2025, a notice of intent to award a sole source bridge contract to the incumbent contractor, Morgan 6, LLC, was published on SAM.gov. No challenge was received from industry.
7. FAIR AND REASONABLE COST DETERMINATION: The Government will make a determination of fair and reasonable pricing, using the procedures in FAR 13.106-3 (a) – Basis for Award; specifically, FAR 13.106-3 (a)(2)(ii), “Comparison of the proposed price with prices found reasonable on previous purchases” and FAR 13.106-3 (a)(2)(vi) “Comparison to an independent Government estimate.” Since this requirement will be solicited to the incumbent Contractor, historical prices paid from the current contract were used to develop the Government estimate and will be utilized to determine fair and reasonable pricing.
Certified Cost and Pricing Data will not be obtained.
8. MARKET RESEARCH: Market research has been limited to the notice of intent to sole source, which was posted on SAM.gov.
9. ANY OTHER FACTS SUPPORTING THE USE OF SOLE SOURCE: Not applicable.
10. INTERESTED SOURCES: Not applicable.
11. ACTIONS TO INCREASE COMPETITION: The Government is in the process of finalizing the solicitation for the recompete with an anticipated award date for the new contract be in place no later than
31 July 2025.
