STATEMENT OF WORK

Statement of Work (SOW) Roman Catholic Priest

Marine Corps Air Station (MCAS) Yuma, AZ

1. Scope of Responsibilities. The contractor shall provide for the religious and spiritual needs of the Roman Catholic military personnel, eligible family members, and DOD card holders. The Priest shall serve as the Roman Catholic Priest for MCAS Yuma, AZ Roman Catholic Chapel community program and support the individual rights under the First Amendment to the US Constitution by promoting an environment for all too freely exercise their religious beliefs. The Roman Catholic programs include weekly Sunday Mass, special Roman Catholic events such as Holy Days of Obligation, and office hours to meet the Roman Catholic community’s spiritual and sacramental requirements.

2. Education, Experience and Personal Requirement.

2.1 The contractor must be a validly ordained Roman Catholic priest in good standing with the bishop of his diocese or the superior of his religious order in the Roman Catholic Church. The good standing of the priest will be verified with an appropriate letter of good standing from his bishop or religious superior.

2.2 The contractor must provide written documentation of Ecclesiastical Endorsement from the Archdiocese for the Military Services (AMS), USA (http://www.milarch.org/). The document used for endorsement will be the Department of Defense (DD) Form 2088. While the form does not need to be approved prior to making a quote on this contract, it must be approved by the AMS in Washington D.C. prior to actual contract award.

2.3 The contractor shall adhere to the policies defined in the “Archdiocese for the Military Services, USA, Priests' Manual” as published by AMS.

2.4 The contractor shall be able to oversee a comprehensive Roman Catholic religious education program with the Coordinator of Religious Education (CRE) and the volunteers by offering guidance, planning and pastoral advice in order to achieve a high-quality program as outlined by the AMS.

2.5 The contractor shall collaborate with the Chaplains and the Enlisted and civilian Staff, in an ecumenical/interfaith setting and report to the Command Chaplain any concerns that may arise.

2.6 The contractor shall possess strong people skills and the ability to work with the military personnel, the Command Chaplain, the Chaplains and the Enlisted and civilian Staff at the chapel.

2.7 The contractor shall have knowledge of military protocol, customs, and courtesies or a willingness to learn through a combination of oral and written instructions given within the first 90 days, per SECNAVINST 1730.7D, OPNAVINST 1730.1E and Marine Corps Order 1730.6E.

2.8 The contractor shall possess working knowledge of computer skills in: Microsoft Word, Outlook and Desktop Publishing. The Department Staff is available for assistance.

2.9 The contractor shall provide proof of a successful background criminal history check at local or state or national level: [Public Law Number 101-647, Section 231; Department of Defense Instruction Number 1402.5 require personnel contracted for childcare services in every facility operated by the Federal Government to undergo successful background criminal history check at local, state and national levels. “Childcare services” includes personnel contracted for such services in base chapel programs whose work brings them into contact with children less than 18 years of age.].

3. Specific Responsibilities.

3.1 The contractor shall provide administrative support, religious services, and pastoral care in support of: Weekday Mass, Sunday Mass with an opportunity for the Sacrament of Reconciliation, Baptisms, Weddings, Annulments, and Anointing of the Sick, Funerals, Fellowship/Hospitality, Lent/Advent Penance Services, Holy Day of Obligation Masses (see 4.3) and Religious Education.

3.2 The contractor shall; plan, organize, and direct the activities of the Base Chapel Catholic Community, ensuring that the Roman Catholic program complies with the Roman Catholic Code of Canon Laws.

3.3 The contractor shall prepare and deliver homilies/sermons and prepare and submit worship bulletins for timely reproduction to the Enlisted or civilian Staff.

3.4 The contractor shall provide sacramental ministry to all Roman Catholic military personnel, eligible family members and other authorized user.

3.5 The contractor shall provide pastoral counseling to Roman Catholic personnel concerns (ex: personnel, professional, spiritual, marital, etc.) to maintain Catholic community quality of life.

3.6 The contractor shall regularly attend the Roman Catholic Pastoral Advisory Council monthly meetings and attend bi-weekly staff meetings to report on the Roman Catholic Programs and ministries. (Especially seasonal liturgical events, i.e. Advent, Christmas, Lent, Easter, etc.).

3.7 Active duty or faithful member of the chapel normally serves as the faith group representative (FGR). The Roman Catholic Parish Council, with consultation and suggestions from the congregation, makes the recommendations with the FGR. The FGR makes the endorsements on the use of funds and submits a request to the custodian. The custodian makes a determination if the request is appropriate. At that moment the requests would be provided to the Command Chaplain who is serving as the administrator. The FGR creates the requests that funds would be to be given to NGOs (non-governmental organizations) and/or buy refreshments for fellowship.

3.8 The contractor shall be involved in all Roman Catholic programs; oversees the planning, offers guidance, and gives pastoral advice to the activities of Rite of Christian Initiation for Children (RCIC), Rite of Christian Initiation for Adults (RICA), Roman Catholic Lay Organizations such as Roman Catholic Youth, Roman Catholic Women and Roman Catholic Men.

4. Working Hours, Location, Holidays, Holy Days of Obligation and Period of Absence. Based on the requirements, the Government estimates the contractor would need to maintain an average 10-hour work week equaling 40 hours per month. Within 10 business days after contract award the contract shall provide the Government a standard schedule. The standard schedule is not inclusive of irregular hours that might be needed due to night/weekend emergency ministrations. The Government shall provide the contractor three calendar days’ notice if irregular hours are required to fulfill the requirements. The Government shall inform the contractor of the duration of the irregular schedule requirement due to, but not limited to, funeral preparations, crises services etc.

4.1 The contractor will operate on the following standard schedule: Wednesday 4 hours (0900-1300) (Mass, Counseling for marriage, baptismal) Sunday 2 hours to include Sunday Mass and CCD, 4 hours for Sunday Prep, Reconciliation, Spiritual Care, Administrative work, Special mass, Sacraments and parish coordination at MCAS Yuma, AZ. The contractor shall perform office hours and tasks of the contract at MCAS Yuma, AZ Station Chapel, Bldg. 1176-1178.

4.2 Recognized Federal Holidays, Office is closed.

4.3 Special Service Masses (Holy Days of Obligations).

Contractor shall offer services for these Holy Days of Obligations.

New Year’s Day Mass – Solemnity of Mary Ash Wednesday Mass – Four days before the first Sunday of Lent (shifts yearly) as determined Good Friday – Two days before the first Sunday of Lent (shifts yearly) as determined Holy Week (Holy Thursday, Good Friday, Easter Vigil) Assumption of Mary – 15 August All Saints Day Mass – 1 November Immaculate Conception Mary Mass – 8 December Christmas Eve – 24 December

5. Absences As the Chaplain position can be of any faith, the religious needs of the Roman Catholic community shall be completely covered by this contract; hence the contractor shall be responsible to provide substitute personnel to conduct Roman Catholic Priest duties.

The substitute personnel are required to seek endorsement if the substitute personnel are scheduled to performance more than 14 calendar days. The Government is aware of the civilian church practice to allow visiting priest to fill in for scheduled absences.

If the contractor cannot provide services for one week of services or more the invoice submitted shall be reflective of the reduction in service.

Within 30 days of contract award, the vendor shall provide the contact information for substitute personnel.

The contractor shall give the technical point of contact (TPOC) 30 calendar day written notice of any scheduled period of absence, to accommodate the changes in the chapel worship schedules.

For emergency absences, the vendor shall give the TPOC the earliest possible notice.

6. Furnished Equipment and Supplies. All equipment needed to fulfill this Department shall be provided by the MCAS Yuma, AZ Chaplain (such as vestments, ciboria, communion supplies, and all required items needed to execute para 3.1) to include a computer, computer program, work area, any additional office equipment, standard office supplies (pens, paper, paperclips, staples, etc.).

7. Facilities: The contractor is accountable for security and cleanliness of the office space utilized in conjunction with their programs.

8. Mission Essential Service: In accordance with DoDI 3020.37, Continuation of Essential DOD Contractor Services during Crises, MCAS Yuma, AZ. Command Chaplain determined that Roman Catholic Priest services performed during the period of each year under this contract are mission essential, and as such, shall continue during periods of increased force protection (FPCON) up to Level: Charlie/Delta. To ensure contractor employees who perform the above-mentioned services have clearance for continued access to MCAS Yuma, AZ, during periods of increased force protection, the contractor’s workplace point of contact will identify, in writing to the Command Chaplain, those employees who perform these services. Days and hours of operation for these services will remain as specified in the Performance Work Statement unless the Contracting Officer notifies the contractor of upcoming changes in agreed upon notification period. Further, the contractor will provide a 24-hour point of contact phone number at which he can be reached during increased force protection conditions.

9. Deliverables: The contractor shall supply information for the following:

4. Attendance at Meetings

Conduct Weekend Masses with an opportunity for the Sacrament of Reconciliation

Plan and provide one Sunday Mass with an opportunity for the Sacrament of Reconciliation for Roman Catholic military personnel, eligible family members, and other authorized users as determined by worship schedule. (3.1, 3.4)

6. Conduct Sacramental Rites

Plan and provide opportunities for the Catholic community to attend/participate in Sacramental Rites as scheduled/required by Catholic Pastoral Advisory Council and Command Chaplain (Funerals, Marriages, Baptisms, etc.). (3.1, 3.4)

Conduct Holy Day of Obligation worship Services

Plan and provide opportunities for military personnel, eligible family members, and other authorized users to participate in Holy Day/Special Programs as scheduled/required (Lenten, Advent, Christmas, Easter, etc.). (4.3)

8. Homilies/Sermons Deliver homily/sermon to parishioners at each of the programs in items 6-9 above. (3.3)

Payment for Services Rendered

Submit monthly documentation in Invoices Receipt Acceptance and Property Transfer (iRAPT) also known as Wide Area Workflow (WAWF) as required for payment.

11. Government Technical Point of Contact. The Contracting Officer shall designate a Government Technical Point of Contact (TPOC) during the term of this contract. The TPOC will provide assistance in identification and resolution of problems, conflicts in priority, subtask requirement definitions, and other operations type problems within the scope of this Performance Work Statement. The TPOC will provide technical clarification and assistance in support of the contract requirements. The TPOC DOES NOT have the authority to make changes and/or give direction under this contract. The only authority under this contract authorized to make changes, give direction, and/or provide monetary adjustments is the Contracting Officer from the Regional Contracting Office MCI-WEST, Camp Pendleton, CA see paragraph 12.

12. Contracting Officer Authority. The Contracting Officer is the only person authorized to direct changes in any of the requirement under this contract, and notwithstanding any provisions contained elsewhere in this contract, said authority remains solely in the Contracting Officer (Reference Block 31 on the SF 1449). In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and solely at the risk of the Contractor.

13. Installation Access MCAS Yuma, AZ has security requirements and restrictions. The contractor, employees, and contractor subcontractors shall comply with these requirements. Failure to comply with security requirements does not relieve the contractor or performance requirements.

Contractor and subcontractor employees shall comply with installation rules and regulations, including installation access requirements. The Contractor is responsible for ensuring that each of its subcontractors fully complies with the following provisions and shall flow down to subcontracts a clause to satisfy this contractual obligation.

The Contractor is responsible for providing information required to obtain clearances, permits, passes, or security badges required for Contractor personnel or equipment access. This includes information required for police or background checks or investigations and all other requirements of the issuing activity. The Contractor is responsible for ensuring such clearances, permits, passes, or security badges are promptly returned to the issuing activity upon termination of an employee, completion of a project, or termination of a contract or subcontract.

The Commanding Officer of the air station, or his designated representative, has broad authority to remove or exclude any person in fulfilling his responsibility to protect personnel and property, to maintain good order and discipline, and to ensure the successful and uninterrupted performance of the Marine Corps mission. In the exercise of this authority, the Commanding Office, or his designated representative, may fuse to grant personal entry passes.

52.212-1 ADDENDUM

1. SUBMISSION OF QUOTATIONS: Quotations must be received no later than the date stated in box 8, page 1 of this solicitation. Quotation shall be submitted via email. Please respond to Sgt Daugherty, hunter.daugherty@usmc.mil directly with quotation.

2. QUESTIONS: Questions shall be submitted by email no later than 2 days after issuance of the solicitation to the email address listed below. No phone questions will be accepted. The deadline is necessary to ensure timely award, and the Government may, in its sole discretion, choose not to respond to questions received after the deadline. All questions will be reviewed and responded to by an amendment to the solicitation. Email questions to Sgt Daugherty, hunter.daugherty@usmc.mil

3. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and conditions of the proposal shall be valid for 90 days unless a longer time is stated otherwise in the quote.

4. PPRICING: The prices quoted shall be provided in the schedule of supplies/services of the 1449. Line items 0001, 1001, 2001, 3001 and 4001 should be completed by inserting the unit price and amount for each CLIN item.

The quoter shall also identify the total cost inclusive of all CLIN item amounts. The quoted prices shall be limited to two decimal points, for example $10.10 not $10.009.

5. SAM. Offerors must be registered in the System for Award Management (SAM) database. Information in SAM should be current, if not – completion of the attached FAR Provision 52.212-3, Certifications and Representations is required with quotation. Information on registering in SAM may be obtained from www.sam.gov or calling 866- 606-8220. Registration in SAM is free.

6. WIDE-AREA WORKFLOW – RECEIPT AND ACCEPTANCE. As a condition of receipt of any resulting order, the Contractor agrees to implement the Department of Defense (DOD) web-based application. Information on registering in WAWF/iRAPT may be obtained from https://wawf.eb.mil/xhtml/unauth/registration/notice.xhtml or calling 866-618-5988. Registration in WAWF/iRAPT is free.

7. COMPLETE RESPONSIVE QUOTE: The Government will award a Firm Fixed Price Contract resulting from this solicitation to the responsible quoter whose quotation conforming to the solicitation. A complete responsive quote must be received for consideration. A complete quote is (a) - (c) as follows:

(a) A completed SF 1449 solicitation, including any solicitation amendments shall be signed & dated, CLIN pricing filled out.

(b) A completed 52.204-24

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:

Evaluation-Commercial Items (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) technical capability of the item offered to meet the Government requirement;

(ii) price

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-2 Addendum

Regional Contracting Office, Camp Pendleton, CA, is issuing Request For Quotation (RFQ) for Roman Catholic Priest Services. This procurement is conducted in accordance with FAR Part 12 (Acquisition of Commercial Items) utilizing FAR Part 13 (Simplified Acquistion Procedures).

Incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2025-04, effective 06/11/2025 and DFARS Change Notice (DCN) 01/17/2025, effective 01/17/2025.

BASIS FOR AWARD. Award will be made on the technical capability and price. The resulting award will be a Firm-Fixed Priced purchase order, all or none, to provide Roman Catholic Priest Services. Procurement is Unrestricted Full and Open Competition.

EVALUATION. The Government intends to make a single Firm Fixed Price award to satisfy this requirement.

Award will be made on the initial evaluation of quotes received in response to this RFQ. Therefore, quoters are cautioned to ensure that initial quotes contain your best terms from a technical and price standpoint. The following factors will be used to evaluate quotes:

1. TECHNICAL: Minimum specifications:

-Compliance to the SOW -Provide a letter from the bishop or religious superior, stating that the priest is in good standing and that the priest has the permission from the bishop or religious supperior to accept the contract.

-Have an endorsement from the Archdiocese for the Military Services (AMS) for performance on Camp Pendleton installation.

-Be an ordained Roman Catholic Priest who is in good standing with the AMS.

***Incomplete submissions may not be considered*** Rating will be in accordance with: RATING DESCRIPTION -ACCEPTABLE Quotation meets the requirements of the solicitation.

-UNACCEPTABLE Quotation does not meet the requirements of the solicitation.

2. PERIOD OF PERFORMANCE:

3. PRICE: All quotes must be the Contractor’s Best Pricing.

4. EVALUATION PROCESS: The evaluation will proceed as follows:

Step 1 – The Contracting Officer will review quotes to determine if each quote has submitted a responsive quote. To be responsive, quoters must submit all the documentation identified above, by the RFQ close date/time shown in block 8 of the SF1449.

Step 2 – Quotes that have been determined responsive will then be evaluated and receive a rating of Acceptable or Unacceptable based on the technical acceptability criteria above. Quoters must receive an “Acceptable” rating on each technical element to be determined technically “Acceptable”.

Step 3 – Remaining technically acceptable quotes will be ranked in order from lowest to highest based on submitted CLIN prices. All CLIN prices will be evaluated and determined to be fair and reasonable using one or more of the techniques set forth in FAR 15.404-1(b)(2). The assessment of price will consider the overall quoted price. Quotes containing only partial pricing will not be evaluated.

Step 4 – Award shall be made to the fair and reasonable lowest quoter without further consideration of any other quotes.

The Government reserves the right to award no contract, depending on the quality of the quotes submitted and availability of funds for the requirement. The Government intends to evaluate quotes and award a single contract without requesting or accepting revised quotes. Therefore, the quoters will be advised that their initial quote should contain the most favorable terms and reflect it’s best possible performance potential. The Government does reserve the right to clarify aspects of the quotes and hold discussions.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (MAY 2024)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.

"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR 124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ___
