PWS - SECTION 1

PERFORMANCE WORK STATEMENT (PWS)

Roman Catholic Priest Marine Corps Recruit Depot, San Diego CA

1. Scope of Responsibilities. The contractor shall provide for the religious and spiritual needs of the Roman Catholic military personnel, dependent family members, and DOD card holders. The contractor shall provide the Roman Catholic Priest services for Marine Corps Recruit Depot, San Diego, Roman Catholic program and support the individual rights under the First Amendment to the US Constitution by promoting an environment for all to freely exercise their religious beliefs. The contract shall provide Roman Catholic Priest services for the Roman Catholic Community at MCRD San Diego Chaplain’s at one (1) Base Chapel, bldg. 8, one (1) Base theater bldg. 30, and and one (1) PAC 100, bldg. 622. The Roman Catholic programs include: one (1) weekly Sunday Mass, three (3) week day Masses, special Roman Catholic events such as Holy Days of Obligation, and office hours to meet the Roman Catholic community’s spiritual and sacramental requirements.

1. Education, Experience and Personal Requirement.

1. The contractor must provide validly ordained Roman Catholic priest(s) in good standing with the bishop of his diocese or the superior of his religious order in the Roman Catholic Church. The good standing of the priest(s) will be verified with an appropriate letter of good standing from his bishop or religious superior. The Government expects the services to be a full time requirement.

1. The contractor must provide written documentation of Ecclesiastical Endorsement from the Archdiocese for the Military Services (AMS), USA (http://www.milarch.org/). The document used for endorsement will be the Department of Defense (DD) Form 2088. While the form does not need to be approved prior to making a quote on this contract, it must be approved by the AMS in Washington D.C. prior to actual contract award.

1. The contractor shall adhere to the policies defined in the “Archdiocese for the Military Services, USA, Priests' Manual” as published by AMS. The AMS endorsement must be for Marine Corps Recruit Depot (MCRD). The endorsement (and faculties and dispensations) is for the individual installation only and for the duration of the contract. Refer to the Archdiocese for the Military Services, USA Priests' Manual Chapter 1, Paragraphs 1.4.2., 1.7, and 1.9.

1. The contractor shall be able to oversee a comprehensive Roman Catholic religious education program with the volunteers by offering guidance, planning and pastoral advice in order to achieve a high quality program as outlined by the AMS.

1. The contractor shall collaborate with Chaplains and the Enlisted Staff in an ecumenical/interfaith setting and report to the Command Chaplain any concerns that may arise.

1. The contractor shall possess strong people skills and the ability to work with the military personnel, the Command Chaplain, the Chaplains and the Enlisted Staff at the Base Chapel, bldg. 8 and Base theater bldg. 30 at MCRD San Diego.

1. The contractor shall have knowledge of military protocol, customs, and courtesies or a willingness to learn through a combination of oral and written instructions given within the first 90 days, per SECNAVINST 1730.7D, OPNAVINST 1730.1E and Marine Corps Order 1730.6E.

1. The contractor shall possess working knowledge of computer skills in: Microsoft Word, Outlook and Desktop Publishing. The Department Staff is available for assistance.

1. The contractor shall provide proof of a successful background criminal history check at local or state or national level: [Public Law Number 101-647, Section 231; Department of Defense Instruction. Number 1402.5 require personnel contracted for child care services in every facility operated by the Federal Government to undergo successful background criminal history check at local, state and national levels.

1. Specific Responsibilities.

2. The contractor shall provide administrative support, religious services, and pastoral care in support of: Weekday Mass, Sunday Mass with an opportunity for the Sacrament of Reconciliation, Baptisms, Weddings, Anointing of the Sick, Funerals, Fellowship/Hospitality, Lent/Advent Penance Services, Holy Day Of Obligation Masses (see PWS 4.3) and Religious Education.

2. The contractor shall: plan, organize, and direct the activities of the Base Chapels Catholic Community, ensuring that the Roman Catholic program complies with the Roman Catholic Code of Canon Laws.

2. The contractor shall provide sacramental ministry to all Roman Catholic military personnel and family members.

2. The contractor shall provide pastoral counseling to Roman Catholic personnel concerns (ex: personnel, professional, spiritual, marital, etc.) to maintain Catholic community quality of life.

2. The contractor shall weekly submit a report to the Depot Chaplain’s office with all the numbers for pastoral care, counseling sessions, religious education and worship services.

2. The contractor shall be involved in all Roman Catholic programs; oversee meaning offer guidance, planning and pastoral advise to the activities of Rite of Christian Initiation for Adults (RICA), Roman Catholic Lay Organizations such as Roman Catholic Youth, Roman Catholic Women and Roman Catholic Men.

2. The contractor shall be directly responsible for locking up the chapel facilities when used after normal duty hours.

1. Working Hours, Location, Holidays, Holy Days of Obligation.

Based on the requirements, the Government estimates the contractor would need to maintain an average 40 hour work week. Within 10 business days after contract award the contract shall provide the Government a standard schedule. The standard schedule is not inclusive of irregular hours that might be needed due to night/weekend emergency ministrations. The Government shall provide the contractor three calendar days’ notice if irregular hours are required to fulfill the requirements. The Government shall inform the contractor of the duration of the irregular schedule requirement due to, but not limited to, funeral preparations, crises services etc. The Government has had to request an irregular schedule for one week within the past 12 months (November 2015 – November 2016).

3. On the previous contract, the contractor operated on the followingstandard schedule: five (5) office hours performed on Tuesday, Wednesday, Thursday and Friday for a total of twenty (20) hours, Weekday Mass to be incorporated into each of these three days. Six (6) hours will be conducted on Sunday for Roman Catholic Mass and associated events. The fourteen (14) additional hours used each week for administrative work, special events, services, sacraments, and counseling. The contractor shall perform office hours and tasks of the contract at Recruit Training Regiment, Marine Corps Recruit Depot, bldg. 28, 1500 Iwo Jima Ave, San Diego CA, 92106.

3. Special Service Masses (Holy Days of Obligations).

Contractor shall offer services for the following Holy Days of Obligations:

Ash Wednesday Mass Holy Week (Good Friday) All Saints Day Mass Immaculate Conception Mass Christmas Day Mass

1. Absences

As the Chaplain position can be of any faith, the religious needs of the Roman Catholic community shall be completely covered by this contract, hence the contractor shall be responsible to provide substitute personnel to conduct Roman Catholic Priest duties.

The substitute personnel are required to seek endorsement if the substitute personnel is scheduled to performance more than 14 calendar days. The Government is aware of the civilian church practice to allow visiting priest to fill in for scheduled absences.

If the contractor cannot provide services for one week of services or more, the invoice submitted shall be reflective of the reduction in service.

Within 30 days of contract award, the vendor shall provide the contact information for substitute personnel.

The contractor shall give the COR 30 calendar day written notice of any scheduled period of absence, to accommodate the changes in the chapel worship schedules.

For emergency absences, the vendor shall give the COR the earliest possible notice.

Upon contract award the Government will have a contract kick-off meeting. During this meeting it will be expected for the contractor to provide information related to absence handling. As this requirement is expected to have duties six-days/per week it is crucial to consider the impact of the absences on contractor’s wellbeing. Additionally, the contractor must consider costs to compensate substitute personnel. In consultation with AMS, the Government was advised that when these services are procured, the salary must be commensurate to a San Diego County GS11/GS12 federal hire.

1. Furnished Equipment and Supplies. All equipment needed to fulfill this Department shall be provided by the MCRD SD Chaplain (such as vestments, ciboria, communion supplies, and all required items needed to execute para 3.1) to include a computer, computer program, work area, any additional office equipment, standard office supplies (pens, paper, paperclips, staples, etc.).

1. Facilities: The contractor is accountable for keys, to locking up the chapel spaces utilized in conjunction with the programs.

1. Mission Essential Service: In accordance with Department of Defense Instruction 3020.37, Continuation of Essential DOD Contractor Services during Crises, MCRD SD Command Chaplain determined that Roman Catholic Priest’s regular services performed during the period of each year under this contract are mission essential, and as such, shall continue during periods of increased force protection (FPCON) up to Level: Charlie/Delta. To ensure contractor employees who perform the above-mentioned services have clearance for continued access to MCRD SD during periods of increased force protection, the contractor’s work place point of contact will identify, in writing, to the Command Chaplain within 10 days after contract award to the those employees who perform these services. Days and hours of operation for these services will remain as specified in the Performance Work Statement unless the Contracting Officer notifies the contractor of upcoming changes in agreed upon notification period.

1. Travel. Travel to fulfill this requirement shall be the responsibility of the contractor. The Government shall not pay for travel. The travel required for these services is travel to and from MCRD SD and travel onboard.

Deliver homily/sermon to parishioners at each of the programs in items 6-9 above. (3.3)

PWS - SECTION 2

SECURITY REQUIREMENTS

Base access requirements and procedures may change during the term of a contract. The contractor shall comply with all changes, and such compliance shall not be grounds for a request for an equitable adjustment or other contract modification.

Contractor and subcontractor employees shall comply with installation rules and regulations, including installation access requirements. The Contractor is responsible for ensuring that each of its subcontractors fully comply with the following requirements, and shall flow down to subcontracts a clause to satisfy this contractual obligation.

The Commanding Officer of each base has broad authority to remove or exclude any person from the military installation to protect personnel and property, to maintain good order and discipline, and to ensure the successful and uninterrupted performance of the Marine Corps mission. In the exercise of this authority, the Commanding Officer may refuse to grant entry or may bar Contractor employees, including employees who have been granted a personal entry pass. Refusal to grant an employee a personal entry pass or debarment of an employee does not relieve the Contractor of the responsibility to continue performance under this contract, and shall not constitute grounds for contractor claim or request for equitable adjustment.

The Contractor’s employees shall observe and comply with all base rules and regulations applicable to contract personnel, including those applicable to the safe operation of vehicles, and shall not be present in locations not required for the proper performance of this contract.

Contractor personnel performing work under this contract shall be readily identifiable as an employee of the contractor either through the use of uniforms or with nametags, as directed by the Contracting Officer. Any alternate methods of ensuring contractor personnel are readily identifiable must be approved in advance by the Contracting Officer.

Contractor personnel and equipment entering a military installation are subject to security checks. Contractor personnel shall follow any direction given by Military Police or other security or safety personnel.

Temporary Vehicle Passes or Employee Credentials:

The Contractor is responsible for providing information required to obtain clearances, permits, passes, security badges, or employee credentials required for Contractor personnel or equipment access. This includes information required for police or background checks or investigations.

The Contractor is responsible for ensuring such clearances, permits, passes, security badges, or employee credentials are immediately returned to the issuing activity upon termination of an employee, completion of a project, or termination of a contract or subcontract.

All Contractor personnel performing work under this contract who require access to military installations shall obtain whatever personal entry or vehicle passes are required for access to that installation. The procedures below are the current installation access requirements for Marine Corps Recruit Depot, San Diego and are provided for information only. The Contractor is responsible for ascertaining and complying with all currently installation access requirements throughout all performance periods under this contract.

1. The Contractor shall obtain a copy of the contract identifying the Company by Name, Contract Number, period of performance of the Contract, location of performance, Driver's license and expiration date of each of the Contractor’s employees, and point of contact information for the customer that signed the contract. The Contractor’s employees will take the appropriate section of the contract with the aforementioned information to request a temporary pass at Building 680 Pass and ID/Vehicle Registration. Hours of operation are from 07:30 am to 3:30 pm, Monday through Friday.

1. Temporary Passes issued by Pass and ID/Vehicle Registration are effective from the date of issuance, for a period of 30 days or until the end of the contract, whichever date occurs first. Personnel denied a Temporary Pass may appeal in writing to the Commanding General, Marine Corps Recruit Depot San Diego. Grounds for denial or revocation of a Temporary Pass include if the applicant:

0. Is listed on the National Terrorist Watch List.

0. Is not a U.S. Citizen and is illegally present in the U.S. or whose U.S. citizenship, immigration status, or Social Security Number (SSN) cannot be verified.

0. Is subject to an outstanding criminal warrant.

0. Temporary pass application contains false or fraudulent information.

0. Has a felony conviction within the last 10 years.

0. Has a total of three criminal misdemeanor convictions within the last 10 years.

0. Is a registered sex offender, regardless of the date of the criminal offense.

0. Has a criminal misdemeanor or felony conviction for the following types of criminal offenses:

0. Offenses of a sexual nature;

0. Offenses of violence;

0. Offenses related to gang related activity, supremacist, or extremist behavior; i.e., hate crimes;

0. Crimes resulting from the possession, use, manufacturer, introduction, or distribution of any illegal drug listed in the Comprehensive Drug Abuse Prevention & Control Act of 1970, Schedules I through IV;

0. Has a criminal misdemeanor or felony conviction for offenses in which weapon instrumentality (e.g., firearm, knife, or other bladed instrument, club, brass knuckles) was used either as a means of violence, or threat of violence.

0. Military active duty was terminated by the receipt of a dishonorable discharge or bad conduct discharge.

0. Has been issued a debarment order and is currently banned from any military installation.

0. Has exhibited characteristics, traits, or other indications that cause concern for the safety or welfare of personnel and/or residents aboard the base; or that causes concern for the physical security of the base.

1. Marine Corps Recruit Depot (MCRD) has implemented a Contractor-managed credentialing service, RAPIDGate. RAPIDGate is consistent with and complementary to Homeland Security Presidential Directive 12 (HSPD-12) and the Federal Information Processing Standard 201 (FIPS 201). Participation in RAPIDGate is required after two temporary passes have been issued; it is optional prior to that time. Contractor employees who are not enrolled in RAPIDGate are required to obtain a visitors pass through MCRD’s Pass and ID/Vehicle Registration at building 680 prior to gaining access the installation. All gates are open to RAPIDGate credentialed Contractor personnel.

The RAPIDGate program is a Contractor-managed credentialing issuance service for vendors, contractors and subcontractors, suppliers, and service providers which includes company enrollment, installation sponsorship verification, employee registration, employment status validation, identity authentication, background screening, biometric verification, and issuance of a long-term access credential. The Contractor's background screenings include validation of employment status, identity authentication, biometric verification, and entry authorization verification. Issuance of credentials is in the sole discretion of the Government. The credentials are scanned upon entry onto the installation. Contactor personnel who have been screened and are determined to be eligible for access will be required to register at Pass and ID/Vehicle Registration, Building 680. Hours of operation are 07:30 am to 3:30 pm, Monday through Friday.

The cost of the RAPIDGate program is $199.00 per year for the Contractor’s firm, and $179.00 per Contractor employee for a one-year pass. The fee for lost or stolen passes is $40.00.

Contractor employees who require a Common Access Card (CAC) (e.g., for access to the Navy Marine Corps Intranet), may use the CAC for access and do not need a Temporary Pass or RAPIDGate credential.

1. Common Access Card (CAC):

a. The Contractor shall provide proof that a National Agency Check with Inquiries (NACI) has been submitted to the Office of Personnel Management (OPM) for each employee requiring a CAC Card. During the period between the time that the request is submitted and the time that the investigation is returned, the Government may grant temporary access to the Contractor employee. Whether to grant temporary access is within the sole discretion of the Government, and a decision not to grant access shall not be grounds for a claim, request for an equitable adjustment or other contract modification, and shall not constitute an excuse for Contractor failure to perform. Such temporary access will not exceed 90 days.

b. Upon the return of the Investigation Schedule Notice and Certificate of Investigation from OPM, the Contractor shall provide a copy to the security manager that has overall responsibility for the customer supported by the Contractor’s employees .

c. "Report of Agency Adjudication Action" (form 79A) is sent when there are potential actionable issue(s) at the minor, moderate, or substantial level which may be disqualifying under suitability/security considerations. If the contractor receives an Agency Adjudication Action from OPM, the security manager shall be consulted before such adjudicative action is determined and returned to OPM.

d. The Government will use the Adjudicative Guidelines (CNO ltr 5520 Ser 09N2/6U871220 of Sept 06) to guide determinations on whether access will be granted.

e. The Contractor will be notified in writing if there is a disqualifying event that prevents the Contractor’s employee from obtaining a CAC. If temporary access was granted, it will immediately be revoked.

Base access requirements and procedures may change during the term of a contract. The contractor shall comply with all changes, and such compliance shall not be grounds for a request for an equitable adjustment or other contract modification.

ADDITIONAL REQUIREMENTS

1. Photography is restricted on the Base. Clearance for photography shall be obtained in advance from appropriate Base personnel. When requested, all film or storage media must be turned over for processing and security inspection.

1. Some areas of the Base may be inaccessible due to road conditions following heavy and/or prolonged rainfall. Adjustments to work schedules due to road/weather conditions shall be coordinated with the Contracting Officer. If your vehicles gets stuck or breaks down, military personnel cannot pull or tow your vehicle. Call MCRD PMO (619)-524-4202) who will refer you to a civilian wrecker service or information (411) for assistance.

ENVIRONMENTAL COMPLIANCE ON BOARD MCRD SAN DIEGO

Any violation of environmental regulations which is currently in progress shall be immediately reported by calling 911. Suspected prior violations of environmental regulations shall be reported to the Provost Marshall at (619) 524-4202.

MCRD San Diego fully complies with all environmental requirements; this commitment and duty to comply extends to all personnel who work, reside, frequent, or otherwise do business on MCRD San Diego. MCRD San Diego Law Enforcement Regulations (DepO P5400.29D) require all MCRD San Diego personnel, to include all tenants, contractors and patrons, to comply with all Federal, State and local environmental compliance requirements that apply to their activities and business aboard MCRD San Diego. The Base Regulations are a general order, and violation may result in disciplinary or punitive proceedings, including debarment of contractors from the base.

52.212-1 ADDENDUM

INSTRUCTION TO OFFERORS

1. SUMMARY: This is a request for quotation utilizing the procedures of FAR 12 and 13. Responses to this solicitation are considered quotations and not offers. In this instances where the words offer, offeror, and proposal are used, the reader should understand that the use of such words does not change the nature of this request for quotation. The resulting award will be a Firm-Fixed Price purchase order. This requirement shall provide the USMC with Roman Catholic Priest Services. The periods of performance shall be a one year base period with five one-year option periods.

2. SUBMISSION OF QUOTATIONS: Quotations must be received no later than the date and time specified in block #8, page #1 – Pacific Standard Time (PST). Quotation shall be submitted via email. If multiple emails are submitted please number the email. For example, “email 1 of 3”, “2 of 3”, and “3 of 3”. Please send to both Carolyn Lynch at carolyn.lynch@usmc.mil and Drena McIntosh at Drena.McIntosh@usmc.mil.

NOTE: The email addresses identified above are the only authorized emails associated with this acquisition. If you receive an email utilizing any other email address, DO NOT RESPOND TO IT. Instead, immediately notify the above-named government POCs (via the email addresses provided above) of the unauthorized contact.

In accordance with FAR 52.212-1(f), quotes are due at the time designated in block 8 of the SF 1449.

Electronic submission of quotes is encouraged. In accordance with FAR 4.302(b), if electronic submission is not used, Offerors shall use at least 30 percent postconsumer fiber paper and print or copy double-sided (or include an explanation concerning why it is not possible to print or copy double-sided). Do not attempt to send the quote via the US Postal Service (USPS) since the US Postal Service does not deliver to the building.

For quotes delivered by hand, Offerors are advised that entry to the installation is restricted, and Offerors are directed to familiarize themselves with the entry control location and process. Entry processing time is unpredictable and can be lengthy. The addressee indicated above may be able to facilitate entry processing, but is not required to do so, and inability to gain access shall not excuse late delivery.

Quotes shall be submitted using a page size of 8.5 x 11 inches. Pages may be single-spaced but shall have at least double spacing between paragraphs. Times New Roman, 12-point font shall be used except for figures, tables, and diagrams where smaller is acceptable as long as it is readable.

If quotes are submitted in different formats requiring different delivery methods, the quote of record shall be the last complete version received prior to the deadline.

For email quotes, the Government office designated for receipt of the quote is the email inbox of the addressee indicated above. Notwithstanding the provisions at FAR 52.212-1(f) or FAR 52.215-1(c)(3), delivery is not accomplished until the addressee can open the email; delivery to a server or an email inbox on a server is not considered delivery to the designated Government office and the quotation is not under the Government’s control until the addressee can open the email. The email shall not be considered to be delivered unless the entire content of the email and all attachments can be read by the addressee indicated above. Receipt of an electronic acknowledgment from the addressee establishes that a record was received but does not establish that the content sent corresponds to the content received. Email attachments are limited to no more than 2MB. Offerors are specifically warned that email may be subjected to spam filters or attachment stripping.

All transmissions must clearly state the solicitation number and the name of the contract specialist on the first page to ensure proper receipt.

Attention is directed to FAR 52.212-1(f), concerning late submissions. Offerors are responsible for allowing adequate time for transmission to be completed. The Offeror bears the risk of non-receipt of transmissions, and should ensure that all pages of the quote (and any authorized modifications) have been received by the designated office before the deadline indicated. Pages of a transmission that arrive after the deadline will not be considered.

The Government may make award based solely on the quotes received.

3. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and condition of the quotation shall be valid for at least 90 days unless a longer time is stated otherwise in the quote.

4. QUESTIONS CONCERNING THE SOLICITATION: Questions must be submitted by email to carolyn.lynch@usmc.mil no later than seven (7) calendar days after solicitation issue date specified in Block 6. No phone questions will be accepted. The deadline is necessary to ensure timely award and the Government may, in its sole discretion, choose not to respond to questions received after the deadline. All questions will be reviewed and responded to by an amendment to the solicitation.

5. Current Requirement. The current Roman Catholic Priest Services are not being performed under contract.

6. COMPLETE SUBMISSIONS: This section specifies the contracts, format, and limitations that the quoters, shall use when submitting quotes. Submissions shall be in the form prescribed below and shall contain a response to each of the areas identified. Each of the parts must be separate and complete so that the evaluation may be accomplished independently for each part. The vendor must complete review and complete all clauses and provisions as necessary. A complete submission must be received for consideration.

IMPORTANT: If the offeror simply restates the requirements in these sections of the PWS, the offeror’s quote will be removed from consideration for award. A capabilities statement is not acceptable.

A complete submission requires the following electronic files:

C. For the primary Priest expected to provide the services please provide: a) DD2088 AMS Endorsement for the military installation that will receive services under this acquisition.

D. The Government’s need is immediate, however a start cannot be later than January 1, 2018. Award can be made for an earlier start date than January 1, 2018.

FILE 2: Price

The Government expects to pay a monthly price, inclusive of all charges, for your company to provide the Roman Catholic Priest services on board MCRD San Diego. Please make sure your quoted monthly price is inclusive of all business expenses related to this requirement. The business expenses quoted should be inclusive of all expenses including but not limited to taxes, taxes preparation, professional training, required attire, travel cost, health insurance, retirement, office supplies, equipment priests stipends for visiting priests, salaries for priests etcetera The prices quote shall be provided in the schedule of supplies/services of the SF1449. Line items 0001, 1001, 2001, 3001 and 4001 should be completed by inserting the unit price and amount for each CLIN item. The quoter shall also identify the total cost inclusive of all CLIN item amounts. The quoted prices shall be whole amounts or limited to two decimal points, for example $10.10 not $10.009.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Price Technical Capability

The Government will award to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government based on the lowest priced, technically acceptable (LPTA) quotation, price and other factors considered.

The following factors shall be used to evaluate offers:

Factor 1: Technical Capability

Technical capability will be evaluated based on how effectively and efficiently the offeror is able to meet the requirements of the PWS and qualification of their personnel. At a minimum, submitted quotes must demonstrate technical capability that includes:

Validly ordained Roman Catholic priest in good standing with the bishop of his diocese. The applicant must have an ecclesiastical endorsement, DD form 2088 in order to perform this contract. The signed document ensures the contractor is in good standing with the AMS or Roman Catholic ecclesiastical body.

Upon submittal of quote, offeror must have an AMS endorsement and include the approved DD Form 2088 with the quote; or

If the offeror does not already have ecclesiastical endorsement, the offeror must demonstrate that they have applied for ecclesiastical endorsement at time of quote submittal. The offeror shall include proof of the application submission with their quote.

Even if you have applied for endorsement, be advised that the Government will only award to the vendor who has received AMS endorsement/approved DD Form 2088 prior to the end of the evaluation period or the contract start date.

Factor 2: Price: The offeror’s quote will be evaluated to determine price reasonableness.

i. Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the base year. Evaluation of options shall not obligate the Government to exercise the option(s).

ii. The Option to Extend Services at FAR 52.217-8 will be included in the awarded contract. The Government will evaluate the Option to extend services as part of the initial competition by adding half of the final year option price to the overall quoted price.

Failure to submit a quote in the format described in the solicitation could result in a quote being deemed nonresponsive and therefore not subject to evaluation and/or award.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

Note: The method utilized to calculate the price of the 6-month Option to Extend Services is for the purpose of price evaluation only. If the Option to Extend Services is exercised, it will be exercised at the terms and price of the current period being extended.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JAN 2017)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision --

“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Civil judgment” means—

(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.

(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: ``Guidance for Executive Order 13673, `Fair Pay and Safe Workplaces' ''. The DOL Guidance, dated August 25, 2016, can be obtained from www.dol.gov/fairpayandsafeworkplaces.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Enforcement agency” means any agency granted authority to enforce the Federal labor laws. It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the Occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in its capacity as administrator of such plan. It does not include other Federal agencies which, in their capacity as contracting agencies, conduct investigations of potential labor law violations. The enforcement agencies associated with each labor law under E.O. 13673 are--

(1) Department of Labor Wage and Hour Division (WHD) for--

(i) The Fair Labor Standards Act;

(ii) The Migrant and Seasonal Agricultural Worker Protection Act;

(iii) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act;

(iv) 41 U.S.C. chapter 67, formerly known as the Service Contract Act;

(v) The Family and Medical Leave Act; and

(vi) E.O. 13658 of February 12, 2014 (Establishing a Minimum Wage for Contractors);

(2) Department of Labor Occupational Safety and Health Administration (OSHA) for--

(i) The Occupational Safety and Health Act of 1970; and

(ii) OSHA-approved State Plans;

(3) Department of Labor Office of Federal Contract Compliance Programs (OFCCP) for--

(i) Section 503 of the Rehabilitation Act of 1973;

(ii) The Vietnam Era Veterans' Readjustment Assistance Act of 1972 and the Vietnam Era Veterans' Readjustment Assistance Act of 1974; and

(iii) E.O. 11246 of September 24, 1965 (Equal Employment Opportunity);

(4) National Labor Relations Board (NLRB) for the National Labor Relations Act; and

(5) Equal Employment Opportunity Commission (EEOC) for--

(i) Title VII of the Civil Rights Act of 1964;

(ii) The Americans with Disabilities Act of 1990;

(iii) The Age Discrimination in Employment Act of 1967; and

(iv) Section 6(d) of the Fair Labor Standards Act (Equal Pay Act).

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Labor compliance agreement” means an agreement entered into between a contractor or subcontractor and an enforcement agency to address appropriate remedial measures, compliance assistance, steps to resolve issues to increase compliance with the labor laws, or other related matters.

“Labor laws” means the following labor laws and E.O.s:

(1) The Fair Labor Standards Act.

(2) The Occupational Safety and Health Act (OSHA) of 1970.

(3) The Migrant and Seasonal Agricultural Worker Protection Act.

(4) The National Labor Relations Act.

(5) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act.

(6) 41 U.S.C. chapter 67, formerly known as the Service Contract Act.

(7) E.O. 11246 of September 24, 1965 (Equal Employment Opportunity).

(8) Section 503 of the Rehabilitation Act of 1973.

(9) The Vietnam Era Veterans' Readjustment Assistance Act of 1972 and the Vietnam Era Veterans' Readjustment Assistance Act of 1974.

(10) The Family and Medical Leave Act.

(15) Equivalent State laws as defined in the DOL Guidance. (The only equivalent State laws implemented in the FAR are OSHA-approved State Plans, which can be found at www.osha.gov/dcsp/osp/approved_state_plans.html).

“Labor law decision” means an administrative merits determination, arbitral award or decision, or civil judgment, which resulted from a violation of one or more of the laws listed in the definition of ``labor laws''.

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).
