UNITED STATES MARINE CORPS

MARINE CORPS BASE

QUANTICO, VIRGINIA 22134-5001 IN REPLY REFER TO:

C-21

RCO-JA-14007

3 Dec 13

JUSTIFICATION AND APPROVAL FOR

USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity

The Regional Contracting Office-National Capital Region (RCO-

NCR), 2010 Henderson Road, Marine Corps Base (MCB),Quantico VA, 22134.

2. Description of Action Being Approved

This justification is to seek approval for a sole source bridge contract to be entered into with InnovaSystems International in order to maintain support to mission critical Aviation Flight information for the full range of Marine Corps operations and exercises (including Operation Enduring Freedom, Naval

Amphibious Deployments, and daily flight operations).

The contract will be solicited as a sole source bridge contract to ensure services continue without interruption. The current contract, M00264-12-C-0006 was awarded by the Regional

Contracting Office-National Capital Region (RCO-NCR) and expires

31 December 2013. Approval of this Justification and Approval

(J&A) will allow time for a full and open competitive contract to be awarded using Performance Based Acquisition (BPA) methods.

The bridge contract period of performance will be from 1 January

2014 through 30 June 2014, for a six (6) month period of performance. The contract will be structured as a Firm Fixed

Price (FFP) contract in an estimated amount of $2,968,884.57.

3. Description of Supplies/Services

The Training and Education Command Aviation Standards Branch

(TECOM ASB), requires contractor support for the Marine Sierra

Hotel Aviation Readiness Program (M-SHARP). Contractor support is required to track Aviation training readiness; utilize the risk management tools embedded in M-SHARP; track aircrew

Training and Readiness (T&R) progression, currency and proficiency, and flight hours; and produce required reports to

HQMC on aviation related matters.

The estimated dollar value for this procurement is

$2,968,884.57. FY14 Operational and Maintenance, Navy (O&M,N) funds are available.

4. Statutory Authority Permitting Other Than Full and Open

Competition

The statutory authority permitting other than full and open competition is 10 U.S.C. Section 2304(c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1.

Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority

As the creators of the current product and the developers of the

Marine Corps Enterprise IT Services (MCEITS) integration, InnovaSystems is currently the only Contractor that can perform this function. Since the inception of M-SHARP, InnovaSystems

International, LLC has been the sole designer, developer, and integrator of all functional solutions toward streamlining

Marine Aviation operations toward achieving combat readiness utilizing this application fleet wide. As a result, InnovaSystems is uniquely qualified to provide the technical expertise and manpower to fulfill the complete range of services required for the continued enhancement and implementation of M-

SHARP for Marine Aviation. Through experience and continuous interactions with the stakeholders to date, InnovaSystems has provided critical insight and guidance for the unique business needs outlined in Naval Aviation, Marine Corps doctrine, and

Standard Operating Procedures at Marine Air Wing, Marine Air

Group, and Aviation unit levels. This culminated in the dependence of M-SHARP as an authoritative data Training &

Readiness Program, Marine Corps Flight Hours Program, Marine

Corps Sortie Based Training Program, and Marine Corps Aviation

Operational Risk Management Program.

No other Contractor can perform at the level of sustainment, wherein InnovaSystems functions today with respect to providing technical and analytical support to the Marine Corps. The

M-SHARP software program in not yet stabilized. Upon stabilization of the M-SHARP software program, the Government anticipates development of a performance work statement for

M-SHARP sustainment support as a competitive procurement.

InnovaSystems has in-depth knowledge of M-SHARP and the work that is required to stabilize it for future competitive efforts.

Bringing on a new contractor would negate the momentum built by

InnovaSystems and would require a significant investment to bring novice contractors up to an acceptable level of competency. The time required to obtain the services of another contractor, educate them on what has been accomplished, develop a methodology to move forward would severly impact the Marine

Corps’ Aviation T&R Program. Failure to complete this task would considerably set back TECOM’s ability to stabilize the work in progress and would likely result in a gap of required Aviation functionality support.

Without approval of this J&A the Government will suffer a severe detriment in system readiness, as well as in Aviation Training and Readiness management:

The Marine Corps capability to report accurate executed flight hours to Headquarters Marine Corps, the management of the Flight Hour/Sortie Based Training Program, and daily data and proficiency tracking of training and readiness to

Mission Essential Task capability in all flight operations will be suspended;

Readiness data collection and Aviation Flight Hour information from the full range of Marine Corps operations and exercises (including Operation Enduring Freedom, Naval

Amphibious Deployments, and daily flight operations, etc) will not be reported and acted on in a timely manner, severely degrading all of Marine Corps Aviation and its ability to perform its Marine Corps mission.

Any gap in service would be a cost that the Government would not be able to recoup. Technological functionality aside, there are several other categories of costs that are harder to quantify in terms of money such as degradation and/or loss of data, deferred and/or delayed functionality for the fleet.

Lack of services would severely degrade and impact flight operations and automated training from HQMC to squadron level, that provides functionality to approximately 81,374 flight hours over a six (6) month period affecting all type/model/series aircraft. This cost, based on loss of system functionality, is estimated at $1.25 Billion dollars over a six (6) month period

($13,158,000.00 per fly day).

6. Description of Efforts Made to Solicit Offers from as Many

Offerors as Possible

This effort will be synopsized in Federal Business Opportunities

(FEDBIZOPPS) in accordance with the requirements of FAR 5.2.

In addition, upon stabilization of the M-SHARP software program, the Government will develop a performance work statement for

M-SHARP sustainment support as a competitive procurement.

7. Determination of Fair and Reasonable Cost

The Contracting Officer shall determine the anticipated price to the Government for the services covered by this J&A will be fair and reasonable.

The fair and reasonableness of the price will be based on an analysis of the contractor’s price proposal, including backup information supporting the price with prior similar contracts

(e.g. Contract Number: M00264-12-C-0006.

8. Actions Taken to Remove Barriers to Future Competition

A follow-on contract action using full and open competitive procedures has begun in parallel to the current bridge contract.
