PERFORMANCE WORK STATEMENT

PERFORMANCE WORK STATEMENT

1.0 SCOPE

1.1 The contractor shall provide animal shelter services to domestic animals delivered by Animal Control Officers, or law enforcement personnel of Marine Corps Air Station, Cherry Point.

1.2 The contractor shall ensure humane care, adoption program, spay/neuter of adopted animals, medical care, euthanasia and disposal of animals not adopted.

1.3 Animals delivered to the contractor by Marine Corps Air Station residents, military personnel living off-station, or any other personnel not specifically authorized by the point of contact (paragraph 6.0) shall not be covered under this contract.

2.0 APPLICABLE REGULATIONS. All services provided shall be in compliance with the following regulations:

2.1 Code of Federal Regulations, Title 9, Chapter 1, Part 3.1-3.11

2.2 State and county statutes pertaining to operation of an animal shelter/adoption facility.

3.0 PERIOD OF PERFORMANCE

3.1 This contract is for the base period beginning June 2016 and ending June 2017. This contract also includes four (4) option years.

3.2 Monthly service periods begin the first day of the month and end the last day of the month.

4.0 PLACE OF PERFORMANCE

4.1 All animal shelter operations shall be performed at the contractor’s site.

5.0 SECURITY CLEARANCE

5.1 No security clearance is required.

6.0 POINT OF CONTACT

7.0 HOURS OF OPERATION AND OBSERVED HOLIDAYS

7.1 The animal shelter shall accept animals from the Station Animal Control Office, with prior notification, during working hours.

7.2 The Contractor shall provide 24 hour-a-day, 7 day-a-week drop off capability for Animal Control Officers, or law enforcement personnel of Marine Corps Air Station, Cherry Point.

7.3 Other mutually agreed upon days between the contract administrator and the contractor during the period of performance, to include local, City, State and Federal holidays.

7.4 When a holiday falls on a Saturday, the preceding Friday shall be observed as the legal holiday.

7.5 When the holiday falls on a Sunday, the following Monday shall be observed as the legal holiday.

8.0 DUTIES AND RESPONSIBILITIES

8.1 Government Activity Representative.

8.1.1Only AUTHORIZED PERSONNEL (Animal Control Personnel, Law Enforcement) Marine Corps Air Station, Cherry Point shall deliver domestic animals to the contractor site for animal shelter services listed in paragraph 1.2. Animals delivered to the shelter by other than AUTHORIZED PERSONNEL shall not be chargeable against this contract (see paragraph 1.3).
8.1.2Residents of station housing and military personnel living off station shall be charged the standard county fee to drop off animals at the shelter.
8.1.3Perform surveillance and inspection of services required under this contract; determines

adequacy of contractor performance per contract specifications; acts as the government’s representative at the work site; ensures compliance with contract requirements; and advises the Contract Administrator of any factors that may cause problems pertaining to the contract. The government activity representative cannot authorize deviations from contract requirements. The position title and telephone number of the government activity representative is Services Officer, Provost Marshall’s Office, Walter D. Davila at 252-466-7223.

8.1.4 When performance does not meet the specifications and requirements of this contract, written (letter, fax, or email) documentation shall be furnished explaining how performance is considered unacceptable. This documentation should state what specification(s) is not being performed (reference contract paragraph number(s), date and time observed) and submit to the CONTRACTING OFFICER within two (2) work days of each occurrence.

8.2 Contractor.

8.2.1The contractor shall provide continuous, sanitary water supply to all animals, once per day feeding and clean up duties 2 times per day for dogs and 2 times per day for cats.
8.2.2Fresh litter shall be supplied daily for cats.
8.2.3Veterinary treatment shall be provided to animals that are sick or diseased.
8.2.4Animals shall be maintained in a safe, humane, sanitary environment for at least three to five days prior to determination of euthanasia.
8.2.5Euthanasia shall be administered by qualified veterinarians or certified euthanasia technicians.
8.2.6The contractor shall provide a disposal service for euthanized animals that is in compliance with federal, state and county regulations.
8.2.7No living animals shall be donated to medical testing facilities or laboratories by the contractor.
8.2.8The contractor shall not adopt animals to any individual or business that deals in buying or selling laboratory animals.
8.2.9The animals shall be kept in a well ventilated, climate controlled environment during their stay at the facility.
8.2.10The contractor’s animal shelter facility shall be within a 30 mile radius of Marine Corps Air Station, Cherry Point, NC.
8.2.11The contractor shall provide a monthly report of animals accepted at the shelter. The report shall separately list (1) number and type of animals turned in by Station Animal Control Officer; (2) number adopted/redeemed; (3) number euthanized; and (4) a listing of other animals turned in that do not fall into the previous three categories. This report shall be used to verify services.

9.0 CONTRACTOR FURNISHED ITEMS AND SERVICES

9.1 Except those items or services specifically stated to be Government furnished, the Contractor shall furnish everything required to perform services as defined in this contract.

9.2 The Government shall not be responsible for the Contractor's personal supplies, equipment, materials, or belongings brought into the buildings or on the grounds to perform services. This includes items such as loss or damage caused by fire, theft, tornado, hurricane, accident or other disaster.

9.3 The Contractor shall not perform work that deviates from contract requirements and specifications. If the Contractor deviates from contract requirements and specifications without approval of the CONTRACTING OFFICER, such deviation shall be at the risk of the Contractor and any cost related thereto shall be borne by the Contractor.

10.0 UNACCEPTABLE PERFORMANCE.

10.1 When performance does not meet the specifications and requirements of this contract, written (letter, fax, or email) documentation shall be furnished explaining how performance is considered unacceptable. This documentation should state what specification(s) is not being performed (reference contract paragraph number(s), date and time observed) and submit to the CONTRACTING OFFICER within two (2) work days of each occurrence.

COUNTY AND STATE REGULATIONS

01. The contractor shall hold a valid and current certificate of registration as required under State law for an animal shelter (N.C. G.S. 19A-26). The contractor acknowledges that an annual inspection by the North Carolina Department of Agriculture Animal Welfare Section is required to maintain said animal shelter.

02. The contractor shall provide continuous, sanitary water supply to all animals, once per day feeding and clean-up duties 2 times per day for dogs and 2 times per day for cats in order to comply with 02 NCAC 52J .0205, 02 NCAC 52J .0206, and 02 NCAC 52J .0207.

03. Fresh litter shall be supplied daily for cats.

04. Veterinary treatment shall be provided to, but not limited to, animals that are sick or diseased, injured, lame, or blind in accordance with 02 NCAC 52J .0210. Veterinary care shall be provided by the on-staff or contract licensed veterinarian, and their designees.

05. Animals shall be held for a minimum of five (5) days per Onslow County Ordinances 4.4(a) before disposition through adoption, rescue, or euthanasia. Feral animals shall be held for 72 hours per North Carolina General Statutes 19A-32.1. Holding and disposition of the animals shall follow both the Onslow County Ordinances 4.4 and the North Carolina General Statutes 19A-32.1. In accordance to these laws, euthanasia prior to end of holding period for injured, diseased, and suffering animals shall be authorized by the Director of Animal Services.

06. Euthanasia shall be administered by a licensed veterinarian or a Certified Euthanasia Technician as per 02 NCAC 52J .0402.

07. Euthanasia shall be performed by injection in accordance to 02 NCAC 52J .0800, and 02 NCAC 52J .0700.

08. No living animals shall be donated to medical testing facilities or laboratories by the contractor.

09. The contractor shall not adopt animals to any individual or business that deals in buying or selling laboratory animals.

10. The animals shall be kept in an indoor facility with an environment in compliance with 02 NCAC 52J Section .0200 (Facilities and Operating Standards).

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)

(a) Definitions. As used in this clause--

Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall--

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.

(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

(1) Document type. The Contractor shall use the following document type(s).

(4) Payment request and supporting documentation. The Contractor shall ensure a payment request includes appropriate contract line item and subline item descriptions of the work performed or supplies delivered, unit price/cost per unit, fee (if applicable), and all relevant back-up documentation, as defined in DFARS Appendix F, (e.g. timesheets) in support of each payment request.

(5) WAWF email notifications. The Contractor shall enter the email address identified below in the “Send Additional Email Notifications” field of WAWF once a document is submitted in the system.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Evaluation of quotes will be conducted on a lowest-priced, technically acceptable basis. All quotes will be evaluated first on price. The lowest priced quote will be evaluated for technical acceptability on an acceptable/unacceptable basis. A technically acceptable quote is one that demonstrates the vendor’s ability to perform the services in accordance with the requirements of the Statement of Work within the required period of performance. Award will be made on an all or none basis.

If found to be technically acceptable, past performance will be evaluated. If past performance is found to be satisfactory, then no further evaluations will be conducted and award will be made. If the lowest priced quote is not technically acceptable with satisfactory past performance, the next lowest priced quote will be evaluated and so on, until a technically acceptable quote from a vendor with satisfactory past performance is identified.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB 2016) ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (q) of this provision.

(a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
