DEPARTMENT OF THE NAVY

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION

IN REPLY REFER TO:

J&A_15_24827

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst, NJ

2. Description of the Action Being Approved.

This Justification and Approval (J&A) authorizes and approves the issuance of a sole source Firm Fixed

Price type contract to procure 2D3 software licenses from 2D3 Sensing, 4199 Campus Drive, Suite 620;

Irvine, CA 92612 to support the P-8A Aircraft. The period of performance to deliver the software licenses is 2 weeks after award.

3. Description of Supplies/Services.

This acquisition is for the procurement of MPEG-2 encoding and decoding software licenses as well as

MetaData processing and transcoding software licenses for mission video for the P-8A test aircraft and

PAXSIL government lab.

The following 2D3 software licenses are required to encode and decode MPEG-2 video from P-8A sensors to each of the Mission Crew Workstations on the P-8A aircraft:

OF-TG-AACD Main Concept AAC Decoder

OF-TG-H264VD Main Concept H.264 Video Decoder

OF-TG-KLVD Tungsten KLV Decoder

OF-TG-M2PSD Tungsten MPEG-2 Program Stream Decoder

OF-TG-M2TSD Tungsten MPEG-2 Transport Stream Decoder

OF-TG-M2VD Tungsten MPEG-2 Video Decoder

OF-TG-MISB Tungsten MISB Toolkit

OF-TG-SC Tungsten Surge Client

OF-TG-H264VE Main Concept H.264 Video Encoder

OF-TG-KLVE Tungsten KLV Encoder

OF-TG-M2PSE Tungsten MPEG-2 Program Stream Encoder

OF-TG-M2TSE Tungsten MPEG-2 Transport Stream Encoder

The following 2D3 software licenses are required for Metadata transcoding and processing, Metadata

Guard, and Geospatial Data Export as well as providing for video stream input/output for the MCW workstations on the P-8A aircraft:

SB-CT-GRND Catalina Ground Station Bundle

SW-CT-BASE Catalina Baseline

See Appendix A for Estimated Dollar Value

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

The Data Storage Architecture Upgrade (DSAU) is a Contractor Furnished Item (CFE) provided by Boeing, the developer of the P-8A, that will be installed on the P-8A production line starting with aircraft one of

LRIP 4 and is currently on the government test aircraft and PAXSIL government lab. Boeing chose the above 2D3 software to be used in the DSAU units. The Navy has flight tested, qualified and approved this

DSAU configuration with associated software through the Configuration Control Board for installation on the production line with LRIP 4 as well as retrofitting previously delivered fleet aircraft.

This effort is for the procurement of the 2D3 software licenses for the DSAU currently on the government test aircraft and the PAXSIL government lab. 2D3 is the designer and developer of the software and therefore is the only vendor capable of providing the software licenses for the above listed software.

Utilizing the 2D3 software (and licenses) will ensure the test aircraft and lab are in the same exact configuration as the production aircraft to be delivered to the fleet.

If other software were procured, there would be considerable risk to the P-8A flight test program of not performing realistic future flight and ground testing if the test aircraft and ground lab software were not exactly the same as the fleet configuration. COMOPTEVFOR test group also requires the test aircraft to match current P-8A Fleet configuration for Developmental Flight Testing and Operational Flight Testing.

This could also impact future mission readiness and mission success if ground and flight testing did not catch future potential issues if the software configuration were different than fleet aircraft.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Market Research provided by PMA290 showed that there are other companies with software that could provide MPEG-2 encoding & decoding software as well as MetaData processing & transcoding software.

However, 2D3 is the only company that can provide the same configuration software for the test aircraft & lab as the production aircraft in LRIP 4 lot. A Request for Information was posted on the Federal Business

Opportunities (FBO) website, and no alternatives or additional sources were suggested. In accordance with FAR 5.201, a synopsis was posted to FBO on 14 April 2015 and no inquiries were received.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. 2D3’s proposal will be reviewed by experienced technical analysts and contract specialists. The Contracting Officer will utilize price analysis as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition.

Due to obsolescence, PMA290 intends to replace a majority of the Mission Computer and Displays hardware in Lot 8 including the DSAU unit. Open competition for a DSAU replacement and associated video software will occur during this time. A determination has not been made if open competition will be done by Boeing as CFE to the government or a government led GFE competition.
