1. “Measurable Work” means a definitive allocation of an employee’s time that can be attributed to work performed on a specific matter, but that is not less than a total of one hour in any one-week period.

2. The requirements of the ordinance, including payment schedules, are detailed at:

https://kingcounty.gov/depts/finance-business-operations/procurement/about-us/Living-Wage.aspx. Absent authorization for delayed or alternative compliance as referenced below, failure to comply with this provision shall be considered a material breach of this Contract and may subject the Contractor to administrative sanctions and remedies for breach.

1. When the contract is valued at $25,000 or more, by signing the Contract the Contractor is indicating compliance with this requirement or with the terms of an authorization for delayed or alternate compliance.

2. V. SELECTION PROCESS

A. Proposal Evaluation. All responsive Proposals will be evaluated by an evaluation panel in accordance with the criteria and points specified in Attachment 2, RFP Evaluation Criteria.

B. Shortlist. Based on the evaluation of Proposals, the County intends to shortlist the three

(3) most highly qualified Proposers as finalists for interviews and receipt of the Request for Final Proposals, however, the County may choose to shortlist up to five (5) finalists.

C. Interviews. Interviews will be held virtually with shortlisted firms. The Project team proposed in the Proposal shall be available to attend. Interview format details will be provided to Proposers along with the interview invitation. The County expects the finalist to bring their Key Personnel to the interview. Finalists will be evaluated on their team members’ experience and qualifications and how well the team communicates, collaborates and problem solves, integrates with the County and the Project stakeholders, and identifies achievable and collaborative solutions to concerns raised in the interview.

D. Request for Final Proposals (RFFP). The RFFP will solicit Price Proposals from each finalist. The Price Proposal will include proposed GC/CM Fee and Negotiated Self- Perform Fee.

E. Each finalist submitting a Proposal in response to the RFFP must be in compliance with RCW 39.04.350 and Chapter 18.27 RCW at the time of submittal. All responsive Proposals will be evaluated by an Evaluation Panel in accordance with the criteria and points specified in the RFFP.

1. Scoring of Price Proposals. Proposals will be scored as follows:

a. The Finalist proposing the lowest responsive price shall be awarded the maximum number of points (30) assigned in the Evaluation Criteria for the Final Price Proposal.

b. For the remaining Finalists, the number of points awarded for the Final Price Proposal will be calculated by taking the lowest responsive price and dividing it by the Price Proposal of each remaining Finalist, multiplied by the maximum number of points (30) assigned in the Evaluation Criteria for the Final Price Proposal. The resulting score will be rounded to the nearest hundredths of a point.

c. Evaluation Criteria Weight

Request for Proposal (RFP) Weight

Transmittal Letter 0 points

Performance and Payment Bond Pass/Fail

Insurance Requirements Pass/Fail

Accident Prevention Program Pass/Fail

Approach 40 points

Experience and Past Performance 70 points

Outreach and Inclusion 15 points

Capacity and Location 15 points

Total RFP Points 140 points

Interview 130 points

Final Price Proposal 30 points

Total Points Possible 300 points

F. Basis of Award. The Preconstruction Services Agreement and GC/CM Construction

Services Contract shall be awarded based on the procedure outlined in RCW 39.10.360 and the process set forth in this document.

G. Final Selection. The final selection, if any, will be that Proposer (the top-ranked firm) which in the opinion of the County best meets the requirements set forth in this RFP and subsequent RFFP and is determined to be the most highly qualified. The final ranking will be determined by combining the Proposal score + Interview + Final Price Proposal score. The finalist with the highest-ranking score will be selected to enter into contract negotiations with the County. In the event of a tie in the highest total score, the finalist with the lowest price in the final Price Proposal will be selected.

H. If the County and the highest ranked finalist cannot agree on terms, the County may enter into negotiations with the next highest ranked finalist. The County will approach evaluating Proposals and Interviews based on which firm the County believes to be the “best fit” and therefore most likely to deliver the highest quality project.

J. Debriefs. Proposers may request a debrief from the Contract Specialist identified in the solicitation no later than twenty business days after King County issues the Notice of Intent to Award/Notification of Non-Award. The purpose of a debrief is to provide constructive feedback to teams on their Proposal so they can submit more competitive Proposals in the future. Debriefs shall be limited to the debriefed Proposer’s overall ranking, scores, Evaluation Panel comments, and general information regarding the selection process. Debriefs shall not include a point-by-point comparison of the debriefed Proposer’s submittal with other proposals. Proposals will be posted after contract execution to https://kingcounty.gov/en/dept/executive-services/about-king-county/business-operations/finance-business-operations/procurement-payables/solicitation-resources.

VI. NEGOTIATION PROCESS

A. The County intends to execute the Preconstruction Services Agreement with the selected Contractor for the design phase of the work.

B. It is anticipated that MACC negotiations will occur when the scope of each Project within the programmatic GC/CM is adequately defined and the design is at least ninety percent (90%) complete as mutually determined by the Contractor and the County. The County may conduct a series of negotiations for selected bid packages whereby each negotiation will culminate in determination of an Early Work Package or “mini-MACC”. At the time a MACC, or the initial mini-MACC, as the case may be, is successfully negotiated, the parties will sign the GC/CM Construction Services Contract. Upon successful negotiation of each succeeding mini-MACC the parties shall execute a Change Order to the GC/CM Construction Services Contract reflecting the increase in the Total Contract Cost until all Early Work Packages are accepted, resulting in the

MACC.

C. MACC negotiations will take place prior to execution of the GC/CM Construction Services Contract. When mini-MACC negotiations are conducted, the GC/CM Construction Services Contract will be executed upon negotiation of the initial mini- MACC. MACC negotiations shall be completed within 30 days of the receipt of the Contractor’s MACC estimate. The Contractor’s MACC estimate shall be completed no later than three weeks from receipt of the construction documents to be used for MACC negotiations. Should the Contractor and the County not agree on a satisfactory MACC that the County determines to be fair, reasonable and within the available funds the County may terminate the negotiations and begin to negotiate with the next highest ranked firm or choose to release the package for a competitive bid. Should the County choose to terminate the negotiations upon failure to achieve a MACC, such termination will be effective upon receipt of written notification to the Contractor. Contractor shall not be reimbursed for the MACC negotiations.

D. All necessary information and forms for the negotiation process shall be provided by the Contract Specialist after the Notice of Intent to Award has been issued. Such information shall include but not be limited to: Consultant Disclosure Form (if applicable), W-9 Request for Taxpayer Identification Number, and spreadsheet for Wage Rates.

VII. CONTRACT TERMS AND CONDITIONS
