About this file

This document is a Justification and Approval for a sole source contract award. The contract is for Contractor Logistics Support on the AN/FPS-117 Radar consisting of electronic parts, software maintenance, repairs of Line Replaceable Units, engineering services, and management of parts obsolescence. The services and estimated $25 million contract value are for a five year period from 2020 to 2025. The justification for the sole source award is that Lockheed Martin Corporation designed, manufactured, and is the only source able to provide parts, technical data, and engineering support for the specialized AN/FPS-117 radar system, which is critical to airspace security for the North American Aerospace Defense Command.

E. The estimated maximum cost is based upon market research which included the actual costs of the previous CLS contracts for HW and SW support, both awarded to LMC. The HW contract used for the cost estimates was contract FA8217-17-D-0002. The SW contract used for the cost estimates was contract FA8217-17-D-0003. Funding approval is requested for more than one fiscal year as the requirement will be for five years.

The estimated contract award date is May 2020 utilizing 3400 O&M funding for each year.

IV. Statutory authority permitting other than full and open competition.

10 USC 2304 (c) (1) as implemented by FAR 6.302-1(a)(2) - Only One Responsible Source

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

A. The supplies and services for this contract are unique and highly specialized. The AN/ FPS-117 radar was designed and manufactured by LMC in the 1980's and serves as an airspace early warning system to North American Aerospace Defense Command, Department of Homeland Security, the Federal Aviation Administration, Air Combat Command, March 2018 Page 8 of 9 the contractor's proposal. The final step is to include the Price Negotiation Memorandum (PNM). This detailed documentation and justification of price reasonableness will be disclosed in the official PNM, to be prepared upon completion of negotiations.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

The market research techniques used for the AN/FPS-117 Radar CLS contract effort included the aforementioned 24 Jul 2019 Sources Sought, and internet searches using the AN/FPS-117 parts support as the criteria. Individual parts were also researched for commonality with other vendors. The search engines included:

-Haystack Gold (https://login.ihserc.com/cgi-bin/ihslogin) -DoD EMALL (https://dod.emall.dla.mil/acct/) -Web FLIS (https://www.logisticsinformationservice.dla.mil/webflis/) -D035 (https://miap.csd.disa.mil/portal.html) -Google (https:// www.google.com/?gws_rd=ssl)

A review of the components determined there were no commercial equivalent parts which could fulfill the requirements of this effort.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

No further information.

X. List of any sources that expressed, in writing, an interest in the acquisition.

Only Lockheed Martin Corporation Rotary and Mission Systems

See Section VI

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

A. The USAF does not possess sufficient software, technical data or license rights to compete the CLS requirement for the AN/FPS-117 HW/SW/FW. Every reasonable effort has been made to find alternate sources for the supplies and services described in this J&A. As a result of continued refusal by LMC to provide sufficient software, technical data or license rights to compete this CLS requirement, as well as, the substantial duplication of cost and unacceptable delay of developing additional sources per Sections V and IX, there are no known additional actions which can be taken to remove barriers to competition at this time. Therefore, specific actions and milestones cannot be established to remove barriers to competition.

B. The USAF sent a request to LMC on 6 December 2019 requesting the purchase of Government Purpose Rights or Unlimited Rights to all data and software for the HW/SW/FW for the AN/FPS-117 radar. LMC responded to the Government email on 12 December 2019 stating

March 2018 Page 9 of 9 they would not release their data and would not submit ROM pricing. (See V. E.) Also a Sources Sought Synopsis FA8217-19-R-5013 was posted to FedBizOps on 24 July 2019 and closed 23 August 2019. No vendors responded except LMC. (See VI.A.) Per PGI 206.304(a) (S-70) as indicated by signature on the Coordination and Approval Document, the previous J&A has been reviewed and the Approval Authority determines that all stated actions to remove barriers to competition have been accomplished.

XII. Certification by the Contracting Officer.

The contracting officer's signature on the Coordination and Approval Document evidences that she has determined this document to be both accurate and complete to the best of her knowledge and belief.

XIII. Certification by the technical/requirements personnel.

By their signatures on the Coordination and Approval Document, the technical and/or requirements personnel have certified as accurate and complete all supporting data, which is their responsibility, contained herein IAW FAR 6.303-2(c).
