About this file

This is a Sole Source Justification document for the Department of Commerce (DOC) to award a sole-source contract to CACI Inc. - Federal for Comprizon Suite (C-Suite) Support Services. The total value is $1,119,084.60 for a 12-month period from January 1, 2026 to December 31, 2026. The contract will provide continued maintenance and support of the proprietary C-Suite software, which is a contract writing system used by five DOC bureaus to manage the entire acquisition process from requisition through contract closeout.

The justification highlights that CACI Inc. - Federal is the sole owner authorized to modify the source code, and no other sources are available. The contract supports DOC's Business Applications Solution (BAS) modernization initiative, with services including program management, software support, customized software services, report writing, data migration, technical site visits, help desk services, and system retirement activities. A special notice was posted on SAM.Gov on October 28, 2025, with no responses received, and the contract is intended to ensure continuous service delivery until the full implementation of the BAS, with NIST's implementation scheduled for October 2026.

Sole Source Justification Shared Services Procurement Office

1401 Constitution Avenue NW Washington, D.C. 20230

Justification Log No. FY26-01

(1) Identification of the agency and the contracting activity:

Program Office: Department of Commerce

Office of Acquisition Management

Office of Programs & Analysis

1401 Constitution Ave, NW

Contracting Activity: Department of Commerce

Shared Services Procurement Office

1401 Constitution Ave, NW

(2) Nature and/or description of the action being approved:

The agency plans to enter into a contract on the basis of other than full and open competition.

The justification to award a sole-source contract is based on only one responsible source and no other supplies or services will satisfy agency requirements. A firm-fixed-price (FFP) sole source contract will be awarded to CACI Inc. - Federal, 14370 Newbrook Dr., Chantilly, VA 20151-

4206 for Comprizon Suite (C-suite) Support Services for the Department of Commerce.

The existing order 1331L525F13OS1014 will expire on December 31, 2025 and a sole-source follow-on award will not be made under GSA contract number GS-35F-349CA as C-Suite is no longer available under the GSA MAS. It is the intention of the Office of Acquisition Management

(OAM) to award a sole-source follow-on contract for a 12-month period of performance with the total value of $1,119,084.60. This acquisition is being conducted pursuant the Revolutionary

FAR Overhaul (RFO) FAR Part 12, as implemented by Department of Commerce Class

Deviation to FAR Parts 12 and 13.

(3) A description of the supplies or services required to meet the agency's needs:

The Department of Commerce (DOC), Office of the Secretary (OS), Office of Acquisition

Management (OAM) supports the Acquisition and Grants communities at DOC. OAM evaluates acquisition risk, oversees acquisitions, establishes policies for the acquisition community, and provides acquisition system tools. One of the Department’s strategic goals is to deliver

Customer-Centric Service Excellence through quality and timely acquisition services.

The Business Applications Solution (BAS) program is a DOC modernization initiative to deploy an integrated suite of financial and business management applications in support of our mission. The Secretary of Commerce identified BAS as one of the top Departmental priorities.

The objectives include implementing and integrating a suite of commercial off-the-shelf (COTS) business systems, enterprise data warehouse (EDW) and business intelligence (BI) reporting solution, and system interfaces in a hosted environment. The BAS Program will continue the ongoing emphasis on achieving organizational excellence and outstanding customer service for the Department and will ultimately replace the current acquisition system, C.Suite.

The Department’s objective is supported by utilizing Comprizon Suite (C.Suite). C.Suite is a

Commercial off-the-shelf (COTS) contract writing system product that has been modified to meet

Department needs and was deployed in 1999. A highly integrated and complex system, C.Suite integrates and streamlines the entire acquisition management process from requisition through contract/purchase to order closeout. C.Suite is platform independent and operates on Internet

Explorer, Firefox and Chrome in multiple desktop environments and with J2EE Web/application combinations with an Oracle database. C.Suite consists of two integrated modules.

OAM successfully deployed C.Suite in five of the six bureaus that warrant delegated procurement authority. These included: Office of the Secretary’s Shared Services Procurement Office (SSPO);

Bureau of the Census; National Telecommunications and Information Administration’s First

Responder Network Authority (FirstNet); National Institute of Standards and Technology (NIST);

and the National Oceanic and Atmospheric Administration (NOAA). It should be noted that the

United States Patent and Trademark Office (USPTO) is using another COTS solution for their acquisition needs and does not use C.Suite.

This sole-source contract will provide for the continued maintenance and support of proprietary software C.Suite at the Department of Commerce. These services require ongoing assistance from contractors to maintain and support the existing proprietary software provided by its exclusive supplier, Comprizon Federal, Inc. through CACI NSS, LLC. This support is required until three months past the full implementation of the Business Automation System (BAS) to allow for data archival and system retirement activities and for the remaining Acquisition Offices with procurement authority to meet their mission objectives. The BAS Program Management Office

(PMO) is adhering to a strategic timeline for the comprehensive solution implementation, with the following milestones:

NIST Implementation: October 2026

The support and business requirements for this follow-on award would remain largely the same as in the existing order, covering: 1. Program Management Support Services, 2. Software Support

Services, 3. Customized Software Services, 4. Report Writing Services, 5. Data Migration

Services, 6. Technical Site Visits, 7. Help Desk Site Services, 8. System Retirement Activities.

The period of performance will consist of a 12-month base period and no option periods, with a total estimated value of $1,119,084.60.

Period of Performance Estimated Value

January 1, 2026 – December 31, 2026 $1,119,084.60

(4) An identification of the statutory authority permitting other than full and open competition:

The statutory authority permitting other than full and open competition is codified at 41 U.S.C. §

1901 and is implemented by the Federal Acquisition Regulations (FAR). This justification is based on Revolutionary FAR Overhaul (RFO) 12.102, Restricting Competition, and the applicable procedures are in RFO 12.201-1 Simplified Procedures, as implemented by

Department of Commerce Class Deviation to FAR Parts 12 and 13.

(5) A demonstration that the proposed contractor's unique qualifications or the nature of the acquisition requires use of the authority cited:

CACI Inc. - Federal is currently the sole owner that is authorized to make changes to its source code in order to modify or improve the software. No other sources are available to meet this requirement. No other contractors were contacted as part of the current market research, as the legacy software is proprietary software provided by its exclusive supplier, Comprizon Federal to

Government.

C.Suite is platform independent and operates on Internet Explorer, Firefox and Chrome in multiple desktop environments and with J2EE Web/application combinations with an Oracle database. C.Suite consists of two integrated modules. These modules function independently;

however, combine seamlessly to manage the entire acquisition process. The modules are

Comprizon.Request (C.Request) and Comprizon.Award (C.Award):

● Comprizon.Request – provides Web requisitioning, routing for review and approvals, support documentation, real-time status checks, and development of acquisition plans;

and

● Comprizon.Award – provides automated preparation and management of purchase requests, acquisition plans, solicitations, amendments, contracts, and modifications.

(6) A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by

Subpart 5.2 and, if not, which exception under 5.202 applies:

A special notice of intent to sole source was posted on SAM.Gov on October 28, 2025 with a closing date of November 12, 2025. No responses were received by the November 12, 2025 closing date.

(7) A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The contracting officer determines that the anticipated price(s) will be fair and reasonable based on a comparison with historical pricing information, and the Government’s estimation to determine the price(s) is fair and reasonable.

Further, the CO will determine that the prices are fair and reasonable for this requirement and ensure that discounts are solicited, while a reasonable level-of-effort and labor mix are evaluated under the procedures consistent with FAR 12.201-1.

This approach provides the greatest overall benefit in response to the requirement and results in the lowest overall cost alternative, namely in the forms of time, cost, risk, and opportunity.

Because this is a commercial service, cost and pricing data is not required; however, the

Government may request for other than cost pricing data in order to understand the contractor’s pricing methodology.

(8) A description of the market research conducted (see Part 10) and the results or a statement of the reason market research was not conducted:

• Mandatory Procurement Sources and Lists

• Historical Acquisition Information

• Review of Internet Resources or Catalogs

• Review of Government-Wide Acquisition Contracts (GWACs)

• Personal Knowledge in Procuring Services of this Type

• Contacts with other Federal Government Representatives

A special notice synopsizing the required services was posted on the GPE with a request for interested vendors capable of performing to contact the Contracting Officer. No responses were received. Additional market research was not conducted.

(9) Any other facts supporting the use of other than full and open competition, such as:

C.Suite integrates and streamlines the entire acquisition management process from requisition through contract/purchase order to closeout. C.Suite is platform independent and operates in multiple desktop environments and with J2EE Web/application/database server combinations.

C.Suite consists of two integrated modules. These modules function independently but combine seamlessly to manage the entire acquisition process. The modules are C.Request and C.Award:

• C.Request provides Web requisitioning, routing for review and approvals, support documentation, real-time status checks; and

• C.Award provides automated preparation and management of purchase requests, solicitations, amendments, contracts and modifications.

DOC has successfully deployed and utilized C.Suite in five of the six bureaus that warrant delegated procurement authority. These include Enterprise Services/Acquisition (ES/A) now known as Shared Services Procurement Office (SSPO); First Responders Network Authority

(FirstNet); US Census Bureau; National Institute of Standards and Technology (NIST); and the

National Oceanic and Atmospheric Administration (NOAA).

Further, C.Suite is integrated with our Government Off-The-Shelf (GOTS) financial system.

C.Suite exchanges data with the Commerce Financial System (CFS) installations at NIST through the Obligation and Requisition System Interface (ORSI). ORSI uses Enterprise Application

Interface (EAI) technology to standardize and transfer information among the systems.

Leveraging the expertise of the current contractor, CACI Inc. - Federal, ensures continuous service delivery and supports OAM’s strategic goals. CACI Inc. - Federal has demonstrated a thorough understanding of OAM’s unique operational environment and has a proven track record of delivering high-quality IT services. Their familiarity with OAM’s systems, processes, and security requirements minimizes the risks associated with transitioning to a new contractor. By continuing with CACI Inc. - Federal, OAM can maintain continuity in critical operations, avoid disruptions that could compromise security and efficiency, and ensure that ongoing projects and initiatives are completed on time and within budget.

Moreover, the specialized nature of the required services necessitates a contractor with specific expertise and experience. CACI Inc. - Federal prior engagements have shown their capability to meet these stringent requirements effectively. The time and resources required to onboard a new contractor would not only delay crucial projects but also incur additional costs, potentially jeopardizing OAM’s compliance with federal initiatives and cybersecurity mandates.

A lapse in service would mean that critical knowledge and software support would prevent bureaus with acquisition authority from performing normal daily operations, delay program timelines and impede program offices from achieving their mission critical goals. The lapse would be detrimental to the ongoing operations of the users that rely on the solution. Until BAS is fully deployed, it is critical that the current acquisition support systems are maintained and upgraded as needed.

(10) A listing of the sources, if any, that expressed, in writing, an interest in the acquisition:

No responses were received from the public or industry in response to the publicized synopsis of the proposed contract action and no sources have otherwise expressed, in writing, an interest in the acquisition.

(11) A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

This acquisition is for limited, specialized support services with the objective of ensuring no gaps in service and meeting DOC/OAM requirements until BAS is fully deployed. With the U.S.

Census Bureau’s transition to BAS in October 2025, DOC/OAM will not need to pursue an additional year of support under a separate contract action to maintain Comprizon support after

NIST’s transition to BAS scheduled for October 2026.

(12) Program Official’s and Contracting Officer’s Certification that the justification is accurate and complete to the best of the Contracting Officer's knowledge and belief:

Based on the above information, it is determined to be in the Government’s best interest to acquire the above. I certify this justification is accurate and complete to the best of my knowledge and belief.
