About this file

This is a Justification for Other Than Full and Open Competition document for a sole-source procurement by the Department of Veterans Affairs.

The VA North Texas Health Care System (VANTHCS) seeks to award a firm-fixed-price purchase order to Data Innovations, LLC for renewal of the annual license for the Data Innovations Instrument Manager software and associated maintenance and support services. The contract will cover facilities in Dallas, Fort Worth, and Bonham, Texas, for a 12-month period from July 1, 2026, through June 30, 2027. The estimated contract value is redacted in the document. The award will be issued under the Revolutionary FAR Overhaul (RFO) Federal Acquisition Regulation (FAR) 12 to Data Innovations, LLC, located at 463 Mountain View Drive, Suite 305, Colchester, Vermont 05446-5952.

The justification for sole-source award cites FAR 6.103.1 (Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements). Data Innovations is identified as the sole manufacturer and exclusive provider of technical maintenance and support for its products nationwide. The Instrument Manager software is essential for interfacing laboratory analyzers with the Veterans Health Information Systems and Technology Architecture (VistA) and the Computerized Patient Record System (CPRS). The software enables critical functions such as flagging abnormal results and transmitting laboratory data to patient records. All training, maintenance, upgrades, driver access, and bug fixes are exclusively provided by Data Innovations and necessary to maintain compliance with Joint Commission, College of American Pathologists, Clinical Laboratory Improvement Amendments, and VHA Directive 1106.01 standards. Market research did not identify alternative sources capable of meeting the requirements, and the justification will be published on the Contracting Opportunities website within 14 days of award. The Government commits to continued market monitoring to assess whether future competitions could be feasible.

Data Innovations Instrument Manager Control Number: VA-26-00021652

4. Authority:

The specific authority providing for other than full and open competition is FAR 6.103.1 “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.”

5. Rationale Supporting Use of Authority Cited Above:

Based on market research detailed in Section 8 of this document, VA has determined that only Data Innovations (DI)—the sole manufacturer and exclusive provider of technical maintenance and support for DI products nationwide—can fulfill these requirements. End-users receive direct support, maintenance, and upgrade services exclusively from DI. All laboratory instrumentation must be covered by DI’s maintenance and support, which includes essential services such as connectivity, troubleshooting, upgrades, access to new drivers, and bug fixes. These services are necessary to ensure laboratory operations remain compliant with standards set by the Joint Commission, College of American Pathologists, Clinical Laboratory Improvement Amendments, and VHA Directive 1106.01. Additionally, all training for DI products is exclusively conducted by DI and is not available through any other source.

The required Instrument Manager software must be acquired through this follow-on contract to ensure continuity of these highly specialized services. As described in Section 3 above, the Instrument Manager software and all associated requirements are only available from the original source, and must be procured using other than full and open competition procedures. Awarding a contract to any source other than DI would result in substantial duplication of costs to the federal government, costs that would not be recoverable through competition.

6. Efforts to Obtain Competition:

Market research was conducted, as detailed in the market research section of this document. This effort did not identify sufficient sources capable of meeting the Government’s requirements; therefore, no competition is anticipated for this acquisition.

In accordance with 41 U.S.C. Chapter 3304(f)(1), the award notice for this action will be published on the Contracting Opportunities website, and this justification will be made publicly available within 14 days of award.

7. Actions to Increase Competition:

The Government will continue to conduct market research to ascertain if there are changes in the market place that would enable future actions to be competed.

Specifically, the Government will continue to monitor the marketplace to determine whether other brand software could integrate into VA's VistA/CPRS applications.
