About this file
This is a Justification and Approval (J&A) document for other than full and open competition from the Space Development Agency (SDA) for a sole source contract award to SpaceX for satellite processing facility services. The contract, valued between $10-12M, will provide facilities to accommodate up to 21 satellites and dispenser stack, including post-transport functional testing, mechanical and electrical mates to dispenser hardware, and satellite processing activities for launch vehicle integration.
The J&A cites authority under 10 USC 3204(a)(1) for only one responsible source, as market research revealed no other processing facility providers could confirm availability when needed. SDA posted an Intent to Sole Source notice (SDA-SN-24-0016) on SAM.gov on August 8, 2024, with responses due by August 24, 2024. Only SpaceX submitted a proposal on September 27, 2024. The market research evaluated three other commercial processing facilities (Astrotech, L3H IPF, and SpaceX SLC-4 PPF), but none could meet the timeline requirements due to various constraints. SpaceX's Building 398 facility was selected as it could reserve dedicated space for SDA satellite processing and provide 1-2 additional bays if needed to increase launch tempo.

I. Agency and Contracting Activity.
This document serves as the Justification and Approval for the Space Development Agency (SDA) to procure the goods and services described in paragraph 3 below by other than full and open competition. SDA Contract is the contracting activity.
II. Nature and/or description of the action being approved.
SDA proposes to award a sole source contract to SpaceX for a satellite processing facility that can accommodate up to 21satellites and dispenser stack, post transport functional testing as required, and mechanical and electrical mates to the dispenser hardware.
III. Description of supplies/services required to meet agency needs.
SpaceX will provide the facility to use for satellite processing activities needed to prepare each satellite for integration to the launch vehicle upper stage and encapsulation within the payload fairing. The facility will provide space, cranes, electrical power, and other resources to prepare the satellites for launch. SpaceX was able to confirm availability on SDA's schedule.
IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above.
After conducting market research to include RFIs submitted to other known potential payload processing facilities (PPF), SDA determined no other processing facility provider could confirm availability when needed. The inability to schedule PPF services drives overall schedule uncertainty and causes substantial risk of delay to the PWSA constellation.
V. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under
FAR 5.202 applies.
An Intent to Sole Source Special Notice (SDA-SN-24-0016) was posted to https://SAM.gov website on August 8, 2024.
Interested parties were requested to respond with interest and demonstrate their capabilities to meet the requirements by August 24, 2024. SpaceX submitted their proposal on September 27, 2024. No other responses were received.
VI. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
Prior to contract award, the Contracting Officer will conduct a detailed price analysis of the SpaceX final proposal in accordance with FAR Subpart 12 to ensure the proposed price to the Government is fair and reasonable.
VII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
SDA conducted market research and had discussions with three of the four commercial processing facilities on base: 1.
Astrotech on North base(currently working with Astrotech security upgrade to meet requirements are on going but they have not been open on schedule availability due to high demand), 2. L3H IPF at SLC-6 (not available in the timeline due to modifications), SpaceX at SLC-4 PPF (SpaceX is no longer using it for SV processing due to Bldg 398 solution), and SpaceX at Bldg 398 (SpaceX would reserve space for SDA SV processing and if needed SDA could have 1 or 2 bays to increase launch tempo).
VIII. Any other facts supporting the use of Other Than Full and Open Competition.
