Justification and Approval (J&A) for Other Than Full and Open Competition

FOR OFFICIAL USE ONLY

March 2018 FOR OFFICIAL USE ONLY Page 2 of 6

I. Contracting Activity.

The contracting activity responsible for this action is the Air Force Materiel Command (AFMC), Air Force Life Cycle Management Center (AFLCMC), Digital Directorate - Airborne Warning and Control System (AWACS) Division, AFLCMC/HBSK, 3 Eglin Street, Hanscom AFB, MA 01731-2100. The

II. Nature and/or description of the action being processed.

This is an Individual Justification & Approval (J&A) for an extension of the E-3 ImAccs contract F19628-01-D-0016, Delivery Order (DO) FA8730-18-F-0016. The purpose of this extension is to provide a contract vehicle to complete the acquisition of supplies and services under the AWACS Modernization and Sustainment Support (AMASS) Indefinite Delivery/Indefinite Quantity (ID/IQ) Contract Delivery Order, DO FA8730-18-F-0016. This justification will provide the required authority to allow an extension for work to continue on the Contract Line Item Numbers (CLINs) currently on contract that will be incomplete at the expiration of the Basic AMASS ID/IQ Contract 30 September 2020. The CLINs that require extensions have previously been funded. DO F19628-01-D-0016 is being extended under this J&A to 30 March 2021. See attached breakdown of these CLINS with their anticipated delivery PoP end dates. The expected completion date of all work is 30 March 2021. This extension is to be awarded to The Boeing Company (Boeing), the sole source AMASS IDIQ contractor, 7755 E. Marginal Way S., Seattle, WA 98108-4002. The US Government does not require third-party specialized assistance in this procurement.

III. Description of supplies/services required to meet agency needs.

The efforts that need to continue beyond the AMASS contract expiration date are shown below. Under this ImAccs contract extension, Boeing will complete work under the following CLINs for the reasons specified below:

CLIN 2101 ImAccs, Government is working with Boeing to disposition parts procured under this CLIN due to descoping.

CLIN 3404 Peripheral Hardware, Boeing is working with OEM to fix parts that were found to be unserviceable on inspection.

CLIN 4103 IPEC Installations 14-17, due to delay in 40/45 aircraft available for installations, an extension is needed to complete IPEC 16 & 17 installs.

CLIN 4105 Interim Contractor Support Year 2, to enable the transition of all IPEC hardware to Performance Based Logistics contract and for software work until the new ICS software DO is awarded.

CLIN 4106 Provisioning, awaiting final CDRLs due to delay from Tinker Provisioning Office.

CLIN 6100 CPFF CLIN Data, extend to support the final delivery of CDRLs associated with the remaining CLINs

CLIN 6400 FFP CLIN Data, extend to support the final delivery of CDRLs associated with remaining CLINs.

IV. Statutory authority permitting other than full and open competition.

10 U.S.C.2304 (c)(1), as implemented by FAR 6.302-1, Only One Responsible Source And No Other Supplies Or Services Will Satisfy The Agency Requirement.

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

Subsection 1 Boeing has been the AWACS designer, integrator, and manufacturer since the program began in the 1970's and continues to provide support to ongoing modernization and sustainment programs.

Boeing is the only source capable of providing the total system integration support necessary to complete the required efforts and it is best qualified to perform the complex array of integration and production projects which must interrelate with each other and with other ongoing U.S. and international modifications.

The Airborne Warning and Control System (AWACS) provides a highly mobile, flexible, survivable theater Battle Management (BM), Wide Area Surveillance, and Command and Control (C2) capability.

It is capable of detecting, identifying, and tracking airborne and maritime targets at extended ranges as well as identifying air/ground emitters. AWACS can relay “big picture” information to C2 agencies and friendly aircraft. AWACS provides worldwide response to situations requiring immediate on-scene C2/BM using embedded real-time surveillance for employment of US and allied combat air forces. AWACS is critical to gaining and maintaining battle-space air superiority. AWACS coordinates with both tactical and C2 assets in theater to execute the air mission.

The AMASS ID/IQ contract F19628-01-D-0016 was awarded to Boeing in June 2001 under the authority of 10 USC 2304(c)(1) with an ordering period of 216 months (18 Years). The ordering period for the AMASS ID/IQ will expire 30 September 2019. The purpose of the AMASS ID/IQ contract is to provide overarching weapon system engineering and integration across the AWACS life cycle, to include supplies and services, concept exploration and risk reduction studies, prototype demonstrations, advanced projects, the development and production of system modifications, repairs, sustaining engineering, sustainment support and installations, organic level maintenance support and Programmed Depot Maintenance, and other support efforts required to lengthen the useful life of the E-3 AWACS weapon system and sustain and improve its operational capabilities and effectiveness. Based on this stated purpose, the AMASS ID/IQ was utilized as the contract vehicle allowing for the development and production of the AWACS IPEC Program.

The AWACS Block IPEC Program was designated as an Urgent Operational Need (UON) in 2015 and this was revalidated in 2017. It provides mission critical SIPRNet and multi-domain network connectivity to the E3 Sentry AWACS aircraft, providing flight crews the ability to communicate via

March 2018 FOR OFFICIAL USE ONLY Page 4 of 6 secure text at multiple 40/45 Operator Worker Stations for the purpose of providing control over coalition traffic. Theater communication plans have migrated from voice analog radios to digital chat and email requiring IPEC's wideband IP communications to effectively accomplish battle management command and control by providing time sensitive data to coalition theater decision makers.

The attached AMASS ID/IQ Class J&A, number 01-JA-022, dated 20 MAR 2001 identifies Boeing as the only responsible source for the development and production of the AWACS IPEC Upgrade. Utilizing the AMASS ID/IQ, a sole source Engineering and Manufacturing Development (EMD) contract was awarded to Boeing for development of the AWACS IPEC Upgrade. AWACS IPEC EMD was accomplished by Boeing in years 2015 through 2019. Due to the urgency of the program, direction was given to enter Limited Production (IPEC Kits 2-10) in December of 2015. In August of 2017, ADM direction was given to complete production (IPEC Kits 11-24). Further the Government has recently awarded a new IPEC IDIQ (FA8730-20-D-0038) in which the attached justification and approval supports Boeing as the only responsible source for IPEC activities.

A contractor other than Boeing would be required to perform an extensive development effort in order to acquire the knowledge needed to effectively design, integrate and test the replacement hardware and software to support.

Subsection 2

Unacceptable Delays Award of the remaining work for the ImAccs CLINs stated above to any other source would result in unacceptable delays in fulfilling the Air Force's requirements. The ImAccs CLINs extensions are necessary to complete the work which had been previously been negotiated, started and has incurred costs nearing the final stages of completion. While a new contractor would not be required for this effort due to the recent award of an IDIQ for IPEC/ImAccs activities the Government estimates that the acquisition lead time to re-procure these remaining CLINS would lead to a six (6) to eight (8) month delay. This would significantly impact the current induction schedule in which any missed aircraft is a delay to another.

Further the IPEC induction schedule is heavily coordinated with the other programs previously accomplished under the AMASS IDIQ and additional new procurements to sustain a full upgrade by FY24. Additional delays would occur with the ongoing transferring of hardware as related to the Governments transition to the new Performance Based Logistics (PBL) effort. Any of the delays mentioned here within associated with IPEC are delays associated with the coordination on other programs and ultimately the operational use of the AWACS aircraft. Such delays would be unacceptable and jeopardize the ability of the fleet to provide enhanced systems and personnel for theatre surveillance, warning and control of strategic, tactical and special mission forces. .

Subsection 3

Accordingly, Boeing Corporation is the only firm capable of providing the supplies and services described in Section III above without the U.S. Air Force experiencing unacceptable delays in

March 2018 FOR OFFICIAL USE ONLY Page 5 of 6 fulfilling its requirements.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

All IPEC efforts thus far are within the scope of the existing AMASS contract in accordance with documentation included in the Approved Class J&A (30 March 2001) for AMASS. In August 2019, the Government issued a Notice of Proposed Contract action (NOCA) which was posted on the Government Point of Entry for a period of 15 days. The purpose of the NOCA was to inform stakeholders in industry and the public that the Government intends to provide for the remaining IPEC activities less PBL efforts by way of a sole source IDIQ contract award to Boeing. Only Boeing provided a response to this notification. A sole source contract to Boeing was subsequently awarded in August 2020.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The Contracting Officer has already determined the cost of the CLINs to be fair and reasonable during negotiation process of the delivery order definitization.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

As described in Section VI above, market research, in accordance with FAR part 10, was conducted by synopsis of the proposed acquisition.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

None.

X. List of any sources that expressed, in writing, an interest in the acquisition.

See Section VI above.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

As is pertains to the IPEC program there are currently no actions that can be taken now to remove the barriers to competition for this ImAccs extension without significantly delaying the schedule required to meet operational needs. The Government had previously explored the competitive marketplace for IPEC program activities which ultimately led to the award of a new program specific IDIQ. However, as accomplished by the Performance Based Logistics (PBL) program it is anticipated the other AWACS programs will continue to pursue competition in lieu of sole source actions. The Government is also exploring future opportunity to transition the operation and maintenance of the development and integration laboratory environments. Relocating these labs from a Boeing facility

March 2018 FOR OFFICIAL USE ONLY Page 6 of 6 to Government facilities will allow the Government to further explore competitive strategies for the future AWACS programs in which are supported by the lab.
