JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Weapons Division (NAWC-WD) Point Mugu, CA

2. Description of the Action Being Approved.

This Justification and Approval authorizes and approves the award of a contract on an other than full and open competition basis to Team Corporation, located at 11591 Watertank Road, Burlington, WA 98233, in support of the Life Cycle Environmental Engineering (LCEE) Branch, located at the NAWC-WD, China Lake, CA.

3. Description of Supplies/Services.

This contract provides highly specialized test system equipment and support services for the

LCEE Branch building/laboratory.

The scope of this requirement is to manufacture and install the test system equipment in the new building/laboratory and provide support services. Support services include Lead System

Integration, design support, project management, installation, and training.

In addition to the support services, the contract will require the following unique and specialized proprietary/patented test system equipment:

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

In accordance with FAR 6.302-1(a)(2)(ii)(B), only Team Corporation as the sole designer, developer, original equipment manufacturer (OEM), and supplier of environmental test systems, possess the unique capability and expertise to satisfy the minimum needs of the Government.

The NAWC-WD LCEE Branch utilizes highly specialized test systems to simulate the effects of climatic, induced thermal and dynamic environments on an array of military hardware and control systems. The test systems must be able to replicate the full range of environmental conditions and forces, meet military testing standards (MIL STD)

. The systems necessary to accomplish these types of unique tests are exclusive to Team Corporation. Only Team Corporation’s proprietary test systems meet the required testing capabilities, military testing standards and existing test system commonalities. Team Corporation, as the OEM, is the only source capable of providing the specifically designed and manufactured test systems within the required timeframe. The preponderance of the acquisition is comprised of State-of-the-Art test systems patented and/or proprietary only to Team Corporation. Similar test systems offered by other vendors either do not meet functional specifications, fidelity improvements, performance capabilities, requirements for MIL STD testing, or a combination of these factors. In order to manage the complexity of this project Team Corporation will be the Lead System Integrator, providing design input during the

An award to any source other than Team Corporation for these complex and highly specialized test systems would result in unacceptable schedule delays. Only Team Corporation has the requisite knowledge, technical experience, manufacturing processes and patent and/or proprietary rights to provide the Government with the required test systems that meet the government’s minimum needs for NAWC-WD’s life cycle environmental testing. Another source would have to design, develop, and test new environmental test systems prior to initiating production. Team Corporation has exclusive rights to manufacture the required test systems and market research has shown that State-of-the-Art features inherent to Team’s test systems are essential to meet test requirements. Test systems offered by other vendors do not meet the minimum specifications outlined by LCEE. Furthermore, newly developed test systems from another source would introduce technical uncertainties in data reliability and would require a re-baselining effort in order to compare the new test system output.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance with DFARS PGI 206.302-1(d), a Sources Sought announcement was posted to the beta.SAM (System for Award Management) website on 29 April 2020. One response was received from Team Corporation.

In accordance with FAR 5.201(b)(1), the proposed contract was synopsized on the beta.SAM website on 23 July 2020

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 5, NAWC-WD has no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, NAWC-WD will assess whether competition for future requirements is feasible.
